How is this company "independent" of Active Gaming Media?
[edit]It is stated in this article that (1) the Playism team is employed by AGM, (2) AGM's localization department operates much of the localization service offered by Playism, and (3) AGM launched Playism in 2011. It is also implied in my opinion that (4) Playism is a brand name for digital distribution and developer services including localization, debugging, and publishing on their website focused on independent game developers. Furthermore, (5) the Playism website (http://playism-games.com/) clearly states the following in its footer:
"©2015 Active Gaming Media Inc. All Rights Reserved.
PLAYISM, the PLAYISM logo and other related images are registered trademarks of Active Gaming Media Inc. All other names, products and images are the property of their rightful owners and are used here with permission."
In addition, (6) http://playism-games.com/page/7/corporate states that the distributor is "Active Gaming Media Inc.".
As well, (7) http://playism-games.com/page/3/uag states: (Article 1, clause 1) "The PLAYISM User Agreement (“the agreement” below) shall be the sole agreement applied between the company operating PLAYISM (“the service” below) known as Active Gaming Media Inc. (“AGM” below) and the user, to which the user agrees to comply in the event that the user uses the service." (directly stating both that Playism is operated by AGM and that the user is signing an agreement with AGM rather than "the service" PLAYISM.)
(Article 1, clause 2) "The agreement may be altered by AGM without prior notice. Should the agreement be altered, the user agrees that the version of the agreement following alteration shall be applicable should the service be used following the alteration, and in that case agrees to comply with the altered agreement." (AGM may alter the agreement without prior notice.)
(Article 2, clause 1) "A ‘member’ is defined as an individual that has registered for membership via the prescribed enrollment method. Immediately upon AGM’s approval of membership enrollment, the member shall agree and consent to the terms of the agreement." (implying AGM approves all members)
(Article 3, clause 4) "Members shall be responsible for the management of their own registration information, and AGM shall not be liable for any prejudice or damage suffered by the member as a result of registration information being inaccurate or false." (implying AGM would normally be liable)
(Article 3, clause 5) "Members shall use this service in compliance with the terms for age and other usage conditions which are established by AGM." (AGM has established these terms, not Playism.)
(Article 4, clause 6) "If any of the PC digital contents downloaded from the site do not work properly due to bugs on the PC or in the downloaded file itself, then AGM will provide support when possible by distributing "re-downloads" or "repair patches". "Re-downloads" can be downloaded at any time through the Downloads section of the "My Account" tab. "Repair patches" will be distributed any time that repair is confirmed to be necessary by the developer of the digital contents. If you are unable to resolve the problem with a "re-download" or if there are no "repair patches" currently available, use the contact form to send the details to the AGM staff. There is no limit on the number of "re-downloads" available." (AGM provides support.)
Article 1, clause 3; Article 2, clause 2; and all articles after 4 contain many more similar points. I believe the contents up to Article 4 are taking up enough space on this page, however.
(8) Playism is not mentioned as a third-party company on Playism's website as far as I can tell, (9) Playism's trademarks (brand assets such as its logo) are directly said to be AGM properties on the website, and (10) based on all of this, it is improbable that a company would take as much responsibility as has been taken by AGM in an ordinary partnership, i.e. one that doesn't involve AGM taking stock in an independent Playism or not fully divesting itself of stock in the company.
Because of these ten points, despite my conflict of interest (see full disclosure below), I believe that I am justified to make an edit expressing that Playism is not independent of AGM since I have not seen a source showing that all of this is done on a contract basis with AGM, and due to the degree of control and responsibility (indicating ownership) AGM has in the terms of service, I highly doubt it should count as an independent developer even in such a situation that this is all done on a contract basis. It would be reasonable, however, to say Playism is "independently operated by UAG".
