The following terms and conditions govern all use of the The Law Community website and all content, services and products available at or through the website, including, but not limited to, Clio Forum Software and the Clio.com Support Forums (taken together, the Website). The Website is owned and operated by Themis Solutions Inc. dba Clio. The Website is offered subject to your acceptance without modification of any of the terms and conditions contained and all other operating rules, policies (including, without limitation, Clio's Privacy Policy and Community Guidelines ) and procedures that may be published from time to time on this site by Clio collectively, the "Agreement").
Please read this Agreement carefully before accessing or using the Website. By accessing or using any part of the Website, you agree to be bound by the terms and conditions of this Agreement. If you do not agree to all the terms and conditions of this Agreement, then you may not access the Website or use any services. If these terms and conditions are considered an offer by Clio, acceptance is expressly limited to these terms. The Website is available only to individuals who are at least 13 years old.
1. General code of conduct
Our community is here for everyone, however, we want to make sure that the community offers a positive experience for all of our members. Therefore these general guidelines have been established. Should there be any questions or issues, please let us know via an email to support(at)clio.com.
Be respectful
Treat one another with respect! We are committed to providing a welcoming, harassment-free community for everyone, regardless of gender, sexual orientation, disability, physical appearance, age, race, ethnicity, or religious beliefs. Users will not post any racist, sexist, discriminatory, threatening or otherwise insulting comments, will not use coarse language, make inappropriate jokes or otherwise harass, belittle, or demean any other members of the community, including customers, Clio staff, or moderators.
Stay legal
Users may not post any pornographic or otherwise offensive material, share illegal content or content for which they do not possess copyright, attempt to distribute illegal substances, distribute viruses or other material which gives you access to the computers or systems of other users, or generally anything that is considered illegal by your municipality, region, or country of residence.
Stay on topic
Please do not change the subject of a discussion to something not intended by the original poster. Any off-topic posting or “hijacking” of threads will result in content being removed and ultimately can cause users to be removed from or denied access to the community.
No commercial use
Users may not use the forum for commercial activities such as the advertising or sale of non-Clio products or services, the sending of commercial messages (i.e. spam) or the advertising of other chat forums or websites. App Developers, Clio Certified Consultants or Integration Partners may not send unsolicited messages to other community members, make disparaging statements about Clio, or share confidential information regarding their partnership.
No sharing of personal or private information
Please refrain from sharing personal information (telephone numbers, email addresses, etc.) of yourself, your clients, your staff or other people or companies in community posts.
No multiple accounts
Multiple community accounts for single users are not permitted. If community moderators detect multiple accounts for one user, all secondary accounts will be banned.
Moderator actions
Clio’s Community Team or volunteer moderators (selected from members of the community by the Clio Community Team) may change or remove content or restrict access to individual users in the event community guidelines are violated or use of the website outside of the ToS. We ask that community members do not discuss moderator actions in public—should you disagree with an action taken, please contact a moderator or the Community Manager via private message.
Be careful
All users in this community are here to help; however, the information provided in this forum is for informational purposes only and does not constitute legal, financial or business advice by Clio or individual community members. You should consult your own attorney or other experts before relying on any information available in this community. Some of the information contained in this forum is provided by third party users. Clio is not responsible for such content, and does not approve, verify or otherwise endorse such information. All information in this forum is provided only as general information. Clio expressly disclaims all liability in respect of any or all content in this forum. We also ask that community members refrain from taking screenshots of other users’ comments and posting them publicly without express consent.
2. Your Clio Community Account
If you create an account on the Website, you are responsible for maintaining the security of your account (ie not sharing your login information) and you are fully responsible for all activities that occur under the account. You must immediately notify Clio of any unauthorized uses of your account or any other breaches of security.
3. Responsibility of Contributors
If you post material to the Website, post links on the Website, or otherwise make (or allow any third party to make) material available by means of the Website (any such material, "Content"), users are entirely responsible for the content of, and any harm resulting from, that Content. That is the case regardless of whether the Content in question constitutes text, graphics, an audio file, or computer software. By making Content available, you represent and warrant that:
- the posting, downloading, copying and use of the Content will not infringe the proprietary rights, including but not limited to the copyright, patent, trademark or trade secret rights, of any third party;
- if your employer has rights to intellectual property you create, you have either (i) received permission from your employer to post or make available the Content, or (ii) secured from your employer a waiver as to all rights in or to the Content;
- you have fully complied with any third-party licenses relating to the Content,
- the Content does not contain or install any viruses, worms, malware, Trojan horses or other harmful or destructive content;
- the Content is not spam, is not machine- or randomly-generated, and does not contain unethical or unwanted commercial content designed to drive traffic to third party sites or boost the search engine rankings of third party sites, or to further unlawful acts (such as phishing) or mislead recipients as to the source of the material (such as spoofing);
- the Content is not pornographic, does not contain threats or incite violence, and does not violate the privacy or publicity rights of any third party;
- your Content is not being shared externally via unwanted electronic messages such as spam links on newsgroups, email lists, blogs and websites, or similar unsolicited promotional methods; and
- your Content is not named in a manner that misleads your readers into thinking that you are another person or company, or representing Clio in an official capacity.
4. User Content License
You license your contributions to us (such as posts, images, and comments) under the Creative Commons License . Without limiting any of those representations or warranties, Clio has the right (though not the obligation) to, in Clio’s sole discretion (i) refuse or remove any content that, in Clio’s reasonable opinion, violates any Clio policy or is in any way harmful or objectionable, or (ii) terminate or deny access to and use of the Website to any individual or entity for any reason, or (iii) use the content contained on the forum for marketing purposes or internal research.
5. Responsibility of Website Visitors
By operating the Website, Clio does not represent or imply that it endorses the material there posted, or that it believes such material to be accurate, useful or non-harmful. You are responsible for taking precautions as necessary to protect yourself and your computer systems from viruses, worms, Trojan horses, and other harmful or destructive content. The Website may contain content that is offensive, indecent, or otherwise objectionable, as well as content containing technical inaccuracies, typographical mistakes, and other errors. Clio disclaims any responsibility for any harm resulting from the use by users of the Website, or from any downloading by those visitors of Content there posted.
6. Content Posted on Other Websites
We have not reviewed, and cannot review, all of the material made available through the websites and webpages through links posted on the Clio Community. Clio does not have any control over those non-company domain websites and webpages, and is not responsible for their contents or their use. By linking to a non-Clio.com website or webpage posted by Community members, Clio does not represent or imply that it endorses such website or webpage. You are responsible for taking precautions as necessary to protect yourself and your computer systems from viruses, worms, Trojan horses, and other harmful or destructive content. Clio disclaims any responsibility for any harm resulting from your use of non-Clio.com websites and webpages.
7. Copyright Infringement and DMCA Policy
As Clio asks others to respect its intellectual property rights, as it respects the intellectual property rights of others. If you believe that material located on or linked to by Clio violates your copyright, notify Clio at [email protected]. Clio will respond to all such notices, including as required or appropriate by removing the infringing material or disabling all links to the infringing material. Clio will terminate a visitor’s access to and use of the Website if, under appropriate circumstances, the visitor is determined to be a repeat infringer of the copyrights or other intellectual property rights of Clio or others.
8. Intellectual Property
Clio Themis claims no intellectual property rights with respect to the Content posted by Community members. This Agreement does not transfer from Clio to you any Clio or third party intellectual property, and all right, title and interest in and to such property will remain (as between the parties) solely with Clio. Clio, Clio.com, the Clio.com logo, and all other trademarks, service marks, graphics and logos used in connection with Clio.com, or the Website are trademarks or registered trademarks of Clio or Clio's licensors. Other trademarks, service marks, graphics and logos used in connection with the Website may be the trademarks of other third parties. Your use of the Website grants you no right or license to reproduce or otherwise use any Clio or third-party trademarks.
9. Changes
Clio reserves the right, at its sole discretion, to modify or replace any part of this Agreement. It is your responsibility to check this Agreement periodically for changes. Your continued use of or access to the Website following the posting of any changes to this Agreement constitutes acceptance of those changes. Clio may also, in the future, offer new services and/or features through the Website (including, the release of new tools and resources). Such new features and/or services shall be subject to the terms and conditions of this Agreement.
10. Termination
Clio may terminate your access to all or any part of the Website at any time, with or without cause, with or without notice, effective immediately. If you wish to terminate this Agreement , you may simply discontinue using the Website. All provisions of this Agreement which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity and limitations of liability.
11. Disclaimer of Warranties
The Website is provided "as is". Clio and its suppliers and licensors hereby disclaim all warranties of any kind, express or implied, including, without limitation, the warranties of merchantability, fitness for a particular purpose and non-infringement. Neither Clio nor its suppliers and licensors, makes any warranty that the Website will be error free or will be continuous or uninterrupted. You download from, or otherwise obtain content or services through, the Website at your own discretion and risk.
12. Limitation of Liability
In no event will Clio, or its suppliers or licensors, be liable with respect to any subject matter of this agreement under any contract, negligence, strict liability or other legal or equitable theory for: (i) any special, incidental or consequential damages; (ii) the cost of procurement for substitute products or services; or (iii) for interruption of use or loss or corruption of data. Clio shall have no liability for any failure or delay due to matters beyond their reasonable control. The foregoing shall not apply to the extent prohibited by applicable law.
13. General Representation and Warranty
You represent and warrant that (i) your use of the Website will be in strict accordance with the Clio Privacy Policy, Community Guidelines , with this Agreement and with all applicable laws and regulations (including without limitation any local laws or regulations in your country, state, city, or other governmental area, regarding online conduct and acceptable content, and including all applicable laws regarding the transmission of technical data exported from the country in which this Website resides or the country in which you reside) and (ii) your use of the Website will not infringe or misappropriate the intellectual property rights of any third party.
15. Indemnification
You agree to indemnify and hold harmless Clio, its contractors, and its licensors, and their respective directors, officers, employees and agents from and against any and all claims and expenses, including attorneys’ fees, arising out of your use of the Website, including but not limited to your violation of this Agreement.
16. Miscellaneous
This Agreement constitutes the entire agreement between you and Clio governing use of the Website, superseding any prior agreements between you and Clio (including, but not limited to, any prior versions of this agreement).
Neither party may assign any of its rights or obligations hereunder, whether by operation of law or otherwise, without the prior written consent of the other party (which consent shall not be unreasonably withheld). Notwithstanding the foregoing, either party may assign this Agreement in its entirety without consent of the other party in connection with a merger, acquisition, corporate reorganization, or sale of all or substantially all of its assets provided the assignee has agreed to be bound by all of the terms of this Agreement. Any attempt by a party to assign its rights or obligations under this Agreement in breach of this Section shall be void and of no effect.
This Agreement and your relationship with Clio shall be governed exclusively by, and will be enforced, construed, and interpreted exclusively in accordance with, the laws applicable in the province of British Columbia, Canada and shall be considered to have been made and accepted in British Columbia, Canada, without regard to its conflict of law provisions. All disputes under this Agreement will be resolved by the courts of British Columbia in Vancouver, and you consent to the jurisdiction of and venue in such courts and waive any objection as to inconvenient forum. In any action or proceeding to enforce rights under this Agreement, the prevailing party shall be entitled to recover costs and legal fees.
