I. ORGANIZATION
1. Overview of Vingroup
Vingroup Corporation, formerly known as Technocom Corporation, was established in
1993 in Ukraine. In the early 2000s, Technocom returned to Vietnam, focusing on
investing in the tourism and real estate sectors with two initial strategic brands, Vinpearl
and Vincom. In January 2012, Vincom Joint Stock Company and Vinpearl Joint Stock
Company merged, officially operating under the Group model with the name Vingroup
Corporation - Joint Stock Company. The Group operates in multiple sectors, including
any product, tourism, trade, technology, healthcare and education. With the mission "For
a better life for Vietnamese people", VinGroup constantly innovates and develops,
aiming to improve the quality of life and create sustainable values for the community.The
Group also stands out with major projects such as VinHomes, VinMec and VinFast,
affirming its position in the domestic and international markets.
2. Vision
“Vingroup is oriented towards development in three key areas: Industrials - Technology;
Real estate development and service; Social enterprises.”
Vingroup wants to grow in three main sectors with a sustainable investment-development
plan and a pioneering aspiration; continuously developing and inventing to build an
ecosystem of superior goods and services that enhances everyone's quality of life and
elevates Vietnamese brands globally.
3. Mission
“For a better life for everyone.” is to provide high-quality, contemporary, and human-
centered solutions in order to enhance the quality of life for Vietnamese people and the
international community.

5. Goals
Vingroup wants to make VND300,000 billion by expanding its transportation business.
With a consolidated revenue of VND300,000 billion and an after-tax profit of roughly
VND10,000 billion, Vingroup is targeting rapid development in 2025. Vingroup reported
VND189,068 billion in net sales and VND5,276 billion in after-tax profit at the end of
2024. As a result, this group's business goal for this year is equal to a 60% rise in sales

and a net profit plan of about 90%. Additionally, this is the most ambitious business
strategy ever issued by the organization led by billionaire Pham Nhat Vuong. Vingroup
will be the listed firm with the greatest revenue on the Vietnamese stock exchange if this
business strategy is carried out.

II. BASIC TYPES OF ORGANIZATIONAL STRUCTURES

1. The conglomerate structure
In the spirit of sustainable and professional development, Vingroup is currently operating
in three core business areas, including:

● Industrials - Technology:
VinFast - vinfastauto.com: VINFAST MANUFACTURING AND TRADING JOINT
STOCK COMPANY was founded in 2017. VinFast's "Putting customers at the center"
concept drives its continuous innovation to produce superior solutions that are affordable
for everybody. With the intention of establishing a worldwide brand of electric vehicles,
VinFast has extended its activities to other countries, such as the US, Europe, and Asia.
To address the rising demand for electric cars globally, the firm has made significant
investments in R&D and the construction of state-of-the-art production facilities.
VinAI - www.vinai.io: Previously known as VinAI Artificial Intelligence Research
Institute (under Vingroup), VinAI Artificial Intelligence Research and Application Joint
Stock Company is the world's top AI research organization with its headquarters located
in Hanoi, Vietnam. VinAI boasts an extensive network of specialists in the Asia-Pacific
area, Australia, France, and the United States. The goal of VinAI is to carry out

comprehensive research on AI and create and develop AI applications for the Vietnamese
market as well as the international one.
The website vinbigdata.org: Based on the scientific research accomplishments of the
Big Data Research Institute (under Vingroup) in the domains of data science and artificial
intelligence, particularly in image and language processing, VinBigData Joint Stock
Company was founded. The Vietnamese virtual assistant ViVi, smart cameras, and
VinDr, an AI medical imaging assistance system, are a few of the company's notable
offerings. The goal of VinBigData is to develop into a technology firm that offers
platform solutions and cutting-edge products built on artificial intelligence and big data,
with the tagline "Vietnamese technology - For the future of Vietnam."
VinCSS - vincss.net: VinCSS Cyber Security Services Joint Stock Company is a
leading unit in the field of cyber security with the mission of "Pioneering for a better
digital environment". VinCSS provides comprehensive security solutions in the digital
environment, including Identity and Access Management, Information Technology Cyber
Security Services, Security for IoT devices, and Security for Smart Vehicles.
VinHMS - www.vinhms.com: VinHMS is a software development and trade firm that
specializes in offering top-notch technological goods to enhance business processes. The
mission of VinHMS is to provide innovative technological solutions that support digital
transformation across a wide range of industries. VinHMS is the first firm in Vietnam to
join HTNG, the International Association for Standardizing Protocols for Hotel Software,
and is presently an official partner of Expedia, Traveloka, Agoda, TripAdvisor, Google,
Amazon Web Services, and others.
● Real estate development and service:
Vinhomes - vinhomes.vn: Vinhomes, a real estate firm under Vingroup Corporation,
one of the biggest private economic groups in Vietnam, was founded in 2008 and is
officially known as Vinhomes Joint Stock firm. Vinhomes was founded with the
intention of creating and managing upscale housing developments as well as
contemporary, intelligent urban areas around the country.
All three real estate categories are developed by Vingroup: inexpensive housing (Happy
Town), mid-range housing (Vinhomes Sapphire, Ruby, and Diamond), mid-high-end
office leasing system (Vin Office), and mid-high-end housing (Vinhomes).

Vinpearl - vinpearl.com: Vingroup Corporation owns Vinpearl, the top travel and resort
brand in Vietnam, which was founded in 2003.
In addition to a number of other projects including Vinpearl Lang Van and Vinpearl Hai
Giang, Vinpearl presently owns tourist complexes and projects throughout Vietnam,
including Vinpearl Nha Trang and Vinpearl Da Nang. Vinpearl Golf is a chain of
premium golf courses.
Vinpearl Luxury, Vinpearl Hotels & Resorts, Vinpearl Discovery, and VinOasis are the
four brand lines that make up the Vinpearl hotel and resort villa system. Vinpearl Resort
& Golf Phu Quoc, Vinpearl Luxury Da Nang, and Vinpearl Luxury Nha Trang are
examples of typical developments.
Vincom - vincom.com.vn: Vincom Retail Joint Stock Company was first founded on
April 11, 2012, and is a division of Vingroup Corporation. The company has been
focused on creating and running the commercial center system under the Group's Vincom
brand since its founding. Vincom Center, Vincom Mega Mall, Vincom Plaza, and
Vincom+ are the four product lines that Vincom Retail currently possesses.
The Vincom shopping mall system, which has 79 locations in 43 provinces and cities,
offers consumers opulent and practical shopping experiences in addition to serving as a
hub for entertainment, culture, and the arts. Aiming to keep its top spot in the
contemporary retail market in terms of quantity, market share, and quality, Vincom Retail
also plays a significant role in consumer trends and upholds its standing as a top retail
real estate investor, developer, and manager with the most elegant and expansive
shopping malls in Vietnam. Common complexes and projects in commercial real estate:
Vincom Mega Mall Royal City và Vincom Mega Mall Times City, Vincom Center Bà
Triệu, Vincom Plaza Long Biên, Vincom Center Đồng Khởi, Vincom Plaza Đà Nẵng,
Vincom Plaza Cần Thơ, Vincom Plaza Hạ Long, Vincom Plaza Thủ Đức,…và hệ thống
Vincom+, Vincom Shophouse.
● Social enterprises:
Vinschool - vinschool.edu.vn: Vingroup invested in and built Vinschool, a non-profit
educational system that offers kindergarten through high school instruction, with the goal
of becoming a Vietnamese school of world caliber. Since its founding in 2013, Vinschool
has made significant investments in curriculum, instructor caliber, and infrastructure,
growing to become Vietnam's largest private school system. The goal of Vinschool is to
develop the elite by preparing students to become responsible, aspirational citizens who
possess all the necessary traits and skills to live contentedly, prosper, and actively
participate in the development of both domestic and global integration.

 Vinmec- vinmec.com: With the goal of establishing an academic healthcare system that
meets worldwide standards via ground-breaking research and strives to provide
exceptional treatment quality and flawless care services, Vinmec is a non-profit
healthcare system that Vingroup invested in and developed. Vinmec was founded in 2012
and has a team of highly qualified professors, doctors, and medical professionals, as well
as exceptional facilities, cutting-edge equipment, and contemporary medical examination
and treatment technologies. In several of the nation's largest regions and cities, Vinmec
currently owns a network of hospitals and clinics that meet international standards. Of
them, Vinmec Times City and Vinmec Central Park have obtained JCI (Joint
Commission International), the most stringent hospital safety accreditation in the world,
giving Vietnam a unique advantage in providing international-standard medical
treatment. Vinmec plans to run nine hospitals and four clinics across the country by 2025,
with locations in Hanoi, Ho Chi Minh City, Hai Phong, Da Nang, Nha Trang, Ha Long,
and Phu Quoc. The Joint Commission International (JCI) has recognized Vinmec Times
City and Vinmec Central Park.
VinUni - vinuni.edu.vn: Vingroup established the prestigious, private, non-profit
VinUniversity (VinUni) with the goal of developing the nation's future workforce and
establishing a top-tier, international institution. VinUni wants to rank among the world's
50 best young universities. In addition to having an integrated dual-degree training
agreement with top universities in computer science, technology, business administration,
and medicine, the school has extensive strategic partnerships with Cornell University and
the University of Pennsylvania, two of the top 20 universities in the world. In its first
academic year, VinUniversity, which is based on the highest standards for research,
teaching, employment, and international prospects, received a 5-star standard certificate
from Quacquarelli Symonds (QS), a university ranking organization, in three categories:
facilities, academic development, and comprehensive development. Vingroup established
the prestigious, private, non-profit university with the goal of developing the nation's
future workforce and establishing a top-tier, international institution.
VinBus - vinbus.vn: VinBus Transport Services Company Limited was founded in
2019 and uses a non-profit business model to operate in the public passenger
transportation sector. The firm runs Vietnam's first electric bus public transportation
system, helping to build a sophisticated and contemporary public transportation system
that lowers noise and air pollution in the country's largest cities. With several electric bus
lines linking important metropolitan locations including Vinhomes Ocean Park,
Vinhomes Smart City, and Vinhomes Grand Park, VinBus is presently running in Hanoi,
Ho Chi Minh City, and Phu Quoc.

 VinFuture - vinfutureprize.org: VinFuture Foundation is a separate, non-profit
organization in Vietnam (vinfutureprize.org).
Quỹ Thiện Tâm - quythientam.com: "Transfer the hearts of Vingroup people to the
community in the fastest and most effective way" is the mission of the Thien Tam Fund,
a non-profit organization under Vingroup that works for humanitarian and philanthropic
causes.
VinIF - vinif.org: Vingroup Innovation Foundation (VINIF) is part of the Big Data
Research Institute (VNC DLL).
Quỹ Vì tương lai Xanh - vingroup.net: Vingroup established the non-profit Green
Future Fund with the mission of implementing action plans and real-world projects in
Vietnam with the purpose of achieving sustainable green development through green
transformation initiatives.
2. The divisional structure
VinFast: Established in 2017, the business is a fully owned subsidiary of Vingroup
Corporation, which was established by Mr. Pham Nhat Vuong and is one of the biggest
private companies in Vietnam.

a. By product line: Vinfast's product line consists of batteries, charging stations,

electric motorcycles, gasoline-powered automobiles, and electric cars.
Automobiles
+ Electric vehicles: VF 8; VF 9; VF e34
+ Automobiles that run on gasoline: Fadil; President Electric Motorbikes;
Lux A2.0; Lux SA2.0

Among Vinfast's offerings are electric motorcycles.
+ Premium brands: Theon, Theon S, Vento, and Vento
+ Mid-range lines: Feliz; Feliz S; Klara A2; Klara S; Klara S (2022).
+ Popular lines: Evo200, Evo200 Lite, Ludo, Impes, Tempest Batteries, and
recharge stations.
Vinfast's product line consists of charging stations and batteries: Batteries and charging
facilities for electric vehicles; electric motorcycle batteries and charging stations.

Battery and energy section: VinFast fully integrated cell and battery module technology
into VinFast Auto's operations in October 2023 when it merged with VinES Energy
Solutions JSC, boosting its stake to 99.8%.

Increased localization capacity and less reliance on foreign supply are two benefits of the
second factory in the Vung Ang Economic Zone (Ha Tinh), which will be operational in
July 2025 after construction begins in late 2024 and has a capacity of 300,000 cells
annually.

Public transportation:

+ In order to lower emissions and advance Mobility-as-a-Service (MaaS) offerings

in Vietnam, VinBus, a non-profit division of Vingroup, is expanding electric bus
test runs in Hanoi, Ho Chi Minh City, and Phu Quoc.
+ VinFast made a significant advancement in the environmentally friendly urban
transportation sector in early May 2025 when it unveiled the EB6 small electric
bus model for 30 passengers
b. By function
The primary manufacturing hub for the whole group is VinFast Trading and
manufacturing JSC (Vietnam), which also serves as its primary trading and production
business in Vietnam.
An organization with financial and legal capabilities, SpecCo Ltd. (Cayman Islands) is
frequently used to handle investment assets, tax structures, and asset protection (offshore
structure).
Managing OEM (Original Equipment Manufacturer) operations, or those pertaining to
manufacturing collaboration with US suppliers, is the area of expertise for VinFast OEM
US Holding Inc. (USA).
VinFast USA Distribution LLC (USA): This company specializes in commercial,
marketing, and logistical services related to automobile distribution in the US market.
Managing strategic investments and cash flows as well as organizing internal finances
amongst subsidiaries are the responsibilities of VinFast Investment Vietnam JSC.

After-sales service and trade: In order to improve the client experience after a purchase,
VinFast Commercial and Services Trading LLC is growing its network of dealers and
service garages in Vietnam and enhancing its supply of authentic replacement parts.
While VinFast Auto Canada Inc. is actively getting ready to attend the Canadian
International Auto Show 2025 in order to support dealer development, VinFast USA
Distribution LLC has received $1.2 billion in support from the North Carolina
government for its plan to construct a manufacturing and distribution center.
c. By geographic location
In order to serve certain markets, VinFast separates its companies into operational areas.
Every business is quite autonomous and adjusts to the unique needs of every nation.
Particular instances:
Serving all production, distribution, and legal operations in the US market are VinFast
USA Distribution LLC, VinFast Auto LLC, and VinFast Manufacturing US LLC.
In order to implement sales, communications, warranties, and customer service in certain
nations, VinFast Auto Canada Inc. (Canada), VinFast France (France), and VinFast
Germany GmbH (Germany) are representative legal organizations.
VinFast Engineering Australia Pty Ltd (Australia) is a company that specializes in
product design and research and development in Australia, where there is a high caliber
of people resources for automotive R&D.
PT VinFast Automobile Indonesia (Indonesia): A distinct business was founded in this
developing Southeast Asian market.
International R&D and production expansion:
+ Beginning in mid-2025, the Ha Tinh factory, which specializes in producing VF3
and VF5 models, will expand its total capacity to 300,000 vehicles annually in
order to fulfill the growing demand for both domestic and export markets.
+ With the help of $1.2 billion in incentive capital, VinFast Manufacturing US, LLC
and VinFast Auto, LLC are building the necessary infrastructure in the US to
manufacture VF8 and VF9 and running an R&D center to optimize designs in
accordance with North American requirements.
+ After closing the facility in 2021, VinFast Engineering Australia Pty Ltd is still a
legally recognized company with its registration in Port Melbourne, but it is not
currently conducting field research and development or running a test line.
Investing strategically and consolidating:
+ VinFast Investment Vietnam JSC is still in charge of managing group assets,
coordinating financial flows amongst member units, optimizing tax structures, and
assisting with the execution of international expansion projects.

 + Due to certain legal requirements and market concerns, VinFast is also keeping a
careful eye on the development of the EV facility in North Carolina, which is
anticipated to postpone the start-up phase until late 2025.

3. The functional structure

Since Vingroup's founding in 2002, Mr. Pham Nhat Vuong has served as its chairman.
He is the creator of the Vinpearl hotel, travel, and service brands as well as the Vincom
real estate brand.
Chairman Pham Nhat Vuong, four vice-chairmen, and three independent members make
up the current Board of Directors, which has the following powers and responsibilities:
planning, developing, and finalizing the annual budget; determining operational goals
based on strategic goals approved by the General Meeting of Shareholders; reporting to
the General Meeting of Shareholders on business performance, estimated dividends, and
financial statements; developing the organizational structure and operating regulations of
the company; and exercising rights and obligations in accordance with the law, the
company's charter, and resolutions of the General Meeting of Shareholders.

Under the leadership of Mr. Nguyen The Anh, the Supervisory Board is composed of
four members. The Board of Supervisors' primary responsibilities include overseeing the
Board of Directors and the Board of Management in the management and operation of
the company; ensuring that business operations are conducted lawfully, honestly, and
prudently; evaluating business performance reports, annual and six-month financial
reports, and reports on the Board of Directors' management; submitting appraisal reports
on issues to the General Meeting of Shareholders at the annual meeting; and submitting
amendments, improvements, and supplements to the Board of Directors or the General
Meeting of Shareholders; carrying out other duties and privileges as outlined in the
company's charter, the legislation, and resolutions passed by the general meeting of
shareholders.
Three Deputy General Directors and one General Director, Mr. Nguyen Viet Quang,
make up the Board of Directors. Organizing the implementation of resolutions from the
general meeting of shareholders and the board of directors, particularly those pertaining
to the implementation of the company's investment and business plans, making decisions
on matters pertaining to the day-to-day operations of the business, managing and
overseeing the day-to-day operations of the business, and carrying out contracts and other
duties on behalf of the company are the main responsibilities of the board of directors.
● Advantages:
The risk level of shareholders is low since they are solely liable for the debts and other
financial commitments of the business that fall under the purview of their capital
contribution.
The firm may operate in the majority of sectors and fields.
Because of the company's highly adaptable financing structure, many people are able to
donate money to the business.
By issuing shares to the public, the corporation can raise a significant amount of cash.
Because capital transfers inside the corporation are very simple, a wide range of people
can participate in the public market, including civil personnel who are able to purchase
company shares.
● Disadvantages:
Because of the huge number of owners, the management and administration of the
company are extremely complex, and there may even be division into groups of
shareholders with competing interests.

Because the company is subject to stringent regulatory requirements, particularly with
regard to financial and accounting systems, its formation and administration are also
more challenging than those of other kinds of businesses.

III. CONCLUSION
Vingroup has solidified its status as Asia's top multi-industry private economic group by
establishing a conglomerate structure. In addition to helping the Group diversify risks,
having a varied investment portfolio that includes companies in industries such as
technology, real estate, services, education, healthcare, and charity shows a long-term
vision for building a closed ecosystem that fully meets societal requirements. Although
each area functions as a distinct business, they all retain strategic alliances under
Vingroup's umbrella.
With distinct divisions by product, function, and area, VinFast's governance model, for
instance, demonstrates the divisional structure. This structure enables the business to
retain strategic focus across all product lines and operational areas, maximize resources,
and adapt nimbly to the global market. This is a prerequisite for VinFast to compete in
the international market as a global electric vehicle brand. At the same time, the
functional structure acts as the operational backbone of the entire corporation. With a
tightly organized and professional governance system consisting of the Board of
Directors, the Supervisory Board and the Board of Management, Vingroup ensures
transparency, effective internal control and the ability to coordinate consistent strategies
across the entire system. This is the foundation that helps maintain organizational
discipline in the context of constantly expanding business scale.
