SOFTWARE DEVELOPMENT AGREEMENT FOR ONLINE CAFETERIA

ORDERING SYSTEM

This Software Development Agreement ("Agreement") is made and entered into as of the
Effective Date by and between:

1. PARTIES:

 Client: Vision Engineers, located at University Of Management And Technology,


Lahore.
 Software Company: Backlog Buster, located at University Of Management And
Technology, Lahore.

2. PURPOSE: The purpose of this Agreement is to define the terms and conditions under which
the Software Company will develop and implement an Online Cafeteria Ordering System for the
Client.

3. SCOPE OF WORK:

 The Software Company agrees to design, develop, and deploy an online ordering system
for the Client’s cafeteria operations.
 The system will include features such as digital menu display, customizable orders,
scheduled pickup/delivery, payment processing, and administrative controls.
 The Software Company will provide hosting, maintenance, and support for a period of 12
months as specified in this Agreement.

4. PROJECT TIMELINE:

 The project will be completed in the following phases:


1. Requirements gathering and system design – 3/20/2025 to 3/23/2025.
2. Development and testing - 3/24/2025 to 3/26/2025.
3. Deployment and training - 3/26/2025 to 3/27/2025.
 Any delays caused by the Client (e.g., failure to provide necessary information) may
impact the timeline.

5. PAYMENT TERMS:

 The total project cost is agreed upon as $5000.


 Payments will be made in installments as follows:
o 30% upon signing this Agreement.
o 50% upon completion of development.
o 20% upon final deployment and acceptance.
 Additional work beyond the agreed scope will be billed separately at a rate of $200 per
Hour.
6. CLIENT RESPONSIBILITIES:

 The Client agrees to provide timely access to necessary information, personnel, and
resources required for the development process.
 The Client will review and approve system functionalities within the agreed-upon
timeframe.

7. INTELLECTUAL PROPERTY RIGHTS:

 The Software Company retains ownership of the underlying software framework and
tools used in development.
 The Client will have exclusive rights to use and modify the final product for its business
operations.

8. WARRANTIES AND SUPPORT:

 The Software Company warrants that the system will function as specified for a period of
12 months.
 Support and bug fixes will be provided within this warranty period at no additional cost.
 Extended maintenance and feature upgrades can be arranged under a separate agreement.

9. CONFIDENTIALITY:

 Both parties agree to keep all proprietary information confidential and not disclose it to
third parties without prior consent.

10. TERMINATION:

 Either party may terminate this Agreement within 6 day’s written notice if the other party
fails to meet its obligations.
 Termination will not affect any payments due for completed work.

11. DISPUTE RESOLUTION:

 Any disputes arising under this Agreement will first be resolved through mediation. If
unresolved, legal action may be pursued in the courts of [Jurisdiction].

12. GOVERNING LAW:

 This Agreement shall be governed by the laws of [Jurisdiction].
