1. GOODS DESCRIPTION
The Seller agrees to sell and the Buyer agrees to buy the following goods:
- Product Name: Fresh Vietnamese Chili Pepper (Capsicum frutescens)
- Scientific Name: Capsicum frutescens
- HS Code: 07096000
- Quantity: 5,000 kg (+/- 5% tolerance)
- Unit Price: 3.00 USD per kg
- Total Contract Value: 15,000 USD
- Packaging: 5 kg per plastic crate, with perforations for air circulation
- Storage & Handling Conditions: Maintained at 10-12°C during transportation to preserve
freshness

2. DELIVERY TERMS
- Mode of Transport: Air Freight
- Port of Loading: Tan Son Nhat International Airport (SGN), Vietnam
- Port of Destination: Changi Airport (SIN), Singapore
- INCOTERM: CIP Changi Airport, Singapore (Incoterms 2020)

3. PAYMENT TERMS
- Payment Method: Irrevocable Letter of Credit (L/C) at sight, issued by a first-class
international bank
- Payment Currency: USD
- Payment Schedule: 100% upon presentation of shipping documents and inspection report
- Bank Charges: Seller bears charges from their bank; Buyer bears charges from their bank

4. INSPECTION AND QUALITY CONTROL


- The goods shall be inspected by SGS Vietnam prior to shipment to ensure quality
compliance.
- The Seller guarantees that the goods meet the following standards:
- Freshness: No visible signs of decay, mold, or spoilage
- Pesticide Residue: Compliance with Singapore Food Agency (SFA) regulations
- Size & Weight: Uniform size, minimum 10 cm in length
- Color: Bright red, firm texture
- Any defects found upon arrival must be reported within 24 hours for resolution.

5. DOCUMENTS REQUIRED
The Seller shall provide the Buyer with the following documents:
- Original Air Waybill (AWB)
- Commercial Invoice (signed & stamped)
- Packing List (detailed breakdown of shipment)
- Certificate of Origin (Form A)
- Quality Certificate issued by SGS Vietnam
- Phytosanitary Certificate
- Temperature Control Report (from transit storage monitoring system)

6. INSURANCE
- The Seller shall provide cargo insurance for 110% of the total contract value, covering
risks of loss or damage in transit.
- The insurance policy shall be issued by an internationally recognized insurance provider
and include “All Risks” coverage.

7. FORCE MAJEURE
- Neither party shall be held responsible for failure to perform obligations due to
unforeseeable circumstances beyond control, including but not limited to:
- Natural disasters (earthquakes, floods, hurricanes)
- Wars, terrorism, riots, government embargoes
- Epidemics or pandemics
- The affected party must notify the other party within 7 days of such an event occurring.

8. CLAIMS AND DISPUTE RESOLUTION


- Any claim for non-conformity must be made within 48 hours of goods arrival.
- If a dispute arises, the parties agree to negotiate in good faith.
- If no resolution is reached, disputes shall be settled by arbitration under the Singapore
International Arbitration Centre (SIAC).

9. GOVERNING LAW
- This contract shall be governed and interpreted by the laws of Vietnam.
- Any legal proceedings shall take place in Ho Chi Minh City, Vietnam.

10. MISCELLANEOUS
- Amendments or modifications to this contract must be made in writing and signed by both
parties.
- This contract is made in two (2) original copies, each party holding one.
