We are pleased to confirm that you have been selected to work for our Client (Mswipe Technologies Private
Limited) as AREA SALES OFFICER from 9/14/2020.

Terms and conditions


1 The location of your posting will be in west Bengal.

2 Your working hours will be decided by Client.

3 Your Net take home salary will be Rs. 21970/-, Detail annexure attached.

4 The Contract Synopsis


(a)-This agreement along with Schedule 1, represents a fixed term contract of service between Supportive Careers
and the Temporary Staff, Supportive Careers & the Temporary Staff shall complete and sign Schedule 1

(b)-The Temporary Staff is expected to complete the Assignment abiding by the rules & regulations once
accepted.

(c)-No alteration of these Terms will be granted unless approved by Supportive Careers in writing.

(d)- Here Fixed Term Contract of Service only means Temporary Service.

5 It is clearly agreed by the Temporary Staff that it is the nature of contract work that there may be periods
when no suitable work is available and agrees that:

(a) Supportive Careers only have the power to determine the suitability of the work.

6 That your appointment will be further subject to the verification of your credentials, testimonials and other
particulars mentioned by you in your application, at the time of your appointment. In case it comes to the
notice of the management that the particulars given by you in your application were wrong, your appointment
shall be deemed to be automatically Cancelled irrespective of whether you have joined duty upon your
selection. In such a contingency, you shall be liable to be discharged forthwith.

7 Supportive Careers has the right to deduct for the purpose of Provident Fund and any other statutory
deductions.

8 Temporary Employee would not be entitled for any Wages or Leave during the period he/she not assigned.
9 Though the Temp Staff is not bound to accept any assignment offered by Supportive Careers but if accepted
he/ she is agreed to----

(a) Co-operate always with Customer’s staff and always obey the supervision & leader ship of the authorized
person of Customer during assignment

(b) Abide by the rules and regulations of the Customer’s establishment (e) Not to claim any compensation or to
receive any payments of any nature whatsoever from the customer due to the Assignment, unless expressly
consented to by Supportive Careers.

(c) It is confirmed that your contract of employment shall be valid for 1 year.

At the end of the above referred period, the contract will stand terminated automatically without any notice or
communication to you, unless they are explicitly extended by us by a letter in writing.

At the end of the contract period the Company may, at its sole discretion renew the contract at revised terms &
conditions, subject to your acceptance of those revised terms of contracts.

During the period of fixed contract, your services will be deputed at the sole discretion of the Management to
any of our clients’ company to do work pertaining to or incidental to the client’s business.

Currently you are being deputed with our client Mswipe Technologies Private Limited to promote their
products in the field. You would be reporting to the assigned manager of our client company & would take all
instruction from him/her.

10 This contract shall be terminable by either party giving 15 days’ notice in writing or salary in lieu of notice, to
the other. The candidates completing three months tenure in the organization is need to serve a notice period
of 1-month form either side. If you left the job without serving notice Period of 15 days, then you cannot claim
for the salary what so ever.

11 During your employment with us, you will not work anywhere else, directly or indirectly, or conduct any
business, part-time or otherwise.

12 In case you are absent yourself from duty for 7 days or more or extend leaves at your own and without
consent of management beyond originally granted leaves, you shall be deemed to have left and relinquished
your service. The company shall deem such automatic relinquishment of the contract of employment.

13 You will be deputed to MSWIPE TECHNOLOGES PVT LTD herein referred as principle employer.

14Your Salary will be released after receiving payment from MSWIPE TECHNOLOGES PVT LTD
(a) Condition-will release your payment when we receive your attendance from MSWIPE TECHNOLOGES
PVT LTD,

15 Salary payment responsibility is of MSWIPE TECHNOLOGES PVT LTD. And SUPPORTIVE CAREERS PVT.LTD.
will release the salary only after the receipt of the payments from MSWIPE TECHNOLOGES PVT LTD. If the
payment is not paid by MSWIPE TECHNOLOGES PVT LTD, then SUPPORTIVE CAREERS PVT.LTD would not be in a
position to make the payment.

16 Unless and Until salary is released by MSWIPE TECHNOLOGES PVT LTD, SUPPORTIVE CAREERS PVT.LTD does
not take the liability of the salary payment till the time clarity, approval, and the payment is received from
MSWIPE TECHNOLOGES PVT LTD and the candidates is advised to follow up with the principal employer only
for the salaries & other payments would be label to make the payment only after the receipt of the payments
from the principal employer, MSWIPE TECHNOLOGES PVT LTD.

17 During the course of your contract, you will be required to keep strictly confidential all information;
documents and other material obtained in the course of your contract with the Company or while working with
its client, and shall return all such information that may be in your possession to the Company on your
separation.

18 You will be totally responsible for all the lost and damage of the Material that has been done from you and
you have to pay the cost for lost and damage done by you in case you will not pay the cost for the lost then
legal action will be taken against you.

19 Any disputes arising out of this letter shall be governed by and construed in accordance with the courts of
Surat (Gujarat).

We would like you to get in touch Supportive Careers Pvt Ltd for documentation and orientation prior to
joining. If this date is not acceptable, please contact us immediately.

Please sign the enclosed copy of this letter and return it to Supportive Careers Pvt Ltd to
indicate your Acceptance of this offer.

We will not be able to make any cash payments.

Your income would be subjected to prevailing Income tax rules & other Act as applicable appropriate
deductions would be made by the company as required by law.
The salary will be basis performance and achievement of no of days by selling the products respectively as
defined below and informed from time to time.

ANNEXURE B

‘ADDITIONAL TERMS & CONDITIONS OF EMPLOYMENT’ APPLICABLE FOR SALES EMPLOYEES & SALES TRAINEES ON
THIRD PARTY ROLLS CONTRACTED TO MSWIPE TECHNOLOGIES PVT LTD (herein referred to as the Client)

It is a CONDITION OF YOUR CONTRACT/TRAINING EMPLOYMENT

1. To report for daily meetings / scheduled meetings as directed by the Client. You will be marked absent for the
day if you fail to report for daily meetings.

2. On a daily basis, you are to work on the field for minimum of 8 hours, six days a week.

3. As directed, on a daily basis, you are to provide record of your attendance on an hourly basis on the Client’s F2A2
App by logging in and signing up an application and or filling a Merchant Daily Sales Report (DSR). Note: To ensure
that accurate and genuine DSR submitted, the Client will make use of technology to validate genuine DSR.
Therefore it is imperative to fill the DSR at the Merchant’s location. Please note fake DSR will be rejected.

4. To report on time for the daily meetings scheduled by Client. You will be marked absent for the day if you do not
arrive on time for the meeting and a warning memo will be issued.

5. To devote reasonable time and effort in making 12 sales visits and 15 follow-up calls to Merchants in a day or as
otherwise number of visits directed by the Client with purpose to meet the Client’s business objective.

6. To make sales visits in the designated market/ area basis pin-code assigned to you by the Client. You will be
issued a warning memo if you do not follow instructions. Multiple warning letters can lead to suspension or
dismissal of service.

7. To understand and make the appropriate usage of the Client products or assets. These would include use
of Client’s Assets, Client’s Merchant Application, Client’s Sales Force Application ie the F2A2
Application, Mswipe Academy or any other application / system. You are expected to be in full knowledge of the
Application within the first week of your joining.

8. To participate and fulfill 100% product training & assessments requirements as directed by the Client. Further, it
is mandatory to clear the assessments as per standards set. Failure to clear pass percentage marks can affect your
career with the Company.

9. To login 100% accurate and correct sale in the F2A2 App. The sale should be in your name if you have made the
sale. You will be issued a warning memo if you provide false and inaccurate information which may also result in
immediate termination on integrity grounds.

10. To update personal information like Mobile Number, Current Residential Address and Bank Account
details with the Client [email protected]

11. To regularly check your emails and Mattermost (MM) messages and take necessary action on any Client
communication.
12. To NOT ACCEPT any cash payments from the Client Merchants and Vendors and not to make any payments from
your personal account on behalf of the Merchant.

13. To report any illegal transactions to the Reporting Manager / Client/ Company.

14. To NOT work for another Client other than Mswipe Technology Pvt. Ltd. or be employed part-time or full time or
on Sunday on other Client payroll or be an agent of any other organization or independently be working, even if
you are working free of monetary remuneration. This is considered as ‘Dual Employment’ and if found guilty, will
lead to immediate termination.

15. To NOT make any personal cash payment to anyone in exchange of a personal or work related favour. If found
making or accepting cash payment, you will be liable for immediate dismissal.

16. To make successful sales signups as per set targets in WFH policy or current Performance Policy. By successful
signups, it implies that all your sales sign ups are approved by the pre-requirements and standards set by that
business division of Client and devices are successfully installed at the Merchant's location. In other words, and
specific to Retail division, all your Merchants devices are to get successfully installed with 100% accurate and
authentic documentation and 100% realization of payment in order to consider your sales successful.

17. To meet monthly targets as per Minimum Sales Performance Threshold. If you fail to meet the Minimum Sales
Performance Threshold, you will be placed on Performance Improvement Plan (PIP) and a performance
improvement memo will be issued against your name. Three warning memos including performance memos
issues due to disciplinary reasons and or performance memos issues due to you not adhering to the Terms &
Conditions set out in this Letter of Appointment can lead to immediate dismissal.

18. To attend to your work tasks assigned in a diligent and regular manner. If found absconding for a continued
period of 3 days ie not reporting to work and or not carrying out the assigned tasks as directed by the Client
and or proceeding on unauthorized leave, you will be issued an absconding notice and asked to report to work
with immediate effect. Failing to report to work with immediate effect or failing to provide a satisfactory
reason for remaining absconding at work may result in immediate termination or dismissal of employment
services.

19. To carry Client Identity Card (ID) provided by the Clients. In case of loss / theft of the ID, you will be required to
pay a sum of INR 100/- as reissuance fees. It is a condition of your employment that you follow up with location
HR / Admin of Client for issuance of ID card.

20. To provide your resignation in writing to your employment company as per notice specified in below table. The
notice period is subject to change and any further communication will supersede the notice period mentioned in
your offer/ appointment letter issue by your employment contract Company.

1 month notice or notice pay by Employee & 15
days’ notice or notice pay by Company from 3 to 6 plus
months tenure.

Please note that the Employment Company will take 30 to 45 days to complete the clearance procedure and
process your Full & Final Settlement in the event you have not returned Client’s assets or have any outstanding
amounts owed to the Client.

21. To return all Client assets (Client Assets, Client Devices or terminals, payment gateway cards, ID cards, computer,
files and documents etc.) to the Client. The Client will NOT process dues in the following instances: i) you have
NOT returned Client assets ii) you have NOT completed your 'Notice of Termination' as required by the Client iii)
you have pending documentation or money owed to the Client iv) you have NOT got relevant clearance
signatures/ e-approval from Client.

I agree to the above conditions which apply during my contractual work at Mswipe Technologies Pvt Ltd.
