WHEREAS:
The goal is to foster collaboration, provide opportunity for state of the art
experience, and to facilitate advancement of knowledge on the basis of
reciprocity, best effort, mutual benefit, and frequent interactions. In this
regard both parties agree:
a) to exchange information on research and educational programmes
b) to exchange information on teaching, learning material and other
literature relevant to their educational and research programmes
c) to jointly organize short-term continuing education programmes on topics
of mutual interest and to invite each other's faculty to participate therein
d) to jointly organize seminars, conferences, or workshops on topics of
mutual interest and to invite each other's faculty to participate therein
e) to jointly propose and engage in research or training programmes
sponsored by funding agencies, and to invite each other's faculty to
participate therein
f) to exchange, on a reciprocal basis, students at Undergraduate, Graduate
and Doctoral levels for limited periods of time for purpose of education
and /or research.
MVJ & Suprajiv further agree that detailed terms and conditions that guide
each activity identified above will be separately determined and agreed upon
by the two organizations. These terms shall include a technical description of
the proposed activity, financial arrangements, and person(s) responsible for
its implementation, etc.
2. Validity
This MoU will take effect from the date it is signed by representatives of the
two organizations. It will remain valid for five years, and may be continued
thereafter after suitable review and agreement. Either organization may
terminate the MoU by giving written notice to the other organization six
months in advance. Once terminated, neither MVJ nor Suprajiv will be
responsible for any losses, financial or otherwise, which the other
organization may suffer. However, both MVJ & Suprajiv will ensure that all
activities in progress are allowed to complete successfully.
3. Costs
a) Signing of this MoU does not entail any financial obligation for either Party
for executing the scope of work. However, if any expenses are incurred, the
parties may mutually decide as who should bear the total expenses or in
what proportion the expenses be borne depending upon the nature of
collaborative activity.
b) Each Party shall be responsible for and bear its own costs and expenses
incurred
pursuant to the provisions of this MoU.
4. Confidentiality
The parties shall hold the confidential information of each other in strictest
confidence and shall not, either directly or indirectly, disclose any
confidential information of the disclosing party to any third party.
Notwithstanding the foregoing, the receiving party may make the
confidential information of the disclosing party available, on a need-to-know
basis, to its permitted users, who require knowledge of the disclosing party's
confidential information for the furtherance of the permitted purpose of this
agreement.

6. Arbitration:
Any dispute relating to any aspect of cooperation , the principal MVJ and CEO
of Suprajiv will jointly resolve the dispute in a spirit of independence, mutual
respect and shared responsibility.
