Students & Faculty Development Programs on E-vehicle and


different Emerging Software Technologies
MEMORANDUM OF UNDERSTATDING

This memorandum of understanding (herein after called as the


‘MOU) is entered on this 4th day of April month 2024.

(Date 04-04-2024), by and between MVJ college of engineering,


(Here in after referred as ‘First Party’)

And

Suprajiv Technical and Management Studies (OPC) Private Ltd,


Bangalore, Karnataka
(Here in after referred as ‘Second Party’)

WHEREAS:

1. First party is MVJ college of Engineering.


2. Fist party & second party believe that collaboration and cooperation
between themselves will promote more effective use of each of their
resources and provide each of them with enhanced opportunities.
3. The parties intend to cooperate and focus their efforts on cooperation
within the area of skill based training, education and research.
4. Both parties, being legal entities in themselves desire to sign this MOU
for advancing their mutual interest.
1. Objectives:

The goal is to foster collaboration, provide opportunity for state of the art
experience, and to facilitate advancement of knowledge on the basis of
reciprocity, best effort, mutual benefit, and frequent interactions. In this
regard both parties agree:
a) to exchange information on research and educational programmes
b) to exchange information on teaching, learning material and other
literature relevant to their educational and research programmes
c) to jointly organize short-term continuing education programmes on topics
of mutual interest and to invite each other's faculty to participate therein
d) to jointly organize seminars, conferences, or workshops on topics of
mutual interest and to invite each other's faculty to participate therein
e) to jointly propose and engage in research or training programmes
sponsored by funding agencies, and to invite each other's faculty to
participate therein
f) to exchange, on a reciprocal basis, students at Undergraduate, Graduate
and Doctoral levels for limited periods of time for purpose of education
and /or research.

MVJ & Suprajiv further agree that detailed terms and conditions that guide
each activity identified above will be separately determined and agreed upon
by the two organizations. These terms shall include a technical description of
the proposed activity, financial arrangements, and person(s) responsible for
its implementation, etc.

2. Validity

This MoU will take effect from the date it is signed by representatives of the
two organizations. It will remain valid for five years, and may be continued
thereafter after suitable review and agreement. Either organization may
terminate the MoU by giving written notice to the other organization six
months in advance. Once terminated, neither MVJ nor Suprajiv will be
responsible for any losses, financial or otherwise, which the other
organization may suffer. However, both MVJ & Suprajiv will ensure that all
activities in progress are allowed to complete successfully.

3. Costs
a) Signing of this MoU does not entail any financial obligation for either Party
for executing the scope of work. However, if any expenses are incurred, the
parties may mutually decide as who should bear the total expenses or in
what proportion the expenses be borne depending upon the nature of
collaborative activity.
b) Each Party shall be responsible for and bear its own costs and expenses
incurred
pursuant to the provisions of this MoU.

4. Confidentiality

The parties shall hold the confidential information of each other in strictest
confidence and shall not, either directly or indirectly, disclose any
confidential information of the disclosing party to any third party.
Notwithstanding the foregoing, the receiving party may make the
confidential information of the disclosing party available, on a need-to-know
basis, to its permitted users, who require knowledge of the disclosing party's
confidential information for the furtherance of the permitted purpose of this
agreement.

5. Intellectual Property

a) All inventions, discovery, development or other intellectual property


including but not limited to copyrights, publications (Journal and Conference)
patents and industrial designs resulting from any Research Programme shall
be jointly owned by both the parties.
b) MVJ & Suprajiv can use any IP developed from any Research Programme
for its own internal purposes.
c) The Parties can commercialise any Joint IP. The terms and conditions of
commercialisation will be decided at the time of commercialisation jointly by
the parties.
d) The responsibility of filing and maintaining patents related to joint IP shall
be decided by the Parties at each instance.

6. Arbitration:

Any dispute relating to any aspect of cooperation , the principal MVJ and CEO
of Suprajiv will jointly resolve the dispute in a spirit of independence, mutual
respect and shared responsibility.

7. Co-ordination and Deliverables:

Each organization shall appoint one member of its teaching/research faculty


to coordinate the programme on its behalf. Further, a coordination
committee, consisting of (a) Principal, MVJ, or his/her nominee, (b) CEO,
Suprajiv, Bengaluru, or his/her nominee, (c) Programme coordinator from the
side of MVJ, and (d) Programme Coordinator from the side of suprajiv, will
periodically review and identify ways to strengthen cooperation between the
two organization and also decide upon the action plans and deliverables for
the planned duration.
MVJ and SUPRAJIV welcome the establishment of this MoU and jointly agree
to the provisions as set out above.
