GENERAL CONDITIONS OF CONTRACT
1.1 Definitions:
• Works: All construction, installation, and related activities described in the contract.
• Contract Documents: Includes the agreement, drawings, specifications, and any addenda.

2.1 Description: The Contractor shall construct staff quarters as per the approved drawings and
specifications provided by the Owner.
2.2 Deliverables:
3.1 Performance of Work: The Contractor shall execute the work diligently, using materials and
workmanship of the best quality, in compliance with the contract documents.
3.2 Personnel and Equipment: The Contractor shall deploy skilled personnel and adequate
equipment to ensure timely and quality completion.
3.3 Compliance: The Contractor shall comply with local laws, environmental regulations, and
safety standards.
3.4 Responsibility for Materials: All materials brought to the site shall be stored and handled at
the Contractor’s risk.
4.1 Site Access: The Owner shall provide the Contractor access to the site in a timely manner.
4.2 Approvals and Permissions: The Owner shall secure all necessary approvals and permissions
for the project.
4.3 Payments: The Owner shall make payments as per the terms specified in the contract.
5.1 Completion Period: The works shall be completed within the time specified in the contract.
5.2 Extension of Time: The Contractor may request an extension for delays caused by unforeseen
circumstances, subject to approval by the Owner.
5.3 Liquidated Damages: In case of delay, the Contractor shall be liable to pay liquidated
damages as specified in the contract.
6. Payment Terms
6.1 Advance Payment: If applicable, the Owner may provide an advance payment against a bank
guarantee.
6.2 Interim Payments: Payments shall be made based on certified progress achieved.
6.3 Final Payment: The final payment shall be made upon satisfactory completion and acceptance
of the works.
6.4 Retention Money: A percentage of each payment shall be retained as security and released
after the defect liability period.
7.1 Procedure: The Owner may request changes to the works. Adjustments to cost and time shall
be agreed upon before implementation.
7.2 Documentation: The Contractor shall submit detailed estimates and supporting documents for
approval.
8.1 Standards: All materials and workmanship shall conform to the specifications.
8.2 Inspections: The Engineer-in-Charge shall inspect the works periodically. Defective works
shall be rectified at the Contractor’s expense.
8.3 Testing: The Contractor shall conduct tests as required and provide certificates of compliance.
9.1 Safety Measures: The Contractor shall ensure safety on-site, including providing PPE for
workers.
10.1 Insurance: The Contractor shall obtain insurance for works, third-party liabilities, and
workers’ compensation.
10.2 Performance Guarantee: The Contractor shall furnish a performance guarantee for the due
fulfilment of the contract.
11.1 Defect Liability Period: The Contractor shall rectify any defects occurring within the defect
liability period specified in the contract.
11.2 Withheld Payments: Retention money may be withheld to cover the cost of rectifying
defects.
12.1 Termination by Owner: The Owner may terminate the contract for default or convenience,
with appropriate notice.
12.2 Termination by Contractor: The Contractor may terminate the contract if payments are
delayed beyond the agreed period.
12.3 Suspension: The Owner may suspend the works temporarily, with an extension of time
granted for the period of suspension.
13.1 Negotiation and Mediation: Parties shall attempt to resolve disputes amicably through
negotiation or mediation.
13.2 Arbitration: Unresolved disputes shall be referred to arbitration as per the applicable
arbitration laws.
13.3 Jurisdiction: The courts of the project location shall have jurisdiction over legal disputes.
14. Force Majeure
14.1 Definition: Force majeure events include natural disasters, war, strikes, or other events
beyond the control of the parties.
14.2 Consequences: The Contractor shall notify the Owner promptly. Time extensions shall be
granted for delays caused by force majeure events.
15.1 Governing Law: The contract shall be governed by the laws of the project location.
15.2 Notices: All communications shall be in writing and delivered to the addresses specified in
the contract.
15.3 Entire Agreement: The contract constitutes the entire agreement between the parties and
supersedes all prior negotiations.
