Introduction

Effective power is an engineering company for electrical panels and transformers Co. (EPEPTCO)
is a subsidiary of AL JAZEA GROUP, and it is a %100 Saudi owned Company, which was granted
License by the Ministry of Industry and Electricity in the year 2014 to manufacture and assemble
L.V Switchgears, Industrial Automation, including SCADA, BMS, and instrument Control
systems.
Our emphasis is on manufacturing a wide range of quality products such as Lighting and
Distribution Panel Boards, Low Voltage Switchboards and Switchgears, Motor Control Panels,
Synchronizing Panels, Power factor correction, Control systems, Kilowatt-hour Meter Boards and
other engineering products with our Construction, Residential, Industrial, Power and Water
industries …. etc.
Moreover, The Company offers consulting services during the design, procurement, installation,
and operation of the project.

The Present
The Growth and diversification in business activities demanded more space and as result by 2001,
the activities were shifted to the present premise in industrial area. Subsequently within the
following few years the factory was also relocated to the new 2nd industrial area – JEDDAH. The
present location covers an area of 15,000sq.m and it includes the Offices, Factory and warehouse.
The factory, with latest state-of-the-art machineries and equipment required for the fabrication of
the switchboards. Effective Power’s policy of continues product development coupled with
perfection ensures its ability to cater the ever changing needs of the market.

The Management
As our business operation covers the entire market segment including Retail, Whole sale, Projects
and export, the organizational structure is composed of various departments that deal with specific
market segments, products and services. A corporate synergy exists between the departments to
ensure the fast and efficient delivery of products and services to our valued clients.

The factory
Our factory is one among the few low voltage switch gears factories in the kingdom having a built
up area of more than 15,000 sq. m with a production hall of 87,000 sq. m area. The plant has the
capability to design, develop and produce low voltage switch gear panels as required from the
client in line with SASO and IEC Standards. The Engineers and skilled work force are the back
bone of the plant, with a policy of continuous improvement and investment in advanced
technology, EPEPTCO is capable of providing state of art manufacturing facilities. The ultimate
motto of the company is to ensure complete customer satisfaction with high level of quality in its
products and also ensures that all the consignments are delivered to their clients on time. The

Powder coating facility
We are making use of our conveyorized, powder coating plant for coating the finished steel parts
to make sure it is protected against the UV rays with our special color for EPEPTCO products, a
test lab with the latest technology devices shall insure the quality of our product and its compliance
with both local and international standards. The heavy duty painting booth covers our entire
painting requirement.

Bus bar fabrication
Electrolytic copper of purity 99.9% is used for the fabrication of the bus bar. Bare copper bars are
used in fabrication and after completion of the process, the bars are tin-plated in our in – house
plating facility, this process ensures that all cut edges and inside of the drilled holes are all covered
completely with tin.

buildings such as shopping malls, hospitals, universities, and hotels. The main distribution boards
are generally installed after the main power source (eg. transformers or generators) and used to
divide the power feed into subsidiary outgoing feeders.

 SCADA – (SUPERVISORY CONTROL AND DATA ACQUISITION)

SCADA is a way to control and monitor various industrial processes. SCADA enables monitoring
and controlling of the plant operation remotely. SCADA is not limited to a specific technology.
Instead, SCADA is a type of automation solution that provides additional value to its stakeholders
with the help of technology always. SCADA system gathers information, such as where a leak on
a pipeline has occurred, transfers the information back to a central site, alerting the home station
that the leak has occurred, carrying out necessary analysis and control, such as determining if the
leak is critical, and displaying the information in a logical and organized fashion. SCADA systems
can be relatively simple, such as one that monitors environmental conditions of a small office

9.13 Resistance to corrosion - -

If it is not possible to carry out the test on the
enclosure, the test shall be carried out onenclosure
elements showing the same constructional detail as
the enclosure itself: material,thickness, layer of

The enclosure subjected to the test shall be mounted
as for normal use according to themanufacturer's
instructions.The enclosure or samples shall be new
and in a clean condition.
9.10.2 Preconditioning - -
The enclosures are placed in a humidity cabinet
containing air with relative humidity
maintained at between 91 % and 95 %. The air
temperature, where the enclosures are placed, Applied P
is maintained at (40 ± 2) °C.
The enclosures are kept in the cabinet for two days (48
h).
In most cases, the enclosures may be brought to the
specified temperature by keeping them
at this temperature for at least 4 h before the humidity
treatment. A relative humidity of
between 91 % and 95 % can be obtained by placing in
the cabinet a saturated solution of -
sodium sulphate (Na 2 SO 4 ) or potassium nitrate P
(KNO 3 ) in water having a sufficiently large
contact surface with the air.
In order to achieve the specified conditions within the
cabinet, it is necessary to ensure a
constant circulation of air and, in general, to use a
cabinet which is thermally insulated.
9.11 Continuity of Protective Circuit - -
It shall be verified that the different exposed conductive
parts of the enclosure are effectively connected to the Test on body ( body P

9.13 Resistance to corrosion - -
Ferrous metallic enclosures and external ferrous
metallic parts of insulating and combined

protection against corrosion.
If it is not possible to carry out the test on the
enclosure, the test shall be carried out on
enclosure elements showing the same constructional
detail as the enclosure itself: material,
thickness, layer of coating, etc. In all cases hinges,
locks and fastenings shall be tested. - P
The enclosure subjected to the test shall be mounted
as for normal use according to the
manufacturer's instructions.
The enclosure or samples shall be new and in a clean
condition.
9.10.2 Preconditioning - -
The enclosures are placed in a humidity cabinet
containing air with relative humidity
maintained at between 91 % and 95 %. The air
temperature, where the enclosures are placed, - P
is maintained at (40 ± 2) °C.
The enclosures are kept in the cabinet for two days (48
h).
In most cases, the enclosures may be brought to the
specified temperature by keeping them
at this temperature for at least 4 h before the humidity
treatment. A relative humidity of
between 91 % and 95 % can be obtained by placing in
the cabinet a saturated solution of -
sodium sulphate (Na 2 SO 4 ) or potassium nitrate P
(KNO 3 ) in water having a sufficiently large
contact surface with the air.
In order to achieve the specified conditions within the
cabinet, it is necessary to ensure a
constant circulation of air and, in general, to use a
cabinet which is thermally insulated.
9.11 Continuity of Protective Circuit - -
It shall be verified that the different exposed conductive
parts of the enclosure are effectively connected to the Test on body ( body P

Gentlemen:
1) SCOPE OF SUPPLY
With reference to your Quotation No. QEEP1122-3055-SM-R02 dated 21 November 2022, we
would like to place our order for the supply & delivery of Load center panel board for Royal
commission Housing Project in Yanbu.
The scope of supply should be as per the Bill of Quantity with complete Specifications in
Supplier's Quotation & agreed Unit Rates in Attachment "A", delivery scheduled as per
customer time slots in Clause No.”4” and as per the Material/Sample Submittal duly approved
by RC, approved Shop Drawings and as follows:
- The scope of materials to be supplied should conform to RC approved Technical Submittal
specifications, Shop Drawings & Sample.

- The vendor to provide (fulfill) any required certificates by RC to confirm product quality.

- The vendor is to provide Test Certificates for each unit along with packing shipment

- The vendor shall provide “Warranty Certificate” for order items.

- Total price includes Transportation Charges.

Grand total P.O. Value for the above scope of Supply is SR 660,000.0 (Saudi Riyal Six Hundred
Sixty Thousand) without VAT Tax, based on Bill of Quantity.
Unit Rates shown in the BOQ is firm & fixed (for the complete quantities) up to the completion and
duration of this agreement and it shall be paid to the Vendor according to the payment terms.

3) PAYMENT TERMS & CONDITIONS

3.1) Advance Payment, Thirty Five (35%) Percent of the Total P.O. equivalent SR 231,000.0
(Saudi Riyals Two Hundred Thirty One Thousand) only, to be released to M/s EPEPTCO.
upon confirmation of this P.O. & receiving "Advance Payment Bank Guarantee" issued by
any local bank approved by Dima Yanbu Est valid up to Six (6) months, or against "Open
Dated Cheque" with the same value to be exchange upon collection of Advance Payment.
3.2) Progress Payment, Sixty Five (65%) of the Total P.O. Value – equivalent to SR
429,000.0 (Saudi Riyals Four Hundred Twenty Nine Thousand) only, shall be paid upon
completion of fabrication, accepted, checked & approved by Dima Yanbu Est.
3.3) VAT amount of fifteen (15%) percent, will be paid separately in each invoice which is not
included in the above Total P.O. Value.

4) DELIVEY SCHEDULE
Load Center Panel shall be delivered according to the following schedule:
1) 14 Dec 2022 @ 150 NOS of panel enclosure (steel works), Pan assembly & all available
Qty in the local market L&T Breakers
2) 20 Dec 2022 @ 150 NOS. All needed Qty of remaining L&T Breakers.
3) 11 Jan 2023 @ 211 NOS. A complete set of Panel board
4) 25 Jan 2023 @ 211 NOS. A complete set of Panel board

5) DELIVERY LOCATION
Delivery shall be at site location, Yanbu

6) DELAY PENALTY
The Vendor/Manufacturer will arrange the delivery of materials accordingly. If the Vendor
/Manufacturer fails to comply with the agreed Delivery Schedule and causes whatsoever
unreasonable delay from any delivery in part or in whole, Dima Yanbu Est has the right to back

 charge the Vendor /Manufacturer an amount of (SR 500.00) Saudi Riyal Five Hundred only for
every one (1) day of delay excluding reason due to "Force Majeure".
If in any case there is alteration of quantities or change of delivery schedule, Dima Yanbu Est
should inform its vendor at feast 15 days in advance.

7) PACKAGING & HANDLING

The M/s. EPEPTCO must adhere strictly to the Standard Packaging Procedure, for safe delivery,
handling, storage, and installation convenience. The M/s. EPEPTCO must immediately replace
any damaged delivered materials or not in compliance with the RC's specifications without
additional costs.

8) QA / QC REQUIREMENTS
a) Ensure that the approved manufacturer and material components meet RC requirements.
b) Manufacturer-supplied material shall comply with Saudi Arab Standards Organization (SASO)
requirements. SASO certified or Compliance Certificate shall be supplied if was required by RC.
c) Manufacturer must submit production/fabrication progress report if required until the delivery on
site.
d) The manufacturer shall provide any Test and/or Quality Assurance Certificate in originals, upon
the request of RC.
e) Factory Acceptance Test (FAT): Shall be conducted on material prior to shipment and may
request to arrange a time for the factory witnessing.

9) WARRANTY & CERTIFICATES

EPEPTCO. Shall be responsible and shall warrant their products and workmanship for a period of
eighteen (18) months from the date of delivery.
EPEPTCO. Shall provide a (Written Warranty) and the required Test Certificates stating that all
materials supplied are in accordance with RC-approved specifications and had passed through
the approved testing procedure.

CB. DELIVERY:
Delivery of all material shall be as per scope of works (clause AA) Ex-works from
Effective Power Co. factory to site within
(10-15 weeks) from the date of receipt of the Advance payment.

CC. Payment Terms:

a. Seventy Percent (70%) of main equipment value as advanced payment after

signing P.O through bank transfer.
b. Fifty percent (30%) before delivery through bank transfer.

DD. WARRANTY:
Warranty shall be 12 months from commissioning or 18 months from delivery whichever
comes first, M/s Effective Power Co. shall submit the warranty certificate starting from
delivery date which guarantees the material / equipment from manufacturing defects and
that the defected material / equipment shall be repaired or replaced at discretion of
Effective Power Co. without any cost to Savanna.

EE. TEST:
 Routine factory testing in accordance with IEC 439-1 as follows;
 Wiring continuity testing
 Clearance and distance
 Mechanical operation test and checking of interlocks
 Dielectric test
 Polarity test
FF. COMPLIANCE TO SPECIFICATION/SEC REQUIREMENTS:
The Specification shall be followed are according to scope of work and SEC standards and
specifications.

GG. INSPECTION I SHIPPING:

 All equipment and material will be subject for inspection by Savanna..

 Shipment shall be affected upon receipt of release of shipment note from
Savanna.
 Shipment release shall not exceed 2 days from successful FAT date and
release of shipment certificate date.
 Shipping label and identification should be as per Effective Power Co.
standards.
 FAT test will be done as per approved ITP.

II. PENALTY:

In the event the Supplier fails to complete and deliver the committed Supplies and / or Services
within the time specified in this Agreement plus 20 business days as a grace period, as a result
of delay directly and solely attributable to the supplier, the Supplier shall be liable to pay
liquidated damages against the delay beyond the time specified for delivery of equipment plus
20 business days as a grace period. The supplier shall pay to Purchaser as liquidated damages
and not as a penalty, a sum equal to 0.5% of the price of the delayed item for each subsequent
full day of delay. The maximum of liquidated damages shall not exceed 10% (ten percent) of
the net price of the delayed item. The Liquated damages shall be the supplier’s sole and
exclusive liability for delay.

JJ. LIMITATION OF LIABILITY, SUSPENSION OF WORKS & TERMINATION and FORCE

MAJEURE:

The Limitation of Liability, Suspension of work & Termination and Force Majeure will be in
accordance to Effective Power Co. offer.

LL. Entire Agreement.

The Terms & Conditions mentioned in Effective Power Co. Ref. QEEP0123-2000-R0,
Dated Sunday, 08 January 2023
Are acceptable to Savanna and part of this P.O except as mentioned otherwise in this
P.O.
