3. COURSE DESCRIPTION
The subject ”Law on Security Devices” provides students basic

knowledge and specialized legal knowledge on security devices and
secured transactions. The subject consists of five main units: 1)
Introduction to security devices and secured transactions law; 2)
Collateral; 3) Establishment, performance and termination of security
agreements; 4) Validity and effect against third parties of security devices;
5) Realization of collateral. Through these issues, the subject provides not
only basic theoretical knowledge on security devices and secured
transactions law but also detailed and significant legal specialized
knowledge on: how to create, perfect and enforce security interest;
process of performace, amendment and termination of security
agreements; the nature and contents of some mainstream secusity devices
such as charges over property, guarantees, security deposit, and liens, etc.

5.1. The Course Learning Outcomes (CLOs)
5.1.1. Knowledges
Students will be able to:
- K1. Understand, analyze, and evaluate fundamental theories of security
devices and secured transactions; knowledge of security interest;
knowledge of creation, perfection and enforcement of security interest;
knowledge of performance, amendment and termination of security
agreeements; knowledge of some specific security devices. Identify
consensual vs nonconsensual security; asset - based vs non - asset-
based security;
- K2. List and evaluate security devices; Distinguish security devices
from secured transactions;
- K3. Describe, identify and evaluate collateral; parties and security
obligation;
- K4. Gain basic theoritical and practical legal knowledge in Vietnam via
internship activities in judicial agencies and other relevant
organizations.
- K5. Gain sufficient knowledge of legal English in order to study and
work with foreign partners in legal fields.
5.1.2. Skills
- S6. Form and develop the skills of accessing, exploiting material
sources at offices, research institutions and other organizations; skills of
exploiting and analyzing online materials;
- S7. Practice independent and group scientific research skill in law on
security devices and secured transactions;

- S8. Gain the ability of accessing, collecting and processing information;
skills of scientific analyzing and assessing issues of Law on security
devices and secured transactions.
- S9. Practise negotiating, giving legal advices and taking part in legal
procedures on relevant issues; drafting legal documents relating to
issues on security devices.

creative thought and exploring skill; assessment ability; planning,
organizing, managing, monitoring, and supervising the implementation

5.1.3. Self-control ability and self-responsibility
- T11. Precisely and objectively understand about role and significant of
law on security devices and secured transactions in the legal system,
especially its relation to the Civil Code of 2015.

11.1. Frequent assessment
- Performance: Students participate in 75% or more of the prescribed
hours for each theory or discussion part.
- Having proof of joining seminars and contributing to group project;
- Taking part in role-playing and problem-solving activities.

been marked with contribution point during that class.

Students having concerns on the contribution point must require
lecturers to handle directly at class or submit written requests to
the Civil Law Division within 01 week from the last class.
 General requirements
- All of the assignments should be written and printed on A4-size, two
sided paper. The length depends on each type of assignment.
- Format: Top margin: 2.5cm; bottom margin: 2.5cm; left margin: 3.5cm;
right margin: 2.0cm; font: Times New Roman; size: 14; line spacing:
1.5 lines.
 Group project
- Form: Written, no more than twelve (12) A4-size pages.
- Content: choosen from the topic list provided by lecturers and based on
lecturers’ recommendation.
- Criteria for group assignment’s assessment:
+ Identifying the issue clearly and properly 2 points
+ Analyzing the issue directly and logically 6 points
+ Using a wide range of materials 1 point
+ Having good organization & making use of terminology 1 point
Total: 10 points
 Final exam
- Condition to participate in the final exam:
+ Students participate in 75% or more of the prescribed hours for each
theory or discussion part.
+ Group assignment must be greater than nil (0).
- Form: written exam (90-minute length).
