STANDARD TERMS AND CONDITIONS OF OUR OFFER:

A. SCOPE OF WORK/SERVICES:
- Our offer is limited to the supply of the items and services stated in our offer.

- Delivery to Site, Installation in-place and testing prior to commissioning at site, are excluded unless
specifically stated in our offer as part of our scope of work.

- Delivery to Site, Installation in-place and testing prior to commissioning at site.

- Unless specifically stated in our offer the termination, connection, wires and cables for interconnection,
termination kits as well as accessories and consumables needed for the connection of our supplied items
are excluded.

B. PRICES:
- Prices stated in our offer are VAT inclusive unless so stated.

- Prices stated in our offer are based on the Bill of Materials (list of items, technical specifications and
quantities) submitted to us for quotation. We reserve the right to amend the price/s in case there are
additives/deductives or changes in technical specifications from the list of quantities and technical
specifications submitted to us for quotation.

C. TERMS OF PAYMENT:
50% DOWNPAYMENT
40% UPON DELIVERY
10% UPON COMMISSIONING

D. DELIVERY TIME:
- We reserve the right to request for extension of delivery time in case there are changes in the scope of
supply to be requested by the customer.

E. OFFER VALIDITY:
- This offer is valid for fifteen (15) days from date of quotation.

F. WARRANTY CONDITIONS:
- Our scope of supply is covered by a one (1) year warranty against defects in materials or workmanship
from date of delivery. Any item found defectice within this warranty period shall be immediately replaced
at no cost to the customer. Our warranty is limited only to the replacement of defective item/s in our
scope of supply. We shall not bt liable for any claims for any damages such as loss of income/opportunity,
and other incidental and peripheral damages to property/equipment in case of fault or defect in the
system nor shall Montrelec be charged for late deliveries, penalties, fines, expenses or damages as a
result of any contract agreements between purchaser and any other party. Montrelec liability shall not
exceed the unit price of any defective item or service.

- Our warranty does not include damages or defects due to improper handling; wrong or improper
installation; negligence in operating and maintenance procedures; system overload; unsuitable operating
area or conditions; acts of God; and other causes not within our control or responsibility.

- In case order entails delivery to Site outside Metro Manila and delivery is not included in our agreed
scope of work particularly if it would be done via ship, plane or trucking services, our responsibility ends
upon our delivery to the port of embarkation. Losses, defects and damages incurred during transit from
port of embarkation to Site are not covered by warranty. In case delivery is included in our scope of
supply, we shall cover the shipment with insurance to cover any loss or damage during transit.

- Our customers have the sole right and prerogative to install/connect our products to a system of their
own design. In cases however wherein our supplied equipment is connected/installed in a system whose
design does not follow/conform to international standard electrical practice or to the Electrical Code of
the Philippines, our warranty on the equipment supplied shall be voided.

- Furthermore, we shall not be liable for any damage to the system and to other incidental and peripheral

damage in case of fault brought about by the non-conformity of the systems' design to standard practice.

G. CANCELLATION CLAUSE:
- Thirty Percent (30%) of the total amount of the order will be charged if you cancel your order after
Fourty Eight hours (48 hrs) from date of our receipt of your purchase order.

- MONTRELEC, INC. will not be liable for unforseen events that will entail to late delivery, penalties, fines,
or any liquidated damages as a result of any contract agreement between the pruchaser and any other
party.

- We assume that by the issuance of your Purchase Order, you have read, understood and accept the
above terms and conditions of our offer.
