Buyer Added Bid Specific Terms and Conditions


1. Generic

OPTION CLAUSE: The Purchaser reserves the right to increase or decrease the quantity to be ordered up
to 25 percent of bid quantity at the time of placement of contract. The purchaser also reserves the right to
increase the ordered quantity by up to 25% of the contracted quantity during the currency of the
contract at the contracted rates. Bidders are bound to accept the orders accordingly.

2. Service & Support

AVAILABILITY OF OFFICE OF SERVICE PROVIDER: An office of the Service Provider must be located in the
state of Consignee. DOCUMENTARY EVIDENCE TO BE SUBMITTED.

3. Service & Support

Dedicated /toll Free Telephone No. for Service Support : BIDDER/OEM must have Dedicated/toll Free
Telephone No. for Service Support.

4. Service & Support

Escalation Matrix For Service Support : Bidder/OEM must provide Escalation Matrix of Telephone Numbers
for Service Support.

5. Service & Support

The Service Provider is required to have at least 10 % of the required manpower on service provider’s
payroll for at least one year. Necessary documents relating to such manpower will be uploaded by the
bidder for verification of the buyer. Such manpower will be part of total manpower to be provided by the
Service Provider in case he gets the contract against this bid.

The Service Provider must own 10% of the bid quantity of vehicles in Service Provider’s name or in the
name of the proprietor / partner of the Service Provider. Necessary documents relating to proof of
ownership will be uploaded by the bidder for verification of the buyer. Such Service Provider owned
vehicles will be part of the fleet to be deployed by the Service Provider in case he gets the contract
against this bid.

7. Generic

Buyer Organization specific Integrity Pact shall have to be complied by all bidders. Bidders shall have to
upload scanned copy of signed integrity pact as per Buyer organizations policy along with bid. Click here

8. Generic

1. The Seller shall not assign the Contract in whole or part without obtaining the prior written consent of
buyer.
2. The Seller shall not sub-contract the Contract in whole or part to any entity without obtaining the prior
written consent of buyer.
3. The Seller shall, notwithstanding the consent and assignment/sub-contract, remain jointly and severally
liable and responsible to buyer together with the assignee/ sub-contractor, for and in respect of the due
performance of the Contract and the Sellers obligations there under.

9. Purchase Preference (Centre)

Purchase preference to Micro and Small Enterprises (MSEs): Purchase preference will be given to MSEs as
defined in Public Procurement Policy for Micro and Small Enterprises (MSEs) Order, 2012 dated
23.03.2012 issued by Ministry of Micro, Small and Medium Enterprises and its subsequent
Orders/Notifications issued by concerned Ministry. If the bidder wants to avail the Purchase preference,
the bidder must be the manufacturer of the offered product in case of bid for supply of goods. Traders are
excluded from the purview of Public Procurement Policy for Micro and Small Enterprises. In respect of bid
for Services, the bidder must be the Service provider of the offered Service. Relevant documentary
evidence in this regard shall be uploaded along with the bid in respect of the offered product or service. If
L-1 is not an MSE and MSE Seller (s) has/have quoted price within L-1+ 15% of margin of purchase
preference /price band defined in relevant policy, such Seller shall be given opportunity to match L-1
price and contract will be awarded for percentage of 100% of total value.

10. Certificates

Bidder's offer is liable to be rejected if they don't upload any of the certificates / documents sought in the
Bid document, ATC and Corrigendum if any.

11. Buyer Added Bid Specific ATC

Buyer Added text based ATC clauses

1. Bidder to quote their prices considering complete scope of supply/services as per the scope of work.

2. Unincorporated Joint Venture (JV) / Consortium bids shall not be accepted.

3. In case of any contradiction regarding ‘technical specifications & scope of supply/services’, Scope of Work
(SOW) shall prevail.

4. Guarantee and warrantee as specified in general terms and conditions (GTC) are valid to the extent
applicable for the scope of work under the subject contract.

5. Clause No 10 of ‘Buyer Added Bid Specific Terms and Conditions’ of bid document stands replaced by the
following:

Purchase preference to micro and small enterprises (MSEs): Purchase Preference will be given to
MSEs as defined in public procurement policy for micro and small enterprises (MSEs) order, 2012
dated 23.03.2012 issued by ministry of micro, small and medium enterprises and its subsequent
orders/notifications issued by concerned ministry having valid Udyam Registration Certificate
irrespective of relevant product category. Relevant documentary evidence in this regard shall be
uploaded along with the bid. Traders are excluded from the purview of this policy. If L-1 is not an
MSE and MSE seller (s) has/have quoted price within L-1+ 15% of margin of purchase preference
/price band defined in relevant policy, such seller shall be given opportunity to match L-1 price
and contract will be awarded for percentage of 100% of total value”.

6. Refer Clause No 8 of ‘Buyer Added Bid Specific Terms and Conditions’, bidder shall sign the Integrity Pact
(IP) as per the format given in the bidding document. However, in case of Proprietorship firm IP may be
signed by the Proprietor and in case of Partnership firm, IP shall be signed by at least two authorized
Partners of the firm. The scanned copies of the same shall be uploaded in the website along with the bid.

No deviations / modifications in IP shall be acceptable. Bidder shall submit the same format of
signed integrity pact (as provided in the bidding document duly signed by the buyer), duly filled-in,
signed & stamped by the authorised signatory of bidder.

Non-submission of Integrity Pact in the bid shall be a ground of disqualification. In case


of non-submission of integrity pact in the bid, no opportunity shall be given in the
TQ/CQ to submit the IP.

In case of sub-contracting by the contractor, the principal contractor shall take the responsibility of
the adoption of IP by the sub-contractor. In view of this, wherever Contractor proposes any sub-
contractor in the bid, it shall be ensure that such sub-contractor shall also sign the Integrity Pact
and submit the same in the bid. However, the affidavit for transgression status of sub-contractors.

7. Affidavit confirming that he is not involved in any case of transgression in terms of integrity pact to be
submitted on non-judicial stamp paper of INR 100 duly filled and notarized. Non-submission of the
affidavit to integrity pact in the bid shall be a ground of disqualification.

8. Entire contract would be awarded to the single seller being non divisible contract.

9. Bidder to quote the amount in GeM separately (item wise) for:

a) Providing “Sedan Car” with Air conditioned preferably of Model Year 2020
(onwards) on hire ON CALL BASIS FOR 10 Hours / 80 Kms

b) Providing “Premium Sedan Car” with Air conditioned preferably of Model Year 2020
(onwards) on hire ON CALL BASIS FOR 10 Hours / 80 Kms

Notes:

i) “Trips / Month” for above 11 (a) shall be 4 and “Trips / Month” for above 11 (b)
shall be 1.

ii) “No. of Vehicles” required shall be 1 for above 11 (a) and 11 (b).

iii) The quantity mentioned above is the tentative requirement for 12 months and
the same may increase or decrease depending on the actual requirement during
operation of contract.

iv) Bottom line evaluation shall be carried out.

v) In case Vehicle runs for more than 10 Hrs per day, then

· INR 189 (for ‘Sedan Car’ and ‘Premium Sedan Car’) shall be paid for
Extra per Hour (60 Minutes). Further, in case the additional time is in
Minutes, the same shall be paid on Pro-Rata Basis.

vi) In case Vehicle is used for more than 80 Kms per day, then

· INR 18 shall be paid for each extra hour usage for ‘Sedan Car’.

· INR 33 shall be paid for each extra hour usage for ‘Premium Sedan Car’.

vii) In case vehicle is used for more than 10 Hrs and 80 Kms, both the rates shall be
applicable and calculated on pro-rata basis.

10. Bidder to adhere the ‘Payment Terms’ attached under “Additional Qualification / Data Required” of bid
document.

11. Input Tax Credit: Bidders are hereby instructed that relevant details / documents pertaining to GST
Registration shall be updated / uploaded in the designated field on GeM Portal, failing which, evaluation
shall be carried out as per functionality / methodology of GeM Portal and same shall be final and binding
on the Bidder.

12. Bidder to select/tick/confirm against the relevant point in the ‘Commercial Questionnaire’ attached
under heading “Buyer Added Bid Specific ATC” of bid document. Bidder to upload the copy of the same
duly signed and stamped.

13. Bidder is hereby instructed that relevant documents and information pertaining to MSE, which is
necessary for availing the relevant benefits during evaluation, must be updated / uploaded in the
designated folder on GeM Portal.

Bidder to note that in spite of submission of relevant documents in the ATC folder, they shall not be
provided the applicable benefits during evaluation on GeM Portal in case they fail to adhere to the above
instructions.

In case MSE do not select the MSE option at designated folder on GeM Portal during Bid Submission, they
shall not be considered for MSE Preference by GeM, even though MSE Bidder is a natural L1.

The evaluation as done by GeM Portal shall be final and binding.

14. The Udyam Registration Certificate shall be verified from GOI Udyam Registration portal (present web
address is https://udyamregistration.gov.in ). The status of MSE Bidder as on date of Unpriced Bid Opening
shall be considered for applying above benefits for entire evaluation.

In case an MSE Bidder has submitted Udyam Registration but authenticated scanned document is not
uploaded along with Bid on GeM Portal, the same can be accepted provided a valid MSE Certification is
available on Government Udyam Registration portal.

15. Penalty / PRS as mentioned in GeM GTC / SOW, stands replaced to the extent applicable in GeM SLA.

Disclaimer
The additional terms and conditions have been incorporated by the Buyer after approval of the Competent
Authority in Buyer Organization, whereby Buyer organization is solely responsible for the impact of these clauses
on the bidding process, its outcome, and consequences thereof including any eccentricity / restriction arising in
the bidding process due to these ATCs and due to modification of technical specifications and / or terms and
conditions governing the bid. Any clause(s) incorporated by the Buyer regarding following shall be treated as
null and void and would not be considered as part of bid:-

1. Definition of Class I and Class II suppliers in the bid not in line with the extant Order / Office Memorandum
issued by DPIIT in this regard.
2. Seeking EMD submission from bidder(s), including via Additional Terms & Conditions, in contravention to
exemption provided to such sellers under GeM GTC.
3. Publishing Custom / BOQ bids for items for which regular GeM categories are available without any
Category item bunched with it.
4. Creating BoQ bid for single item.
5. Mentioning specific Brand or Make or Model or Manufacturer or Dealer name.
6. Mandating submission of documents in physical form as a pre-requisite to qualify bidders.
7. Floating / creation of work contracts as Custom Bids in Services.
8. Seeking sample with bid or approval of samples during bid evaluation process.
9. Mandating foreign / international certifications even in case of existence of Indian Standards without
specifying equivalent Indian Certification / standards.
10. Seeking experience from specific organization / department / institute only or from foreign / export
experience.
11. Creating bid for items from irrelevant categories.
12. Incorporating any clause against the MSME policy and Preference to Make in India Policy.
13. Reference of conditions published on any external site or reference to external documents/clauses.
14. Asking for any Tender fee / Bid Participation fee / Auction fee in case of Bids / Forward Auction, as the
case may be.

Further, if any seller has any objection/grievance against these additional clauses or otherwise on any aspect of
this bid, they can raise their representation against the same by using the Representation window provided in
the bid details field in Seller dashboard after logging in as a seller within 4 days of bid publication on GeM. Buyer
is duty bound to reply to all such representations and would not be allowed to open bids if he fails to reply to
such representations.

This Bid is governed by the General Terms and Conditions, conditons stipulated in Bid and
Service Level Agreement specific to this Service as provided in the Marketplace. However in case if any condition
specified in General Terms and Conditions is contradicted by the conditions stipulated in Service Level
Agreement, then it will over ride the conditions in the General Terms and Conditions.
In terms of GeM GTC clause 26 regarding Restrictions on procurement from a bidder of a country which shares a land border with India, any bidder from a country which
shares a land border with India will be eligible to bid in this tender only if the bidder is registered with the Competent Authority. While participating in bid, Bidder has to
undertake compliance of this and any false declaration and non-compliance of this would be a ground for immediate termination of the contract and further legal action
in accordance with the laws.
