MEMORANDUM OF AGREEMENT (MOA)

This Memorandum of Agreement (MOA) is made and entered into on this November 18,2024

PARTY A:
Global Importers Ltd.
Address: 123 Commerce Avenue, Business District, Cityville, Countryland
Represented by: John Doe, CEO

PARTY B:
ClearPath Logistics Services
Address: 789 Makati Avenue, Makati City, Metro Manila, Philippines
Represented by: Jane Smith, Operations Manager

1. Introduction
The purpose of this Memorandum of Agreement (MOA) is to outline the terms and procedures
for customs clearance between Global Importers Ltd. and ClearPath Logistics Services. This
agreement formalizes the cooperation between the two parties regarding the handling,
processing, and clearance of goods through customs for import and export activities.

2. Purpose of the Agreement


The purpose of this agreement is to establish a framework under which Party B will assist Party
A with customs clearance procedures for all imported and exported goods under the terms
specified herein.

3. Responsibilities of Each Party

Party A (Global Importers Ltd.) :


 Provide all necessary documentation for customs clearance, including invoices, packing
lists, certificates of origin, and any other required documents.
 Ensure the goods are ready for inspection and clearance.
 Pay all applicable duties, taxes, and fees as required by customs authorities.

Party B (ClearPath Logistics Services) :


 Facilitate the timely processing and submission of the necessary documentation to the
customs authorities.
 Ensure the goods are inspected and cleared through customs as efficiently as possible.
 Provide Party A with status updates on the progress of the customs clearance process.
 Advise Party A on any regulatory changes or customs requirements affecting the
clearance process.

4. Duration of Agreement
This agreement shall commence on November 25,2024 and shall remain in effect until
[November 25,2025 , unless terminated earlier by mutual written consent of both parties.

5. Terms and Conditions


 Confidentiality: Both parties agree to keep all information shared during the course of
this agreement confidential, unless required by law to disclose.
 Termination: Either party may terminate this agreement with 30 days’ written notice,
should there be a failure to comply with the terms or if it is deemed necessary by either
party.
 Force Majeure: Neither party will be held liable for failure to perform under this
agreement if such failure is due to circumstances beyond their control, such as natural
disasters or governmental actions.

6. Miscellaneous
 Amendments: Any amendments to this MOA must be made in writing and signed by
both parties.
 Governing Law: This MOA shall be governed by the laws of Countryland.
 Dispute Resolution: In case of a dispute, both parties agree to resolve the matter
amicably through negotiation or mediation before resorting to legal action.
