A Change order fee of $50 may be applied to changes made after receipt of your purchase order by Conductix-
Wampfler
All requests for Returns must be submitted to: [email protected]. Not all products will be
deemed returnable. IF product is deemed returnable, the product is subject to a 40% restock fee.
Prices are subject to change without notice.

Accounts with open terms that pay with credit card will incur a 2% fee
Domestic Orders : A daily storage fee, the greater of 0.2% of the value or $100/day, will be assessed to customer
arranged pick-up orders not removed from our facilities starting on the 6th business day from the effective pick-up
notification date.
International Orders : A daily storage fee, the greater of 0.2% of the value or $100/day, will be assessed to
customer arranged pick-up orders not removed from our facilities starting on the 11th business day from the
effective pick-up notification date.

Unless otherwise agreed, all orders are shipped either FOB Omaha or FOB Harlan. This means the buyer is responsible for
the goods once they leave the Conductix-Wampfler shipping dock – regardless of who pays for freight or how they pay. If
freight damage occurs, it is the responsibility of the buyer to file a claim with the freight company.
Conductix-Wampfler USA. is required by state law to collect sales/use tax in CA, CT, FL, GA, IL, IA, IN, KS, KY, NE,
NY, OH, SC, TX, WA, and WI. Please consult a tax professional in your state for guidance. Conductix-Wampfler does not

TERMS AND CONDITIONS:

The following are selected terms and conditions of sale by Conductix, Inc., dba Conductix-Wampfler ("Seller") and the
recipient of this quotation ("Buyer"). For a complete set of the terms and conditions, please contact the Home Office.

1. TERMS OF SALE CONTROL:

The terms and conditions of Seller are the sole terms and conditions governing any purchase and sale contract entered into
pursuant to this quotation. All terms proposed by Buyer, whether or not covered by or conflicting with the terms hereof, are
not accepted by Seller.

2. PRICES:
All prices herein set forth are FOB Seller's shipping point. All prices are exclusive of any present or future federal, state or
local sales, use, excise, manufacturing processing or importation tax or any other tax, duty or charge that is or may be
imposed on the goods or services sold hereunder. Any such taxes or charges will be added to the invoices as separate items,
unless appropriate exemption certifications acceptable by the tax authorities concerned are furnished to Seller. If exemption
certificate is not furnished to Seller prior to invoice date, such taxes or charges shall be paid to Seller as though Buyer were
not entitled to exemption.

3. TERMS OF PAYMENT:
Payment shall be made to Seller in lawful money of the United States of America at Seller's address set forth on the face
hereof. Except in cases where progress or advance payments are set forth on the face hereof, or for quotes greater than
$10,000 USD which are subject to review by Seller's Credit Department, the payment shall be due Net 30 Days from date of
invoice which date shall be date of shipment or date of offer to ship the whole or any part of the order for customers with
satisfactory credit. Seller may, however, if it reasonably believes is necessary to insure prompt payment make shipment by
COD or sight draft attached to bill of lading. A service charge of 1.5% per month (effective annual interest rate 18%) will be
invoiced on all past due accounts.

4. WARRANTY:
Seller agrees to repair or exchange the goods sold hereunder necessitated by reason of defective workmanship and material
discovered and reported to Seller within one year after shipment of such goods to Buyer. Except where the nature of the
defect is such that it is appropriate, in Seller's judgment, to effect repairs on site, Seller's obligation hereunder to remedy
defects shall be limited to repairing or replacing (at Seller's option) FOB point of original shipment by Seller, any part
returned to Seller at the risk and cost of Buyer. Defective parts replaced by Seller shall become the property of Seller. Seller
shall only be obligated to make such repair or replacement if the goods have been used by Buyer only in service
recommended by Seller and altered only as authorized by Seller. Seller is not responsible for defects which arise from
improper installation, neglect, or improper use or from normal wear and tear.
Additionally, Seller's obligation shall be limited by the manufacturer's warranty (and is not further warranted by Seller) for
all parts procured from others according to published data, specifications or performance information not designed by or for
Seller. Seller further agrees to replace or at Seller's option to provide a refund of the sales price of any goods that do not
conform to applicable specifications or which differ from that agreed to be supplied which non-conformity is discovered and
forthwith reported to Seller within thirty (30) days after shipment to the Buyer. Seller's obligation to replace or refund the

purchase price for non-conforming goods shall arise once Buyer returns such goods FOB point of original shipment by
Seller at the risk and cost of Buyer. Goods replaced by Seller shall become the property of Seller. There is no guarantee or
warranty as to anything made or sold by Seller, or any services performed, except as to title and freedom from
encumbrances and, except as herein expressly stated and particularly, and without limiting the foregoing, there is no
guarantee or warranty, express or implied, of merchantability or of fitness for any particular purpose or against claim of
infringement or the like. Seller makes no warranty (and assumes no liability) as to function of equipment or operation of
systems built to Buyer's design or of the ability of any goods to interface, operate or function with any portions of Buyer's
system not provided by Seller.

5. RETURNS & REPAIR:

All merchandise returned for repair, replacement or credit must have prior written authorization in the form of a Return
Material Authorization (RMA) number from the Sales Dept. at the Home Office in
Omaha, NE. RMA numbers are valid for a period of 45 days and all goods to be returned must be shipped in this time frame.
All goods returned are to be shipped freight prepaid. RMA number must be clearly written on the outside packaging and
referenced on all paperwork. We reserve the right to refuse any goods returned to the factory without an authorized RMA
number as specified above. An inspection and restocking fee will be made on all authorized credit returns. Any goods that
remains unclaimed or unacknowledged by Buyer after 45 days of being informed of repair status become property of Seller.

6. CANCELLATION:
In the event of the Buyer canceling an order, the Seller will charge a cancelation fee based on material and labor costs that
have already been incurred.

7. LIMITATIONS OF LIABILITY:

Seller's liability on any claim, whether in contract, tort (including negligence), or otherwise, for any loss or damage arising
out of, connected with, or resulting from the manufacture, sale, delivery, resale, repair, replacement or use of any products
or services shall in no case exceed the price paid for the product or services or any part thereof which give rise to the claim.
In no event shall Seller be liable for consequential, special, incidental or other damages, nor shall Seller be liable in respect
of personal injury or damage to property not the subject matter hereof unless attributable to gross misconduct of Seller,
which shall mean an act or omission by Seller demonstrating reckless disregard of the foreseeable consequences thereof.
Seller is not responsible for incorrect choice of models or where products are used in excess of their rated and recommended
capacities and design functions or under abnormal conditions. Seller assumes no liability for loss of time, damage or injuries
to property or persons resulting from the use of Seller's products. Buyer shall hold Seller harmless from all liability, claims,
suits and expenses in connection with loss or damage resulting from operation of products or utilization of services,
respectively, of Seller and shall defend any suit or action which might arise there from in Buyer's name - provided that
Seller shall have the right to elect to defend any such suit or action for the account of Buyer. The foregoing shall be the
exclusive remedies of the Buyer and all persons and entitles claiming through the Buyer.
