Global Terms & Conditions and FAQs
Strictly Confidential to SAP Channel Partners

What is LinkedIn Sales Navigator? LinkedIn Sales Navigator is a suite of tools within LinkedIn
that allows you to build dynamic prospect lists, using premium filters, and to utilize your
own personal entire connection network to broker a warm introduction to your prospects
and generate pipeline from Social Media.

What is LiveSocial (by SEISMIC)? LiveSocial is a content curation and social sharing tool that
allows you to build your personal social brand by sharing thought leadership and SAP social
content that has been created and curated from many sources for you. It also helps to
automate social sharing reducing the time needed for this practice.

Program Offer: As part of this program and for a limited period, SAP provides to its Channel
Partners the possibility to get a LinkedIn Sales Navigator and LiveSocial license without
cost, it entitles the user to have access to this tool-suite for a period of 6 months (with
possible option to extend usage for 6 months more: read appendix 1).

Duration:

 Program Live from January 1st 2024 to December 31st 2024 (period to request the
license, once the license is active, it will be valid for 6 months even if the period extends
to next year)

Who is eligible?

 PartnerEdge VARs (operational stage), PE Sell, ISVs, Service Partners, App Partners.
Partner must be authorized for selling any of the SAP solutions.

Key Terms and Conditions:

1. Partners’ employees can apply to this program only if they accept the “Terms and
Conditions” part of this document.
2. Any Partner is eligible if they don’t have debt with SAP and their credit line is open
3. The Program is valid from January 1st, 2024 to December 31st 2024
4. Each Partner’s use of LinkedIn Sales Navigator is conditional upon it agreeing to comply at
all times with the LinkedIn Subscription Agreement (“LSA”), set forth at the following
hyperlink: https://legal.linkedin.com/lsa/LinkedIn-Subscription-Agreement and any
reference in the LSA to “Customer” shall be modified to refer to “Partner”, as applicable.
Furthermore, each Partner agrees to procure that any individual using LinkedIn Sales
Navigator on its behalf will at all times act in accordance with the LinkedIn User Agreement,
set forth at the following hyperlink: https://www.linkedin.com/legal/user-agreement
5. LinkedIn Sales Navigator Licenses from SAP’s program aim to help partners to test the tool
and apply its knowledge after the training as fast as possible, but they are not a substitution
of a full license contract, some functionality of the tool may be deactivated compared to a
full contract license.
6. The main objective of the program is to empower and enable partners to speed-up
execution using Digital tools after taking the training, this is NOT a licensing program,
therefore it’s not possible to provide any type of report to partners such as number of
licenses available or under use for the Partner organization.
7. If a licensing contract already exist between the Partner company and LinkedIn (or if it is
under negotiation at the moment of the license request), the partner will not be entitled to
use a license from SAP if the contract is canceled, the partner is still allowed to request the
other tools available in the program at no cost (LiveSocial i.e.)
8. If a Partner’s rep (LinkedIn account owner) already has a premium or navigator account
with LinkedIn, the partner rep should continue using its already existing license and will not
be entitled to request one from SAP’s pull, however it’s still allowed to request other tools
available in the program at no cost (LiveSocial i.e.)
9. The program aims to enable partner reps (individuals) to start applying Social Selling
techniques as soon as possible after the training, but this is not a “Licensing Program” for
the partner, therefore: reporting, access to performance data, request of reports, or any
team-management activity (including number of licenses used and available for the
Partner) can’t be provided.
o Instead, each user has access to its own performance data, Partner’s Managers can
ask directly to each user this information.
o Partners must send the license request and they will be notified after the request if
licenses are available or not, there’s no possibility to know this in advance.
10. If the Partner’s company stop belonging to the SAP ecosystem, the LinkedIn navigator
accounts assigned to its employees will be terminated immediately.
11. If a LinkedIn Navigator license is assigned to a person (LinkedIn account owner) that is no
longer working in a partner that belongs to the SAP ecosystem, the usage of the navigator
license will be terminated immediately.
12. SAP is not responsible for any information lost or damage to the data part of the LinkedIn
Sales Nav account.
13. Information or data transfer from personal Navigator accounts to SAP’s program licenses is
not allowed (read point 7).
14. Data transfer from SAP’s licenses to personal accounts is allowed.
o LinkedIn will support you to organize the data transfer with SAP’s authorization.
15. When SAP assign a LinkedIn sales navigator license to a new user, the user accepts to
acquire the commitment to maintain its SSI (Social Selling Index, consult yours at:
https://www.linkedin.com/sales/ssi) over 60%. SAP will review this index in a monthly
basis (first week of each month). SAP will be entitled to terminate the usage of the license if
the user is under the minimal index requested without further notification, and the user
won’t be allowed to request a new license part of the program.
16. Users that have received a LinkedIn navigator license that is not active for one month, will
be suspended for their license access without previous notice. The user can request access
to the license again, but if the user have not activated the license within the next 15 days for
second time, the usage will be suspended, and the user won’t be allowed to request a new
license part of the program for a year.
17. This T&Cs document is personal and needs to be signed by the LinkedIn account owner and
it is NOT valid for groups.
18. As part of the program, a maximum of 10 licenses per partner company are allowed
(globally, same company in different regions will share the 10 licenses), each license must
be requested directly by the owner of the LinkedIn Account based on the rules of
engagement part of this document.
19. Licenses are assigned FIFO (first-in-first-out) independently of where the individual is
based and located, license reassignment within same company is allowed, it is the partner
to decide how this re-assignment will be done and they should communicate its decision to
SAP by written with the agreement of all the parties involved (previous user, new user, and
partner’s principal).
20. Licenses are not accumulative with previous versions of the program, being always 10 the
max number of active licenses a partner can have independently when those were assigned.
21. It is required that users participating in the program use their professional email address
for registration and received the license, personal emails are not allowed (Gmail, Hotmail,
etc…)
22. By signing this document and/or activating the license, the user agrees upon all the
program rules and allows SAP to send him/her messages and information related to the
program using any channel (phone or written communications), also accepts to receive all
communications related to the program such as program emails, newsletters, notifications,
event invitations or any other that serve to the best interest and function of the program.
The user can communicate to SAP to be removed from the program to stop the interaction
or communication about it by sending an email to [email protected]. The information of
the user will be stored in program’s data base during all the period while the user has an
active license, once the user has been terminated its live period, the historic information
will be kept for two years for statistical reasons only.
23. Only the user owner of the LinkedIn profile can request information about its license, no
group or third-party requests are allowed, neither performance reports nor personal
information.
24. SAP can’t provide any group report to Partners (performance, number of active licenses,
when licenses will expire, etc.) due to resource constrains (reports requires manual work
for each individual, which is not feasible), therefore each individual registered in the
program is the only one to be notified about extensions, period termination and using its
own license can consult performance. Individuals will be notified on any alert when the
time of the activity comes.
25. SAP reserves the right to terminate or amend this Program at any time without previous
notice.
26. SAP reserves the right to reject the benefit to any partner in consideration of the Sales Head,
or SAP Global Program head if the information provided is incomplete, inaccurate or proves
to be invalid after being investigated.
27. SAP reserves the right to decline the participation to the program to any partner or
individual based in the analysis of any specific case not considered on this document.
28. In any case where an SAP Channel Partner is found making fraudulent or inappropriate
usage of this program, SAP reserves the right to remove the eligibility of the partner to the
program.

APPENDIX 1:

1. How to extend the usage of my license from 6 months more?


a. The partner rep (individual) that wants to extend the usage of its license for 6
months more will need to send the “Period extension request template”
clearly stating the opportunities that were created with influence of Social
Selling, only individuals with pipeline generated will be entitled to request the
extension and all the information in the template is required.
b. The Partner rep will need to sign the updated version of T&Cs of the program
(this document, previous versions won’t be eligible for extension)
Frequently Asked Questions:
1. What happened with my LinkedIn account if for some reason, I am not part of the SAP
channel partner network but still have active my LinkedIn Navigator sales navigator free
membership. Will SAP claim ownership of my Account?
 No. If you leave the SAP partner network you will lose Sales Navigator
functionality. You own your contacts. Sales Navigator and LinkedIn.com are two
separate products that are linked.

2. Will SAP want to own the connections, content, or information from my account in anyway
developed since this transition point occurred?
 No, since it’s your account, you own all the rights of the information content in
there, SAP don’t have any access or ownership on it.

3. Will SAP require me to leverage my account at all times for purposes of promoting SAP in all
ways?
 No, your LinkedIn account belongs to you, and you can manage it as it’s better to
your interest, however there is a request to use the Sales Navigator for SAP
relevant activities only. We do suggest that you maintain a "professional
profile," but would prefer that it avoid any hard sell for SAP. You can and should
include family, friends, alumi, etc. on your network. This is just good social
selling.

4. Will SAP have the ability to administer my Account in any form or fashion for their own
purposes in any manner whatsoever? For example, download contacts and personal
information? If so, are their plans to do this?
 SAP will be able to track only how much you use Sales Navigator and rate your
profile for completeness (it is public anyway). We need usage statistics to learn
the best way to support you, however contacts or personal information cannot
be downloaded by SAP nor can content uploaded, the only who can do this is you
as the account owner.

5. Does this give SAP access to any of my cross connected Web based social network tools to
LinkedIn and any kinds of rights whatsoever to touch them in any manner whatsoever?
 If you mean X, Facebook, Instagram, Xing, etc.? The answer is no. We have no
ability to track them except by using public sites that do publish such ratings.

6. Will I still own my LinkedIn Account and will remain free to do with it what I have been
doing since I’ve owned it?
 Yes, you own it.
7. What are the things that will change from SAP paying for my Sales Navigator Premium
membership?
 You have an enhance features including being able to look at 25 locked records a
month, more InMail, but the biggest is Team Builder, where all the team’s 1st
level connections become your 2nd level connections and where you will have
tools to ask for introductions and showing how they are related. We invite you

8. Can I request an SAP’s Navigator license when I already have one? Should I cancel the one I
already have?
 Don’t cancel it, you should continue using your existing license. This program
aims to support your learning about Social Selling techniques and help you to
speed-up adoption of tools that will support your digital transformation
strategy. If you already have Navigator or a premium account, you already have
all you need to profit to the max the training, content, and best practices we will
share to you during the different sessions and events to hold. Licenses part of
this program are temporary only.

9. Can my company have more than 10 licenses if I already have some from past versions of
the program (2019, 2020, etc.)?
 No, the maximum number of active licenses per company are 10 independently
where the users are located or when the license was assigned. We refer always
to “active” licenses, therefore if you had licenses that already expired, that have
released a space for new users at your company.

10. I am a Sales/Marketing Manager and need a performance report every month, who can
provide it to me?
 Unfortunately, we can’t provide any type of report about the tools, first because
this is not a “Licensing Program” and therefore the resource and infrastructure
we have in SAP can’t serve to all reporting needs from all partners around the
world, but also and more important due to a legal limitation (GDPR).
o The alternative is asking directly to each user its own data.
o We have a 100% reimbursement promotion using MDF for all licenses
bought to LinkedIn directly, if you have deeper needs in terms of license
management and functionality, we recommend buying the licenses to
have full control on your team usage.
