to the truth or falsity of the events stated therein; (b) being
mere conclusions of fact and law of the complainant that are

WHEREAS, BOTH PARTIES agree that only the SECOND PARTY


will be operating and providing capitalization for the project and will have
the FIRST PARTY for supervisory roles only and as a consultant.

1. Par. 2.01 shall no longer be applicable against the FIRST PARTY


and the initial capital expenditure shall be on the account of the
SECOND PARTY only. This shall be subject to amendments to
be agreed upon by BOTH PARTIES should options in the JVPA be
exercised.

2. That should I fail in my undertaking as stated in the immediately


preceding paragraph, I am bound to pay all the expenses of the
replacement without need of demand;

3. I am executing this affidavit to attest to the truth of the foregoing


and in support of my undertaking to never disclose the replace-
ment of the roofing done by 8990 and all the other conditions
stated and whatever legal purposes this may serve.
