ARTICLE 1 – SCOPE OF WORKS 工作範圍

1.1 The CONTRACTOR shall undertake the [Insert name of Contract Package here] based on the
work items covered by the CONTRACT DOCUMENTS as specified in the Basic Terms and
Conditions of this AGREEMENT.

承包商應提供、提供、供應、安裝、執行成功執行和完成項目所需的所有材料、勞動力、工

具、廠房、設備和其他服務。

1.2 The CONTRACTOR shall provide, furnish, supply, install, perform all materials, labor, tools,
plant, equipment and other services necessary to successfully execute and complete the
PROJECT.

具、廠房、設備和其他服務。

1.3 The CONTRACTOR shall ascertain the exact position of all service cables, pipes, equipment
and other items located and present on, in or at the job site and shall indemnify the OWNER
against all costs, expenses and claims arising out of any loss, disconnection, disruption,
destruction or other interference that may be caused by the WORKS undertaken by
CONTRACTOR.

承包商應確定位於工作現場、內部或現場的所有服務電纜、管道、設備和其他物品的確切位

置,並應賠償業主因任何損失、斷開連接、中斷而引起的所有成本、費用和索賠、破壞或其他

1.4 The CONTRACTOR shall perform other WORKS such as but not limited to:

Secure and pay for all the necessary permits (i.e. Building Permit, Occupancy
Permit, Permit to Operate, etc) unless otherwise indicated that the Owner will
secure such, licenses, clearances and certificates. The Contractor shall pay all cost
incurred in securing all permits whether with or without receipts.

承包商應執行其他工作,例如但不限於:

1.5 Maintain the general safety, cleanliness, and sanitation of the PROJECT site including
clearing, removing and disposing of all construction debris under the scope of works of the
CONTRACTOR during the entire duration of the PROJECT.

1.6 Perform all testings as called for in the CONTRACT DOCUMENTS including testings that
the OWNER may require.

Coordinate with the GENERAL CONTRACTOR to establish reference elevations and

gridlines as maybe required by the OWNER

1.8 As much as applicable, apply and pay for all connection costs including costs in providing and
maintaining sufficient temporary telephone with internet services during the entire duration
of the PROJECT. Costs for temporary electrical and water supply during the entire duration
of the PROJECT shall likewise be shouldered by the CONTRACTOR by means of a sub
meter from the GENERAL CONTRACTOR.

1.9
As much as applicable, construct weather-tight field offices complete with office furniture

and equipment in accordance with the CONTRACT DOCUMENTS.

1.10 The CONTRACTOR shall be responsible for the on-time provision of all items referred to in
the CONTRACT DOCUMENTS including the timely ordering and delivery of all materials
and to ensure that performance of the PROJECT is in accordance with the CONTRACT
DOCUMENTS.

承包商應負責按時提供合同文件中提及的所有項目,包括及時訂購和交付所有材料,並確保項

目的執行符合合同文件。

1.11 Prior to the implementation of any plans, the contractor shall be responsible for the checking
of all plans and make sure that the plans are consistent and has no discrepancies or errors. In
case of discrepancy, the contractor shall document the issues in writing and with portion of
plans attached addressed to the Construction Manager and provide copies to the Designers
and the Owner.
在實施任何計劃之前,承包商應負責檢查所有計劃,確保計劃一致,沒有差異或錯誤。如果有

ARTICLE 2 – CONTRACT DOCUMENTS 合約文件
2.1 CONTRACT DOCUMENTS not only include those mentioned in the Basic Terms and
Conditions of this Agreement but also agreements and documents which hereafter may be
mutually agreed upon by and between the OWNER and the CONTRACTOR as well. Such
subsequent agreements and documents must be duly signed by the parties whether prepared
before or after signing of the foregoing documents.

合同文件不僅包括本協議的基本條款和條件中提到的那些,還包括業主和承包商之間可能相互
同意的協議和文件。此類後續協議和文件必須由各方在簽署上述文件之前或之後正式簽署。

2.2 The CONTRACTOR shall make no change or alteration in the plans and specifications
without
prior written approval of the OWNER. A mere act of tolerance shall not constitute approval.

未經業主事先書面批准,承包商不得更改或更改計劃和規格。僅僅容忍行為不應構成批准。

2.3 It is mutually understood that the CONTRACT DOCUMENTS shall be complementary


with each other and what is called for or prescribed by one shall be considered as if called
for or prescribed by all. In case of any discrepancy between or of any defective description,
errors, omissions or ambiguity in any of the CONTRACT DOCUMENTS, the
CONTRACTOR shall within fifteen (15) days from discovery of such discrepancy,
defects, errors, omissions or ambiguity, whether or not requiring any adjustment in
time or cost of the PROJECT, submit the matter in writing to the OWNER through its
CONSTRUCTION PROJECT MANAGER. The OWNER shall, within fifteen (15) days
from receipt of such written notice, make a determination on whether or not it is
binding upon the CONTRACTOR and the latter shall accordingly proceed with the
work strictly in accordance with such determination without prejudice to the
provisions of Article 16 hereunder.

雙方理解,合同文件應相互補充,一個人要求或規定的應視為所有人都要求或規定的。如果任

何合同文件中的描述、錯誤、遺漏或含糊不清之間存在任何差異或有任何缺陷,承包商應在發

2.4 The OWNER shall have the right to furnish the CONTRACTOR additional drawings,
instructions and documents as it may deem necessary for the proper and adequate execution
of
the PROJECT.
All such documents, instructions and drawings furnished and all written corrective
determination made pursuant to the foregoing paragraphs, shall form integral parts of the
CONTRACT DOCUMENTS under this AGREEMENT.

業主應有權向承包商提供其認為適當和充分執行項目所需的額外圖紙、說明和文件。
提供的所有此類文件、說明和圖紙以及根據上述段落做出的所有書面糾正決定應構成本協議

項下合同文件的組成部分。

2.5 Any and all deficiencies in the provision or otherwise connected with or related to the
PROJECT but expressly covered by the provisions of this AGREEMENT shall be
supplied by the CONTRACT DOCUMENTS.

條款中的任何和所有缺陷或與項目有關但本協議條款明確涵蓋的任何和所有缺陷應由合同文件

提供。

2.6 The ownership of the CONTRACT DOCUMENTS, prior to, during, and after the
completion of the PROJECT shall remain with the OWNER.

在項目完成之前、期間和之後,合同文件的所有權應歸所有者所有。
ARTICLE 3 – MANNER OF PAYMENT 付款
3.1 Upon submission by the CONTRACTOR to the OWNER of the surety/payment bond and
performance bond required under this AGREEMENT, the OWNER shall release to the
CONTRACTOR a down payment equivalent to _____ percent ( ___%) of the
CONTRACT PRICE.

Balance shall be paid in progress payments based on actual work completed. Progress
payments on account of this AGREEMENT will be made at the CONTRACTOR’S request
to be based on the computed progress of work for a specific period.

在承包商向業主提交本協議要求的保證/付款保證金和履約保證金後,業主應向承包商支付相

當於合同價格的____% ( ___%) 的首付。

餘額應根據實際完成的工作在進度付款中支付。應承包商的要求,將根據本協議的進度付

3.2 Upon execution of this AGREEMENT and as a condition for the release and payment by the
OWNER of the down payment and all subsequent progress billings, the
CONTRACTOR shall submit to the OWNER the following:

本協議簽署後,作為業主解除和支付定金和所有後續進度賬單的條件,承包商應向業主提交以
下內容:
3.21 Down payment bond, equivalent to _____ percent (___%) of the CONTRACT PRICE
conditioned upon the return to the OWNER of the down payment in the event the
CONTRACTOR fails or refuses, for any reason whatsoever to commence work on the
PROJECT within five (5) days from receipt by the CONTRACTOR of the down payment.

首付保證金,相當於合同價格的 _____ 百分比 (___%),條件是在承包商因任何原因未能或拒絕


在五(5 ) 承包商收到定金後的天數。
3.22 Performance bond, equivalent to twenty percent (20%) of the CONTRACT PRICE
conditioned upon the payment to the OWNER of liquidated damages and all amounts due to
the OWNER under the law or this AGREEMENT, in the event the CONTRACTOR fails or
refuses, for any reason to proceed and complete the PROJECT in accordance with this
AGREEMENT and to guarantee the CONTRACTOR’s faithful, strict and satisfactory
compliance with all its obligations stated herein.

履約保證金,相當於合同價格的百分之二十 (20%),條件是向業主支付違約金和根據法律或本

協議應向業主支付的所有款項,如果承包商未能或拒絕,對於任何根據本協議繼續和完成項目

並保證承包商忠實、嚴格和滿意地履行其在本協議中規定的所有義務的理由。

3.23 All bonds and insurance coverage to be provided by the CONTRACTOR and required in this
clause or elsewhere in this AGREEMENT shall be in the form of surety approved and
accepted by the OWNER, secured from insurance or bonding company acceptable to and
approved by the OWNER. Further, such bonds and insurances shall remain in full force and
effect during the entire contract period or its extension/s, if any, unless otherwise specified
herein. Finally, premiums and all costs to secure and obtain such bonds and insurances shall
be for the account of the CONTRACTOR.
承包商提供的以及本條款或本協議其他地方要求的所有保證金和保險應採用業主批准和接受的

擔保形式,由業主接受並批准的保險公司或擔保公司提供擔保。此外,除非本協議另有規定,

3.3 The CONTRACTOR shall submit to the OWNER and the CONSTRUCTION PROJECT
MANAGER monthly billings based on actual accomplishment of the various Works for
the PROJECT. The CONSTRUCTION PROJECT MANAGER shall process, certify
to the correctness of, and make appropriate recommendations as to said billings within
seven (7) working days from receipt thereof and the OWNER shall pay the
CONTRACTOR within thirty (30) working days upon receipt of said billings in the
head office of the OWNER, from the CONSTRUCTION PROJECT MANAGER
together with the latter’s appropriate recommendation. Final payment shall be made in
accordance with this AGREEMENT.

承包商應根據項目各項工程的實際完成情況,向業主和施工項目經理提交月度帳單。施工項目
經理應在收到賬單後的七 (7) 個工作日內處理、證明其正確性並提出適當的建議,業主應在收
到賬單後的三十 (30) 個工作日內向承包商付款在業主的總部,來自建築項目經理以及後者的適
當推薦。最終付款應根據本協議進行。
3.4 Progress payments are subject to retentions of ten percent (10%) and such retentions shall be
based on the total amount due the CONTRACTOR prior to any deductions from every
progress payments.

進度付款須保留百分之十 (10%),此類保留款項應基於在從每筆進度付款中扣除任何款項之前

應付給承包商的總金額。

3.5 Prior to the release of the down payment the CONTRACTOR shall submit the following
documents:

3.5.1. PERT-CPM Construction Schedule

3.5.2. Bar Chart

3.5.3. Manpower Schedule

3.5.4. Equipment Utilization Schedule

3.5.5. PROJECT Organization

3.5.6. Comprehensive All-risk Insurance Policy

3.5.7. Letter of Authority to receive Owner-Supplies Materials (OSM)

在發放預付款之前,承包商應提交以下文件:

3.5.1. PERT-CPM 施工進度表

3.5.2.條形圖

3.5.3.人力時間表
3.5.4.設備使用時間表

3.5.5.項目組織

3.5.6.全面的全險保單

3.6 The amount retained by the OWNER from the progress payments shall be released by the
OWNER to the CONTRACTOR within sixty (60) working days after the issuance of the
Certificate of Final Inspection and Acceptance by the CONSTRUCTION PROJECT
MANAGER, concurred to by the ARCHITECT together with the DESIGNER and
confirmed by the OWNER. Together with the Certificate of Final Inspection and Acceptance
the CONTRACTOR shall submit to the OWNER the following:

業主從進度付款中保留的金額應在建築項目經理頒發最終檢驗和驗收證書後六十 (60) 個工作

日內由業主發放給承包商,並由建築師與設計師和業主確認。承包商應連同最終檢驗和驗收證

3.61 CONTRACTOR’s notarized affidavit that all taxes and obligations from the
CONTRACTOR’s use of materials, plant, equipment and labor in fulfillment of this
AGREEMENT have been duly paid.

承包商經公證的宣誓書,證明承包商為履行本協議而使用材料、廠房、設備和勞動力產生的所

有稅款和義務均已適當支付。

3.62 GUARANTEE BOND to answer for faulty and/or defective materials or workmanship as
stated in Article 12 of this AGREEMENT.
保證對本協議第 12 條所述的有缺陷和/或有缺陷的材料或工藝負責。
3.7 The OWNER, however, reserves the right to withhold payment in case the OWNER has any
claim against the CONTRACTOR under or by virtue of this AGREEMENT in the
amount equivalent to the OWNER’s claim, without prejudice to bringing the dispute
between the parties arising from the exercise by the OWNER of its rights under this
Article to arbitration under Article 16 of this AGREEMENT.

但是,如果業主根據本協議向承包商提出與業主索賠金額相等的索賠,業主保留扣留付款的權

3.8 All billings shall be supported by key plans of accomplishment claimed, photographs, summary
of test results, and other supporting documents as may required by the OWNER or
PROJECT CONSTRUCTION MANAGER.

所有帳單均應由業主或項目施工經理可能要求的主要完成計劃、照片、測試結果摘要和其他支

持文件提供支持。

3.9 No certificate given or payment made under this AGREEMENT, except the Certificate of
Final inspection and Acceptance (CFIA) or final payment, shall be conclusive evidence of the
performance by the CONTRACTOR of its covenants and obligations under this
AGREEMENT, either wholly or in part, and no payment shall be construed to be an
acceptance of defective work or improper materials.

最終檢驗和驗收證書 (CFIA) 或最終付款外,根據本協議提供的任何證書或付款均不應成為承

包商全部或部分履行其在本協議下的契約和義務的最終證據,並且任何付款均不得解釋為接受

有缺陷的工作或不正確的材料。

3.10 Under no circumstance shall the CONTRACTOR be entitled to payment of extra work or
change or work without the prior written order of the OWNER an CONSTRUCTION
PROJECT MANAGER to perform such work. Any work done without such written
order shall be for the sole account of the CONTRACTOR.

在任何情況下,承包商都無權在沒有業主和施工項目經理執行此類工作的事先書面命令的情況

下獲得額外工作或變更或工作的報酬。未經此類書面命令完成的任何工作均應由承包商自行負

責。

3.11 Any payment due and payable and/or may be due to the CONTRACTOR may be offset against
liquidated damages payable to the OWNER under this AGREEMENT.

任何到期應付和/或可能應付給承包商的款項都可以抵消本協議項下應付給業主的違約金。
ARTICLE 4- RESPONSIBILITIES
OF THE CONTRACTOR 施工方責任
4.1 The CONTRACTOR shall furnish and provide for its account all the necessary materials, and
supplies, labor, tools, equipment, plant, supervision, and other facilities as may be needed in
the satisfactory performance and accomplishment of the PROJECT without delay and in
accordance with and as directed by the CONTRACT DOCUMENTS.

承包商應毫不拖延地提供並提供所有必要的材料、用品、勞動力、工具、設備、廠房、監督和

其他設施,以滿足項目的令人滿意的執行和完成。按照合同文件的指示。

4.2 The CONTRACTOR shall ensure and hereby warrants at all times that it shall exercise the
skill, care and diligence in the performance of the work as should be exercised by a fully
qualified, competent and first class CONTRACTOR, fully skilled and experienced in carrying
out work similar in scope and extent of the PROJECT. The CONTRACTOR warrants that it
is fully experienced in the construction of major PROJECT of a similar scope, complexity, size
and technical sophistication as the PROJECT and that it possesses the high level of skill and
expertise commensurate with that experience which it will make available to the OWNER. In
so doing, the OWNER is relying upon the skill, judgment and expertise of the
CONTRACTOR in the performance of the PROJECT and the coordination and planning
thereof. Without prejudice to the generality of the foregoing the CONTRACTOR warrants
that:

承包商應確保並特此保證,其在執行工作時應具備完全合格、稱職和一流的承包商應有的技

能、謹慎和勤奮,在開展工作方面具有完全的技能和經驗項目的範圍和程度相似。承包商保證

其在與項目類似的範圍、複雜性、規模和技術複雜程度的主要項目的建設方面擁有豐富的經

驗,並且擁有與其將提供給項目的經驗相稱的高水平技能和專業知識。所有者。在此過程中,

業主依賴承包商在執行項目及其協調和規劃方面的技能、判斷和專業知識。在不影響上述一般

性的前提下,承包商保證:

4.3 The personnel to be employed or engaged by the CONTRACTOR shall be sufficient in


number, skill and expertise to carry out the various phases of work diligently and efficiently in
order to complete the works in accordance with the agreed work program (CPM Network
and/or Bar Chart Schedule), subject to any exceptions which may be mutually agreed upon by
the parties in writing.

承包商僱用或聘用的人員在數量、技能和專業知識方面應足以勤勉而高效地開展各個階段的工

作,以便按照商定的工作計劃(CPM 網絡和/或條形圖附表),但雙方可能以書面形式相互商

定的任何例外情況除外。

4.4 It is adequately and properly financed to meet all the financial obligations which it may be
required to assume under this AGREEMENT.

有足夠和適當的資金來履行根據本協議可能需要承擔的所有財務義務。
4.5 The CONTRACTOR shall during the term of this AGREEMENT coordinate with the work
of the designers and the contractors of the other construction works and shall be directly
responsible for the work of all men under its control and supervision to ensure the
expeditious and satisfactory completion of the PROJECT.

承包商應在本協議有效期內與其他建築工程的設計者和承包商的工作進行協調,並直接負責其

控制和監督下的所有人員的工作,以確保項目的快速和圓滿完成.

4.6 The CONTRACTOR agrees that it has satisfied itself as to the nature and scope of work,
including but not limited to the management, supervision, engineering and procurement
services, the obtaining of permits, licenses, consents and authorizations and all other necessary
services, personnel, labor, equipment, facilities, materials and supplies for the performance of
all the works to complete the PROJECT.

承包商同意其對工作的性質和範圍感到滿意,包括但不限於管理、監督、工程和採購服務、獲

得許可、執照、同意和授權以及所有其他必要的服務、人員、用於完成項目的所有工程的勞動

力、設備、設施、材料和用品。

4.7 The CONTRACTOR hereby recognizes the position of trust and confidence reposed on it by
this AGREEMENT and agrees to furnish its best skill and judgment and to cooperate with
the CONSTRUCTION PROJECT MANAGER or with any of the OWNER’S authorized
representatives in furthering efficient business administration and superintendence in the
performance of this construction to have adequate supply of qualified and skilled workmen
and sufficient materials at all times, and to ensure the execution of this AGREEMENT in the
soundest way and in the most expeditious and economical way consistent with the interest of
the OWNER.

承包商在此承認本協議賦予其的信任和信心,並同意提供其最佳技能和判斷力,並與施工項目

經理或業主的任何授權代表合作,以促進有效的業務管理和監督確保在任何時候都有足夠的合

4.8 It is mutually understood that the CONTRACTOR is not an employee of the OWNER but is
an independent contractor. Neither shall the employees, workers, laborers, agents or the
subcontractor (as may be allowed in accordance with this AGREEMENT) of the
CONTRACTOR be deemed employees of the OWNER. Hence, the OWNER shall not in
any way be liable or responsible for any and all claims for or personal injuries or damages to
third persons or their property, caused by any such employee, worker, laborer, agent or sub-
contractor, nor for any claims for or personal injuries or damages to their property suffered by
them in the performance of their duties. The CONTRACTOR shall, at all times, be directly
responsible and liable for the enforcement of, and compliance with all existing laws, rules and
regulations particularly in respect of any and all claims brought by its personnel for the
enforcement of the provisions of the Labor Code of the Philippines and other pertinent labor
and social legislations. The CONTRACTOR hereby holds the OWNER free and harmless
from all such claims and liabilities thereto.
雙方都理解承包商不是業主的僱員,而是獨立承包商。承包商的僱員、工人、勞工、代理人或

分包商(根據本協議可能允許)也不得被視為業主的僱員。因此,業主不以任何方式對由任何

4.9 The CONTRACTOR agrees and binds itself to indemnify and hold the OWNER free and
harmless against any and all losses, costs, damages and expenses arising out of any claim or
cause of action in respect of any injury, sickness, disease or death of any person or loss of or
damage to any property suffered by reason of the failure, negligence, delay or conduct on the
part of the CONTRACTOR and/or its employees in the performance of its obligations
hereunder arising out of or in connection with the performance of this AGREEMENT and
shall, at its own cost defend the OWNER in any proceedings involving the same where such
injury, sickness, disease, death, loss or damage is caused or contributed to by the fault or
negligence of the CONTRACTOR and/or its employees.

承包商同意並有約束力,對因任何人的任何傷害、疾病、疾病或死亡的任何索賠或訴訟因由而

引起的任何和所有損失、成本、損害和費用進行賠償並使業主免受損害。由於承包商和/或其

4.10 Defects appearing during the period as stated in the Basic Terms, or any damages resulting
from such defects shall be corrected without expense to the OWNER. If the CONTRACTOR
fails to commence works necessary to correct or repair the defects within fifteen (15) days from
receipt of written notice thereof from the OWNER, the OWNER may have the work or repairs
done by other contractors at the expense of the CONTRACTOR, or alternatively, confiscate
the guarantee bond referred to in this Agreement.

在基本條款規定的期限內出現的缺陷,或由此類缺陷造成的任何損害,業主應免費糾正。如果
承包商未能在收到業主書面通知後的十五 (15) 天內開始糾正或修理缺陷所需的工作,業
主可以由承包商承擔費用,由其他承包商完成工作或修理,或或者,沒收本協議中提及
的保證金
4.11 The CONTRACTOR shall at all times, furnish and maintain an adequate and sufficient supply
of tools, materials, equipment and skilled and/or unskilled workmen at the PROJECT
site. The CONTRACTOR shall diligently supervise the construction until completion
and it shall have on full-time basis at least one (1) competent licensed Engineer who shall
act as PROJECT supervisor. In addition, the CONTRACTOR shall also employ a
competent general foreman on full-time duty to supervise the workmen under this
Agreement. The OWNER reserves the right to reject for reasonable causes any person
or persons employed by the CONTRACTOR in the construction work and the omission
of the OWNER to exercise such right shall not in any way relieve the CONTRACTOR
from its responsibility to fulfill its undertakings

4.12 Overall coordination shall be done by the OWNER’s CONSTRUCTION PROJECT


MANAGER. The CONTRACTOR shall not work independently; rather, the
CONTRACTOR shall coordinate and cooperate fully with the other contractors and
DESIGNER.

4.13 The CONTRACTOR shall provide storage and delivery facilities for the testing of material
samples for the PROJECT. Testing fees shall be paid by the CONTRACTOR.

4.14 The CONTRACTOR shall secure and pay for all required construction permits under the
CONTRACTOR’s scope of works both public and private, if applicable.

4.15 The CONTRACTOR shall likewise be responsible for maintaining the general cleanliness and
sanitation of the site and shall undertake clearing of site and removal of construction debris
coming from but not limited to the CONTRACTOR’s scope of works during the entire
contract period. After the final completion but before acceptance of the work and final
settlement had been made between parties, the CONTRACTOR shall forthwith remove all
surplus materials, scaffoldings, apparatus, machinery, tools and equipment, not a part of the
work, furnished or supplied by it and shall remove all debris and leave the work free and clean
of all obstruction and hindrances.

4.16 The CONTRACTOR shall be responsible for any and all damages to, and for the necessary
repair of, public streets, sidewalks, curbs and paving and other properties, whether public or
private, occasioned by their use or opening in connection with or as a consequence of the
PROJECT. It shall make good the same to the lawful satisfaction of the proper authority or
party; and hereby holds the OWNER free and harmless from liability for any such damage or
repair.

4.17 The CONTRACTOR shall provide safety facilities for access and inspection by the OWNER,
ARCHITECT, CONSTRUCTION PROJECT MANAGER or their representatives. The
CONTRACTOR shall install, erect and properly maintain at all times, as required by the
conditions and progress of work, such barriers, lights, danger signs/other needed signage and
necessary safeguards as will protect workmen and the public.

4.18 The CONTRACTOR shall assign a full time safety engineer to the job site during the entire
duration of the PROJECT

4.19 The CONTRACTOR shall take all necessary precautions for public safety and the safety of his
employees and workmen on the site. The CONTRACTOR shall at all times require his
workers to wear hard hats, safety boots and goggles, uniforms (T-shirts) and identification
cards to prevent accidents and for proper identification.

4.20 The CONTRACTOR shall also be responsible in maintaining the security and safety of their
personnel and equipment in coordination with GENERAL CONTRACTOR safety program
at the PROJECT site.

4.21 In case of any liens, charges, and other encumbrances, upon receipt of a notice from the
OWNER, the CONTRACTOR shall discharge or cause to be discharged all liens,

other items provided by the CONTRACTOR for use for or in connection with the
performance of the PROJECT which in the opinion of the OWNER may adversely
affect the performance by the CONTRACTOR of its obligations under this
AGREEMENT.

4.22 Any consequence that may occur for the non-compliance of this agreement, rectification and
consequential cost will be shouldered by the CONTRACTOR and at the OWNER’S
discretion certain portion shall be shouldered by the DESIGNER and the CONSTRUCTION
MANAGER, the percentage of which shall be determined by the OWNER.

4.23 In the event that the CONTRACTOR fails to provide acceptable quality of workmanship and

shouldered by the CONTRACTOR, including the consequential losses that may arise.

ARTICLE 5 – REPRESENTATION
AND WARRANTIES 代表與保固
5.1 The CONTRACTOR shall be responsible for the quality of materials, used in the construction
of the PROJECT. The CONTRACTOR further warrants that all materials and other facilities
incorporated into the work and turned-over to the OWNER upon the completion of the
PROJECT shall be brand new and free from any defect as specified by the ARCHITECT. The
CONTRACTOR shall not incorporate thereon or use or recommend the use of any material
or substance that is hazardous to health.

5.2 The CONTRACTOR warrants that it is a competent, qualified and experienced contractor,
who is equipped, organized, insured and financed to perform the Works and complete
the PROJECT in an efficient and professional manner and meeting all of the
requirements of this AGREEMENT.

5.3 The CONTRACTOR shall put up and maintain adequate protection of all its Works from

OWNER, as well as all materials furnished and delivered to it by the OWNER from
damage, injury or loss arising in connection with this contract until final acceptance of
the PROJECT by the OWNER.

5.4 The CONTRACTOR shall ensure that all materials and workmanship shall be of the

or the CONSTRUCTION PROJECT MANAGER, furnish them with brochures and
supporting documents to prove that the materials are such as specified.

5.5 The CONTRACTOR shall perform all Works in the manner specified in this AGREEMENT
and in accordance with the best principles, accepted practices and standards prevailing
in the construction industry.

5.6 The CONTRACTOR shall take all adequate and necessary measures to protect the
PROJECT, the OWNER’S property, the personnel of the OWNER and the

measures to avoid or reduce to a minimum any inconvenience to owners/occupiers of
land, and the general public at or adjacent to the site when performing the PROJECT.

performance of its work to complete the PROJECT.

5.8 The CONTRACTOR guarantees that he shall maintain, the stability of all Works, equipment

lessor or holder of any indebtedness or other obligation of it.

capital to complete its obligations under the AGREEMENT.

5.13 There is no action, suit or proceeding, at law or in equity, or official investigation before or by

could reasonably be expected to result in a material adverse effect on its validity or
enforceability of the AGREEMENT.

AGREEMENT, including any extensions thereof, the adequate capitalization, financial

5.15 The CONTRACTOR warrants that, on or before the date of completion of the Works, it shall

5.16 The CONTRACTOR shall, as a competent, qualified contractor experienced in the design,

5.17 For purposes of the completion of the PROJECT as contained in this AGREEMENT, it is

materials to be used in the completion of the PROJECT shall be of sufficient quantity
and the quality and soundness thereof are fit for the purposes for which they will be
utilized, as stated in the CONTRACT DOCUMENTS. The CONTRACTOR further
warrants that he has proper title over the materials to be used.

5.18 It is understood however, that the above provision in section 5.1. Is without prejudice to the
right of the OWNER to opt or decide to supply any materials for the PROJECT. In
such case, the cost of the materials supplied by the OWNER shall be deducted from the
amounts due and payable to the CONTRACTOR, provided that the basis for the cost of
the OWNER supplied materials shall be that which is stated in the CONTRACT
DOCUMENTS.

ARTICLE 6 – CONTRACTOR’S GUARANTEE TO WORK

6.1 The CONTRACTOR and its subcontractors (if any) guarantees its work against qualitative
defects in materials, poor workmanship and the like for a period of one (1) year
(reckoned from the day of receipt of the Certificate of Final Inspection and Acceptance
of the PROJECT by the OWNER. In case of defect, failure, and poor workmanship on
any part or parts of the PROJECT is discovered during said period, the
CONTRACTOR shall be bound to make good such defect, failure or poor workmanship,
without any cost or expense to the OWNER. In any case, during the same period, the
CONTRACTOR shall hold the OWNER free and harmless from any and all liability or
damages that may be incurred as a result of any breach of CONTRACTOR’S guarantee
of work. It is hereby understood that these stipulations shall not in any manner affect
the rights and liabilities of the parties under Article 1723 and such other applicable
provisions of the New Civil Code of the Philippines, or under any other existing laws,
rules and regulations.

6.2 The CONTRACTOR and its subcontractors (if any) shall furnish the OWNER a
GUARANTEE BOND issued by an insurance or bonding company acceptable to and
approved by the OWNER in the sum equivalent to ten percent (10%) of the CONTRACT
PRICE, effective for a period of one (1) year from the date of final acceptance by the OWNER
of the PROJECT, subject to the condition, but not limiting the CONTRACTOR liability, that
any defect or flaw which may arise during the said one (1) year period shall be repaired by the
CONTRACTOR promptly within ten (10) days upon demand by the OWNER.

6.3 It is understood that the guarantee bond/s to be obtained by the CONTRACTOR and its
subcontractors (if any) shall be available within ten (10) days from demand by the OWNER
in case of breach of the aforementioned guarantee. The total value of the guarantee bond/s of
the CONTRACTOR and its subcontractors (if any), shall answer for all costs, expenses, and
other expenditures necessary to complete the work needed to remedy the flaw in the
PROJECT brought about by defect in materials, poor workmanship and the like.

ARTICLE 7 – CONTRACTOR’S LIABILITY

7.1 The CONTRACTOR shall be responsible for, and shall indemnify and hold the OWNER free
and harmless from, any and all losses, costs, expenses and damages arising out of or in
connection with any claim or cause of action in respect of any injury, sickness, disease, death
or accident which may happen to any person or persons or any loss of or any damage to
property on account of the prosecution of the works or performance of the obligations covered
by this AGREEMENT. In this connection, the CONTRACTOR shall provide all the
necessary safeguards, warning signs and all safety precautions for all workers and third parties
during the progress of the work.

7.2 The CONTRACTOR shall be solely responsible for any liability that may arise therefrom,
agreeing and undertaking to hold the OWNER free and harmless from any claim whatsoever.
Should any such employee, worker/laborer or other person or entity sue or file any action,
whether civil or criminal against the OWNER on the theory that the OWNER is the employer
of such employee, worker/laborer or other person or entity, the CONTRACTOR shall not only
actively participate in resisting such claim and/or actions but also, shall assist the OWNER in
defending this Agreement as one which established between the OWNER and the
CONTRACTOR the relation of owner and independent contractor and the CONTRACTOR
shall hold the OWNER free and harmless against any judgment or decision which may be
rendered against the OWNER as the employer of said person.

7.3 The CONTRACTOR shall likewise indemnify and save harmless the OWNER from and
against all losses, and all claims, demands, payment suits, actions, recoveries and judgments
of every nature and brought by the CONTRACTOR’S creditors, materials supplies, sub-
contractors or any other claimants or their heirs, administrators or assigns by reason of non-
payment of compensation or due to injury or death to the CONTRACTOR’s laborers,
employees, agents, representatives, sub-contractors, etc., and/or by reason of non-payment of
any indebtedness or obligations contractor by it in connection with this work.
7.4

7.5 The CONTRACTOR shall not assign, sublet or sub-contract any portion of the PROJECT
covered by this agreement except upon prior written approval of the OWNER. Any such
assignment, sub-lease or sub-contracting shall be subject to the pertinent provisions of this
AGREEMENT. Violation of this condition shall be a ground for the termination of this
AGREEMENT by the OWNER.

7.6 The CONTRACTOR shall be liable solitarily with all his subcontractors with respect to their
specific undertaking, for any flaw in the PROJECT by reason of defects in the materials and
poor workmanship within one (1) year from the day of final acceptance of the PROJECT by
the OWNER.

ARTICLE 8 – FAILURE TO COMPLETE THE WORKS

8.1 Time is of the essence in this AGREEMENT. Should the CONTRACTOR fail to complete
the PROJECT within the period herein stipulated or within the period of extension
granted by the OWNER, the CONSTRUCTION PROJECT MANAGER shall certify
in writing that the work could reasonably have been completed within the period
specified herein or within the extended time, and in such a case, the following shall
apply:

8.11 The CONTRACTOR shall pay the OWNER the sum of one tenth (1/10) of one percent (1%)
of the stipulated CONTRACT PRICE as penalty for each calendar day of delay, including
Sundays and Holidays but not to exceed ten percent (10%) of the CONTRACT PRICE;
Provided that, the payment of penalty shall not in any manner relieve the CONTRACTOR
from its obligations and responsibilities under this AGREEMENT; and

8.12 Immediately upon notice to the CONTRACTOR, the OWNER may take-over and complete
the works either by itself or through other contractors. In such case, the temporary facilities,
materials, equipment, tools and resources of the CONTRACTOR on the site shall be at the
disposition of the OWNER until the Works unfinished by the CONTRACTOR are completed.
The difference between the cost reasonably incurred and substantiated by the OWNER to
complete the Works and all the CONTRACT PRICE balance shall be for the account of the
CONTRACTOR and shall be charged against whatever billing are still due to the
CONTRACTOR or the Performance Bond;

8.13 The OWNER may terminate this AGREEMENT pursuant to this Agreement.

8.14 The exercise by the OWNER of either of the above options is without prejudice to other legal
remedies allowed under this AGREEMENT and existing laws, including the right to demand
for LIQUIDATED DAMAGES.

8.2 However, in no case shall the total liquidated damages exceed ten percent (10%) of the
CONTRACT PRICE provided the CONTRACTOR has completed the work.

8.3
It is further agreed and understood that the right of the OWNER to collect or to receive
penalty charges and liquidated damages as compensation for delay in the circumstances herein
stated, is in recognition by the parties of the expense and inconvenience likely to be incurred
from any need to prove the loss and damage that will be suffered by the OWNER in the event
of any such delay on the part of the CONTRACTOR. The collection and/or payment of such
sums as penalty charges or liquidated damages shall be without prejudice to its rights and
remedies against the CONTRACTOR provided elsewhere in this AGREEMENT or to which
the OWNER may be entitled in law or equity.

8.4 To give full force and effect to the foregoing, the CONTRACTOR hereby, without the necessity
of any further act and deed, has authorized the OWNER to deduct any amount that may be
due under Clause 8.1 above, from any and all moneys or amounts due or which will become
due to the CONTRACTOR by virtue of this AGREEMENT and/or to collect such amounts
from the performance bond filed by the CONTRACTOR in accordance with this
AGREEMENT.

8.5 Upon the completion of the PROJECT, the CONTRACTOR shall immediately remove all
surplus materials, waste and rubbish from the premises, unless prevented by any unavoidable
cause or causes in which case the OWNER shall give the CONTRACTOR a reasonable period
within which to do so. The CONTRACTOR shall indemnify the OWNER for any damages
or losses incurred by the latter by reason of the failure of the CONTRACTOR to remove such
rubbish and materials.

ARTICLE 9 – OPTION TO COMPLETE PROJECT/TAKE

9.1 The OWNER shall have the option to take over the PROJECT and complete the same if, at
any time during the progress of the PROJECT, following shall occur:

9.2 The CONTRACTOR shall fail, refuse, or neglect to supply and provide the required tools,
materials, supplies, equipment facilities and labor-workmen in accordance with the work

9.3 The CONTRACTOR shall abandon or fail to continue with the construction of the PROJECT

9.3 When in the judgment of the OWNER, the CONTRACTOR has been unreasonably delayed
or is no longer capable of continuing or completing the PROJECT on time;

9.4 If this AGREEMENT or any part thereof is being sub-contracted or assigned without the
previous written consent of the OWNER; or if the CONTRACTOR is willfully violating any
of the condition, covenants, agreements or technical requirements of the PROJECT.

9.5 In the event the OWNER opts to take over the PROJECT, the OWNER may take over and
continue the PROJECT. In addition, all contracts entered into by the CONTRACTOR in the
pursuit of their obligations under the contract which the OWNER may want to assume, are
hereby considered or deemed assigned to the OWNER. The CONTRACTOR agrees and
obligates itself and undertakes to incorporate with and/or relative to the performance of their
obligations a provision of its assign-ability/assumption upon the option of the OWNER. The
failure of the CONTRACTOR to do so, will however, not prevent the OWNER from taking
over the project or assuming the said contracts. The OWNER may also engage the services of
a third party contractor. All expenses incurred by the OWNER shall be charged to the
CONTRACTOR, and any additional cost incurred in finishing the PROJECT in excess of the
contract price shall be at the expense and for the account of the CONTRACTOR. The right of
the OWNER to take over the PROJECT shall be without prejudice to its other rights provided
elsewhere in this AGREEMENT to proceed against the CONTRACTOR or to which it may
be entitled in law or equity.

ARTICLE 10 – CONTRACTOR’S PERFORMANCE BOND
施工商的履約保證金
10.1 Upon the signing of this AGREEMENT or within ten (10) calendar days there from, the
CONTRACTOR shall, at its expense, furnish the OWNER a Performance Bond equivalent
to twenty percent (20%) of the CONTRACT PRICE, in the form of a Surety Bond, callable on
demand, obtained from an insurance or bonding company duly approved by the OWNER.
The Surety Bond is conditioned that the CONTRACTOR shall truly and faithfully perform
this AGREEMENT and all the obligations, terms and conditions thereof on its part required
to be performed.

在本協議簽署後或在此後十 (10) 個日曆日內,承包商應自費向業主提供相當於合同價格百分

之二十 (20%) 的履約保證金,形式為擔保債券,可按要求收回,從業主正式批准的保險或擔

10.2 Said Performance Bond shall also answer for any liability that may be suffered by the OWNER
resulting from the violation by the CONTRACTOR of the Labor Code and all other labor and
social legislations. In case the OWNER grants the CONTRACTOR an extension of contract
time as mentioned in Article 12, the effectively of the Performance Bond shall be renewed by
the CONTRACTOR upon the expiration of the same but the amount thereof shall be reduced
proportionately to an amount to be mutually agreed upon by both parties.

上述履約保證金還應對業主因承包商違反《勞動法》和所有其他勞動和社會立法而可能遭受的

10.3 The CONTRACTOR shall also provide the OWNER with updated certificates on the renewal
anniversary of all policies required hereunder thirty (30) days prior to the supposed maturity
of the bond. Failure to provide such a Certificate may be taken by the OWNER to indicate
that the CONTRACTOR has failed to meet its obligations and the owner has the option to
cause the renewal of the same bond or secure a new bond, in either case, the CONTRACTOR
shall be liable for the payment of the premium of the said surety bond.

承包商還應在假定的債券到期前三十 (30) 天,在本協議要求的所有保單的續期週年日向業主

提供更新的證書。如果未能提供此類證書,業主可能會認為承包商未能履行其義務,業主可以

10.4 The premiums and other charges that may be due in connection with the renewal or extension
shall be for the account and expense of the CONTRACTOR. In the event of the rescission or
termination of this AGREEMENT for breach thereof, the OWNER may immediately
proceed against the bond for any or all claims against the CONTRACTOR. The bond shall
remain and continue to remain in full force and effect until the aforementioned obligations as
to the complete and faithful compliance of the AGREEMENT, penalty, damages, and cost of
labor and materials shall have been fully satisfied, discharged, settled and paid by the
CONTRACTOR and the bond released by the OWNER.

與續訂或延期有關的保費和其他費用應由承包商承擔。如果本協議因違反本協議而被撤銷或終

止,業主可立即針對對承包商提出的任何或所有索賠要求擔保。保證書應保持並繼續完全有

10.5 Any changes in this AGREEMENT (whether such changes increase or decrease the amount
thereof) or any change in time or payment to the CONTRACTOR or any changes, extensions,
alterations, modifications or innovations mutually agreed upon in writing, shall in no way
annul, release or effect the liability of the CONTRACTOR and the surety or sureties on the
bonds given by the CONTRACTOR.

本協議的任何變更(無論此類變更增加或減少其金額)或時間或向承包商付款的任何變更,或

雙方以書面形式同意的任何變更、擴展、變更、修改或創新,均不得以任何方式廢止、解除或

ARTICLE 11 – CONTRACTOR’S ALL-RISK INSURANCE
施工商的保險
11.1 Unless the OWNER chooses to secure the Contactor’s All Risk Insurance (CARI) for the
project for its own account, the GENERAL CONTRACTOR shall at all times during the
progress of the work and until completion of the PROJECT covered by this AGREEMENT,
for its account, arrange for Contractor’s All-Risk Insurance that shall protect it and the
OWNER including the CONSTRUCTION PROJECT MANAGERS from any and all
claims arising under the Labor Code of the Philippines and other pertinent labor and social
legislations and from any other claims for injury to persons including death and damages to
property which may arise in the course of operations by the CONTRACTOR or by any other
trades or anyone directly or indirectly employed by the CONTRACTOR, and also, as will
protect the OWNER against any physical loss of property or properties. The CONTRACTOR
shall also obtain other types of insurance required by the government including the Social
Security System’s requirements.

11.2 If the CARI is secured by the CONTRACTOR, it shall within seven (7) calendar days from the
start of work, issue certificates of insurance required attaching herewith a copy of the insurance
policies and submit the same to the OWNER through the CONSTRUCTION PROJECT
MANAGERS. The CONTRACTOR shall submit the same in the original and one (1)
photocopy. Certificates of such insurance or insurance policies shall be subject to the
OWNER’S approval for adequacy of protection and acceptability of the insurers. The
CONTRACTOR shall on request by the OWNER, produce all receipts in payments of all
insurance premiums. Further, the CONTRACTOR shall secure and furnish the OWNER
additional insurance in case the insurance previously submitted is found to be inadequate or
insufficient within fifteen (15) days from notice given by the OWNER.

ARTICLE 12 – EXTENSION OF PROJECT TIME
工期展延
12.1 The CONTRACTOR may ask for an extension of the period for completion by a request to the
OWNER through the CONSTRUCTION PROJECT MANAGER due to any of the
following causes or reasons:

12.1.1. Force Majeure or unforeseen or unforeseeable events and circumstances.

12.15 12.1.5. Any appreciable addition or alteration in the work ordered by the OWNER or
the ARCHITECT and DESIGN ENGINEER. An “appreciable addition” means
an addition to the work large or important enough to be noticed.

12.1.1.不可抗力或不可預見或不可預見的事件和情況。

12.1.2.超出承包商控制範圍且非承包商過失或疏忽的原因或事件。

12.2 The request for extension shall be filed and submitted in writing within fifteen (15) working
days from the occurrence of one or more of the events mentioned above. The OWNER
shall, within fifteen (15) working days from receipt of such written request, with due
regard to the facts and circumstances and of the merits or lack of merits of the request,
grant or deny the request for extension, as the case may be. The decision of the OWNER
on this matter shall be binding upon the CONTRACTOR which shall proceed strictly
in accordance with such determination without prejudice to the provisions of this
AGREEMENT.
延期請求應在上述一項或多項事件發生後十五(15)個工作日內以書面形式提交。業主應在收

到此類書面請求後的十五 (15) 個工作日內,適當考慮事實和情況以及請求是非曲直,批准或

12.3 For purposes of this AGREEMENT, the term “force majeure” means:

12.3.1. War and other hostilities (whether war be declared or not), invasion, act of
foreign enemies, mobilization, requisition or embargo;

12.3.2. Earthquakes, violent typhoons or other natural disasters of overwhelming


proportions even an experienced CONTRACTOR could not have foreseen and
taken protection against. Storm signal no. 3 or above raised by PAGASA shall be
considered force majeure;

12.3.3. Labor disputes or strikes except those specifically directed at the


CONTRACTOR or any sub-contractor.

12.3.4. Thermal or nuclear explosion either at the premises of the CONTRACTOR


12.4 or sub-contractor or at the site unless caused by the negligence of the CONTRACTOR
or sub-contractor.

12.4. Notwithstanding the foregoing, no extension of the period for completion of the work
shall be granted in any of the following instances:

12.4.1. Ordinary unfavorable weather conditions;

12.4.2. Non-availability of equipment or materials to be furnished by the


CONTRACTOR;

12.4.3. Labor problem or dispute involving the CONTRACTOR’S employees, workers,


or personnel or those of its sub-contractors, agents, or suppliers;

12.4.4. When the reason given for the request of extension has already been considered
in determination of the original completion.

在本協議中,“不可抗力”一詞是指:

12.3.1.戰爭和其他敵對行動(無論是否宣戰)、入侵、外敵行為、動員、徵用或禁運;

12.3.2.即使是經驗豐富的承包商也無法預見和採取防護措施,以應對地震、猛烈颱風或其他巨

12.4.儘管有上述規定,但有下列情形之一的,不得延長完成工作的期限:

12.4.1.一般不利的天氣條件;

12.4.2.承包商提供的設備或材料不可用;

12.4.3.涉及承包商的僱員、工人或人員或其分包商、代理人或供應商的勞工問題或爭議;

12.4.4.當在確定原始完成時已經考慮了延長請求的原因。

12.5 If at any time during the AGREEMENT, the CONTRACTOR incurs a delay/slippage of
fifteen percent (15%) in the construction schedule, the OWNER may require the
CONTRACTOR to submit within seven (7) working days from demand a confirmed
catch-up schedule, including the list of resources required to remedy the delay/slippage
incurred over a period of thirty (30) calendar days. The purpose of this clause is merely
to enable the CONTRACTOR to complete the PROJECT within the original Contract
Period and not to grant an extension therefore. Should the CONTRACTOR, despite
the catch-up schedule, fail to remedy/overcome the slippage within the catch-up period,
the OWNER may take any or all the following courses of action:

12.6 Immediately upon notice to the CONTRACTOR, take-over and complete the works either by
itself or through another contractor. In such case, the temporary facilities, materials,
equipment, tools and resources of the CONTRACTOR on the site shall be at the disposition
of the OWNER until the Works unfinished by the CONTRACTOR are completed. The
difference between the cost reasonably incurred and substantiated by the OWNER to
complete the Works and all the CONTRACT PRICE balance shall be for the account of the
CONTRACTOR and shall be charged against whatever billing are still due to the
CONTRACTOR or the Performance Bond;

Terminate this AGREEMENT pursuant to Article 13 of this AGREEMENT.

The exercise by the OWNER of either of the above options is without prejudice to other legal

remedies allowed under this Contract and existing laws, including the right to demand for

Liquidated Damages

ARTICLE 13 – TERMINATION CLAUSE
終止合約條款
13.1 The OWNER may terminate or rescind this AGREEMENT, in whole or in part and
consequently refuse to allow the CONTRACTOR to proceed with the works of the
PROJECT in any of the following occurrence/s:

業主可以全部或部分終止或撤銷本協議,並因此拒絕承包商在以下任何情況下繼續進行項目的

13.11 1.1.1. If after giving due notice to the CONTRACTOR to remedy such occurrence
or occurrences and the CONTRACTOR refuses, or is unable to or fails to take
steps satisfactorily to the OWNER to remedy such occurrence or occurrences
within forty-eight (48) hours after receipt of such notice from the OWNER,
but without prejudice to the claims of either party with respect to any breach
prior to termination;

如果在向承包商發出適當通知以糾正此類事件後,承包商拒絕、無法或未能在收到此類事件後

13.12 The CONTRACTOR becomes insolvent, adjudged to be bankrupt or makes attempts to make
any composition or scheme of arrangements with its creditors or any of them or, being a
company or corporation, passes a resolution for winding up, or an order is made by a court of
competent jurisdiction that the CONTRACTOR shall be wound up (other than voluntary
winding up for the purposes of amalgamation or reconstruction) or a court of competent
jurisdiction shall appoint a receiver or a manager appointed by a court of competent
jurisdiction or the CONTRACTOR’S creditors or any of them or the CONTRACTOR shall
become subject to any of the circumstances which entitle the court of competent jurisdiction
or any creditor to appoint receiver or manager, or which entitles a court of competent
jurisdiction to make a winding up order or administration order with respect of the
CONTRACTOR;

13.2 The CONTRACTOR purports to assign or transfer this AGREEMENT for any right or
interest therein without the prior written consent of the OWNER;

1.1.1. The CONTRACTOR fails to comply with any pertinent law, ordinance, rule
and regulations;

13.5 1.1.1. The CONTRACTOR abandons the PROJECT. For purposes of this
Agreement, the work is deemed to have been abandoned if the
CONTRACTOR leaves the unfinished work for fifteen (15) calendar days;

13.6 1.1.1. There is a delay of at least fifteen percent (15%) in the work schedule of the
PROJECT.

13.7 Upon termination by the OWNER pursuant to the immediately preceding paragraph:

13.8 The CONTRACTOR shall cease performance of the terminated work, but shall perform such
other/work or services or work not terminated as the OWNER may direct for the purpose of
protecting or storing any work in the course or performance;

13.9 The OWNER may complete or may engage third parties to complete the PROJECT and for this purpose the

13.10 Permit or procure permission for the OWNER or third parties acting on behalf of the
OWNER to enter the jobsite to remove and/or complete the work, and

CONTRACTOR shall cease to be due or to accrue and the OWNER shall
not be liable to pay to the CONTRACTOR any further monies on account

and/or completing of the PROJECT (including the making good or
rectification of any defects) has been ascertained by the OWNER. If such
amount when added to the monies paid to the CONTRACTOR before the
date of termination exceeds the total amount which would have been
payable to the CONTRACTOR had the AGREEMENT not been
terminated, the OWNER, at its sole discretion and option, may deduct
the difference from unpaid balance or payment due to the
CONTRACTOR or recover it by other means as a debt due from the
CONTRACTOR.

13.10.3 6.1. If the OWNER terminates the AGREEMENT in accordance with Article 13.1, the
CONTRACTOR shall comply with all instructions of the OWNER including but not
limited to those in respect of:

6.1.1. The cancellation or assignment of outstanding commitment or contracts;

6.1.2. The performance of any work required for the completion, protection and storage
of the work performed;

6.1.3. The protection and/or removal of the copies of the Plans, CONTRACT
DOCUMENTS and the materials found in the PROJECT as directed by the
OWNER;

6.1.4. The execution of all documents and all such other actions as may be required in
order to vest in the OWNER all rights, set-offs and benefits held by the
CONTRACTOR under or in connection with the performance of the work on the
PROJECT;

13.10.4 The assignment to the OWNER of any pending sub-contracts as the OWNER may request;

or expedient.

1 If the OWNER terminated the AGREEMENT based on the grounds other than those
3.11 provided for under Article 13.1, the OWNER shall pay the CONTRACTOR by way of full and
final settlement for all work satisfactorily performed prior to the date of termination (in so far
as such amounts or items have not been covered by payments made prior to termination) the
portion of the Contract Price representing the value of such work together with the amount of
any costs, expenses and losses which have been properly and reasonably incurred by the
CONTRACTOR directly and unavoidably in account of such termination and in respect of
which the CONTRACTOR shall have provided full and proper substantiation to the
satisfaction of the OWNER provided that the OWNER shall not be liable to the
CONTRACTOR for the remaining portion of the CONTRACT PRICE over and above the
value of the work satisfactorily performed by the CONTRACTOR.

13.12 Any substantial breach or violation by any party (“Defaulting Party”) of its obligations and
covenants under this AGREEMENT other than those listed herein shall entitle the other
party (“Offended Party”) to rescind or cancel this AGREEMENT, without the necessity of
judicial action, by giving the Defaulting Party thirty (30) days prior written notice to that effect.
In addition, the defaulting Party shall be liable to the Offended Party to pay any and all
damages incurred by the latter as a result of such breach or violation, unless other provisions
provide for specific penalty or liquidated damages, in which case such penalty or damages will
apply.

13.13 The termination of this AGREEMENT shall be without prejudice to any rights of either the
OWNER or the CONTRACTOR which may have accrued prior to such termination.

ARTICLE 14 – ADJUSTMENT OF CONTRACT PRICE

14.1 The OWNER or the ARCHITECT or DESIGN ENGINEER with the written consent and
approval of the OWNER, may, without invalidating this AGREEMENT or the
CONTRACT DOCUMENTS, order at anytime in writing, additional work or
alterations by correcting, altering or deducting from the work to be undertaken or being
undertaken by the CONTRACTOR. All such work shall be evidenced by Change Orders
signed by the OWNER. The aforesaid work shall be executed under the conditions
hereof and the Contract Document.

14.2
No claims for additions or deductions to the CONTRACT PRICE herein stipulated by

reason of extra work or alteration shall be valid unless ordered in writing by the OWNER.

The value of any extra work or alterations shall be separately agreed upon by the OWNER

and the CONTRACTOR in writing.

14.3 Any value of change orders approved shall be considered as part of the AGREEMENT to be
billed separately by the CONTRACTOR.

14.4 In the event the OWNER opts or decides to supply any materials the cost of which shall be
based on the agreed itemized cost breakdown.

14.5 The CONTRACT PRICE stipulated above shall be fixed for the entire duration of the
AGREEMENT and shall not be altered or adjusted due to fluctuations in the prices of
materials and equipment or for any cause or reason whatsoever, including, but not
limited to possible adjustments in labor cost due to mandatory wage hike promulgated
by the National Government. The amount subject to labor escalations shall be the
balance of work at the time such wage increase is enacted and shall only be granted if
the PROJECT is on schedule and only with respect to the unfinished portion of the
PROJECT.

14.6 Furthermore, the CONTRACT PRICE shall include profits, overhead costs, expenses,
allowances, taxes, duties, insurances and risks, equipment commitment, delivery expenses,
survey and inspection costs, as well as inflation, foreign currency rate exchanges and all other
costs or expenses for the execution of this AGREEMENT and for the timely, satisfactory and
complete delivery and performance of all obligations herein and acceptance of the works in the
PROJECT.

ARTICLE 15 – CERTIFICATE OF FINAL INSPECTION AND
ACCEPTANCE

15.1 Upon receipt of the written notice from the CONTRACTOR that he has completed the
PROJECT in accordance with the AGREEMENT and is ready for final inspection and
acceptance, the CONSTRUCTION PROJECT MANAGER shall notify the OWNER and
the ARCHITECT, and the latter shall send their respective representative(s) to promptly
make, together with the CONSTRUCTION PROJECT MANAGER, such inspection. When
both the OWNER’S and ARCHITECT’S representatives and the CONSTRUCTION
PROJECT MANAGER determine that the said PROJECT is acceptable under the terms of
this AGREEMENT and that this AGREEMENT has been fully performed, they shall
promptly issue a Certificate of Final Inspection and Acceptance duly signed by them, stating
that the PROJECT provided for in this AGREEMENT has been completed.

The OWNER, ARCHITECT, DESIGN ENGINEER and the CONSTRUCTION


PROJECT MANAGER, if the work warrants acceptance, shall append their signatures
to the certificate. Subject to the guarantee bond required under Article 6, the entire
balance found to be due to the CONTRACTOR and noted in said Certificate of Final
Inspection and Acceptance shall be paid by the OWNER within sixty (60) working days
from receipt of said Certificate of Final Inspection and Acceptance. The
CONTRACTOR, prior to the payment of the balance, however, submit to the OWNER
through the CONSTRUCTION PROJECT MANAGER the following:

indebtedness connected with the PROJECT (including but not limited to claims of or credits
to suppliers, sub-contractors and other creditors of the CONTRACTOR) have been fully
settled; provided that in any case of any unpaid claim or credit, the quit claim or credit, the
quit-claim or release and waiver duly executed by the concerned suppliers, sub-contractors or
creditors in favor of the OWNER.

ARTICLE 16 – ARBITRATION CLAUSE 仲裁條款

16.1 Should there be any dispute, controversy or difference between the parties arising out of this
AGREEMENT that may not be resolved by them to their mutual satisfaction despite earnest
efforts, then the matter shall be submitted to the Construction Industry Arbitration
Commission (CIAC) for arbitration under the Rules of Procedure Governing Construction
Arbitration as promulgated pursuant to Executive Order No. 1008 (the Construction Industry
Arbitration Law).

16.2 An Arbitration Committee, composed of three (3) members, shall be formed as follows: first
member chosen by the OWNER; second member chosen by the CONTRACTOR, and the
third member to be mutually chosen by both OWNER and CONTRACTOR. Either party
may initiate the arbitration process by serving upon the other party a written demand for
arbitration in accordance with this AGREEMENT within fifteen (15) calendar days from the
occurrence of any dispute, difference or controversy. The demand shall set forth the nature of
the controversy the amount involved, if any, the relief sought, and the name of the arbitrator
appointed by the party making the demand; and shall require the other party on whom the
demand is served to name its arbitrator. The arbitrators so named and appointed by the parties
must agree upon the third arbitrator within ten (10) days from notice of appointment. The
decision of the board of arbitrators shall be rendered within ten (10) days from the first meeting
of the Board, which decision when reached through the affirmative vote of at least two (2)
members of the Board shall be final and binding upon the OWNER and CONTRACTOR.
Matters not otherwise provided for shall be governed by the provisions of the Arbitration Law
(Republic Act 876). The cost of arbitration shall be borne by the CONTRACTOR and
OWNER on equal amounts. It is hereby agreed that arbitration or the process thereof shall
not be reason for the CONTRACTOR to suspend work as contemplated by this Agreement
nor affect the Time of Completion set forth in this Agreement, not unless the decision of the
Board of Arbitrators is in favor of the CONTRACTOR and the same will require extension of
the contract time.

16.3 In case of litigation respecting the composition, proceedings or award of the Arbitration
Committee, venue shall be limited exclusively and solely in the proper court of Makati City,
Metro Manila. In such case, the prevailing party shall be entitled to collect from the other a
sum equivalent to twenty percent (20%) of the total amount due, as and for attorney’s fees.

僅限於馬尼拉大都會馬卡蒂市的適當法院。在這種情況下,勝訴方有權向另一方收取相當於應

ARTICLE 17 – TAXES, DUTIES AND FEES

17.1 All taxes, including E-VAT, duties and fees of whatever nature connected with, or related to
this AGREEMENT and which may be due and payable, or for withholding, on tools,
equipment, labor, materials, plants, supplies, and other facilities necessary for the
performance and accomplishment of the PROJECT, shall be the sole responsibility and for
the exclusive account of the CONTRACTOR, except taxes due on OWNER-supplied
materials which shall be for the account of the OWNER. The OWNER shall be entitled to
withhold from the payment to the CONTRACTOR any amount it is required to withhold by
law or by any governmental authority.

17.2 The CONTRACTOR hereby holds the OWNER free and harmless form all such taxes, duties,
and fees including the fines, penalties and other charges accruing by reason of their non-
payment.

他費用。

17.3 The CONTRACTOR shall pay and shall ensure that any authorized sub-contractor shall pay
all income, corporate revenue or similar taxes howsoever described, and all penalties and
interest thereon assessed on the income, profits and gains accruing to the CONTRACTOR or
any sub-contractor from the operation of this AGREEMENT. The CONTRACTOR shall be
responsible to indemnify, defend and hold harmless the OWNER against any claims
whatsoever arising in connection with liability of the CONTRACTOR or any sub-contractor
for any such taxes, penalties and interest. Furthermore, the CONTRACTOR shall be
responsible to, indemnify, defend and hold harmless the OWNER against any claims
whatsoever arising in connection with all taxes assessed or levied against or on accounts of
wages, salaries, benefits, or deemed benefits paid to the CONTRACTOR’S personnel or
personnel connected with its sub-contractor or any other person employed in connection with
the performance of this AGREEMENT.

17.4 The CONTRACTOR shall give all necessary notices and obtain the necessary permits,
clearances or approval from the proper authority in respect to the PROJECT except such
permits, clearances or approvals in connection with or related to the importation of OWNER-
supplied materials (if any).

ARTICLE 18 – LIENS AND CLAIMS

18.1 The CONTRACTOR shall protect and hold all property of the OWNER free from all liens,
charges and other encumbrances.

18.2 The OWNER may discharge any lien, charge or other encumbrances and may deduct from
payment due to the CONTRACTOR or recover by other means as a debt due from the

ARTICLE 19 – COMPLIANCE WITH LAWS, ORDINANCE,
RULES AND REGULATIONS

19.1
The CONTRACTOR shall comply with all the laws, ordinances, and rules and regulations of

both the national and local government which have been passed or may have been amended,

revised or passed before the completion of the PROJECT, applicable and/or binding upon

the parties hereto, the works covered by this AGREEMENT, or the persons engaged in the

performance and accomplishment of the work covered by this AGREEMENT, and shall be

responsible for all damages either to the OWNER or to third parties or to the government,

national or local, for the non-observance of such laws, ordinances and rules and regulations.

In addition to the payment of possible damages sustained by the OWNER or third parties by

reason of the CONTRACTOR’S non-compliance, he will also be liable to pay the OWNER a

penalty in the amount equivalent to one percent (1%) of the CONTRACT PRICE

19.2 The CONTRACTOR shall comply with all construction regulations and sanitation rules
imposed by appropriate agencies, whether public or private having jurisdiction of the
PROJECT. The CONTRACTOR shall bear all fines imposed on them or on their sub-
contractors for any violations committed in the execution of their AGREEMENT. In addition
to the fines imposed, in case of the CONTRACTOR non-compliance with the foregoing
regulations, he will also be liable to pay the OWNER a penalty in the amount equivalent to
one percent (1%) of the CONTRACT PRICE.

承包商應遵守對項目具有管轄權的公共或私人機構實施的所有建築法規和衛生規則。承包商應

ARTICLE 20 – INTERPRETATION OF THIS
AGREEMENT

20.1 In interpreting and construing the provisions of this AGREEMENT and in determining the
intention of the parties hereto, resort shall be made to the CONTRACT DOCUMENTS. In
line herewith, this AGREEMENT and the CONTRACT DOCUMENTS shall be interpreted
and construed together so as to give harmonious effect to their respective provisions; Provided
that, in case of irreconcilable conflict between the provisions of this AGREEMENT and those
of the CONTRACT DOCUMENTS, the provisions of this AGREEMENT shall prevail.

20.2 If any one or more provisions of this AGREEMENT is held by a court of competent
jurisdiction to be invalid or unenforceable, the remainder of the AGREEMENT shall not be
affected but this AGREEMENT shall be construed in a manner which, as nearly as possible,
reflects the original intent of the parties. Every part of the AGREEMENT shall be severable
and separately valid and enforceable.

ARTICLE 21 – MISCELLANEOUS

Any payment or failure of the OWNER to enforce its rights and privileges under this

AGREEMENT shall not be construed as a waiver or renunciation of such rights and

privileges.

21.2 No payment, failure or neglect on the part of the OWNER to exercise or enforce any of its

21.3 Save where the AGREEMENT expressly provides to the contrary, every right and remedy

shall not exclude any other right or remedy provided in the AGREEMENT or by law or equity.

21.4 The OWNER undertakes to extend to the CONTRACTOR such assistance as the parties may
agree upon from time to time in the event that domestic or foreign letters of credit need
to be obtained by the CONTRACTOR in the procurement of its materials and supplies
for the PROJECT.

21.5 This AGREEMENT is binding upon the parties and their respective successors-in-interest.

21.6 In the event that either of the parties herein institutes judicial proceedings in order to enforce
any term or conditions of this Agreement, the defaulting party adjudged liable in whole or in
part shall pay the aggrieved party reasonable attorney’s fee in the amount equivalent to at least
twenty percent (20%) of the total amount claimed, in addition to all expenses of litigation and
costs of the suit.

21.7 This Agreement, other relevant documents, and the discussions between the Parties
concerning design (and/or construction) shall be confidential information.
Notwithstanding the fact that the discussions between the Parties may come into public
domain for any reason during the term of this Agreement., the Parties and/or its
representatives on its own behalf, shall not disclose nor confirm to any third party that
discussions have taken place concerning this Agreement, without prior written consent
of the affected Party. In this regard, the Parties shall hold in strictest confidence all
confidential information and to use such confidential information for any other purpose
shall be considered unauthorized and in breach of this Agreement... The Parties further
agrees not to disclose any confidential information to any person, firm or company or
otherwise use, in any way, any confidential information to secure a competitive or
commercial advantage over other real estate companies or design and construction firms
or in any way which is likely to be directly or indirectly detrimental to the Parties’
businesses.
