APPLICATION UNDER SECTION 96 (1) OF THE COMPANIES ACT,


2013 FOR FURTHER EXTENSION OF ANNUAL GENERAL MEETING
OF THE COMPANY FOR THE FINANCIAL YEAR 2023-24

1. PARTICULARS OF THE COMPANY:-

That the Applicant company is a Company registered under Companies


Act, 2013 as Public Limited Company under the name and style of
RAMAERA INDUSTRIES LIMITED, CIN U74110UP2022PLC168553,
having its registered office at H-150, Sector 63, Noida, Gautam Buddha
Nagar, Uttar Pradesh, India 201301, hereby submit this application to
your esteemed office seeking an extension of time for holding the Annual
General Meeting (AGM) for the financial year ended 31st March 2024.

2. STATUTORY REQUIREMENTS:
Pursuant to the provisions of Section 96(1) of the Companies Act, 2013,
every company, other than a One Person Company (OPC), is mandated to
hold an Annual General Meeting (AGM) within six months from the end
of the financial year, that is, on or before 30th September 2024. We had
previously applied for an extension, which was granted by your office for
an additional one month. i.e. till 30th October 2024 by order 08th October
2024.
Copy of the last order attached herewith this application as annexure 1.

3. FACTS OF THE CASES:

Due to unforeseen and unavoidable delays in finalizing the Company’s


accounts, we are currently unable to prepare and present the audited
financial statements within the prescribed timeline. Our head accountant
has informed us that, due to health issues, he is unable to join the office,
which has resulted in an extended audit process. Consequently, additional
time is required to complete the audit procedures comprehensively.

4. BOARD RESOLUTION:

In light of the aforementioned circumstances, a Board Meeting of the


Directors was convened on [insert date], wherein it was unanimously
resolved to seek a further extension of one month. The Board is of the
view that this extension is essential to ensure that the financial statements
are prepared with due diligence and in compliance with all statutory
requirements.

5. RELIEF SOUGHT:

In view of the extraordinary circumstances detailed above, we


respectfully request your esteemed office to grant a further extension of
one month beyond the earlier provided extension. This will enable us to
finalize the financial accounts for the financial year 2023-24, complete
the audit process, and present the financial statements to the shareholders
in a duly convened Annual General Meeting.
6. CONCLUSION:

We assure you that this request is being made in the best interest of all
stakeholders. The Company is fully committed to fulfilling its statutory
obligations. We seek your favourable consideration of our request for
extension and remain at your disposal should you require any further
information or clarification.
