    AMENDMENT AGREEMENT

    DATE: 12 November 2024

    PARTIES:

    (1) BARINGA SERVICES LTD a limited liability company registered in England with registration
    number 09971389 and with its registered office at 62 Buckingham Gate, London. SW1E 6AJ, UK;
    and

    (2) SHANGHAI ELECTRIC POWER & ENERGY DEVELOPMENT LTD a company registered in China with
    registration number 1359631 and with its registered office at Suite 5101,51/F Central Plaza, 18
    Harbour Road, Wanchai, Hongkong.

    The parties entered into a Licence Agreement dated 12th of December 2023 (“Agreement”) and now
    wish to record in this Amendment Agreement certain amendments to the Agreement. In consideration
    of their respective obligations contained in this Amendment Agreement and in the Agreement, the
    parties agree as follows:

    1. The defined terms used in the Agreement will apply to this Amendment Agreement.

    2. The Agreement will be deemed amended as follows:

    Clause Amendment
    In addition to the Products outlined in the Licence Agreement, the Client would now like to
    1. order the following Work Products:

    a. Q3 2024 wholesale market report for Bosnia


    b. Q3 2024 balancing market report for Bosnia

    Baringa’s additional Charges for the Work Products above are as follows (plus VAT if
    5. applicable):
    • 9,000 EUR.

    Baringa will invoice for the Charges upon or following delivery of the Work Products.

    3. The amendments set out in Paragraph 2 above shall take effect from the date of this
    Amendment Agreement. No other changes shall be deemed made to the Agreement except as
    set out in this Amendment Agreement.

    4. The Amendment Agreement shall be governed by English law, and the parties irrevocably submit
    to the exclusive jurisdiction of the courts of England.
    This Amendment Agreement has been entered into in two (2) counterparts each an original and of
    equal value upon the date above
