Dear Monisha,
We refer to your application for a job and the subsequent interview session and pleased to confirm that you
have been selected to work with Smollan India Field Management Services Pvt Ltd (Company).
Your job role at the time of joining will be Promoter, for discharging duties in managerial, supervisory and
administrative capacity, in Britannia. Please note upon your joining and any time thereafter, the Company,
reserves its rights to assign you any work or reassign you in such capacities and such places in India as the
Company may deem suitable from time to time.

2. Remuneration:
Details of your remuneration is set out in Annexure-A hereto. Any changes in remuneration indicated
above will be as per the Company’s Policy and subject to evaluation of your performance, as per the
performance assessment cycle of the Company.
Your appointment will be effective, from November 9, 2024. This offer cum appointment letter shall
stand cancelled if you do not report to the duty within 3 days of the date of your receipt of this
Communication.
3. Probation:
Your Probation Period will be of Six (6) months and at the end of the probation your performance will
be reviewed for suitability for the confirmation.

4. Notice Period:
This employment may be terminated by either party by giving to the other, written notice of 15 days
during probation period or 30 day’s post confirmation or salary in lieu of notice. The Company reserves
its right to reject a notice, not served properly. Wherever the employee exercises the option of notice
pay in lieu of notice, the Company reserves its right to require such employee to serve out a minimum
residence period for handing over the job responsibilities before getting relieved. Such residence
period shall be based on the functional responsibilities of the employee concerned and solely
determined by the company.

In the event where the employee either fails to serve the notice period and/or fails to serve the
residence period for relieving as stipulated above, the Company reserves its right to refuse issuance
of relieving / experience letter and also initiate appropriate legal action. The Company further reserves
its right to terminate the employee without paying any notice period in case the employee fails to
comply with the terms of Notice Period as stated.
5. Date of Birth:
You have given DOB: November 25, 2003 as your date of birth with proof thereof. Please note that

Transferability:

During your employment with the Company, your services may be transferred or assigned on Deputation/
Secondment to any division /Affiliate / Joint venture/ Associate companies or any other location in India. Upon
such transfer / deputation/ secondment, you shall abide by all relevant policies as may be applicable.

7. Leave Policy:

Please refer Annexure C for the Leave Policy.

8. Training:

You shall be bound to undergo relevant training as may be identified by the Company.

9. Confidentiality:

You shall take care to ensure that the details of your remuneration are kept confidential and also, protect the
confidentiality of any other information or trade secrets that you may either acquire or come to acquire, on the
basis of your employment and shall not disclose or violate such confidential information at any time, to any
Company, firm or person, any transactions of the Company or its clients or its customers, nor any information
concerning the business or affairs of the Company or its clients or its customers, unless required to do so by
the Company or by Court of Law, whether during the currency of your employment or after its termination.

10. Disciplinary

You shall not engage in any act or deed which is subversive of discipline and decorum to be maintained in the
course of carrying out your responsibilities in the Company.

If the above proposal is acceptable to you, please confirm your written consent and report for joining. Upon
acceptance of this appointment, together with Annexures hereto, this letter will be considered as an
employment contract for personal service from the date of your joining the company.

ANNEXURE-B

TERMS OF EMPLOYMENT

Appointment
This letter of appointment read along with your acceptance and your act of joining the services of the
Company by the time stipulated and also read with the applicable laws are deemed the contract of
employment between the Company and yourself. The company shall have sole discretion to extend your
probation or to confirm your employment based on the review of your performance.
1. Duties

2.1 While in the service of the company, you shall devote the whole of your time to the business of the
Company to the best of your ability and you shall not either directly or indirectly be connected with,
concerned in, or employed in any other business whatsoever.

2.2 You will be medically examined periodically or at any time regarding your fitness to continue to work as
directed by the Company. The examinations will be done by a Medical Officer or any Medical
Practitioner of the Company’s choice and their opinion this regard shall be final and binding on you.

2.3 You shall keep the Company informed of any changes in respect of your personal data.

2.4 Employment of Relatives:

You shall disclose prior to your joining the Company the details of any Immediate or distant
relatives working in the Company. In a likely event if you are not aware of an employment of your
relative in the Company, you shall disclose to HR immediately on you becoming aware of the same.
In the event of marriage between two employees or a marriage leading to a formation of a relationship
should also be immediately informed to HR in writing.

For the purpose of this clause please read the Immediate and Distant relatives as under –

Immediate relative means Spouse of the employee (current or former), Brother or sister of the
employee (including step and adopted relations), Brother or sister of the spouse of the employee
(including step and adopted relations), Parents of the employee, Parents of the Spouse and Children
of the employees (Including Step Children).
Distant relative means Cousin Brother or Sister, Paternal Uncle or Aunt, Maternal Uncle or Aunt and
Spouses of Cousin brother and sister.

2.5 You shall follow all the Health and Safety Environment guidelines and rules laid down by the Company
from time to time. Working safely is a condition of employment and violation of the safety rules will result
in disciplinary action taken against you. (Annexure C)

2.6 In keeping with the established practice, you shall retire from the services of the Company at the end of
the month in which you attain the age of sixty (60) years.

2. Rules of Work
You shall be governed by such rules as are currently in force in the company. Any amendment to such
rules will automatically be applicable to you even though the same may not be individually
communicated to you.

4.1 You may be assigned with any equipment / mobile, necessary for the performance of your duties. All
such items shall remain the property of either the Company / the client and you will be held responsible
for safe keeping & maintenance of such equipment / mobile.
4.2 In the event of termination / separation of your employment, all such equipment / mobile must be returned
to the Company / the client. Failure to return the equipment / mobile will be deemed as a loss of property
and the Company shall have right to offset such value, or any other indebtedness to the Company
against any money that may be due to you from the Company at the date on which your employment
with the Company ceases.
4.3 Should the amount payable by you to the company be more that the dues payable to you by the company,
the company shall have the right to resort to appropriate legal proceedings against you for recovery of
money / its assets. The right of the Company to proceed at law in the recovery of such indebtedness
shall not be prejudiced by anything contained herein.

4. Intellectual Property

All intellectual property, including, but not limited to, patents, trademarks, designs and Copyright created or
generated by yourself in the course of your employment (which shall Include after-hours work performed
for the Company) shall vest in, and be owned by, the owned by the Company and insofar as it may be
necessary, you shall sign and execute such deeds of assignment as may be necessary and as called upon
by the Company.
5. Code of Ethics and Conduct (CoEC)

6.1. It is a specific term of your employment contract that the Code of Ethics and Conduct of the
Company shall be binding on you and you are familiar with and will abide by such Code. Further the
code of conduct of the client Britannia is also to be adhered to.
7.1. You hereby acknowledge and agree that in the course of carrying on business the Company makes various
computing and networking resources, Internet access and Electronic and other forms of communication
available to you, including but not limited to, e-mail, internet, fixed – line telephone, mobile telephone for
The sole and exclusive purpose of enabling you to conduct your duties and functions for and on behalf of
the Company.
You shall accordingly not utilise the aforesaid computing and networking resources. Internet access and
electronic and other forms of communication made available to you for your own or any other unauthorised
purpose, not associated with the furtherance of the Company’s business interests, without prior written
approval from the Company.
7.2. You also hereby expressly give the Company permission to intercept, monitor, read, block or act upon any
of your or your use of electronic or other forms of communications (including any communication that is
personal in nature) that shall include, but not limited to, e-mails, Internet, telephonic conversations and any
stored files.
7.3. Where you are required to make use of the Company’s computing and networking resources, Internet
access and electronic or other forms of communication, then the Company’s policies governing its
computing and networking resources, Internet access and electronic and other forms of communications
shall also apply
6. Amendments

The Company, at its discretion, may add, alter, replace or annul any of the above, should circumstances so
warrant either as a result of a statute, court order or otherwise

Annexure C - Leave Policy
Entitlement

An employee will be entitled to maximum 28 days (4 weeks) cumulative earned leave, for a Calendar year (1st
July – 30th June ). All leaves other than Sick Leave are subject to prior approval and the Company shall have the
discretion to reject any such leave based on business exigencies. For sick leave availed beyond 3 continuous
days, Medical certificate from certified medical practitioner needs to be submitted.

Note:

Encashment of Annual Leave at the end of the calendar year will be provided for unavailed leaves during the year,
maximum to the extent of 7 days or the actual leave balance in the employee’s leave account whichever is lesser.

Leave Balance on Separation

For any employee leaving on separation, the cumulative leave balance available would reckon proportionate to
their tenure during the relevant calendar year. Such leave balance may be adjusted against the notice period or
will be encashed with F&F at the discretion of the management.

This Leave Policy may be revised, amended or modified, based on the business needs and the Management
Policy, from time to time.
Maternity Benefit (Amendment) Act, 2017
The amended provisions of Maternity Benefits Act effective from 1st April 2017.
