    BINDING AGREEMENT

    This Agreement is made between


    ANYM Digital Marketing (“Service Provider”)
    and Alphawave FC (“Client”).

    Scope of Services:

    The Service Provider agrees to fulfill a comprehensive marketing and social media strategy for the Client.

    Services Provided:

    - Development and execution of a marketing strategy, social media strategy & scheduling, account setup & optimization, social media
    management and monitoring performance analysis and reporting.
    - Agreed Deliverables: 56 Posts Design and implementation, 14 short form videos.

    Duration:

    This Agreement shall be on a monthly basis, starting from 23-10-24 till 01-02-25, it will automatically renew on a 3 months basis unless
    terminated by either party.

    Payment Terms:

    - The Client agrees to pay the Service Provider a total amount of 8000 USD for the period of three months as following:

    1 Payment : 24-10-24 amount: 5000 USD

    2 Payment : 01-12-24 amount: 1000 USD Extra transfer fees will be paid 50 % by client

    3 Payment : 01-01-25 amount: 1000 USD and 50 % by service provider.

    4 Payment : 01-02-25 amount: 1000 USD

    - Payments are due upon acceptance of the contract via wire transfer or cash.
    - Payments via Western Union Money Transfer should be sent to: First name: RICHARD Family name: NEHME

    Termination:

    - Either party may terminate this Agreement with a 30-day oral notice.
    - In the event of termination, the Client agrees to pay for all services rendered up to the termination date.

    Confidentiality:

    - Both parties agree to maintain confidentiality regarding all business and personal information shared during the course of this Agreement.
    - Confidentiality obligations will survive the termination of this Agreement.

    Intellectual Property:

    - Ownership of all created content and materials will be provided to the Client at the end of each month upon full payment.
    - The Service Provider retains the right to use the work in their portfolio.

    Dispute Resolution:

    - Any disputes arising from this Agreement shall be resolved through mediation. If mediation fails, disputes shall be resolved in the
    appropriate courts within the U.S., in accordance with the laws of the state in which the Client resides.

    Governing Law:

    - This Agreement shall be governed by the laws of the United States, and more specifically the state in which the Client resides.
