Greetings and Congratulations.


This has reference to your application for employment with FASTLAB and your subsequent interview you had
with us. We are pleased to offer you the position of Senior Software Engineer Trainee. Your maximum annual CTC will
be INR 5,00,000/- (Rupees Five Lakhs Only). FASTLAB follows performance based salary system. Your Salary will start
with Minimum 15000 INR Per Month (with free food and accommodation) and may increase up to maximum INR 41,526
Per Month based on your performance. Your starting salary is fixed based on your academic scores. There will be a
performance based salary hike after 5 months of your joining. You will be on a probation period of six months. After
successful completion of the probation and review thereof, you will be entitled to other allowances and benefits whatsoever
as per policies of the organization. Regular performance reviews will be done to assess your suitability. You shall receive
your payments on or before the 12th day of every month. Your notice period will be 2 Months.

What is next? You will be getting calls from any one of our TA Branches (Chennai / Dharapuram / Salem /
Coimbatore).You can join us ASAP. Your appointment will commence from the date of your joining the company.
FASTLAB is supporting customer operations across the globe on 24 x 7 basis. FASTLAB conducts background check on
Education, Employment, Criminal record as well as any other customer requirement. Any individual found mis-representing
data will be strictly dealt with as per company policy and may even result in immediate termination.

The details of your compensation structure, terms & conditions of your employment, confidential undertaking,
and code of ethics are attached with this offer letter. We welcome you to a pursuit of excellence with FASTLAB.
Kindly sign and return the duplicate copy of this letter as a token of your acceptance of this and send the same
back to us. To help complete joining formalities we request you to carry your all original documents for verification along
with their photocopies on the date of joining. The documents required are as under:
• Original offer & Appointment letter issued by FASTLAB
• One Passport size photographs
• Photocopies of ID Proof, Address Proof , All academic certificates
• Proof of Education Qualification
• Experience Certificates and relieving letters from the past employers
• Proof of salary from the last employer
• Copy of Passport/Driving license or Election ID Card
You are requested to report at the hiring branch office on the day of your joining for induction. Induction will
happen in batches. Mirroring will be used while inducting multiple batches. The date and place of induction will be intimated
to you by email/phone. There will be documents verification, back ground verification and on-the-job training for few days
at our Talent Acquisition branch office. FASTLAB is a performance based results oriented company and follows some
strict terms and standard operating procedures. So you need to perform very well, show your 200% efficiency and
learn all the technical and professional practices as early as possible in OJT. Strict disciplinary actions will be
initiated on poor performers. On successful completion of the OJT you will be posted to any of our production
towers/OMCs/ODCs/client locations.

1. EMPLOYMENT, TERMINATION and NON-COMPETITION AGREEMENT

This ETNC agreement (“Agreement”) is by and between M/s. FASTLAB having its registered office address at,
No.11/91, Vaishnavi Nagar Main Road, Medavakkam, Chennai – 600100 (herein after referred to as
“EMPLOYER”) and the newly joined employee (Mr/Miss/Mrs) ………………………………………………
(herein after referred to as “EMPLOYEE”) on the date of signature found bellow being the date when this
agreement comes into force.

1. Employment
(a) The Employee agrees that he will at all times faithfully, industriously, and to the best of his skill, ability,
experience and talents, perform all of the duties required of his position. In carrying out these duties and
responsibilities, the Employee shall comply with all Employer policies, procedures, rules and regulations, both
written and oral, as are announced by the Employer from time to time. It is also understood and agreed to by the
Employee that his assignment, duties and responsibilities and reporting arrangements may be changed by the
Employer in its sole discretion without causing termination of this agreement.

2. Termination
(a) The Employee may at any time terminate this agreement and his employment by giving not less than 2
MONTHS written notice to the Employer. The employee must have to pay the salary equivalent to the notice
period if he/she do not serve it. If an employee does not serve the notice period and also does not pay salary
equivalent to the notice period then the employee can be sued for the recovery of salary and also damages for
breach of this contract.
(b) The Employer may terminate this Agreement and the Employee’s employment at any time, without notice or
payment in lieu of notice, for sufficient cause.
(c) The Employer may terminate the employment of the Employee at any time without the requirement to show
sufficient cause.
(d) The employee agrees to return any property of the EMPLOYER at the time of termination.
(e) In any case, if the employee is found absent from the work for more than 3 days without any intimation, it
would be considered as absconding from the job and the employer will have the right to not issue any termination
documents or compensation and initiate suitable actions as per the applicable laws

3. Non- Competition
(a) It is further acknowledged and agreed that following termination of the employee’s employment with the
EMPLOYER for any reason the employee shall not hire or attempt to hire any current employees of the
EMPLOYER

(b) It is further acknowledged and agreed that following termination of the employee’s employment with the
EMPLOYER for any reason the employee shall not solicit business from current clients or clients who have
retained their association with the EMPLOYER in the 6-month period immediately preceding the employee’s
termination.

2. MUTUAL NON-DISCLOSURE AGREEMENT


This non-disclosure agreement (“Agreement”) is by and between The Director, FASTLAB having its address at,
No.11/91, Vaishnavi Nagar Main Road, Medavakkam, Chennai – 600100 (herein after referred to as
“EMPLOYER”) and the newly joined employee (Mr/Miss/Mrs)……………………………………………………..
(herein after referred to as “EMPLOYEE”) on the date of signature found bellow being the date when this
agreement comes into force.

I. RECITALS

A. EMPLOYER wish to exchange certain information pertaining to its operations, projects and business secrets.
This exchange includes all communication of information between the parties in any form whatsoever, including
oral, written and machine-readable form, pertaining to the above which is indicated as confidential.

B. EMPLOYER wish to exchange the information for the sole purpose of executing projects and each party regards
certain parts of the Information it possesses to be secret and desires to protect those parts from unauthorized
disclosure or use (such secret parts being hereafter collectively referred to as “Information”).

C. EMPLOYER is willing to disclose Information (as “Disclosing Party”) and receive Information (as “Receiving
Party”) as the case maybe, on the terms and conditions set forth herein.

II. AGREEMENT

In furtherance to the above mentioned, EMPLOYER and the EMPLOYEE agree to the following:

1. The Receiving Party will:

a. Not disclose Information of Disclosing Party to any other person and use at least the same degree of care
to maintain the Information confidential as Receiving Party uses in maintaining as confidential its own
confidential Information, but always at least a reasonable degree of care; due diligence will be taken by
both parties in maintenance of confidential information.

b. Use the Information only for the above mentioned purpose;

c. Restrict disclosure of the Information of the Disclosing Party solely to those employees of Receiving Party
having a need to know such Information in order to accomplish the purpose stated above;

d. Advise each such employee, before he or she receives access to the Information, of the obligations of
Receiving Party under this Agreement, and require each such employee to agree to maintain those
obligations.

2. This Agreement imposes no obligation on Receiving Party with respect to any portion of the Information
received from Disclosing Party which

a. was known to Receiving Party prior to disclosure by Disclosing Party,

b. is lawfully obtained by Receiving Party from a third party under no obligation of confidentiality,

c. is or becomes generally known or publicly available other than by unauthorized disclosure,

d. is independently developed by Receiving Party or

e. is disclosed by Disclosing Party to a third party without a duty of confidentiality on the third party.

f. is required by law or decree.

3. The Information shall remain the sole property of Disclosing Party.

4. Neither Disclosing party makes any representation with respect to and does not warrant any information
provided under this agreement, but shall furnish such in good faith. Without restricting the generality of the
foregoing, neither Disclosing party makes any representations or warranties, whether written or oral,
statutory, express or implied with respect to the information which may be provided hereunder, including
without limitation, any warranty of merchantability or of fitness for a particular purpose. Neither Disclosing
party shall be liable for any special, incidental or consequential damages of any nature whatsoever resulting
from receipt or use of the information by the receiving party.

5. Neither the execution of this Agreement nor the furnishing of any Information hereunder shall be construed
as granting either expressly or by implication, any license under or title to any invention, patent, copyright,
trademark or trade name now or hereafter owned by or controlled by the party furnishing the Information.

6. The Receiving Party will not export, directly or indirectly, any technical data acquired from Disclosing Party
or any product utilizing any such data to any third party, without first obtaining approval of the Disclosing
Party.

7. The rights and obligations of the parties under this Agreement may not be sold, assigned or otherwise
transferred (subject to contract).

8. The obligation of this Agreement shall be continuing for a period of __ years after the disclosure has been
made. However, EMPLOYER is free to use the Information solely for the purpose of teaching after a period
of __ years.

9. This Agreement can be terminated on thirty (30) days written notice by either party. However, Receiving
Party’s obligations of confidentiality and restrictions on use of the Information disclosed by Disclosing Party
shall survive termination of this Agreement.

This agreement will be construed and governed in accordance with the laws of India. Any dispute arising out or in
connection with the agreement shall be settled within the jurisdiction of Chennai courts.

Situations of Conflict of interest

It is impracticable to specify all circumstances that create conflicts of interest. But, for the purpose of this
document a conflict of interest may arise where

A FASTLABite has a financial, business or other interest or relationship with anyone who is a party to a
transaction with FASTLAB

A FASTLABite is in a position to make, influence, or benefit from decisions pertaining to the transaction,

A FASTLABite holds financial interests in a company to which FASTLAB give business (financial interest
excludes portfolio investment upto Rs. 50,000/-).

If a FASTLABite directs business to a supplier managed by a relative or close friend.

If a FASTLABite solicits subcontractors and vendors for donations to a charity in which he/she is involved
directly or indirectly.

If a FASTLABite receives personal discounts from a hotel chain for making reservations for others traveling on
company business.

If a FASTLABite uses company property for personal use.

If he/she takes a part time job requiring him/her to spend time on it during their normal FASTLAB working
hours or to use FASTLAB equipment in meeting their responsibilities.

He/she takes any gift whether in cash or in kind from any third party like vendors/customer, etc.

Note: The above list is indicative and not exhaustive. Management reserves the right to include other similar
activities in the example of situation of conflict of interest.

Responsibility of FASTLABites in case of Conflict of Interest

Be alert to situations that may present conflicts of interest and should inform the management of any
circumstance, which may create a conflict of interest or even the appearance of a conflict of interest directly or
indirectly.

They must follow the law, FASTLAB policies, and their own good conscience in all personal and business
dealings outside their jobs.

Avoid actions or relationships which might conflict or appear to conflict with their job responsibilities or the
interests of FASTLAB.

If a potential conflict of interest involves a FASTLABite, he/she must report it to the immediate senior whom
he/she reports.

When possible conflicts of interests are reported, take timely remedial and investigative action, including
notifying HR.

FASTLAB recognizes and respects the right of employees to take part in financial, business and other activities
outside their jobs. However, these activities must be lawful and free of conflicts with their responsibilities as
employees or the business of FASTLAB.

Confidential Information

Confidential and proprietary information can be defined broadly as commercially valuable information that
belongs to FASTLAB, including, and not limited to:

Production processes, marketing techniques and arrangements, mailing lists, purchasing information, pricing
policies, quoting procedures, financial information, employee compensation details; customer and prospect
names and requirements, employee, customer, supplier and distributor data, price lists and other materials or
information relating to the ’s business and activities and the manner in which the does business.

Computer software, whether now or hereafter existing, developed for use on any operating system or machine,
all modifications, enhancements and versions and all options available with respect thereto and all future
products developed or derived there from:

Source and object code, flowcharts, algorithms, coding sheets, routines, sub-routines, compilers, assemblers,
design concepts and related documentation and manuals.

Discoveries, concepts and ideas including, without limitation, the nature and results of research and development
activities, processes, formulas, inventions, computer-related equipment or technology, techniques, “know-how”,
designs drawings and specifications.

All other materials or information related to the business or activities of the, which are not generally known to
others engaged in similar businesses or activities.

All ideas, which are derived from or related to my access to or knowledge of any of the enumerated materials
and information.

All information about or belonging to suppliers and clients or, and all parties to any agreement with which would
be confidential information pursuant to the above confidential information shall not affect its status as
confidential information.

All information that, in any way affects the business and activities of, or which has a bearing on the future plans
of, or which is, in any way, involved in the execution of any project, bid, agreement, installation, marketing, or
any business activity of.

All information or set of facts that are connected with the finances of, whether pertaining to a period that is past,
present, or future.

The absence of any marking or statement that particular information is confidential information shall not affect
its status as confidential information.

Responsibility of a FASTLABite

Not using or releasing to others - whether or not for personal benefit - any confidential information known as a
result of employment by FASTLAB.

Acknowledging, respecting and protecting any proprietary information residing in the software and systems
programs that FASTLAB- develops.

Managerial permits and legal requirements are required in order that such proprietary information not be
improperly taken from FASTLAB.

FASTLABites should internalize the respect for the safety of information and safeguard such information from
misuse.

The access given to trade secrets and proprietary information of our customers or other third parties should be
safeguarded.

FASTLABites should also honor the trust imposed by the knowledge of such information.

Not allowing unauthorized personnel into the work areas.

Without proper approval, disclosure of such confidential information to non-employees or even to other
employees who do not have a business need to know the information will be a matter of concern.

While working in office of FASTLAB I shall not knowingly receive or encourage any call or message from any
Third Party including but not limited to calls/ messages from recruiting agencies or headhunters, whether by
telephone, mobile phone, e- mails or otherwise offering or enquiring about me or other FASTLABite’s interest
in evaluating an opportunity for any outside employment or engagement and such call received, if any, shall be
immediately refused to be attended to by me and shall in no event be acknowledged / accepted by me to such
Third Party or otherwise encouraged . In the event of call being received by me unknowingly whether directly
or through Office Reception/Telephone desk of FASTLAB ,I shall keep my Head Of Department promptly
informed of any such call including the contact details etc and Company shall be free to call/ contact such Third
Party and deal with the said Third Party in such manner as it deems fit including initiating the Legal action

available to it against said Third Party under law and I further undertake that I shall take all effective steps
whatsoever possible that the repeated call shall not be forwarded to me or my colleague as the case may be and
shall provide all co-operation to the Company in initiating the Legal action as may be available to FASTLAB-
under law.

Salary range or job level information is sensitive, even for survey purposes, and must not be shared without prior
approval except with the immediate superior to whom such FASTLABite is reporting functionally or
administratively.

The above list is not exhaustive and may be revised without due notice. In the case of any further clarifications
that may be required about the above policies, please contact HR.

The Electronic mail – Its rules and regulations

The electronic mail is an inherent feature of our work at FASTLAB. It is a peer-to-peer product that enables a
FASTLABite to easily communicate with his/her colleagues and business partners. Since with the freedom to
use comes some responsibilities, it is therefore imperative that certain norms be followed by FASTLABites.

Our Corporate System

All computers, software and information are FASTLAB property and messages in E-mail are considered as
business information.

Authorized personnel may access any messages for either legal, maintenance or any other appropriate reason.

The company does not guarantee the privacy of messages stored or transmitted on this system. The company
reserves every right to monitor, examine, block or delete any incoming or outgoing e-mail in the company's
Network.

Company is authorized to take disciplinary action against the employees who violate this policy.

Rules

Only some Users/PCs will be given access for web browsing in each department after taking a sign-off from the
HODs. Access may be provided after 6.00 p.m.

Sites like Yahoo, hotmail, rediffmail and some other cricket and job sites will be banned.

Audit for the number of mails sent and received will be done on regular basis to discourage unofficial mails.

Strict adherence to this policy book is expected from every employee of this company.

Internet access audit logs will also be scrutinized for use of unauthorized sites.

Any logs not confirming to company policy or not in line with company’s interest would be brought to the
attention of their respective managers and disciplinary action would be initiated immediately.

It is inappropriate, and in violation of company policy, to use E-mail for: Flame (hate) mail, game playing, chain
letters, Junk mail, unofficial advertisements, private commercial activity or any personal gain.

Every user is accountable for any mail action that can be traced to his/her user-id.

Confidential messages must include a warning to advice of such confidentiality. If the message and contents are
not to be forwarded/copied, the sender is responsible for providing such instruction to the addressee(s).

Messages must not be read or sent from another user's account except under proper delegate arrangements.

FASTLAB- reserves the right to access and disclose all messages sent over its electronic mail system, for any
purpose, including disclosure of any electronic mail message to law enforcement officials, with or without notice
to any employee who may have sent or received such messages. FASTLAB also reserves the right to destroy
any and all messages at any time, subject to limitations required by law enforcement officials or other legal
authorities.

Responsibility of FASTLABites

Not to use the Internet for any "official" company business that contains any sensitive information.

For mailer and mass updates to customers avoid using the ‘co.in’ server. Ask for a mail id on the FASTLAB.com
server.

Every FASTLABite shall be responsible for taking suitable protective action to prevent sending and
downloading files with Viruses. Sending files with virus to customers and business partner’s projects a bad image
of our company.

The FASTLABite hereby solemnly agrees, promises, and undertakes (a) to maintain confidentiality of all
information that he/she may have access to during the course of his/her employment, and (b) shall abide by the
Code of Ethics document and agrees to suffer the consequences of any breach of the terms as may be available
to FASTLAB under rules and law.

As a practical matter, ethical conduct cannot be assured by written policies and codes, hence in this regard this
document is just an attempt to pen it down; However, it is an integral part of the organization, a deeply ingrained
tradition that is passed from one generation of employees to another.

You are expected to contribute atleast 60 man-hours (15 individual projects) per month in project delivery

5. CONFIDENTIAL UNDERTAKING
As a condition and consideration of my employment or association with FASTLAB, its subsidiaries,
affiliates, successors and assigns (together the “Company”), in a responsible position and my receipt of the
compensation now and hereafter paid to me by the Company, I hereby agree to the following:

1. Confidential Information

a. Company Information. I confirm that protection of the Company's Confidential Information and
goodwill is of utmost necessity and that I agree that I shall not, directly or indirectly, except where
authorized by the competent authority of the Company for the benefit of the Company at any time
divulge, communicate or disclose to any persons, firms, corporations, companies, governmental
entities or agencies or any other entities, other than the Company ("Third Parties"), or use or cause or
authorize any Third Parties to use except for the benefit of the Company, any such Confidential
Information, or any other information which I know or should know by virtue of being the employee
of the Company, whether or not any of the foregoing information is actually novel or unique, except
as otherwise required by law,

b. Former employer Information. I agree that I will not, during my employment or association with the
Company, improperly use or disclose any proprietary information or trade secrets of any former
employer or Third Parties and that I will not bring into the premises of the Company any unpublished
document or proprietary information belonging to any such employer or Third Parties unless
consented to in writing by such employer or Third Parties.

c. Third Party Information. I recognize that the Company has received and in the future will receive
from Third Parties, which may or may not be the customers or prospective customers of the Company,
their confidential or proprietary information subject to a duty on the Company’s part to maintain the
confidentiality of such information and use it only for certain limited purposes. I agree to hold all
such confidential or proprietary information in the strictest confidence and not to disclose it to any
person, firm or corporation or to use it except as necessary in carrying out my work for the Company
in conformity with the Company’s agreement with such Third Party.

d. Employee Has and Shall Receive Confidential Information. I acknowledge that I have been provided
with information about the Company during the term of my employment or association with the
Company (including any renewals or extensions) and my employment or association will continue to
bring me into close contact with confidential affairs of the Company. Thus, I acknowledge that by
reason of my employment or association with the Company, I will acquire Confidential Information.

e. Employee Acknowledges Importance of Confidential Information. I acknowledge that all


Confidential Information is of great value to Company, and essential to preservation of the business
and the goodwill of the Company.

f. Employee's Services Special and Unique. I recognize the duties and services to be performed by
myself, as an employee or associate of the Company, are special, extraordinary and unique, and
intellectual in nature.

g. “Confidential Information” shall include all:

1. Production processes, marketing techniques and arrangements, mailing lists, purchasing


information, pricing policies, quoting procedure, financial information, funding information,
customer and prospect names and requirements, employee, customer, agents, supplier and
distributor data, business strategies, plans, assets, liabilities, revenues, profits price lists and other
material or information relating to the Company’s business and the manner in which the
Company carries out its business:

2. Computer software whether now or hereafter existing, developed for use of any operating system
or machine, all modifications, enhancements, and versions and all options available with respect
thereto, and all future products developed or derived there from.

3. Source and object code, flowcharts, algorithms, coding sheets, routines, subroutines, compilers,
assemblers, design concepts and related documentation and manuals.

4. Discoveries, concepts and ideas including, without limitation, the nature and results of research
and development activities, processes, formulas, products, patents, inventions, computer-related
equipment or technology, techniques, "know-how”, designs, drawings and specifications,
procedures, methods, designs, strategies and any other information required for carrying out the
business of the Company. These shall also include any information about the customers and
clients of the Company.

5. All other materials or information related to the business or activities of the Company, which are
not generally known to others engaged in similar businesses or activities.

6. All ideas which are derived from or related to my access to or knowledge of any of the
enumerated materials and information, and

7. All information about or belonging to suppliers and clients of, and all parties to any agreement
with, the Company which would be confidential information pursuant to the above definition if
such other parties were in the position of the Company.

8. The markets, customers, prospective customers (whom Company has contacted, made sales
presentations, provided bids, or otherwise specifically solicited during the Term hereof),
suppliers, vendors and employees of the Company, records of transactions, and other information
concerning the business of Company. Such customers or prospects shall include, but not limited
to customers of the Company on whom I called or with whom I became acquainted while being
associated with the Company.

9. The absence of any marking or statement that particular information is Confidential Information
shall not affect its status as Confidential Information.

I understand that “Confidential Information” for this purpose shall mean and include all information,
regardless of the form and whether oral, written, stored in a computer database or otherwise, which

has been disclosed by the Company or any of its employees or promoters to myself. I understand that
Confidential Information does not include any of the foregoing items, which has become publicly
known and made generally available through no wrongful act of mine or of others who were under

confidentiality obligations as to the item or items involved. I hereby accept the responsibility for
maintaining the secrecy and confidentiality of such Information and all portions thereof during the
term of my employment or association with the Company and for a period of eighteen (18) months
thereafter following the termination of my employment or cessation of my association with the
Company and recognize without any objection or protest the unequivocal right of the Company to
ascertain from my employers of any breach or threatened breach by me of this undertaking.

h. Ownership Of Confidential Information

1. All rights, title and interest in all Confidential Information shall be and remain the exclusive
property of the Company including all Confidential Information developed in whole or in part by
me during my assignment with the Company, I agree and shall assign to the Company all right,
title and interest I may have in such Confidential Information and to execute any instruments and
to do all other things reasonably requested by the Company both during both during and after my
tenure with Company in order to vest more fully in the Company all ownership rights in
Confidential Information transferred by me to the Company.

2. If any one or more of the items described above are protected under the copyright laws and
international copyright treaty and are deemed in any way to fall with the definition of “work
made for hire”, the copyright of which shall be owned solely, completely and exclusively by the
Company. If any one or more of the aforementioned items are protected by categories of work
covered by the “work made for hire” definition contained under any relevant law of any nation
or jurisdiction, such items shall be deemed to be assigned and transferred completely and
exclusively to the Company by virtue of the execution of this Agreement.

i. Materials. All notes, data, tapes, reference items, sketches, drawings, memoranda, records and other
materials in any way relating to Confidential Information or otherwise to the Company’s business
shall belong exclusively to the Company, and I shall return to the Company all copies of such
materials in my possession or under my control at the request of the Company or, in the absence of
such a request, upon the termination of my employment or cessation of my association with the
Company. This section will be enforceable against my heirs, successors and assigns.

2. Proprietary Information.

a. Return of Proprietary Information. Upon termination of my employment or cessation of my


association with the Company, for any reason, I shall immediately turn over to the Company any
"proprietary information," as defined below. I shall have no right to retain any copies of any material
qualifying as "proprietary information" for any reason whatsoever after termination of my
employment or cessation of my association with the Company, without the express written consent
of the Company.

b. Non-Disclosure. It is understood and agreed that, in the course of my employment hereunder and
through my activities for and on behalf of the Company, I will receive, deal with and have access to

the Company's "proprietary information" and I hold the Company's "proprietary information" in trust
and confidence for the Company. I agree that I shall not, during the term of this Agreement or
thereafter, in any fashion, form or manner, directly or indirectly, retain, make copies of, divulge,
disclose or communicate to any person, in any manner whatsoever, except when necessary or required
in the normal course of my employment hereunder and for the benefit of the Company or with the
express written consent of the Company, any of the Company's "proprietary information" or any
information of any kind, nature or description whatsoever concerning any matters affecting or relating
to the Company's business.

c. Proprietary Information Defined. For purposes of this Agreement, "proprietary information" means
and includes the following: the identity of clients or customers or potential clients or customers of
the Company; any written, typed or printed lists or other materials identifying the clients or customers
of the Company; any financial or other information supplied by clients or customers of the Company;
any and all data or information involving the techniques, programs, methods or contacts employed
by the Company in the conduct of its business; any lists, documents, manuals, records, forms, or other
material used by the Company in the conduct of its business; any descriptive materials describing the
methods and procedures employed by the Company in the conduct of its business; and any other
secret or confidential information concerning the Company's business or affairs. The terms "list" and
"document" (or their equivalent) as used in this Section are not limited to a physical writing or
compilation but also include any and all information whatsoever regarding the subject matter of the
"list" or "document," whether or not such compilation has been reduced to writing.

3. Inventions.

Inventions Retained and Licensed. I have attached hereto, as Exhibit A, a list describing all inventions, original
works of authorship, developments, improvements, and trade secrets which were made by me prior to my
employment with the Company (collectively referred to as “Prior Inventions”), which belong to me, which relate
to the Company’s proposed business, products or research and development, and which are not assigned to the
Company hereunder, or, if no such list is attached, I represent that there are no such Prior Inventions. If in the
course of my employment or association with the Company, I incorporate into a Company product, process or
machine a Prior Invention owned by me or in which I have an interest, the Company is hereby granted and shall
have a nonexclusive, royaltyfree, irrevocable, perpetual, worldwide license to make, have made, modify, use and
sell such Prior Invention as part of or in connection with such product, process or machine.

Assignment of Inventions Any and all inventions, products, designs, discoveries, literary works, art works and
work product of any nature (collectively, the "Inventions"), whether or not can be patented
or copyrightable, which I have conceived and/or made during my employment or association with the Company,
whether or not during working hours, and which have or may have any applicability to any aspect of the business
of the Company, shall be the sole and exclusive property of the Company, and by the execution hereof, I hereby
irrevocably assign, transfer and convey to the Company all of my right, title and interest in and to all Inventions,
which may be developed during my employment or association with the Company (solely or jointly with others).
I shall inform the Company of any Inventions promptly after it has been conceived and/or made in the detail
necessary to permit the Company to understand the same and practice them without the exercise of further
inventive skill. When required to do so by the Company, I shall execute any and all documents necessary to
desirable to convey title in any copyright or patent applications covering any of such Inventions in India or in
foreign countries. However, the failure on my part to so execute any such

documents shall in no way be deemed to affect the assignment, transfer and conveyance of such Inventions to
the Company hereby.

Maintenance of Records. I agree to keep and maintain adequate and current written records of all Inventions
made by me (solely or jointly with others) during the terms of my employment with the Company. The records
will be in the form of notes, sketches, drawings, and any other format that may be specified by the Company.
The records will be available to and remain the sole property of the Company at all times.

Patent and Copyright Registrations. I agree to assist the Company, or its designee, at the Company’s expense, in
every proper way to secure the Company’s rights in the Inventions and any copyrights, patents, mask work rights
or other intellectual property rights relating thereto in any and all countries, including the disclosure to the
Company of all pertinent information and data with respect thereto, the execution of all applications,
specifications, oaths, assignments and all other instruments which the Company shall deem necessary in order
to apply for and obtain such rights and in order to assign and convey to the Company and its nominees the sole
and exclusive rights, the title and interest in and to such Inventions, and any copy rights, patents, mask work
rights or other intellectual property rights relating thereto. I further agree that my obligation to execute or cause
to be executed, when it is in my power to do so, any such instrument or papers shall continue after the termination
of my employment or cessation of my association with the Company. If the Company is unable, because of my
mental or physical incapacity or for any other reason, to secure my signature to apply for or to pursue any
application for any Indian or foreign patents or copyright registrations covering Inventions or original works of
authorship assigned to the Company as above, then I hereby irrevocably designate and appoint the Company and
its duly authorized officers and agents as my agent and attorney in fact, to act for and in my behalf and stead to
execute and file any such applications and to do all other lawfully permitted acts to further the prosecution and
issuance of letters patent or copyright registrations thereon with the same legal force and effect as if executed by
me.

Non-Competition. I agree that, during the term of my employment or association with the Company, I will not
engage in any other employment, occupation, consulting or other business activity with any Third Parties,
directly related to the business in which the Company is now involved or becomes involved during the term of
my employment, nor will I engage in any other activities that conflict with my obligations to the Company. I
also agree that after the termination of my employment or cessation of my association with the Company for any
reason whatsoever, I shall not undertake any employment or enter into any kind of association with any Third
Parties for a period of eighteen (18) months in India or any place outside India where I was posted by the
Company in the last eighteen (18) months prior to the termination of my employment or cessation of my
association with the Company, where such Third Parties are in competitive business with the Company and
whereby to carry out my functions with such Third Parties I may be obliged to use any of the Confidential
Information, Proprietary Information, Inventions belonging to the Company or Third Party Information made
available to the Company. I further agree that I shall abide by the provisions of Exhibit B as and where applicable
to myself. I understand that if I violate the above undertaking then I shall be liable for suitable damages, which
will be decided at the discretion of the Company after taking into consideration the nature and extent of the
violation. I acknowledge that the Confidential Information, Proprietary Information or Inventions constitute one
of Company’s main strengths, and that the Company has a legitimate interest in including a non-competition
clause in this Agreement. I also agree that if any of the provisions of this Agreement is violated or likely to be
violated then the Company shall also be entitled to move for injunction against me before a competent court

Returning Company Documents. I agree that, at the time of leaving the employment or on the cessation of my
association with the Company, I will deliver to the Company (and will not keep in my possession, recreate or
deliver to anyone else) any and all Confidential Information, Proprietary Information or Inventions or

reproductions of any aforementioned items developed by me pursuant to my employment or association with the
Company or otherwise belonging to the Company.

Notification to New Employer. In the event that I leave the employment or if my association with the Company
ceases, I hereby grant consent to notification by the Company to my new employer about my rights and
obligations under this undertaking.

Solicitation of Employees For a period of eighteen (18) months after termination of my employment or cessation
of my association with the Company for any reason whatsoever, I shall not, solicit or cause or authorize directly
or indirectly to be solicited for employment, or cause or authorize directly or indirectly to be employed on my
own behalf or on behalf of any Third Parties, any person who is an employee of the Company. I also agree not
to use or disclose to any Third Parties any information obtained by myself while being an employee of the
Company concerning the names and addresses of the Company's past and present employees.

Solicitation of Customers. I agree that during the term of my employment or association with the Company and
for a period of eighteen (18) months thereafter, I shall not solicit or cause or authorize directly or indirectly to
be solicited, or accept or cause or authorize directly or indirectly to be accepted, for or on behalf of myself or
Third Parties, any business from any Third Parties who are, at any time within eighteen (18) months prior to
termination of my employment or cessation of my association, customers or prospects of the Company.

Solicitation of Business Partners. I agree that during the term of my employment or association with the
Company and for a period of eighteen (18) months thereafter, I shall not solicit or authorize directly or indirectly
to be solicited for or on behalf of myself or any Third Parties any of the Principals, Distributors, Agents, Re-
sellers, Joint Venture Partners, Dealers, any major Suppliers or any business partners of the Company, who have
at any time within eighteen (18) months prior to the termination of my employment or cessation of my association
have a relationship with the Company, to disassociate or modify their relationship with the Company to my
benefit or to the benefit of any Third Parties. This shall include any of the parties with whom the Company made
substantial progress in negotiating any relationship in the nature described above.
Representations. I agree to execute any proper oath or verify any proper document required to carry out the terms
of this Agreement. I represent that my performance of all the terms of this Agreement will not breach any
agreement to keep in confidence proprietary information acquired by me in confidence or in trust prior to my
employment or association with the Company. I have not entered into, and I agree I will not enter into, any oral
or written agreement in conflict herewith.

4.
General Provisions.

Governing Law: Consent to Personal Jurisdiction. The laws of the Republic of India shall govern this Agreement.
I hereby expressly consent to the jurisdiction of such competent courts in India for any lawsuit filed there against
me by the Company arising from or relating to this Agreement.

Entire Agreement This Agreement and my employment agreement with the Company set forth the entire
agreement and understanding between the Company and me relating to the subject matter herein and merges all
prior agreements and discussions between us. No modification of or amendment to this Agreement, nor any
waiver of any rights under this agreement, will be effective unless in writing signed by the party to be charged.
Any subsequent change or changes in my duties, salary or compensation will not affect the validity or scope of
this Agreement.

employment or cessation of his association with the Company. These are not exhaustive in nature and are in
addition to the obligations he has already undertaken in the Agreement:

Shall not during the term of his employment or association with the Company and for a period of eighteen (18)
months thereafter, solicit or cause or authorize directly or indirectly to be solicited, or accept or cause or authorize
directly or indirectly to be accepted, for or on behalf of himself or any Third Parties any project on which he had
worked for any customer(s) of the Company in a period of eighteen (18) months prior to the termination of his
employment or cessation of his association with the Company. He shall also not work on any project(s) similar
to any project(s), he is or was working for any customer(s) of the Company for a period of eighteen (18) months
prior to the termination of his employment or cessation of his association with the Company, for any
competitor(s) of the said customer(s) of the Company during the term of his employment or association with the
Company and for a period of eighteen (18) months thereafter.

Cannot make use of any exclusive project related technology applied by the Company and about, which he came
to know during his employment or association with the Company.

Cannot work on similar project(s), for and on behalf of any Third Parties, which he is or was working on for a
period of eighteen (18) months prior to the termination of his employment or cessation of his association with
the Company, using non generic (specific methodology, techniques etc.) skills acquired during his employment
or association with the Company.

Cannot use or divulge any proprietary or confidential tool, technology, methods, processes, project methodology
of the Company as well as that of any of the clients or customers of the Company for which he worked or came
into contact during his employment or association with the Company.

Cannot prospect with customers visited as the Company sales employee for a period up to 18 months from
cessation of service. Cannot also make sales calls to any prospect in the concerned region of the geography of
the Company for a period of 18 months from cessation of service.

Cannot join the sales department of such Third Parties who are or were customers of the Company for eighteen

Cannot divulge to any Third Parties about the sales revenues of the Company from its customers in India or any
place outside India where he was posted by the Company in the last eighteen (18) months prior to the termination
of his employment or cessation of his association with the Company or the sales revenue of any other territory
if he came to know about the same because of his employment or association with the Company.

Cannot divulge or use or share with any Third Parties the sales and marketing strategy and competition, sales
plans, account plans, strategies, documents and presentations and any related information about the Company,
which are in the nature of proprietary information of the Company and, which he came to know about because
of his employment or association with the Company, for his own benefit or for the benefit of any Third Parties
for eighteen (18) months prior to the termination of his employment or cessation of his association with the
Company.

Cannot divulge or use, utilize, divulge or share with any Third Parties any information, facts, information,
documents and any related information about the Company, which are in the nature of proprietary information
of the Company or otherwise and, which he came to know about because of his employment or association with
the Company, for his own benefit or for the benefit of any Third Parties for eighteen (18) months prior to the
termination of his employment or cessation of his association with the Company.

A timesheet (or time sheet) is a method for recording the amount of a worker's time spent on each job.
Traditionally a sheet of paper with the data arranged in tabular format, a timesheet is now often a
digital document or spreadsheet.

Originally developed for an employer to calculate payroll, timesheets can also be used for management
accounting. Timesheets may record the start and end time of tasks or just the duration. It may contain
a detailed breakdown of tasks accomplished throughout the project or program. This information may
be used for payroll, client billing, and increasingly for project costing, estimation, tracking, and
management.

Some companies provide web-based timesheet software or services that provide a means to track time
for payroll, billing and project management. One of the major uses of timesheets in a project
management environment is comparing planned costs versus actual costs, as well as measuring
employee performance, and identifying problematic tasks. This knowledge can drive corporate
strategy as users stop performing or reassign unprofitable work.

Each and every associate should fill the time sheet very clearly on daily basis. Your Man-Hours
calculations will be done based on your time sheet report. For getting full salary you need to contribute
200 Man Hours per month. If you can't contribute 200 Man Hours in a month, you will become a
burden to the company

may be determined by the Company;

AND WHEREAS the Employee recognizes and accepts that at the time of appointment, except exposure
to academic knowledge, he/she has received no formal, effective, technical or practical training to
independently function as a skilled employee who is commercially viable to the Company;

AND WHEREAS the Employee further recognizes and accepts that prior to and at the time of joining
the Company, he/she has not been exposed to and, therefore, has not acquired any management or
communication skills, which are essential to for performance of duties by the skilled associates which
meet the current business needs, parameters, standards and efficiency levels required by the
Company;

AND WHEREAS consequently and in order for the Company to utilize the skills of the Employee, the
Employee would need to undergo formal and extensive training in accordance with courses, modules
and programmes prescribed or conducted by the Company;

AND WHEREAS the Employee is aware that the Company would be expending substantial sums of
money and incurring costs, expenses, man hours etc. in the process of selecting and appointing him/her
and thereafter imparting training to such Employee;

AND WHEREAS the Employee recognizes and accepts that the Company would suffer substantial
financial loss, inconvenience, loss of resources, man hours, computer time etc., in the event the
Engineer fails to complete the on the training as prescribed hereunder and/or leaves the Company
during the Service Period

AND WHEREAS the Employer felt it necessary to enter into a service bond of ONE YEAR with effect
from the date of this agreement with the Employee in view of the cost incurred by the Employer in
respect of process of selection, on the training, induction etc.

AND WHEREAS the Employee has also agreed and undertaken to enter into a service-bond for a
period of ONE YEAR with the Company from the date of the agreement on the terms and conditions as
stated and expressed hereunder : -

NOW THEREFORE THESE PRESENTS WITNESSES AND IT IS HEREBY MUTUALLY AGREED TO BY


AND BETWEEN THE PARTIES HERETO AS UNDER : -

1. That the Employee agrees to serve with and be employed in this Company, or concern or associates
to which the Employee's services may be transferred by this Company for a period of ONE YEAR
from the date of this agreement on the terms and subject to the conditions hereinafter contained.

2. If any time, during the Training / Probation Period, the employee does not show the expected
performance or remains absent without prior permission or misbehaves, his service can be
terminated without giving any prior notice or by making payment in lieu of notice

3. That the employee shall be entitled to all the benefits and/or amenities as may be available to the
Employees of class employed in the Company from time to time during the period of his services
with this Company or with the Company or firm or concern or associates to which his services may
be transferred from time to time.

4. That during the period of his employment, the Employee shall be bound to observe and abide by all
terms and conditions and stipulations hereinafter contained as also by such other rules and
regulations as may be framed by the Company from time to time to be observed by or to be applicable
to the Employees of his class.

5. That during the period of his employment the Employee shall be punctual in attendance and diligent
in his work and the Employee shall devote all his working time and the best of his abilities, exclusively
for the benefit of the Company. The Employee further agrees to obey all orders of and carry out all
duties entrusted to him from time by his Senior Officers.

6. That it shall be competent to the Company to transfer the services of the Employee to any other
Company or Firm or concern to which the Management of this Company deem it necessary or fit to
transfer and in the event of such other Company or Firm or Concern and shall be entitled to the
continuity of the services under these presents and shall be entitled to all the amenities or benefits
which may be in force in such Company, Company or concern to which his services may be
transferred. The Company hereby stipulates that in the event of the transfer of the Employee to any
other Company or Firm or concern as aforesaid the emoluments to which he is entitled by virtue of
these presents shall not in any way or manner be reduced or allowed to suffer. All clauses herein

shall apply `Mutatis Mutandis' and shall continue to remain binding on the Employee even in the
event of his transfer to other Company or Firm or Concern, as if his present agreement was entered
into such Company or Firm or Concern.

7. That the Employee hereby agrees and undertakes to safeguard and hold in trust all notes, notebooks,
memorandums, papers, drawings, sketches, diagrams, formulas, designs, books, letters, lists, CDs,
DVDs, Floppies including those of or pertaining to raw materials, finished products, goods-in-
process, names of suppliers, names of purchasers, or dealers as also price lists of the Company's
product or of things in which Company may be dealing in, or may be contemplating to deal in, and all
other papers and documents of whatsoever nature and kind that may have come in possession of the
Employee while in the Employment of the Company and not to handover the same to any unauthorized
person or suffer or permit the same to be handed over to any unauthorized person and the Employee
hereby undertakes to handover all such papers or things above said to Senior Officers whenever
called upon to do so and the Employee further agrees not to make copies of or to take extracts from
any papers, documents etc., belonging to Company for any purpose other than those of the
employment in the Company and further agrees not to carry any such paper, document or copies of
extracts outside the premises of the Company and the Employee further agrees to deliver up all such
papers, documents etc., in his possession to his Senior Officers whenever called upon to do so and
it shall not be competent for the Employee in such an eventuality to withhold any papers or documents
of whatsoever nature on the ground that they relate to his employment directly or indirectly.

8. That in the event of the Employee making any discovery or invention relating to the Manufacture,
developments or processing of any product that may have been undertaken to be manufactured by
the Company or to be experimented on, the same be the property of the Company, and in the event
of the Company deciding to apply for any patent or registered trade mark in connection therewith,
the Employee shall join the Company in all applications to the authorities concerned for obtaining and
getting vested such patent rights and/or trademark rights in the same to and in favor of the Company
exclusively.

9. That the Employees hereby expressly agrees and undertakes that he shall not at any time during the
period of his employment and for a period of Three Years after the termination of the Employment,
for any reason whatsoever undertake or carry on either long or in partnership or in collaboration,
nor to be employed directly or indirectly in any capacity whatsoever in the Union of India in any
manufacture which is of the same kind and nature as to business and manufacturing carries on by
this Company or any of its associate companies or firms or concerns to which his services may
be transferred, or in the manufacture of any products, articles or things for which this Company
or such Other Company or Firm or Concern to which his services may be transferred or in the
manufacture of any products, articles or things for which this Company or such other Company or
Firm or Concern may have experimented in and/ or have prepared designs for the manufacture of
such products or have made preparations for the Manufacture of such products irrespective of
whether such products actually been manufactured or not and during the said period shall not lend
his assistance for such manufacture etc., in any form or manner whatsoever whether as Consultant
or Advisor or Actual manufacture or as employee or in any other capacity or manner whatsoever.

10. That the Employee has agreed and hereby agrees and undertakes that the Employee during the
course of his employment with this Company, with any of its associate Companies or concerns to
which his services may be transferred or AT ANY TIME THEREAFTER divulge, displace or make

known or suffer to be made known directly or indirectly any of the secrets pertaining to the designs,
formulas, processes, specifications or manufacturing details or material requirements, material used
or any of instruments, equipment, products or articles or things which this Company or any of its
associate companies of Firms or concern may have undertaken to experiment in or to manufacture
fabricate, design or process and whether the same is actually manufactured, designed, processed,
fabricated or experimented in or not as also not divulge, disclose or communicate any information
regarding the formulas, specifications, technical or patent information or `Know How' or the use of
any processes materials, instruments, tools or other requirements of the manufacture of the various
products and other things manufactured, fabricated or processed by the Company or any of the other
Companies or concerns to which the services of the Employee may be transferred : nor any of the
secrets or knowledge or information regarding the plant facilities, machinery, equipment,
Organization, production lines or production flow as also the method and procedure of production or
of the dealings of the firm, or of the others above referred to and the employee hereby agrees and
undertakes to keep all such information strictly confidential which may have been communicated to
him in his capacity as `Employee' or during the course of his duties or the period of his contract
and irrespective whether such information or knowledge came to be acquired by him as secret or
not and not to divulge and/or suffer the same to be divulged, made known to anyone excepting to a
duly authorized officer of this Company.

11. That if the Employee shall be guilty of any misconduct or commit any breach of the provision of this
agreement or absent him without any reasonable excuse or become incapable of attending to his
duties, it shall be lawful for the Company immediately to terminate the Services hereby created.

12. That in the event of the Employee leaving the services of the Company before the Expiry of the
period of the Contract, as also in the event of the Employee making it obligatory or necessary or
expedient on the part of the Company to terminate his services for any reason of whatsoever nature
and for things mentioned in paragraph (11) above, the employee shall be liable to pay and shall pay
to the Company or to any of the Companies or concerns to which his services may be transferred as
sum equivalent to ten months present salary by way of agreed liquidated damages and the Employee
agrees to pay the same without any proof of actual damages suffered by the Company or by the other
Companies or concerns concerned to which his services may have been transferred, being required
to be produced and such payments shall always be independent of and not in lieu of any other
compensation or damages that the Employees may have rendered herself liable to pay to Company
or any of the Companies or concerns as above said, by reason of his having committed breach of any
of the conditions herein before contained by reason of his having caused any damages or injury to
the Camping or concern to which his services might have been transferred, by his conduct or
omissions while in employment, the Employee, further agrees that, the Company shall have lien on
all amounts due to the Employees from the Company in respect of the damages aforesaid and the
Company shall be entitled to exercise the same and to set the said amounts off against such damages
without reference to the Employee.

13. That in the event of the Company desiring to terminate the services of the Employee at any time
during the currency of this agreement without assigning any reason for such termination, the
Company shall be entitled to do so by paying the Employee, a sum equivalent to One Month's
(Basic) Present Salary than being drawn by him in addition to whatever may be due and payable
to him in lieu of his leave earned, but not enjoyed and other accumulated benefits if any;
In case of misconduct of misbehavior of an employee, the services of the employee can be

terminated without notice or notice pay as stated hereinabove.

14. The employee can stay and enjoy free accomadation facilities provided by the company and stay in
free accomadation facilities for free of cost. The free accomadation will be considered as paid
accomadation in the event of the Employee leaving the services of the Company before the expiry
of the period of the Contract, as also in the event of the employee making it obligatory or necessary
or expedient on the part of the Company to terminate his services for any reason of whatsoever
nature and for things mentioned in paragraph (11) and / or (12) above, the employee shall be liable
to pay and shall pay to the Company or to any of the Companies or concerns to which his services
may be transferred as sum at the rate of 100 INR/Day for the days stayed in free accomadation by
way of agreed rental expenses for the free accomdation.

15. In the event of dispute regarding the terms and conditions and interpretations of the above clauses,
the same shall be referred to the Arbitrator under Arbitration & Conciliation Act 1966

16. This Agreement is governed and construed in accordance with the Laws of Union of India. You hereby
irrevocably consent to the exclusive jurisdiction and venue of courts in
Chennai/Madurai/Dharapuram/Coimbatore.
