Felize Cafe Vlogging Contract

February 13, 2024

This agreement is made between Felize Cafe (hereinafter referred to as "Client"), and KuyaChubbsKM
(hereinafter referred to as "Vlogger"), collectively referred to as the "Parties", on February 13, 2024

Scope of Work:
1.1 The Client hereby engages the Vlogger to create and deliver vlog content in accordance with the
specifications outlined in Exhibit A attached hereto and incorporated herein by reference.
1.2 The Vlogger agrees to create and deliver the vlog content within the agreed-upon timeframe.

Compensation:
2.1 In consideration for the services provided by the Vlogger, the Client agrees to compensate the
Vlogger as outlined in Exhibit B attached hereto.
2.2 Payment shall be made in Philippine Currency to the Vlogger within the day of the shoot.

Ownership and Rights:


3.1 The Client shall own all rights, title, and interest in the vlog content delivered by the Vlogger.
3.2 The Vlogger retains the right to use the vlog content for self-promotional purposes, unless otherwise
agreed upon in writing by both Parties.

Delivery:
4.1 The Vlogger agrees to deliver the vlog content in the format specified by the Client.
4.2 Any revisions requested by the Client shall be completed by the Vlogger within a reasonable
timeframe at no additional cost.

Confidentiality:
5.1 Both Parties agree to maintain the confidentiality of any proprietary or confidential information
disclosed during the term of this agreement.
5.2 This confidentiality provision shall survive the termination of this agreement.

Termination:
6.1 Either Party may terminate this agreement upon written notice to the other Party in the event of a
material breach of any provision herein.
6.2 In the event of termination, the Client shall compensate the Vlogger for any services rendered up to
the date of termination.

Governing Law:
7.1 This agreement shall be governed by and construed in accordance with the laws of the Philippines

IN WITNESS WHEREOF, the Parties have executed this agreement as of the date first above written.

Exhibit A: Scope of Work

1. Develop engaging and creative vlog concepts in line with the target audience and brand
objectives for Felize Cafe
2. Plan, script, and storyboard vlog episode, ensuring a cohesive narrative and visual style.
1. Film high-quality footage using professional equipment and techniques, ensuring clear audio
and visuals.
3. Edit vlog footage to create polished, professional-quality content, including adding music,
graphics, and special effects as needed.
4. Incorporate branding elements and product placements seamlessly into vlog content, as per the
client's requirements.
6. Promote Felize Cafe by uploading 5–6-minute video in Facebook & Tiktok Accounts
7. Promote Felize Cafe by posting in timeline and story in both Facebook & Tiktok Accounts
8. Upload the video on February 15, 2024. In case there will be a delay, Vlogger to infrom Felize
Cafe

Exhibit B: Compensation Schedule


1. Compensation is amounting to 7,500php to be given on February 13, 2024, after the shoot.
2. Felize Cafe to provide chosen food for 5 persons including the vlogger.
