Time for Digital File Agreement

WHEREAS the Photographer and the Model, have agreed to enter into this Agreement for the purpose of a “time-for-digital file”
arrangement whereby the Photographer will provide photography services to the Model at no cost to the Model, and the Model will
provide modeling services to the Photographer at no cost to the Photographer, both in accordance with the following Definitions
and Provisions:

DEFINITIONS:
“Shoot” means the photographic session where images are taken.
“Releasable images” are the best images from the photo shoot as selected by the Photographer.

PROVISIONS:
Ownership of Images – The Model acknowledges that the Photographer retains sole copyright of all images produced.

Selection of Images – The Photographer will, at the Photographer’s sole discretion, provide a selection of at least 5 Releasable
images from all of the images taken during the photo shoot to the Model. The Releasable images may or may not be post-processed
and retouched or edited. The Photographer reserves the right to determine how much editing, if any, will be provided at no cost to
the Model, and may charge for any edits requested by the Model. In addition, the Photographer may charge for editing time if the
Model selects from other images that were not part of the Releasable images.

Number of Images – The Model will receive all the Releasable images as full resolution digital files within 30 days from the photo
shoot, via storage media or as an attachment to e-mail. The images will be free of the Photographer’s logo or trademark(s). No prints
will be provided.

Reproduction Rights Granted to Photographer – The Model gives the Photographer unrestricted right and permission to use, re-use,
publish, and republish images in which the Model may be portrayed intact or in part, composite, or distorted in character or form.

Reproduction Rights Granted to Model – The Model is authorized to use these images for purposes of self-promotion. Sale by the
model, third parties, successors or assigns of any images subject to this agreement is prohibited.

Alteration of images – The Model hereby agrees not to alter the images in any way, with the exception of resizing, without written
consent from the Photographer.

This Agreement may not be released, discharged, abandoned, supplemented, amended, or modified in any manner except by
written consent between the Photographer and the Model and shall not be strictly construed against either party.

THIS IS NOT A CONTRACT OR AGREEMENT FOR WORK FOR HIRE. THE IMAGES ARE NOT THE PRODUCT OF A WORK FOR HIRE.
