    6. PAYMENT - DOCUMENTS REQUIRED:
    - Payable by TT 100% of USD Invoice value to the account of Linh Lan Backpacks - Linh Lan
    Manufacturing Trading Co. Ltd from Sacombank HCMC, Vietnam, within 10 days after the buyer's
    receipt of cargo.
    - Payment shall be made upon receipt of the following documents:
     Full set (3/3) of clean on board B/L.
     Signed commercial Invoice in triplicate
     Detailed packing list in triplicate
     Certificate of origin issued by the Chamber of Commerce of INDIA
    7. INSURANCE:
    - The Seller shall cover the insurance for the caro under ICC(A) term at any world-class insurance
    company for 110% CIF value of goods. The insurance must effect from Seller’s warehouse to Buy’s
    warehouse.
    - Place for presentation of insurance claimation documents: the office/branch of insurance agency in
    Buyer’s country.
    8. ARBITRATION:
    All disputes in connection with this contract or the execution thereof shall be settled by negotiation
    between the two parties. If no settlement can be reached, the case shall be submitted to the International
    Economic Trade Arbitration Commission of VietNam and Viet Nam law applies. The results are final and
    binding for both parties.
    9. PENALTY:
    - In case of delayed shipment for more than 20 days, the penalty for such delay will be based on an annual
    interest rate of 5%.
    - If the seller or the buyer wants to cancel the contract, 10% of the total contract value will be charged as
    a penalty to that party.
    10. COMMON TERMS:
    - This contract is made in two original copies and two copies in English, one original and one copy for the
    Buyer, and one original and one copy for the Seller, having the same value and effect from the signing
    date.
    - Any amendment and additional clause to these conditions shall be valid only if made in writing form
    and confirmed by both parties.
