AGREEMENT

DATED the 27th day of July 2022

PARTIES

1. CHATINKHA CHIDZANJA NKHOMA, of Private Bag 6, Chipoka,


Salima, in the Republic of Malawi, a Malawian national of
Identification Registration Number J1ZE38A6 (hereinafter called
"the Vendor" which expression shall where the context so admits
include his successors in title and assigns); and

2. LUCY PETRONELLA LUKE CHITENJE, of P.O. Box X52,


Lilongwe, a Malawian national of Passport Number MWA054150
(hereinafter and together called "the Purchaser” which
expression shall where the context so admits include his
successors in title and assigns).

A. The Vendor is the beneficial owner of 0.0679 hectares of land
situate at Kanengo, Title Number Alimaunde 27/453, Lilongwe
District (hereinafter called "the Property") in respect of which the
superior lessor is the Minister responsible for matters in the
Government of the Republic of Malawi (hereinafter called “the
Minister”).

B. The Vendor has agreed to sell and the Purchaser has agreed to
purchase the Property at the price of K5’000’000.00
(hereinafter called "the Purchase Price") upon the terms and
conditions hereinafter set out;

C. Notwithstanding this Sale Agreement, the lease in respect of the


Property has not yet been issued by the Minister.

OPERATIVE CLAUSES

1. Sale
The Vendor hereby sells free from encumbrances and the
Purchaser buys the Property at the Purchase Price subject to
approval from the Minister.

2. Payment
The Purchaser paid the sum of MK1’000’000 being deposit
money and shall pay the remaining MK4’000’000.00 will be
paid in four monthly equal instalments on or before end of month
of August 2022, September 2022, October 2022 and November
2022.

3. Lease
The Purchaser shall procure the Minister to issue the lease

aforesaid.

4. Essence of Time
All stipulations relating to time shall for the purpose of this
Agreement be of the essence of the contract.

5. Costs
Save as otherwise provided all costs disbursements and expenses
of or incidental to this Agreement and of or incidental to the
transfer of the Property to the Purchaser or the grant of a lease
including the cost of stamping and registration of this Agreement
and the transfer or lease shall be borne by the Purchaser.
