Y-AXIS - TERMS OF SERVICE

This Service Level Agreement (‘SLA’) is entered into by and Prasenjit Mukherjee
(hereinafter “Client”) and Y-AXIS Solutions Pvt. Ltd. (hereinafter “Y-AXIS”).

Y-AXIS is committed to the provision of the highest possible quality of service at all
times. The following outlines the Service Level Agreement (‘SLA’) general terms and
conditions under which we provide our consulting services.

Client understands that by signing this Agreement, Client is engaging Y-AXIS to

provide consulting services and agrees to the terms of this Service Level Agreement-
means a Registered User of the Y-AXIS that has generally made a payment to Y- AXIS
for the provision of consultation services Y-AXIS - Client (‘You’) means the Y-AXIS
Solutions Private Limited, trading as Y-AXIS Overseas Careers.

1. SUPPLY OF SERVICE(S):

You have signed up for 507 - UK Skilled Job Search Service - INR, Upon receipt of
payment, Y-AXIS shall appoint a Consultant to analyze your profile, discuss your case
by telephone, prepare written advice and/ or supporting documentation and respond
to your case related queries from Y-Axis Process Centers located in Hyderabad,
Telangana.

Y-AXIS reserves the right to appoint a new Consultant, whether temporarily or

permanently, to provide the Service(s) at any time and without notice. Your
engagement of Y-AXIS is strictly confidential and we will not discuss your case,
information or Service(s) with any third party enquiring on your behalf (including
family) unless you provide specific instruction that the third party in question is
authorized to do so. Where a time frame is specified, Y- AXIS will use its best
endeavors to adhere to the given period, however as cases are managed on an
Individual basis, the Service may take longer to provide in certain circumstances. In
such an event, Y-AXIS shall notify the client of this delay.

2. LIMITATIONS OF SERVICE:

Your Consultant will provide advice based on the specific information you supply
within the Y-AXIS application form, hence if limited detail is available, certain
assumptions may be necessary. As cases can vary considerably from client to client,
any guidance or comments are personal and intended only for you and should not be
applied to the circumstances of any third party.

The advice provided by your Consultant is communicated on the belief that it reflects
current immigration laws, policies and regulations. Client agrees and understands
that Y- Axis Consultants will not review your documents unless we have received the
signed soft copy of the Service Level Agreement. Whilst Y-AXIS and its Consultants
endeavor to offer the best possible consulting; immigration laws, policies and any fees
of the concerned Government or immigration authority (Except advisory charges paid
to Y-Axis) are subject to change without notice.
Y-AXIS does not and cannot make any guarantees in relation to the approval or
validity of any visa application made by you or by Y-AXIS on your behalf. The power to
grant or refuse visa applications vests solely in The British Deputy High Commission
or any other government department authorized by law.

Y-AXIS is not engaged in rendering taxation, business, accounting, investment or

other professional advice or services which are unrelated to immigration matters;
unless expressly stated otherwise by Y-AXIS in relation to any particular Service being
provided. Y-AXIS advises clients to seek separate independent professional advice
regarding these matters.

The Client also acknowledges and agrees that Y-AXIS provides advice strictly in
relation to registered country immigration services and you will not make any
representation to the contrary. The client agrees and understands that Y-AXIS is an
immigration consultancy only, and is not a paid representative of the immigration
council and the service being provided is only advisory service. Y-AXIS is not an
associate of any country immigration authority in any manner. Also, it is clearly
understood and agreed that the advice provided by Y-AXIS consultants is in
accordance to the immigration rules of the day, and if there are any subsequent
additions or documentary requirements of the immigration authorities, Y-AXIS, can
only communicate the same, but is not liable to be responsible for this additive
communication. In circumstances of the client not being able to provide the required
additional documents and expresses his/her wish to stall the process, it will be termed
as a withdrawal from the process.

FOR SERVICES INCLUIDNG JOB ASSISTANCE SERVICES-

x The Client understands that all the documents provided to Y-AXIS (Resume, DC
Form – Data Collection Form) for Resume Writing Service, Resume Marketing
Service, Employment & Settlement Plan for the consulting services is preferably
electronic (scan) copies or photo-stat copies of the originals.

x The client understands and accepts that the resume marketing service being
provided is for a fixed tenure and Y-AXIS is not responsible for the receipt or
non-receipt of responses to the marketing of the resume within this period – as
sometimes, responses may be received after the end of the marketing period
too.

x Y-AXIS does not charge you a placement fee to get you a job. We charge you for
Visa processing.

x Y-AXIS does not have contracts with employers and hence your marketing
consultant has no control on job offers made to any candidate. They cannot
influence the recruitment decision in any way.

x Y-AXIS does not guarantee you a job. The discretion lies with the employer /
placement agency only.
 x Y-AXIS or it's marketing consultant can only forward your resume and profile
for a suitable vacancy but the decision of short listing or selecting the candidate
is up to the overseas employer only.
x Y-AXIS does not guarantee you an interview. We only market your profile
online and to suitable employers.

x Y-AXIS does as you would do if you had the time to search for an overseas job
full-time.

x Y-AXIS markets your profile to employers and placement agencies.

x In case you get a response or an interview is scheduled, we will assist you to

coordinate with the employer. We will also assist you with a Visa service for
which you need to register by paying a separate fee..

x Y-AXIS’ services are of a marketing & advisory nature only. Y-AXIS’ services are
not recruitment or placement for the category of service you are signing up for.
x Our SAS services are only limited to marketing your resume to various
employers and recruitment agencies. Therefore, Y-Axis is not responsible for the
factors like Interview Outcome, Employer Verification, Offer Received, expenses
incurred, negotiation in regards to the terms and conditions listed by the
employer etc, unless otherwise specifically requested for.

3. DISCLAIMER

The client agrees and understands that all the documents provided to Y- AXIS for the
UK Skilled Worker Visa program are all Photostat copies of the originals which are
present with the client. The client is required to provide the notarized copies of the
originals which the client can provide for verification if needed. We do not collect any
original documents expect those mentioned as mandatory by the immigration
authorities. The client clearly understands and agrees that Y-AXIS is not responsible
for the authenticity of the documents – education, work or any other - provided by the
client. Y- Axis does not conduct any checks of verification of the authenticity of the
documents and is therefore not responsible for the genuineness of the documents
provided by the clients. The client agrees and understands that Y-AXIS is only as an
advisory service provider, they do not promise you a job, visa or admission. They are
in the hands of other authorities of the different countries on whom there is no control
or influence of Y-AXIS.

Your agreement between the Client and Y-Axis ends at the Immigration/ Visa stage. If
you enter the country you are applying to and are refused entry at the port of entry
that is between you and the Immigration Authority. Y-Axis cannot be held responsible
for it. Y-Axis is not responsible or liable for anything other than the deliverables
mentioned in your agreement.

The client agrees and understands that Y-AXIS is not a legal firm or attorney nor can
it represent you on any legal matter. As your immigration and career consultants, they
can only counsel you and advice on the best course of action and documentation. The
client also agrees and understands that Y-AXIS not a recruiting or a placement firm.
They support you in your job search by providing you a better resume, broadcasting it
with tools available on the internet.

Y-Axis is not affiliated to any government or government agency for visas. Y- Axis
provides documentation, application filling and concierge services for
immigration/visas and charges a service fee. It is neither a legal firm nor does it
provide any kind of legal advice or suggestions to its customers. We do not provide
legal advice, opinions or recommendations to our customers about their legal rights,
legal remedies, legal defenses, legal options or legal strategies.

It maintains www.y-axis.com, a private publishing website, which offers general

information on issues related to immigration/visas.

Y-Axis Employees: Y-Axis employee is strictly prohibited from charging the candidate
any fee other than the fee prescribed by Y-Axis for which Y-Axis will issue a company
receipt. You are cautioned not to be influenced by any employee who makes a false
promise to you regarding getting you a job for any additional fee. You are cautioned
not to pay any employee any fee as Y-Axis will not be liable or responsible for any
losses or damages suffered by you. If you have been approached by any employee who
makes a false promise to get you a job or who asks you to pay an additional fee to him
or anyone external referred by him, please contact Y-Axis at [email protected]

4. NO FRAUD and NO ADDITIONAL ASSOCIATION WITH Y-AXIS EMPLOYEES:

Y-Axis has a strict anti-fraud policy and all clients and employees of Y-Axis are bound
by the same. Further, client understands and agrees that Y-AXIS does not deal with
cases where fraudulent documentation or information has been submitted. The
client’s case has been accepted by Y-AXIS on the basis of the information the client
has provided, which Y-AXIS assumes to be true. Y-AXIS is not liable or responsible if
the client has provided incorrect/ misleading/ fraudulent documentation or
information.

The client understands and agrees that Y-Axis does not provide clients with any kind
of documents and works only on documentation that has been provided by the client.
Y-Axis has a strict Anti-Fraud Policy. Y-Axis does not arrange for any documentation
with regard to work experience, funds, education or anything similar. If the client
submits any fraudulent documentation or information, Y-Axis will NOT process the
client’s case and will not refund the
client’s fee paid to Y-Axis. Y-Axis will also not be liable for all and any consequences
arising from the same. Y-Axis will also not be liable for all and any consequences
arising from the same. Y-Axis has accepted the client’s application in good faith and
assuming that the client has given 100% accurate and truthful information and the
client hereby agrees not to hold Y-Axis liable if his application is refused due to
fraudulent documentation or information.

The client also understands that Y-AXIS employees are strictly forbidden from
indulging in any of the above. The client agrees that he/she will not collude with any
Y-AXIS employee – current or past – to procure any documentation or any fraudulent
papers. The client agrees that if he has worked with any Y-AXIS employee or any third
party for the same, Y-AXIS will not be held liable or responsible for the consequences.
The client understands that Y- AXIS will never, under any circumstances, make or
procure any documents for him. The client has to submit the same and Y-AXIS will
process it with belief that the documents submitted by the client are 100% accurate,
correct and true.

The undersigned below have read and agree to be bound by the refund terms as
mentioned in the table above as of the date below.

5. ONLINE CONSULTATION:

Your Consultant will respond to your Appropriate Questions (which may be by way of
a request for further information) within forty-eight (48) hours or by the next Business
Day on weekends.

In the interests of quality and accuracy, your Consultant may take additional time to
answer questions where of an especially technical nature or questions which require
consultation with concerned immigration authority or responsible government
organization or assessing authority or concerned High commission or any other
relevant third parties.

Our consultants use emails, telephonic conversations, and personal meetings at the
office wherever applicable, in providing consultation. We may also use business
WhatsApp where applicable, in keeping you informed about the important updates of
your file. Y-AXIS reserves the right to impose a limit on the number of questions asked
in a twenty-four hour period. In the event that you exceed this limit, your Consultant
may take additional Business Day to respond, during which you cannot ask additional
questions. Your Consultant may also ask you to resubmit, as separate questions, any
single question that Y-AXIS determines to be comprised of a number of questions.
Where, Y-AXIS provides you with any answer to a question, that answer will be
deemed a final response to your question.

6. APPROPRIATE QUESTIONS:

Y-AXIS reserves the right to determine in its absolute discretion what constitutes an
Appropriate Question, however your Consultant may choose not to respond to a
question that:

x Requires advice or opinions on issues unrelated to migration laws or

regulations;
x Concerns a response that can only be determined by the discretion or internal
policies of a third party.
x Calls for a recommendation as to a particular course of action that is unlawful;
x Cannot be reasonably interpreted in English, OR;
x Y-AXIS, in its absolute discretion, determines that a question is not
appropriate. Any questions deemed to meet these criteria, and hence be
classified as inappropriate questions, will, if answered, be strictly expressions of
general opinion only and do not form part of the Service.
 Y-AXIS advises you to seek independent professional advice on any matters unrelated
to legal migration advice.

The client understands and agrees that Y-Axis does not provide clients with any kind
of documents and works only on documentation that has been provided by the client.

Y-Axis does not arrange for any documentation with regard to work experience, Y-Axis
has a strict Anti-Fraud Policy funds, education or anything similar.

The client understands and agrees that the total invoice amount (bill value) will
include the Y-AXIS consultation fee, the applicable GST(18%) . However, the refund
would be calculated only on the Y-AXIS consultation fee. The GST component is paid
to the Government of India and Y-AXIS does not reclaim. Hence, the GST amount is
nonrefundable. This is not applicable if the payment is made in other currencies than
INR

Note: Be informed that if you choose to make the payment in installments, the
amount due will be mentioned in payment due section. And, only on full and final
payment made, you would be receiving an updated invoice in order to confirm that we
received full payment. Unless specified herein, the terms of this agreement remain
same and amount due will be treated as completed only after receiving full invoice
amount. Signing of a new agreement will not be required as the invoices of part
payments will be considered together to calculate full invoice amount, for which this
agreement stands valid until full and final invoice amount is paid.

Please note that by making a payment and engaging Y-Axis to provide you with Job
Search Service as stated above, you are confirming that you understand and agree to
the terms and conditions of this SLA.

The Y-Axis – Strategy Report: The Strategy Report is a preliminary journey that will
provide you with a direction in understanding your job search process. It is a
comprehensive document that contains a plan of action for your Job Search Service. It
contains information pertaining to the positioning of your profile within the
international job market.

The Y– International Resume: Y-AXIS services include assistance to prepare

customized resume along with a complimentary cover letter for better visibility of your
profile to international recruiters and foreign employers. Upon receipt of service fee
payment, Y-AXIS would appoint a Consultant to you who will assist you to analyze
your resume and restructure it as per international standards for the purpose of
resume marketing.

Y-LinkedIn Profile: Y-AXIS services include assistance to customize your LinkedIn

account for better visibility of your profile to international recruiters and foreign
employers. Upon receipt of service fee payment, Y-AXIS would appoint a Consultant to
you who will assist you to analyze your resume and restructure it as per international
standards for the purpose of resume marketing. Y-Axis helps professionals build a
LinkedIn profile that attracts more connections & creates a hugely positive first
impression.

Resume Marketing Service to Open Jobs: All active jobs relevant to your profile will
be applied online, with the most popular and top-level employers and consultancies of
the country you have chosen. The Resume Marketing Consultant will register research
and identify suitable positions through various Job Portals, Employer Websites, and
post your resume to these vacancies in the country.

Resume Marketing Service to Y-Zapping: Your profile will be sent to the most
popular and top-level employers of the country you have chosen. We float your profile
to our extensive database comprising of top companies, recruitment agencies and
consultancies which are being updated on a regular basis by our dedicated research
team.

Client agrees and understands that during the marketing phase if there is any
response received from any paid Job & Career Portal, the Process Consultant would
inform the same to the client and if the client chooses to opt for paid portal service
then the registration fee (as applicable) would be borne by the client. Client also agrees
that Y-AXIS would not be responsible for the outcome of the service provided by any
3rd party. Client agrees to create a new email account (preferably Gmail) for the
purpose of resume marketing and the email account details will be shared with the Y-
AXIS Process Consultant. This email ID will be used throughout the resume marketing
process. However, due to company standard policy the email ID password will be
changed by the Process Consultant and the account details will be shared with the
client upon completion of resume marketing. Y-AXIS reserves the rights to reject
 working on any services at any stage of the process, if it is noticed that the terms and
conditions have not been complied with.

Y-AXIS markets your resume on the basis of the dates and duration mentioned in the
process sheet approximately but revised at any point of time. Y-AXIS offers no job
guarantee for the Resume Marketing done. The service would help you get your
resume marketed and forwarded to potential Employers and employment Agencies in a
country of your preference as per the job market demands.

Y-Axis Jobsite Premium Membership (Valid for 1 year):

Activation will be done only after receiving full payment for this product and this is a
nonrefundable service. Once activated, there can be no deactivation process or to
place your account on hold. You are allowed membership for 1 year, allowing you to
search for jobs in our Jobsite and apply. Verified employers will have access to
connect to you on the available positions related to your profile.

Y-AXIS is entitled to terminate this Agreement immediately where:

x Y-AXIS reasonably forms the view that someone other than the Client is
attempting to gain access to the Service for his or her personal benefit;
x There is any belief from your Consultant that you have provided false or
misleading information;
x A period of three (3) months lapses during which you do not communicate with
your Consultant, OR;
x At the discretion of Y-AXIS, you behave in such a way that renders your
Consultant unable to provide the Service(s) any longer.
Y-AXIS will provide no refund for any of the following reasons:

x Y-AXIS fee is 100% non-refundable if the client abandons his / her case.
x Y-AXIS fee is 100% non-refundable for a part payment being made for the full
service. Client agrees and understands that the client is required to fulfill the
eligibility requirements for the application process.
x No Refund in case of Withdrawal / Conversion / Transfer Client understands
and accepts that no refund will be given if the client withdraws /abandons his
or her application or decides to drop out, due to any reason, during the
proceedings after he or she signs-up.
x Client also understands and accepts that no refund or adjustment of Y-AXIS fee
will be done in the event he or she abandons the original service /process he or
she has signed-up for and decides to switch over to another service / process
with Y-AXIS.
x Client also understands and accepts that no refund or transfer of Y-AXIS fee to
a friend or a relative will be done in the event he or she abandons his or her
application or decides to drop out due to any reason, during the proceedings
after he or she signs- up.
x Client also understands Y-Axis is not responsible for the factors like Interview
Outcome, Employer Verification, Offer Received, expenses incurred; negotiation
in regards to the terms and conditions listed by the employer etc. towards the
Job assistance services and is not liable for any refund.

CHANGE OF REGULATION: In the event of change of any rule or regulation by any

overseas immigration body, high commission, embassy or regulatory body and by
result of this rule, Y-Axis is unable to further process your application, your case will
be considered closed and Y-Axis is not liable to process the same for you or give you a
refund. Y-Axis will only advise you on the next best course of action and this will be
free advice. As of this date, upon signing this agreement Y-Axis is not required to be
regulated to process your application.

Y-AXIS hereby provides processing services, which increases the chances of approval.
Y- AXIS, in no way, guarantees that the client will receive a Visa/Job.

Force Majeure- In no event shall the Company be responsible or liable for any failure
or delay in the performance of its obligations hereunder arising out of or caused by,
directly or indirectly, forces beyond its control, including, without limitation- strikes,
work stoppages, accidents, acts of war or terrorism, civil or military disturbances,
nuclear or natural catastrophes or acts of God, any outbreaks, Epidemics or
Pandemics; and interruptions, loss or malfunctions of utilities, communications or
computer (software and hardware) services; it is understood that the company shall
use reasonable efforts to resume service as soon as practicable under the
circumstances. Your file will be withheld /deferred until the situations are under
control. If we found you ineligible to apply, no refund will be due on service fee paid as
service has already been initiated.
9. REPRESENTATION:

Unless your Consultant explicitly states otherwise or you are specifically requested to
sign a separate document, which authorizes Y-AXIS to act on your behalf in relation to
your visa application, please be aware that Y-AXIS is providing you with advice and
assistance, not representation.

Pursuant to the above, you must not indicate anything to the contrary on any
application form you submit to immigration department or concerned Assessing
Authority (or any other authority) or send any documentation to your Consultant
unless you are requested to do so. Y-AXIS shall not be responsible for any delays or
loss of documentation whatsoever in the event that you direct correspondence or
enquiries to the immigration department or the concerned processing department or
assessing authority related to immigration authorized by law without the consent of
the Y-AXIS consultant.

10. LIABILITY:

Y-AXIS explicitly disclaims any views or opinions presented are solely those of the
author and do not necessarily represent those of Y-AXIS Overseas Careers. In no event
will Y-AXIS be liable to the Client or any other person for any views or opinions
presented by your consultant.
Y-AXIS is not liable to the Client or any other person for any remote, indirect,
consequential, special or incidental damages, including without limitation, damages
resulting from loss of data, loss of profit or business interruption. This limitation will
apply even if Y-AXIS has been advised of the possibility of such damages.

Y-AXIS employees are strictly warned and are required to adhere to the company
policy. In the event of any employee going against company policy, Y-AXIS is not
responsible or liable for the same as our policy is to accept cases where information
provided is 100% true. The client understands and agrees that for the convenience of
the client, the installment payment option for the consultation fee is provided, however
a final dispatch of the application to the concerned immigration or Visa issuance
authority would not be done, unless the complete consultation fee (with applicable
service tax) is made by the client.
Y- AXIS expressly disclaims all and any liability to any person in respect of anything
and of the consequences of anything, done or omitted to be done by any person in
reliance, whether wholly or partially, on the whole or any part of the contents of
answers, opinions or other information provided by Y-AXIS.

In the unlikely event of Client’s original documents not being sent back / lost in
transit / delay in being sent back by the immigration department or concerned
authorities / Y-AXIS, Y-AXIS is not liable in any way. Y-AXIS will attempt to assist the
client in recovering these documents but does not take responsibility for the same.
The client assumes full responsibility.
11. IMPLIED TERMS AND LIMITATIONS:

To the extent permitted by law, Y-AXIS specifically disclaims all warranties whether
express, implied, statutory or otherwise relating in any way to this Agreement,
including, without limitation, any warranty that the Services provided under this
Agreement are fit for a particular purpose.

You acknowledge that you have exercised and relied upon your own skills in
determining whether the Services provided under this Agreement meet your particular
requirements, and that you have not relied on any statement or representation made
on behalf of Y-AXIS.

Without limiting the effect of any other provision of this Agreement, the parties agree
that the total liability of Y-AXIS to the Client arising in any circumstances, and
whether under this Agreement or otherwise, will be limited to the either supplying the
Service(s) in question or refunding the amount paid under this Agreement Also, Y-
AXIS assures the client that their application will be sent to the immigration
authorities through internationally acclaimed courier service providers only – however,
Y-AXIS does not take any responsibility for delays in courier delivery or transit.

12. THIRD PARTIES

In the event that answers and information provided by Y-AXIS are used by you in
advising third parties, please be advised that you do so at your own risk.

You agree that you will not forward information and answers provided by Y-AXIS to
any third party. The Client indemnifies Y-AXIS against any loss, action, proceedings,
costs, claims and damages which may be caused directly or indirectly by:
• Any breach by the Client of its obligations under this Agreement, OR;
• Reliance by any third party on any advice given by the Client, which was derived
directly or indirectly from any information (including answers) obtained from Y-AXIS.

13. GENERAL:

In this Agreement, unless the context otherwise requires references to clauses are to
clauses of this Agreement, the singular includes the plural and vice versa, where any
word or phrase is defined, any other part of speech or other grammatical form of that
word or phrase has a cognate meaning, and a reference to any statute, includes any
amendment, consolidation, modification, enactment or reprint of it or any statute
replacing it. The Client may not assign, sub-license or otherwise transfer the benefit of
this Agreement without the prior written consent of Y-AXIS. The Client agrees that the
terms and conditions of this Agreement are for the benefit of Y-AXIS/Client and each
of its employees is enforceable at the suit of any such person. No failure or omission
by either party to perform or observe the terms and condition of this Agreement will,
except in relation to obligations to make payments under it:

x Give rise to any right of action or claim against the defaulting party, OR;
x Be treated for any purpose as a breach of this Agreement. If such failure or
omission arises from any cause reasonably beyond the control of that party.
 Y-AXIS is operated and controlled in India with its registered office at Hyderabad,
Telangana. The laws of the Government of India will govern the validity, interpretation
and performance of this Agreement. The courts in the state you registered with us,
and state of Telangana will alone have jurisdiction to try any dispute between the
company and any person arising out of any issue concerning the company.

14. TERMS:

The undersigned hereby agrees and indemnifies that all the information provided to Y-
AXIS pertaining to his case is true and the documents submitted during the
processing of his application are true copies of the original. The undersigned releases
Y- AXIS from any and all liability relating to the documents, certificates or information
being found incorrect / misleading / fraudulent by the Immigration Authority /
Consulate / High Commission or any third party. The undersigned below have read
