Re: Acquisition of Rights - Life Story
We are writing to confirm our agreement regarding the non-exclusive use of your life story for
the production of a [duration – type of production /60-minute documentary motion picture or
television program/ etc.] tentatively entitled [Name of Production] (the “Production”), as
follows:
1. You hereby grant to [Production Company] (“Producer”) the right to develop and
produce the Production, including any adaptations and translations of the Production,
based in part on your life story, and to copyright, market and exploit the Production
throughout the world-wide and in all media, whether now known or hereafter devised,
in perpetuity, as Producer sees fit in its sole discretion, including but not limited to the
right:
(a) to portray you and to use your name, likeness, words, voice, performance,
appearance, personal characteristics and biography, including any on- or
offcamera interviews which you may give or have given to Producer and to others
(the "Appearance") in the Production and in the exploitation, marketing,
advertising, merchandising, promotion and publicity relating thereto.
(b) to photograph, film, tape, record, reproduce, edit or otherwise deal with the
Appearance and any other information or material relating to your life story in the
Production, provided that with respect to any material which is in the possession
of or furnished by any third party and which is not in the public domain, Producer
will obtain the rights from such third party to use such material and you will have
no liability in connection to such material; and
(c) to include or cause to be included in the Production, such events, persons, scenes,
situations, interviews, dialogue, narration, musical accompaniment, compositions
and lyrics, sound and visual effects and any other materials as Producer may
consider desirable in its sole discretion.
2. As full and complete consideration for all rights granted by you to Producer under this
Agreement, Producer agrees to pay you [Amount] Canadian Dollars (CDN$XX.00), (the
“Compensation”).
3. You agree to reasonably provide consulting services during the research and development
stages of the Production.
4. Producer agrees to accord to you the following credits in the tail credits of the
Production: (a) “The Producer wishes to thank Grantor of Rights for their assistance
and participation in this Production”. Producer agrees to give you credit for any
material which you provide to Producer and which is used in the Production and to

indicate in the Production that such material is copyrighted, where you consider it to be
appropriate.
5. You confirm that the Production and all treatments, scripts, recordings, prints and copies
of the Production and all rights, results and proceeds of every kind whatsoever in the
Production and in your Appearance in the Production, as well as other contributions
which you make to the Production will be Producer’s sole and absolute property for all
purposes whatsoever. Except as otherwise specified in this Agreement, you further agree
to assign to Producer all rights, including copyright, in all contributions that you make to
the Production and to waive all of your moral rights, if any, in such contributions. You
expressly waive to the benefit of the Company any claim that you may have based on the
so-called rights of privacy, publicity or other rights that may arise based on the
Company’s use of your name, image, likeness, biography or appearance.
6. Producer will have the first right of negotiation and last right of refusal with respect to
any re-makes, sequels, prequels, feature films or other spin-offs based on the Production.
For greater clarity, it is understood and agreed that any third party offer received by you
that you wish to accept must be presented to Producer and Producer will have the right to
enter into an agreement with you upon the same terms and conditions as contained in the
third party offer.
7. You hereby represent, warrant and covenant that:
(a) You have not granted rights to anyone else, including rights to your life story that
will interfere with the rights granted to Producer under this agreement;
(b) You will not enter into any agreements or activities, which will compete or
interfere with the exercise of or diminish any of the rights granted to Producer in
this Agreement;
(c) To the best of your knowledge, all material and information to be provided by you
hereunder is accurate and the use of such material will not in any way violate or
infringe upon any socalled moral rights or copyrights belonging to any person,
firm or corporation or constitute a libel or defamation of or an invasion of the
rights of privacy of or otherwise violate or infringe upon any other right or rights
whatsoever of any person, firm or corporation;
(d) You have the full right, power and authority to enter into this Agreement and to
grant Producer all of the rights herein provided for.
8. You agree to grant Producer access to any material that you have regarding your life
story or which is relevant to your life and to grant Producer interviews at mutually agreed
times, as are necessary to make the Production. You further grant Producer permission to
make still, motion picture and sound recordings of your residence, including interior and
exterior areas, and to use your reasonable efforts to provide Producer with those
interviews, meetings and introductions and to assist us in obtaining those consents and
releases that Producer deems necessary or desirable from family members, personal,
professional and business associates, or any other third party who is a part of your life
story.

9. You agree to work closely with the Writer, Director and Producer to assist in any way
possible and as reasonably required to complete the Production to shoot footage and
otherwise develop the Production.
10. You agree that you will not issue or authorize the issue of any information concerning
this Agreement without Producer’s prior written consent.
11. At Producer’s expense, you agree to do all such further acts and things as Producer may
reasonably request and execute any further documents and instruments in a form
approved by Producer’s lawyer to carry out the purposes of this agreement.
12. Producer will not be obligated to produce or exploit the Production.
13. Producer will have the right to assign this Agreement or any part hereof to any party
provided Producer will deliver immediate notice of any such assignment to you.
14. In the unlikely event of a disagreement between Producer and you in relation to this
Agreement, or if you feel that Producer, or anyone else, may have breached this
Agreement or any term of this Agreement, you agree that your sole remedy will be an
action for damages and that you will not have the right to terminate or rescind this
Agreement, or any of the rights granted to Producer under this Agreement and that you
will take no steps to stop or enjoin the Production or its broadcasting, exhibiting or
exploitation at any time.
15. This Agreement will be binding on and enure to the benefit of the parties hereto and their
respective heirs, executors, successors and permitted assigns.
16. This Agreement shall be governed by the laws of the [Province of British Columbia and
the laws of Canada / the laws of jurisdiction x / etc ] as applicable to agreements executed
and wholly performed therein and shall not be modified except by a written document
executed by both parties hereto. The parties agree to the exclusive jurisdiction of the
Courts in [British Columbia / Alberta/ Jurisdiction x/ etc.] in matters relating to this
Agreement.
