partner and what now?

The Broadcom Advantage Program for VMware Cloud Service Providers is nearing its next phase, with invitations already
sent out and acceptance processes in progress for the Pinnacle, Premier, and Registered tiers. This document is designed
to address the queries we've received from our partners in recent weeks. Given the emergence of new information, we
believe it's important to share these details, ensuring that everyone has the necessary access to the information they
require. Please note that the information provided here is subject to change, always look to the official documentation.

Timing – key dates


What happens on April 1st?
Until now, the Partner Connect 'Flex' metering model and existing contracts with VMware have continued as usual. But
please note, March 31st marks the final date for Flex consumption, with all usage for March required to be reported by the
5th of April.

So, what's next? By this time, all partners should have received an invitation to join the new Broadcom Advantage
Program (BAP) for VMware Cloud Service Providers, at one of the levels: Pinnacle, Premier, or Registered tier.

Pinnacle and Premier tier partners


By now, you should have completed the online acceptance process and signed the Regional Partner Agreement (RPA),
reviewed the Appointment of Rights (AoR), and provided the information for your Affiliates. It's important that you've
reviewed and understood the Program Flier, and registered with OKTA for Single Sign-On access to the Partner Portal
VCSP landing page

To add additional contacts en-masse, this can be facilitated through the standard partner user registration process by
contacting the Partner Helpdesk via email at [email protected].

If you are enrolled as a Pinnacle or Premier CSP Partner and interested in becoming a White Label Partner to support
VCSP, you should complete the application form on the Partner Portal VCSP landing page, read through the FAQ, and
then proceed to design your white label service. It's worth considering additional guidance beyond the FAQ, particularly
about contract language, including support and reporting obligations, indemnity, and how your contract with Broadcom
may affect downstream agreements.

White Label partnerships allow you to work with a 'Secondary' Broadcom Advantage Program Registered tier partner for
VCSP, offering VCF Core licensing, add-on licensing, levels 1 and 2 support, key management, and usage metering within
the Secondary Environment or within your hosted environment as defined in the White Label FAQ. This service is
managed by you, the Primary, who is also responsible for the Secondary licenses and all usage reporting to Broadcom. It's
important to note that Secondary partners do not need to be added to the new Broadcom Global Technology Organization
(GTO) Portal; however, their end-user reporting needs to be set up and submitted to Broadcom GTO as per the PLG. The
White Label FAQ, Technical FAQ and your Appointment of Rights document provide further details on this arrangement.

When considering a White Label Secondary partner, please advise them that their new contract starting in May, at a rate
contracted with you the Primary, will be backdated for utilization in April to Broadcom. This backdated consumption will
be made accountable to the Primary’s aggregate contract and include the primary’s backdated consumption and all
secondaries backdated consumption.

Key points to remember include:

• Ensure that the Broadcom Offerings used by the Secondary VCSP comply with the Broadcom EULA.

• White Label services are only permitted within your aggregate (prepaid or monthly) commitment but do not
affect your tier within the Broadcom Advantage Program.

• You are responsible for any actions or omissions in terms of your agreements and obligations to Broadcom
by your Secondary VCSPs as though they were your own.

• Upon termination of a Secondary VCSP’s Subscription Term, you must ensure they cease using all Broadcom
Offerings and destroy or return all copies of these offerings.

• Usage Meter 4.8 is mandatory by April 1st to ensure April usage is captured.

• All partners will have their aggregate / customer commit contracts backdated to cover April usage.

• Usage Meter (4.5 and above) going forward will track license keys rather than contracts, keys that are
generated and aligned with BAP contracts.

• Cloud billing is automatically changed on the cloud side, so no partner action is needed for April 1st for
Primary partners, for Secondary partners using a Primaries White Label function, a new usage meter instance
managed by the Primary will need to be deployed and configured.

• It's crucial to upgrade to supported versions of Usage Meter (4.8 or higher) before April 1st to ensure
compliance. Unsupported environments need to consider their current and necessary versions to remain
compliant and continue to be supported.

Pinnacle partners
For Pinnacle partners it is essential to have a Cloud Commerce Manager (CCM), this is required for your point of contact
for contract-related matters. CCM is the new term in the Broadcom Advantage Partner Program for legacy Aggregation
partners under Partner Connect. Although there have been delays in making CCMs available, they are expected to be
accessible on the Partner Portal VCSP landing page soon (Mid-April).

You're also advised to collaborate with your Broadcom Partner Business Manager (PBM) to secure a commit contract that
encompasses your existing Install Base (IB). This contract, referred to as an 'Aggregate' commit, will include all current IB
of Flex core for multiple customers from the preceding Partner Connect Program, and will contribute to the minimum
program tier requirements of 7,000 cores.

The pricing for these contracts will remain constant throughout the agreed period.

As highlighted in the Technical FAQ, a crucial step involves the termination of all license keys associated with the Partner
Connect program and reissuing all hosts and solutions with individual key types (e.g. NSX and Aria), from the new keys
provided by Broadcom under your aggregate commit contract. This update must be finalized by July, as indicated in the
Technical FAQ.

Premier partners

For Premier Partners, acquiring a Cloud Commerce Manager (CCM) is a crucial step. CCM is the new term in the Broadcom
Advantage Partner Program for the legacy Aggregator partners under Partner Connect. The process to onboard CCMs
has been delayed more than anticipated, however, they are expected to be accessible soon on the Partner Portal VCSP
landing page. Your CCM will act as the primary liaison for handling contracts and offering both Level 1 and Level 2 support
services.

You are encouraged to collaborate with your CCM to secure a commit contract that addresses the needs of your existing
customer base. This contract, known as an 'aggregate' commit, is designed to accommodate the Flex core customer base
transitioning from the prior Partner Connect Program and will contribute to the minimum program tier requirements of
3,500 cores.

As highlighted in the Technical FAQ, it's imperative to terminate all license keys associated with the Partner Connect
program and replace them with new BAPP keys. These new keys will be provided through your CCM as part of your
aggregate commit contract. Please ensure that this rekeying process is finalized by the deadline in July, as indicated in the
Technical FAQ.

Registered partners

It's essential that you have reviewed the Program Flier and registered with OKTA (SSO) to access the Partner Portal VCSP
landing page. For adding more contacts to your account, the bulk registration can be facilitated by the standard partner
user registration process, which involves sending an email to the Partner Helpdesk at [email protected].

Your next step involves selecting a White Label Partner from the list on the Partner Portal VCSP landing page. Your
chosen White Label Primary VCSP will supply you with the necessary licenses and support services, along with potentially
more services to distinguish their offerings. White Label VCSP will be responsible for supporting you as you have no
access to Broadcom support, so it's important to select a White Label partner that aligns closely with your requirements.

Remember, the relationship between you (the Secondary) and your White Label (Primary) VCSP is managed by the
Primary, who is responsible for the licenses and accountable to Broadcom for all usage.

Upon receiving your White Label licenses and support, you must comply with the service agreements set by your Primary
VCSP and adhere to Broadcom’s Appointment of Rights. This agreement specifies that "Secondary CSPs can only offer the
White Label Service to their end Hosting Customers and are prohibited from reselling the White Label Service to any
intermediary entities, such as other cloud providers or resellers."

A mandatory upgrade to Usage Meter 4.8 is required by April 1st. From April to May, you can consume as normal your
contracted allocation, we will continue to accept data from all Usage Meter instances no matter if the contract has expired
(with exception of versions prior 4.4). In May, when you have a contract with a White Label Primary VCSP, your volume of
cores contracted with the Primary VCSP will be backdated to cover April usage (This will be a part of the Primary’s
aggregate commit to Broadcom that they are responsible for). The backdated utilization will have no overage and will only
be based on your go forward consumption rate. Your Primary provider will implement their own instance of Usage Meter
as early as possible.

After partnering with your White Label Primary VCSP, you'll need to coordinate on End User Reporting and the rekeying
of hosts with the updated VCSP licenses for VCF and additional metering services. Please ensure that this rekeying
process is completed by the deadline in July, as indicated in the Technical FAQ.

What happens on May 1st?

By May 1st, all partners are expected to be enrolled in the Broadcom Advantage Partner Program, with an aggregate
commit contract already established to cover their existing customer base. The first invoice VCSP partners receive for May,
issued in June, will include backdated consumption for the period from April 1st to April 30th. This consumption will be
based on the new committed contract rate.

Following the program's guidelines, access to new license keys will be granted once you've placed your initial commit
contract order through your CCM/PBM. This might mean you won't receive the new license keys until the second week of
May, leading you to continue using your existing vRAM license keys into May. The usage meter is expected to track your
April and May usage, which will be accounted for under the new contract terms. Thus, you have until the end of April to
make any necessary adjustments, like reducing core counts, before you finalize your commit order in May. This commit
order will then retroactively initiate your 3-year term starting from April 1st.

As detailed in the Technical FAQ, it's crucial to replace your current Partner Connect Program license keys with those
provided as part of your commit contract. Recognizing the effort required for this transition, partners will be granted a 90-
day period, starting May 1st, and concluding on July 31st, to complete the license key exchange.

EULA Compliance & Key Documents

It's important to note that the deployment of an end customer's VMware vSphere Foundation (VVF), vSphere Standard, or
vSphere Essentials Plus license subscription within a VCSP's hosted or cloud services environment is considered non-
compliant. This stance is supported by the guidelines set forth in the Product Licensing Guide (PLG) for VMware Cloud
Service Providers, accessible on the Partner Portal VCSP landing page and the Broadcom EULA.

For clarity on compliant licensing scenarios, refer to the table provided below. Should you have any uncertainties, it's
advisable to directly contact Broadcom for guidance.

During this transition period, some end customers are interested in utilizing their existing subscription licenses with VCSPs,
a process often referred to as "Bring Your Own License" (BYOL) or "Bring Your Own Subscription" (BYOS). This option,
which is strictly regulated and requires operational integration, is currently only applicable to VCF subscriptions. For a
comprehensive understanding of this option, please consult the license portability overview document on the Partner
Portal VCSP landing page.

Next Steps

The details shared should equip you with the knowledge to successfully integrate into the Broadcom Advantage Program.
