COURSE DESCRIPTION

Law and business go hand in hand. It is difficult to take any activity in business which does not
have a legal consequence. In fact, every business activity to be successful must have the backing
and sanction of law. With increasing globalization and governmental regulation for all business
activities, the survival and growth of the organizations depend to a large extent on their compliance of
existing regulations individually, as well as their ability to influence public policies in the area of their
concern collectively. The scope of legal studies in business is indeed vast. However, the course is
designed to provide a broad understanding of legal issues impacting upon business and the legal
processes involved in the incorporation and management of an organization. Besides the legal
aspects of contract management, the course will focus on important legal issues in management
especially in today’s knowledge economy and the internet era. One cannot be an effective business
manager without understanding continually increasing number of legal constraints within which the
decision making process operates.

COURSE OBJECTIVES

The course has been designed to:


1. Explain the role of law in business management;
2. Elucidate business-legal relationships with a particular focus on regulation of business;
3. Impart knowledge about legal issues in contract management; corporate management,
environment management and intellectual property management.
4. Explain legal processes involved in the company incorporation and its management;
5. Examine the role and responsibilities of company administration and management
6. Analyze through various cases about the judicial approaches towards business regulations,
management and practices
7. Apprise with the current legal and regulatory issues in national and international business through
case studies and assignments;
8. Develop an interest and curiosity for understanding role of law in management and inculcate
amongst students a sense of responsibility to comply with laws and duty to return to society and
environment.

By the end of the course the student should be able to:


1) Understand and appreciate role of law in management;
2) Learn to distinguish legal issues and legal risks of business;
3) Analyze legal issues in business in a clearer, concise and informed manner;
4) Understand relevant provisions of contract law, company law, IPR and Environmental law etc;
5) Learn to identify legal risks in contract formulation and its management and skills to avoid
them;
6) Learn legal limits in company incorporation and its management;
7) Learn the roles, responsibilities and liabilities as business managers/officers
8) Understand contemporary legal issues in national and international business including IPR and
corporate environmental responsibility;
9) Develop a sense of responsibility towards society while seizing opportunities for competitive
advantage and profit maximization.

In order to update knowledge about the recent legal and regulatory developments as well as to
understand the emerging trend in the area of legal environment for national and international
business, students are advised to consult the recent publications including latest issues of national
and international legal journals, magazines and business newspapers.

EVALUATION

 Exams: There will be Only End Term Examination and cover whole course
 Group Project Report: Each student will be part of a group consisting of 5-6 students to
complete Group project work. More details of group projects/Report will be provided during
the class.
 Class participation: Students are responsible to ensure their presence in class. Be
prepared to answer certain questions that had been emphasized in prior classes or from
reading assignments. Your class presence, performance and participation etc. will be used to
determine your class participation mark.
