Dear Sir/Mam,
We are delighted to inform you that Skillship Edutech is ready to provide you with
its services for skill and personal development curriculums to your students. This
letter of agreement aims to define the terms and conditions of our collaboration.
Please take note of the following clauses:

Description of Service:
Skillship Edutech undertakes to provide skill development and personal

development curriculums to students of class 6th to 12th. In the first year we will
provide an introduction to coding world with the help of Python programming
which will run throughout the year in Hybrid Mode.
Price and terms of payment:
The total cost of the service is _______________/student (Exc. GST) & there are _______
number of students provided by school.
Payment must be made as follows:
Amount taken by Skillship Edutech on signing of this Agreement,

Full/Part/Advanced ____________.
Rest of the payment will be provided when the service starts.
Obligations of the parties:
a. Skillship Edutech undertakes to:

Provides Skill and personal development curriculum in hybrid mode to the
students as discussed earlier.
Set up Bootcamp in school’s computer Lab by skillship’s Experts.
Align school with the NEP
b. ______________________________School undertakes to:

Provides access to the Computer Lab and any other area affected by the works.
Make payments on time.
Expected deliverables:
At the end of the work, Skillship Edutech will align your school with NEP and their
registered students will improve their skill and personal development.
Duration and termination:

The expected duration of the service is 1 Year from the start date of the work.
Privacy
Both parties agree to keep confidential all commercial and technical information
exchanged within the framework of this collaboration.
We kindly ask you to sign this letter of agreement to formalize our collaboration.
Once signed, please return a copy to us by post or email.

Non-Disclosure Agreement (NDA)
This Non-Disclosure Agreement ("Agreement") is made effective as of __/___/____ ,
between Skillship Edutech ("Skillship"), and _______________________ ("School"),
located at [_______________________________], collectively referred to as the "Parties".
1. Purpose
The Parties intend to engage in discussions and potential collaboration concerning

certain confidential information related to their respective businesses, including
but not limited to pricing, contact information, email addresses, student data and
others (collectively, "Confidential Information").
2. Confidential Information
For the purposes of this Agreement, "Confidential Information" shall include, but
not be limited to, the following:
a. Pricing information and financial data.

b. Contact information, including email addresses, phone numbers, and addresses.
c. Student data, including but not limited to enrollment numbers, academic
records, and personal information.
3. Non-Disclosure Obligations
a. Skillship agrees not to disclose any Confidential Information received from the
School to any third party without the prior written consent of the School.
b. School agrees not to disclose any Confidential Information received from
Skillship to any third party without the prior written consent of Skillship.
c. Both Parties agree to use the Confidential Information solely for the purpose of
evaluating and discussing potential collaboration between Skillship and School.
4. Exceptions
The obligations of confidentiality set forth in this Agreement shall not apply to any
information that:
a. Was already known to the receiving Party at the time of disclosure.

b. Is or becomes publicly available through no fault of the receiving Party.
c. Is independently developed by the receiving Party without reference to the
Confidential Information.
d. Is rightfully obtained by the receiving Party from a third party without
restriction on disclosure.
5. Term and Termination
This Agreement shall commence on the Effective Date and shall remain in full
force and effect for a period of 1 year unless terminated earlier by mutual written
agreement of the Parties.
6. Entire Agreement
This Agreement constitutes the entire understanding and agreement between the
Parties concerning the subject matter hereof and supersedes all prior agreements,
discussions, and understandings, whether written or oral.
IN WITNESS WHEREOF, the Parties hereto have caused this Agreement to be

executed by their duly authorized representatives as of the Effective Date first
above written.
