THIS AGREEMENT IS MADE & EXECUTED AT NAIWALA, KAROL BAGH, DELHI on this the 11.04.2024 on
e-stamp paper No. IN-DL70733841916452W dated 06.04.2024
BETWEEN
M/s. Arya Book Depot a duly registered partnership Firm having its principal place of business at 30, Naiwala,
Karol Bagh, New Delhi-110005, email [email protected] hereinafter called “PUBLISHER”
(which expression shall unless it be repugnant to the context hereof shall deemed to include its successors and
permitted assigns) of the One Part
AND
Mr. Vikas Arora aged about 46 years having PAN / Aadhar Card No. 225248436795 S/D/W/o Mr. Vikas Arora
R/o WZ-32, First Floor, Street No. 17, Near MRV School, New Mahavir Nagar, New Delhi -110018, (hereinafter
referred to as AUTHOR / COMPILER (which expression unless repugnant to the context hereof shall mean and
include the legal heirs, representatives, assigns, etc.)
WHEREAS:
A. The PUBLISHER is engaged in the business of publishing, printing, reprinting, marketing, selling and
distribution of educational books under various names such as “Arya Book Depot”, “Learning Hill”, “Asha
Prakashan Greh”, etc.
B. The Author / Compiler is author of various educational books and the Author / Compiler has assigned all
the legal rights / IPRs in such books in favour of other entities against one-time payment.
C. The Author / Compiler has approached the Publisher offering the services of authoring educational books
exclusively for the Publisher against onetime payment towards to surrender / assign all the legal rights and
IPRs therein in said educational book in favour of the Publisher for forever.
IN CONSIDERATION OF THE MUTUAL OBLIGATIONS HEREIN CONTAINED, IT IS AGREED BY AND
BETWEEN THE PARTIES AND THIS AGREEMENT WITNESSES AS UNDER:
1. The Author / Compiler affirms and acknowledges that the Author / Compiler shall write the manuscript /
work ICSE Computer Applications (Class 10) [hereinafter referred to as PROJECT] exclusively for the
PUBLISHER.
2. The Author / Compiler agrees and undertakes to complete the Project within a period of 20 days
(hereinafter referred to as the DELIVERY PERIOD) from signing of this Agreement. The Publisher in its
sole discretion may grant an extension of 5 days maximum over and above Delivery Period.
3. The parties hereto mutually agree that consideration per book shall be remitted through banking channels
as one-time, lump-sum, full and final payment as per payment schedule, subject to due compliance by the
Author / Complier of the terms herein:
Book 1: ₹85,000;
4. The Author / Compiler agrees and undertakes to faithfully follow with the delivery schedule, which is as
under:
Book 1: 20 days from date of signing of this Agreement;
5. The Author / Compiler agrees that the Publisher shall remit the payment herein agreed with the agreed
Payment Schedule, subject to Author / Compiler delivers the Project without any delay. The Payment
Schedule shall be as under:
Book 1: Delivered Within time: Remittance of 75% payment for Book 1 within 5 days;
Remittance of 25% payment for Book 1 after 20 days
6. The Author / Compiler confirms to complete and deliver via email / courier / post to the Publisher the
manuscript / work ICSE Computer Applications (Class 10) complete in all aspects / respect being based
upon applicable syllabus / Publisher’s instructions to the Publisher exclusively for commercial exploitation
/ print / publication with or without name / credit to Author / Compiler.
7. The Author / Compiler agrees that a failure on the part of the Author / Compiler to comply / adhere to
delivery period shall cause immense loss (monetary and otherwise) to the Publisher and to compensate such
loss, the Author / Compiler agrees to accept the forthwith termination of this Agreement and further accepts
that the Publisher shall have no legal or contractual liability to remit payments to the Author / Compiler for
the books so delivered prior to termination.
8. The Author / Compiler affirms and confirms that upon delivery of the manuscript / work Computer
Applications (Class 10) to the Publisher, the Author / Compiler shall be left with no legal right or IPR and
accordingly the Author / Compiler vide this Agreement forthwith release, waive, surrender assign all legal
rights / claims in the manuscript / work ICSE Computer Applications (Class 10) and every part thereof in
favour of the Publisher against lawful onetime consideration of ₹85,000 (Rupees Eighty Five Thousand
only) through banking channels as per payment schedule as one-time, lump-sum, full and final payment
without any reservation or protest or demur.
9. Henceforth, the Publisher shall vest with all exclusive legal and other rights, inter alia, to publish / edit /
revise / translate / rewrite / adopt / adapt / convert / print / use / sale / assign / licence or commercially
exploit the manuscript / work ICSE Computer Applications (Class 10) and every part thereof worldwide /
domestic level as per sole discretion of Publisher without any nature of intervention / interference / protest
from the Author / Compiler.
10. The Publisher shall vest with exclusive rights, inter alia, to print / publish in any language in any form, inter
alia, paper (hard / soft covers ) / electronic / digital, etc. The Author / Compiler hereby acknowledges and
affirm that the Author / Complier shall receive the agreed lawful consideration of ₹85,000 (Rupees Eighty
Five Thousand only) through banking channels as one-time, lump-sum, full and final payment as per
payment schedule, subject to due compliance by the Author / Complier of the terms herein; without any
reservation or protest or demur and confirms that henceforth no amount whatsoever and howsoever and on
any account remains due and payable by Publisher to Author / Compiler.
11. The Publisher shall vest with right to print / publish said manuscript / work or any part thereof under any
title / heading in any manner, in the sole discretion of Publisher, without any further / future consent /
permission of the Author / Compiler. The Author / Complier for convenience of publisher has also executed
/ issued a NOC in favour of Arya Book Depot qua all IPRs.
12. The Author / Compiler acknowledges receipt of 5 (five) complimentary copies of the first edition of the
manuscript / work and shall have no other claim.
13. The Author / Compiler reassures the Publishers that manuscript / work or any part thereof is not defamatory,
libellous, scandalous and/or in violation of any intellectual property rights of any third party and/ or in
violation of any other applicable law. The Author / Compiler shall continue to keep the Publisher
indemnified and harmless against all claims, etc.
14. The Author / Compiler reassures and reaffirms that the Author / Compiler, inter alia, has in past or present
neither sold / assigned / licenced / transferred the manuscript / work or any part thereof to any other third
party / person nor permitted so and further agrees that in future the Author / Complier shall neither sell /
assign / licence / transfer the manuscript / work or any part thereof to any other third party / person nor
permit so. The Author / Compiler further reassures and reaffirms that the Author / Compiler, henceforth,
has become legally incapacitated to sell / assign / licence / transfer whole or any part of manuscript / work
in any form to any other third party / person; and if found otherwise, then Author / Compiler holds himself
liable to pecuniary damages for infringement and legal action available to Publisher under law.
15. The Author / Compiler affirms and confirms that the Author / Compiler, directly or indirectly and without
prior written consent of Publisher, shall not write or print or publish or edit or print or translate or revise or
abridge or enlarge or engage in any act detrimental to interest of Publisher with respect to present
manuscript/ work or any part thereof.
16. The Author / Compiler, henceforth, has no proprietary rights in the manuscript / work or contents thereof
and shall be left with no legal right in respect thereof. The Author / Compiler hereby, without any protest,
demur or reservation of any nature, waive all the rights / claims, if any, legal or otherwise howsoever and
whatsoever in favour of the Publisher for all purpose and intent. The Author / Compiler assures the
Publisher to execute such other or further documents / instruments as may be required by Publisher from
time-to-time to absolute the legal right of the Publisher forever in the manuscript / work or renewal /
extension thereof.
17. The Author / Compiler affirms / confirms / acknowledges that all and every intellectual property rights
worldwide / domestic, inter alia, copyright, etc. in the contents of manuscript / work and/or unedited / edited
manuscript / work shall always remain vested in Publisher as its sole proprietary. All and every works,
ideas, or other information developed in whole or in part by the Author / Compiler in connection hereof
shall always be the proprietary of the Publisher alone. The Author / Compiler agrees not to infringe/ pass
of any intellectual property and shall not engage in any act for the subject material which may tend to
infringe / pass of any intellectual property right.
18. The Author / Compiler shall treat any / every information disseminated hereof as confidential. Additionally,
the Author / Compiler shall always keep confidential the information, manuscript, editing, etc. exchanged
/ undertaken hereof. The Author / Compiler affirms not to disclose, divulge or communicate in any manner
whatsoever / howsoever any information (confidential or otherwise) pertaining to or in relation to present
work or any proprietary information of the Publisher. The Author / Compiler undertakes to remain bound
by confidentiality, which shall survive completion of scope of work or termination.
19. The Author / Compiler undertakes and assures to remain always bound by the terms hereof and undertakes,
directly / indirectly, not to expressly or otherwise violate the terms hereof. The Author / Compiler out of
own free will and voluntarily executes / issues the present without any force or coercion or duress from any
corner. The Author / Compiler is well aware of the contents and its effects.
20. This document shall be binding / valid upon sending a signed copy of this document (scanned or original)
by Author / Compiler to Publisher by courier / post or alternatively by email or electronic transmission to
Publisher by Author / Compiler of the executed version of this document, which shall vest with same force
and effect as the original and shall constitute a binding / valid document. The document contains all the
statements of Author / Compiler and any change hereof shall be valid / acceptable only in case of it being
written and duly signed by Author / Compiler and Publisher.
21. All disputes, claims, and questions regarding the rights and obligations of the parties hereto under the terms
or in any manner touching or concerning or arising out of the present transaction or present agreement,
whatsoever and howsoever, shall be resolved by submission to binding arbitration under the Arbitration &
Conciliation Act, 1996 and/or any subsequent enactment/amendment thereof by appointment of a sole
arbitrator by Delhi High Court under Arbitration & Conciliation Act, 1996. The award of such Arbitrator
shall be final and binding upon the parties thereto. The venue and seat of arbitration shall be at New Delhi,
India. Judgment, if any, upon an arbitration award may be entered in courts at New Delhi, India and shall
be binding, and final. The fees of the Sole Arbitrator and the arbitration proceedings shall be borne equally
by the parties hereto.
22. The Courts at Delhi shall alone vest with exclusive jurisdiction.
IN WITNESS WHEREOF the parties hereto have duly executed and signed this Agreement on the day, month and
year first above written.

This is to certify that all the intellectual properties, inter alia, trademark(s), logo(s), designs, copyright,
moral rights, etc. including the Work / literary work / manuscript / ICSE Computer Applications (Class 10) was
authored / edited by the undersigned for and on behalf of Arya Book Depot having its principal place of business
at 30, Naiwala, Karol Bagh, New Delhi-110005 in terms of an agreement duly signed and executed by the
undersigned in consideration for lawful consideration duly received by the undersigned from Arya Book Depot,
which is hereby acknowledged.
The intellectual properties, inter alia, trademark(s), logo(s), designs, copyright, moral rights, etc.
including the Work / literary work / manuscript / ICSE Computer Applications (Class 10) was /is authored / edited
for and on behalf of Arya Book Depot and all such intellectual property and every legal right therein shall exclusive
vest in Arya Book Depot as its proprietor and I acknowledge that I have no claim / right / interest of any nature
whatsoever and howsoever to any extent in the aforesaid intellectual properties, inter alia, trademark(s), logo(s),
designs, copyright, etc. including the Work / literary work / manuscript / ICSE Computer Applications (Class 10)
or any of its modifications / editions / update / translation / adoption / adaptation / conversion/ prints / etc. or any
part thereof and I undertake not to challenge or raise of any of objection / protest whatsoever and howsoever.
I have no objection to the grant of all and every rights forever and in perpetuity in respect of the
intellectual properties, inter alia, trademark(s), logo(s), designs, copyright, moral rights etc. including the Work /
literary work / manuscript / ICSE Computer Applications (Class 10) in favour of Arya Book Depot.
