In April 2015, Havells acquired a 51% majority stake in Promptec Renewable before
increasing its stake in the company to 100% in 2018. In December 2015, Havells sold 80%
stake in Sylvania Malta and Havells Exim Hong Kong to Shanghai Feilo Acoustics

Anil Rai Gupta (born 20 April 1969) is an Indian businessman. He is the chair and
managing director of Havells India.
Gupta joined his father's company in 1992 as a non-executive director. He led Havells'.

After his father's death in November 2014, Gupta succeeded him the chairman and managing

Gupta is one of the founders of Ashoka University, a private liberal arts college in
Haryana. He wrote a biography of his father, Havells: The Untold Story of Qimat Rai

Surjit Kumar Gupta gets his fortune from his stake in Havells India, a company founded by
his late brother-in-law, Qimat Rai Gupta.
Havells sells a range of electrical products such as fans and lights as well as consumer

company will fund the transaction with internal resources and Rs600-800 crore of debt. The
deal is expected to close in two months. Lighting and electrical appliances company Havells
India Ltd on Sunday said it will acquire the consumer durables business of Lloyd Electrical
and Engineering Ltd, run by the B.R. Punj Group, for Rs1,600 crore.

as some of the consumer durable brands are co-owned by the two companies promoted by the
B.R. Punj Group.Havells chairman and managing director Anil Rai Gupta said in a phone

crore of debt. The deal is expected to close in two months. A statement by Havells said the
acquisition is at an enterprise value of Rs1,600 crore on a debt-free, cash-free basis subject to
closing adjustments. Any debt this division may have at the time of transfer as a going
concern will be deducted from the transaction value of Rs1,600 crore. The acquisition covers
consumer business infrastructure, people, distribution network and intellectual property
relating to the brand Lloyd.
In the nine months ended 31 December, this division reported Rs1,242 crore revenue and
Ebitda of Rs75 crore. Ebitda stands for earnings before interest, tax, depreciation and
amortization, and is a measure of operating profitability.
Havells said that based on its run rate and past performance, full-year revenue is estimated at
Rs1,850 crore, with Ebitda of Rs110 crore.

When electrical goods company Havells acquired Sylvania in 2007, all that it was looking for
was growth and a strong global presence. Instead, it had to grapple with a major crisis at
Sylvania, triggered by the global financial turmoil. The situation threatened to pull Havells
down, and it had to come up with a smart turnaround strategy. This case study looks at how
Havells pulled it off.
Qimat Rai Gupta quit his job teaching in a school in Punjab, and came to Delhi in 1958 with
Rs 10,000 in hand. He started an electrical goods trading company in the old part of the city,
but the market was too small for his ambitions. He spotted an opportunity in the distressed
Havells brand, named after its founder, Haveli Ram Gupta. He bought it for around Rs 7 lakh
in 1971, and followed up with a series of acquisitions, joint ventures and entry into new
product categories. Today, Havells India Ltd is a Rs 7,248-crore company. The journey hasn't
always been smooth, but the roughest patch was easily the 2007 acquisition of German
lighting and fixtures maker SLI Lighting, owner of the Sylvania brand.
SLI was then the world's fourth-largest lighting company and 1.5 times bigger than Havells.
It took Gupta minutes to make up his mind about buying it, while his senior management -
including son Anil Rai Gupta, nephew Ameet Gupta and Group CFO Rajesh Gupta - were
still weighing the pros and cons.
In February 2007, when negotiations with Sylvania's owners took place, some of Havells's
top bosses flew to London to seal the deal. Anil, Havells's Joint Managing Director, recalls

the sleepless night before they signed on the dotted line. He and cousin Ameet reckoned they
were paying more than they should. "The next morning, I called my father," says Anil. "I told
him we have paid i3 million (Rs 23.4 crore today) more. He said that in the big picture, the
figure was insignificant." Havells bought Sylvania for i200 million, plus pension liabilities of
i35 million.

Learning experience :
The overall study helped me in Gaining and understanding of Havells company;s profile.
By studying the company's hierarchical structure and the roles of different levels, I could
see how decision-making processes are fine tuned for efficiency. Delopving into internal
processes gave me a better grasp of how Havells company values and norms influence its
corporate culture, and creating a cohesive and driven workforce.
Additionally, analysing various channels showed me how information flows within the
