COMPANY CONSTITUTION

1. BUSINESS LINE
Pet Shop is a company project that will be dedicated to the marketing of pet
clothing, where you will not only find this service but also various accessories for
your pet, such as collars, leashes, bags, cleaning products, among others.
What is sought with this business idea is precisely the help that the pet owner
needs to make it look its best. Many owners want to see their personality
reflected in their beloved pet, also being a status symbol. social, if the owner
wants something for his pet, PET SHOP will have it.
2. COMPANY NAME SEARCH
Company name: PET SHOP SAC
Trade Name: PET SHOP
The requirements to search and reserve the name are: valid DNI or passport,
decide the type of company you are going to establish, now you can search for
the name of your company by entering this link (

you are already clear, you can fill out the name reservation request form
(download the form here in case of the in-person procedure). To reserve online,
enter the link found above.
With the presentation format that you will obtain after making the online
reservation, go to the Registry Office corresponding to the address of the Legal
Entity to present it and make the corresponding payment. The cost of the

processing fee is S/ 20.00.

Also, you can carry out this procedure in four steps in person by going to one of
the SUNARP offices.
1. Search for an available name. Go to the nearest SUNARP registry office or
to a Center for Better Citizen Services MAC Callao, MAC Lima Norte and
MAC Piura at the MAC Lima Norte Center, MAC Callao or MAC Piura and
request an index search form. The search is used to find out if the name you
want to adopt is available. The registration fee is S/ 5.00. The result is
delivered in an average of 20 to 30 minutes.
2. Decide what type of company you are going to establish
3. Present your documents at the same SUNARP office. Present your identity
document and the completed Legal Entity Name Reservation Request
Form. This format allows you to place three name options. If the first name
is free, they grant you the reservation. Otherwise, the registrar will search
for the middle name, and so on until it finds an available name within the 3
options you have indicated. Once you are given one of the options, the
others are ruled out.
4. Make the payment. The payment for reserving the name is S/ 20.00

3. Prepare the Constitutive Act (Minute)
The Constitutive Act is a document in which the members of a company express
their willingness to establish a company and where they indicate all the
respective agreements.
The Constitutive Act consists of the articles of incorporation and the statutes, in
addition to any inserts that may be attached to it.
REQUIREMENTS
 02 copies of the DNI of each of the partners and spouses.
 Original and 02 copies of Search and name reservation.
 File (PDF, Word, Excel) on a USB with the line of business and the list of
assets for capital.

You have two options to carry out this procedure:
 At a notary office: Take the requirements to a notary office and request the
Articles of Incorporation Preparation service. The cost and waiting time will
depend on the notary office you choose.
 In a Business Development Center (CDE): Take the requirements to a CDE
and request the service of Preparation of the Articles of Incorporation. The
approximate time is 2 business days.
 In a Center for Better Citizen Service (MAC): Take the requirements to the
MAC Lima Norte Center, MAC Lima Este or MAC Callao and request the
service of Preparation of Constitutive Act. The waiting time will depend on the
MAC Center.
4. RUC REGISTRATION
It is a registry in which taxpayers must register regarding the taxes administered by
SUNAT and constitutes a database whose information is permanently updated by
taxpayers and by SUNAT itself.
This registry allows each person, entity or company to be granted a RUC consisting of
11 digits that is permanent and mandatory for use in all procedures before SUNAT.
To obtain your RUC number you must go to any Taxpayer Services Center close to your
tax address and present the following documents:

If the authorized person presents a power of attorney with a notarized signature or
authenticated by a SUNAT notary, authorizing him or her to carry out the
registration process in the RUC, it will not be necessary to show the original identity

5. OPERATING LICENSE
The operating license is the authorization that the municipality grants you so that
you can operate your business. You must obtain it before carrying out activities,
and if you have more than one establishment you must obtain a license for each
one.

Although there may be particular requirements in each district, we will tell you
the procedure in general terms.
REQUIREMENTS TO OBTAIN YOUR OPERATING LICENSE
 Application in the form of a sworn statement that includes RUC number, DNI
or immigration card.
 Validity of power of attorney of the legal representative or power of attorney
with legalized signature.
 Affidavit of observance of security conditions or technical security inspection
in civil or multidisciplinary defense, as appropriate to the size of the premises
and line of business.
If this is the case:
 Simple copy of the professional title in the case of health-related services.
 Report on the number of parking spaces, if required by regulations.
 Copy of sector authorization, if established by law.

6. TAX REGIME
It is a tax regime created for small merchants and producers, which allows them
to pay a monthly fee set based on their purchases and/or income, which
replaces the payment of various taxes.
This regime is aimed at natural persons who sell goods or services to final
consumers. People who work in a profession can also benefit from the New
RUS.
In this tax regime, the issuance of sales receipts and cash register tickets
as proof of payment is permitted.
For the New RUS, the issuance of invoices and other receipts that give the right
to tax credit is prohibited and there are restrictions regarding the maximum
income and/or monthly and/or annual purchases and also regarding the
development of some non-permitted activities.
Each taxpayer pays the monthly New RUS fee according to the minimum and
maximum amounts of gross income and monthly purchases.

Additionally, you must consider the following restrictions:


 Carry out activities in a single establishment or production headquarters.
 The value of fixed assets must not exceed S/ 70,000 soles (except vehicles and
property).
 Carry out activities not included.
 If your business grows and you need to change your Regime for one that is
better suited, you can do so at any time by following the instructions
corresponding to your current regime.

Go to a Taxpayer Services Center with all the requirements to register for the
RUC. When you go to the window to complete the process, tell the person in
charge that you want to choose the NRUS tax regime.

At the time of registration you will be given a proof of registered information


(CIR) where the chosen regime will appear.

7. ACCOUNTING BOOKS
The obligation to keep the accounting books of entities and companies has as
reference the income obtained in the previous taxable year and the UIT in force
in the current year. Likewise, recipients of third category income who begin
activities generating these incomes during the year will consider the income they
estimate they will obtain during the year.
The amount of books required to be kept is determined based on the tax regime
that the entity or company is subject to and, in the case of being included in the
general regime, based on the volume of annual income it has.
In the tax regime called New RUS, it is not mandatory to keep books or
accounting records.
In the Special Income Regime-RER and the General Income Regime, the
