CONTRACT TO SELL

KNOW ALL MEN BY THESE PRESENTS:


That AGREEMENT, made and entered into by and between:
I, RODRIGO B. BARCEGA, of legal age, single, Filipino, and resident of #509 Sgt. Gaudier
St. Mabolo II Bacoor City, Cavite, herein after referred to as the SELLER. under Special Power of
Attorney of Ms. ALICIA F. CALBAY of legal age, single, Filipino, and resident of #129-A. Banaag
St., Brgy. Pineda, Pasig City.
-AND-
I, MA. LAARNI R. ALCOBER, of legal age, single, Filipino, and resident of #101 Newport
Blvd. Pasay City hereinafter referred to as the BUYER. under Special Power of Attorney of MS.
MARYJANE R. ALCOBER of legal age, single, Filipino, and resident of Block 2 Lot 42 Apple
Blossom St. Capitol Hills Phase 2 Trece Martirez City, Cavite.

W I T N E S S E T H:
WHEREAS, the SELLER is the registered owner of a property covered by Transfer
Certificate of Title No T - 696655 situated at Block 12 Lot 4 Guijo St. Meadowood Executive
Village Bacoor City, Cavite, with improvements and containing an area ONE HUNDRED FIFTY-SIX
(156) SQUAREMETERS, identified as at Panapaan 8 Bacoor City Cavite, and more particularly
described as follows:
TRANSFER CERTIFICATE OF TITLE NO. T - 696655
A PARCEL OF LAND (LOT 4, BLK. 12 OF THE CONS. SUBD. PLAN. PCS-04-005211 BEING A
PORTION OF THE CONS. OF LOTS 4841-B-2, (LRC) PSD173797, LOT 4841-C PSD-59953, LOT 4844,
IMUS ESTATE, LRC REC. NO. ), SIT. IN THE BO. OF PANAPAAN, MUN. OF BACOOR, PROV. OF
CAVITE, IS. OF LUZON. BOUNDED ON THE NW., ALONG LINE 1-2 BY LOT 5, BLK. 12 OF THE
CONS./SUBD. PLAN; ON THE NE., ALONG LINES 3-4-5 BY PCS-04-005213; ON THE SE., ALONG
LINE 4-5 BY LOT 3; XXXXXXX-
WHEREAS, the SELLER had offered to sell the property covered by Transfer Certificate of
Title No. T- 696655 situated Block 12 Lot 4 Guijo St. Meadowood Executive Village Bacoor City,
Cavite, with improvements and containing an area of area ONE HUNDRED FIFTY-SIX (156)
SQUAREMETERS and identified as Panapaan 8 Bacoor City Cavite to the BUYER and the BUYER
acceded to buy in the amount of SIX MILLION (6,000,000.00) PESOS ONLY.
That for and in consideration of the sum of SIX MILLION (6,000,000.00) PESOS ONLY,
Philippine Currency, the SELLERS hereby conditionally SELLS, TRANFERS AND CONVEYS unto the
BUYER, her heirs, successors and assigns the above-described parcel of land with improvements
(residential house) thereon, under the following terms and conditions:
1. That the amount of TWO MILLION (2,000,000.00) PESOS ONLY shall be paid by the
BUYER as downpayment. Hence, the SELLER could no longer offer the said property
to other buyers.

2. That the remaining balance of FOUR MILLION PESOS ONLY (4,000,000.00) shall be
applied by the BUYER thru BANK FINANCING
3. That the BUYER shall be given a maximum of THREE (3) MONTHS to apply for the
said loan and shall be counted upon the release of Notice of Approval (NOA) to the
SELLER. The BUYER hereby undertakes that they will provide all documents which
shall be needed by the BANK for the approval of the loan, Likewise the SELLER shall
provide all the documents which shall be needed for the approval of the loan.

4. That the Capital Gains Tax (6%) and the Notarial Fee for Deed of Absolute Sale is
shoulder by shall be for the account of the BUYER.

5. That the Documentary Stamps Tax, Registration Fee, Transfer Tax, document
expenses and other expenses in the transfer shall be for the account of the BUYER.

6. That Both parties agree to renovate the property after the release of Letter of
Guaranty (LOG) from the bank.

7. Upon approval of the BUYER's real estate loan, and the receipt of the SELLER'S Letter
of Guaranty (LOG) from BANK FINANCING, The SELLER shall sign and execute a DEED
OF ABSOLUTE SALE in favor of the BUYER.

8. The SELLER shall likewise execute and/or deliver all documents, including but not
limited to the original copy of the Transfer Certificate of Title, Tax Declaration, and all
other documents necessary for the transfer of ownership from the SELLER to the
BUYER.

Attorney of MS. MARYJANE R. ALCOBER of legal age, single, Filipino, and resident of Block 2 Lot

42 Apple Blossom St. Capitol Hills Phase 2 Trece Martirez City, Cavite. the sum of TWO MILLION

(2,000,000.00) PESOS ONLY, representing as down payment for the sale of parcel of land, Block

12 Lot 4 Guijo St. Meadowood Executive Village Panapaan 8 Bacoor City, Cavite, containing an

area of ONE HUNDRED FIFTY-SIX (156) SQUAREMETERS more or less, and covered by Transfer

Certificate of Title No T - 696655 of the Registry of Deeds for the Province of Cavite.

Meadowood Executive Village Bacoor City, Cavite. Do hereby appoint, name and constitute ROBELIE
T. OBENIETA, of legal age, Filipino, Citizen, and resident of #60 Camphor St. Wood Estate Village 2 Molino
3 Bacoor City Cavite, to be our true and lawful attorney-in-fact, to manage and conduct all our affairs,
and for that purpose in our name and in our behalf to do and executed all or any of the following acts,
deeds and things, to wit:

1. To appear before the Assessor Office to request the Certified True Copy of Tax
Declaration (Land & Building) pertaining to the property covered by Transfer Certificate of Title
No. T - 696655 situated at Block 12 Lot 4 Guijo St. Meadowood Executive Village Panapaan 8
Bacoor City, Cavite., with improvements and containing an area ONE HUNDRED FIFTY-SIX (156)
SQUAREMETERS, identified as at Panapaan 8 Bacoor City, Cavite.
2. To submit necessary documents, sign, receive, execute, and deliver any and all
documents which may be necessary for the transfer and pay the necessary dues as may be
required by the registering office.
3. To do all other acts in the said transaction.

HEREBY GIVING AND GRANTING unto our said attorney-in-fact full power and authority
whatsoever requisite or necessary or proper to be done in or about the premises, as fully to all
intents and purposes as we might or could lawfully do if personally present, (with the power of
the attorney-in-fact to appoint his substitute), and hereby ratifying and confirming all that my
said attorney-in-fact shall do or cause to be done under and by virtue of these presents.
