2. Instruction to Consultants

3. PREAMBLE
Government of Tamil Nadu through Directorate of Town and Country Planning intends
to engage Consultants to provide consultancy services for the “Preparation of GIS
based Master Plans for Tamil Nadu under AMRUT 2.0 Sub scheme” in accordance with
the provisions of the Tamil Nadu Town & Country Planning Act, 1971. The Director of
Town and Country Planning (DTCP), Tamil Nadu, invites RFP from eligible bidders for
„Preparation of GIS based Master Plans for Tamil Nadu under AMRUT 2.0 Sub scheme
as per the terms and conditions laid down in this Request for Proposal (RFP). More
details on the services required are provided in the attached Request for Proposal
(RFP).
The Atal Mission for Rejuvenation and Urban Transformation (AMRUT) 2.0 stands as a
pivotal initiative on the path to realizing the vision of „Aatmanirbhar Bharat,‟
emphasizing the crucial needs for water security and functional water tap connections
in urban areas. In alignment with this mission, a robust geo-database, a cornerstone
of the Sub-Scheme, is envisioned to revolutionize urban planning processes. This geo-
database, generated under the ambit of AMRUT 2.0, will play a multifaceted role in
crafting master plans, development plans, zonal plans, local area plans, town planning
schemes, utility plans, and infrastructure plans.
The formulation of master plans for cities is recognized as a linchpin for effective
decision-making, fostering efficient land use practices, and promoting holistic urban
management. This initiative is poised to significantly contribute to the realization of
AMRUT 2.0 objectives, particularly in elevating project planning standards within the
water sector.
With this backdrop, the Directorate of Town and Country Planning, Government of
Tamil Nadu, takes the lead in proposing a comprehensive plan for undertaking
essential work on identified AMRUT Urban Local Bodies (ULBs) in Tamil Nadu. This

endeavor marks a significant stride towards realizing the objectives of AMRUT 2.0,
promising a paradigm shift in urban planning and management for the betterment of
cities within the state.

3. In this context, DTCP invites e-tenders from experienced agencies under “Two Cover
System” for Preparation of GIS based Master Plans for Tamil Nadu under AMRUT 2.0
Sub scheme. The details of the tender are furnished in the following sections. The
interested Bidders are requested to review the AMRUT Master Plan guidelines as
available on AMRUT website/TCPO Website.
4. TERMS OF REFERENCE
4.1 Scope of Work
The broad scope of work for the plan preparation shall include, but not be limited to
the following:
a) Stakeholder Engagement & Communication Plan
b) Information Gathering & Compilation
c) GIS-based Data Gathering & Mapping
d) Conduct Sectoral Analysis to inform the preparation of the Master Plans (e.g.,
Economic Development, Land Use & Mobility Integration, Infrastructure, Transit
Priority Corridors, TOD, Climate Adaptation, flood prone area / unstable / unsafe
area, informal settlements, and Slums, ecological important areas, protected
areas and key ecosystem services, areas of historical or archeological importance,
if any etc.) identifying key priority growth needs, areas requiring upgrades & new
development needs.

u) The consultant is required to consult a variety of guidelines, rules, and regulations
at the state, national, and international levels, along with case studies related to
master plan preparation. These references will provide valuable insights and best
practices to inform the development of the master plan for the project.
The Detailed description of the assignment and expected tasks with deliverables, but
not be limited to the following:
The Consultant is required to review and identify the gaps in existing master plans,
development plans, and any other relevant studies within the planning area to prepare
a robust strategic Master plan.
The consultant shall prepare the action plan/strategy for the collection of Drone
imagery, Ground Control Points (GCP) collected through Differential Global Positioning
System (DGPS) survey.

Task 2: Procurement of Drone Images
The consultant shall procure the latest high resolution Drone image as per AMRUT
Designs and Standards for Drone/UAV Technology, 2020, with resolution of 15cm with
100-meter buffer from the planning area boundary.
DGPS SURVEY: The pair of GCPs to be established is one (1) point for 1 to 2 sq.km.
(Depending upon the size and shape of the district boundary) and these should be
evenly distributed over the planning area. The final out put shall have XYZ values with
accuracy for the entire planning area.
Post-Processing of Drone Imageries: To correct various geometric anomalies in Drone
imagery, Ground Control Points (GCP) collected through Differential Global Positioning
System (DGPS) survey will be used for Geo-referencing of the Drone image. Consultant
shall carry out Geo-Referencing of data on WGS-84 with projection on UTM.
Validation of Drone Survey: The procured Drone imagery will be vetted and validated
by the Client. If any of the discrepancies are found, appropriate corrective measures
shall be taken by the consultant as insisted by the Client which may include repeating
the process.
The deliverables of the Drone imagery that shall be provided by the consultant are as
follows:

Task 3: Preparation of Base Map Layers using High Resolution Drone images as per
AMRUT Designs and Standards for Drone/ UAV Technology, 2020
An ideal base map should be indicative of and a perfect demonstration of all the
existing site features. It should be accurately positioned and mapped and should be
based upon an in-depth site survey
Spatial Attribute collection & vetting of Base maps:
The high-resolution drone images from drone surveys conducted by the
consultants will serve as the foundational basis for the preparation of AMRUT base
map. Subsequently, the Consultant is tasked with digitizing all layers in accordance
with the Designs and Standards for the Application of Drone/UAV Technology, 2020, as
mandated by the Ministry of Housing and Urban Affairs (MoHUA) under the approved
AMRUT (Atal Mission for Rejuvenation and Urban Transformation) design and standards.
This entails meticulous attention to detail and adherence to specified protocols to
ensure the accuracy and consistency of the digitized data.

Furthermore, the Consultant is required to conduct ground truthing activities
to validate and finalize spatial attribute data. This crucial step involves verifying and
enhancing the attribute data through direct observation and fieldwork. Key attributes
to be captured during this process include building usage classifications floor-wise land
use categorizations and the number of floors to assess the built up density. These
attributes are integral for facilitating informed decision-making and comprehensive
urban planning initiatives.
After incorporating spatial attributes, the draft base maps generated shall be
provided to DTCP for vetting, after which the final base maps will be generated which
will be used as an input for plan formulation.
Deliverable of base map with the following details:
a) Digitization of all the layers in the Designs and Standards for Application of Drone/
UAV Technology, 2020 as separate features classes. The data has to be in GIS
format only.
b) Consultants should make sure that attribute data collected is verified with
respective data-holding departments and the same should be submitted to the
DTCP.
The layer-wise spatial attributes as per the Performa given in Design – Standards under
AMRUT will be collected from the field by the Consultant, so that the draft final base
map can be generated which can be used as an input to the plan formulation

use classifications, and incorporating any other pertinent spatial data found in village
maps, FMB, TSR and A-Register. Furthermore, the consultant will integrate survey
number features into the existing land use map.
The Revenue / Ward / Block / Parcel Boundary (FMB sketches) must be procured
by the consultants. However, the consultant has to verify the Authenticity, and missing
data/maps and submit them to the client by written request summarizing the findings
The Consultant shall prepare an Existing Land Use Map and make an inventory
of all parcels within the study area following Tamil Nadu Town and Country Planning
Act (1971), Master plan (Preparation, Publication, and Sanction Rules),1983, Urban and
Regional Development Plan Formulation and Implementation (URDPFI) Guidelines
– 2014, Tamil Nadu Combined Development and Building Rules 2019 (TNCDBR) - and
AMRUT Design & Standards for Formulation of GIS Based Master Plan as recommended
by MoHUA
The Consultant shall record/update the actual land use by checking land use
maps and ground truthing wherever required, confining to the parcel boundaries along
with its zoning attributes

2. Demographic and socio-economic characteristics including age, gender,
disability, occupation, social group, consumption basket, assets and
income.
3. Establishment and enterprise type, number of workers and their inputs.
4. Access to infrastructure and public services including power and energy,
telecom, water, sanitation, sewerage and solid waste
5. Level of access to social infrastructure including healthcare, education,
recreation and public spaces.
g) The results of the Primary survey are to be compiled and tabulated as a report
and matrix with findings and recommendations in a predefined format as
discussed and approved by the DTCP and shall be annexed as part of the report
by the consultants
h) Compile all available sector-wise projects – existing and proposed, spatial and
attribute data, regarding existing conditions in the Planning Area
i) Ecological Survey: To retain the existing native flora and fauna, and ecological
habitats across the local planning area. The activity shall also map all wetlands
(tanks and water bodies), streams and drainage (including inventory of drains and
canals), parks and open spaces including all protected areas along with their
existing status.

j) Hazard and Vulnerability Survey and Assessment: A detailed hazard risk
assessment of the major natural and technological hazards that Planning Area is exposed
to; a planning area-based assessment of physical, social, economic and environmental
vulnerabilities; leading to an integrated risk multi-hazard risk assessment and an
identification of hazard hot-spots in the city and its integration with GIS database. If
possible, a probabilistic hazard risk assessment over a 25, 50 and 100-year time horizon
should be undertaken. The Consultants shall take into cognizance of the Industrial Zoning
Atlas prepared by the Tamil Nadu State Pollution Control Board as well. All red category
and orange categories industries shall be located.
k) Pollution Survey: Air pollution survey to be conducted next to major traffic signals,
hospitals, schools, land fill sites, red category industries and shall be mapped.
Apart from this the pollution levels of surface water bodies shall be determined.
m) The Consultants shall also prepare a map showing all the water bodies, including
nalas and tanks in the planning are as a separate layers
a) as per the revenue records and b) based on satellite remote sensing data
provided.
n) An aquifer delineation and total ground water estimation to be arrived. This shall
include delineation of various aquifers and their zones and zones of water recharge
potential. Also water quality of the water sources in the planning area has to be
collected and analyzed. A ground water flow pattern to be arrived along with water
resource estimation. List of recommendations to be arrived along with location of
various recharge structures. This study should also provide a water budget for the
LPA.
o) The consultant shall indicate “Heritage Buildings” and “Heritage Precincts” and
shall include the regulations made therein for conservation

verify various historic revenue records to ascertain the areas which can be
classified as Continuous building area.

• Conduct a stakeholder analysis and identify key stakeholders for shaping
the vision,
• Support DTCP in the formation of the needed committees to ensure proper
representation of gender, socially excluded groups, differently abled people
and senior citizens.
• Prepare Stakeholder Engagement Plan (SEP) and in implementing it during
the visioning exercise. DTCP shall support the consultants in preparing the
SEP. This shall help anticipate and address questions that may come from
the stakeholders during initial consultation. It may also help DTCP plan next
steps.
Finally, The vision shall reflect sustainable development principles. It should resonate
with the existing communities of the place, and explain how the area might change,
both in terms of its geography and its socio-economic characteristics. It also needs to
identify clearly the outcomes sought. The vision shall highlight what is unique about
Study area, and its identity. It should address the future aspirations of the city‟s
residents, while building on the city‟s assets / strengths and addressing itschallenges.

The concept plan serves as the blueprint for the overarching vision and strategic
direction of the master plan. It outlines key objectives, identifies critical issues, and
sets the framework for subsequent stages of planning

objectives into spatial, functional, and design principles.

g) Overall mobility plan for passengers and freight including the identification
and plan for „Transit Oriented Development (TOD) along major transport
corridors integrating features such as pedestrianization and cycling to reduce
carbon footprint;
h) Plan for heritage conservation
i) Gender inclusive plans that consider safe access to services and public places;
safe and affordable mobility; safety from violence and perceived gender-based
violence; health and hygiene; security of tenure to affordable housing;
employment opportunity and climate resilience plan that takes cognizance of
the needs of differently-abled people and complies with the laws for
differently abled people
j) Environment – Water Bodies Conservation, Eco-sensitive areas, and natural
preserves, Pollution levels, Urban Heat Island effects
m) Broad Project Structuring and Block-Cost Estimates for Capital and O&M costs
• Suggest a suitable institutional and holding structure and funding plan for
the Master Plan
• Prepare block cost estimates for capital, operation, and maintenance
costs for the selected alternative for phase-wise implementation of
various project components, physical and social infrastructure, external
linkages, etc. of the Master Plan.
• Capital Investment Plan and Resource Mobilization Strategies (Business
Plan)
n) Prepare an exclusive document on the "Working Plan" for the implementation
of short, medium- and long-term projects that are translated from the Master
Plan. The consultant shall also provide the merits and demerits of the plan

along with the short-term, medium-term, and long-term projects in a matrix
form. The Working Plan shall help the DTCP/ ULB‟s for accessing funding for
various infrastructure projects.
p) The proposed Master Plan shall be in accordance with and synchronization with
other ongoing Regional Plan and other plans in discussion with the DTCP.
Necessary interventions are to be proposed in discussion with the DTCP.
q) The Proposed and land use plan shall have the schedule prepared

• The proposed land use map shall also accommodate all the interventions
and projects proposed based on the strategy and findings with respect to
earlier tasks.
• The changes required, if any, by the DTCP and the Government in the draft
Master Plan, during different stages of its adoption, shall be incorporated
by the Consultant and the final Master Plan comprising the Report and Land
Use Maps shall be submitted to the DTCP and respective LPA.
t) The Draft Master Plan after modification based on the remarks of the Director
of Town and Country Planning will be submitted to the Government for getting
Consent from the Government for the Draft Master Plan. The changes required, if
any, by the Government in the draft Master Plan, it shall be incorporated by the
Consultant till getting the Consent from the Government as per Tamil Nadu Town
and Country Planning Act, 1971, Master Plan for (Preparation, Publication, and
Sanction Rules), 1983, etc.
v) The DTCP will publish the Draft Master Plan inviting objections and
Suggestions, if any, from the public as per the provisions of the Tamil Nadu Town
and Country Planning Act, 1971, Master Plan for (Preparation, Publication, and
Sanction Rules), 1983, etc.
Task 13 – Final Master Plan as per Master Plan (Preparation, Publication, and
Sanction) Rules, 1983
The consultant will develop strategic plans and wide publicity for executing the survey
campaign to solicit objections and suggestions effectively. This involves crafting
methodologies and approaches to encourage active participation, gather valuable
feedback, and address concerns or recommendations raised by stakeholders.
The input gathered through these consultations will be instrumental in refining the
master plan to better align with the needs and aspirations of the community it serves.
The consultant has to prepare a Final Master Plan incorporating the objections,
suggestions, and modifications recommended by the DTCP and other Stakeholders.

While the above mentioned indicates the statutory requirements, the Consultants shall
incorporate them in the series of maps and reports as suggested below. The
Consultants shall submit 5 copies of all the intermediate reports along with a soft copy.
The Consultants shall submit 10 copies of the draft and 10 copies of the final and

incorporating modifications if any, as and when required by the client.

• The consultants shall include necessary support staff for fulfilling the objectives
and requirements of this project.
• Field survey staff: Sufficient field survey staff to be allocated for the survey of the
road network and other details.

staff/experts/specialists to ensure that the objectives of the project are achieved
within the timelines.
• The proposed Team leader shall be assigned full-time for this project and shall not
be associated with any other full-time ongoing assignment with the same/any
other client. The Team Leader shall be a full-time professional to be stationed in
Chennai till the completion of the Study.
• It is mandatory that the Social Development Specialist and the Communication
Expert must possess fluent reading, writing, and speaking abilities in the Tamil
language, which is the regional language of Tamil Nadu. It is desirable for other
members of the team to also have proficiency in spoken Tamil.
a. Review Committee & Review of Reports
The Consultant’s work will be monitored and reviewed by a Consultancy Evaluation and
Review Committee (CERC) under the Chairmanship of Directorate of Town and Country

The consultants shall submit each of the above-mentioned deliverables as per the
schedule mentioned above. This will be followed by a presentation to the CERC within
a week, wherein, the CERC members shall give their comments and suggestions in the
form of feedback. Subsequently, the consultant will incorporate all such comments
and suggestions and submit a revised report.
It is also suggested that the consultants meet the concerned District collector at
various times as required to take their views in preparation for each task/

deliverable. After the review meeting of each deliverable, the consultant has to
submit the revised report by incorporating the suggestions and modifications
recommended by the CERC within 10 working days.
5 QUALIFICATION CRITERIA

6 LANGUAGE OF THE TENDER
The Tender prepared by the bidder as well as all correspondences and documents
relating to the Tender shall be in English only. If the supporting documents are in a
language other than English/Tamil, the notarized translated English version of the
documents should also be enclosed. Tender received without such translation copy will
be rejected.
7 PREBID MEETING
a. There will be a pre-bid meeting on 06.05.2024 at 3.00 P.M via. Video conferencing
(https://meet.google.com/coi-yhop-zug) during which the prospective bidders
can get clarifications about the tender.
b. The bidders are advised to check https://tntenders.gov.in for up-to-date
information like change in date of pre-bid meeting as DTCP may not be able to
identify and communicate with the prospective bidders at this stage. Not
attending of pre-bid meeting is not a disqualification.

8 CLARIFICATION ON THE TENDER DOCUMENT
11 SUBMISSION OF TENDER
a. The eligible bidders shall participate in bidding only in online mode through the
website https://tntenders.gov.in following the two cover system [i.e.
(i) Technical Bid and (ii) Financial Bid) in the prescribed format].
b. Bidders are allowed to bid until the time of bid closing. The e-Procurement website
will not allow any bidder to attempt bidding after the scheduled date and time of
bid submission. The submission of bids physically is not permitted.
c. All the documents in support of eligibility criteria are to be scanned and uploaded
along with the tender documents in the designated website.

d. The bidder should quote the price in the Price-Bid as per the format given in the
E-tender portal.
e. To participate in the bid, the bidder shall have a valid Class 3 Digital Signature
Certificate (DSC), obtained from the certifying authorities enlisted by Controller
of Certifying Authorities (CCA).
f. Every page of the terms and conditions of the tender document should be signed
and uploaded, in token of having accepted the tender conditions. Failing which
the tender will be rejected summarily.
g. A bidder may bid on any number of packages but must submit a separate proposal
for each with a different team.
h. The bidders shall be responsible for all of the costs associated with the preparation
of their bids and their participation in the Bid Process. DTCP will not be responsible
or in any way liable for such costs, regardless of the conduct or outcome of the
Bidding Process.
i. DTCP shall not be liable for any omission, mistake or error in respect of any of the
above or on account of any matter or thing arising out of or concerning or relating
to the tender document or the Bidding Process, including any error or
mistake therein or in any information or data given by DTCP.
a. The Tender should be accompanied by an Earnest Money Deposit (EMD) to the value
of Rs.5,00,000 (Rupees Five Lakhs Only). The EMD shall also be remitted online
through e-tender portal only. MSME registered bidders can avail EMD exemption by
uploading the MSME certificate.
c. The Earnest Money Deposit will be retained in the case of successful bidder and it
will not earn any interest and will be dealt with as provided in the terms and
conditions of the tender.
d. The amount remitted towards EMD is liable to be forfeited in case the bidder fails
to execute the contract after submission of the tender or after acceptance
of the offer by DTCP or fail to sign the Agreement.

13 PRICE BID
a. The price bid should be submitted only in electronic form as per the prescribed
format given.
b. The rate should be quoted in Indian Rupees (INR) in the column highlighted as blue
color in the price bid format.
c. The rate quoted by the bidder shall be kept firm for a period specified in the
tender from the date of opening of the tender. The bidder should keep the Price
firm during the entire period of Contract including extension of time if any.
Escalation of rate will not be permitted during the said periods whether extended
or not for reasons other than increase of taxes payable to the Governments in India
within the stipulated delivery period.
d. The price bid should not be altered and should not contain any commercial
conditions. Variation in the commercial terms and conditions of the tender will
not be accepted.
14 VALIDITY
The rate quoted in the Tender should be valid for the acceptance by DTCP for a
minimum period of 6 Months from the date of opening of the Tender. Escalation in the
rates will not be entertained under any circumstances.
b. Proposal evaluation will be done on basis of 3-stage process. In the 1st Stage,
Technical Proposal Part 1 - Prequalification Proposal submitted by interested
Bidders will be evaluated. Only those who meet the pre-qualification criteria will
qualify 1st stage and will be considered for 2nd stage, i.e., Technical Proposal Part
2 Evaluation. To those firms who are not qualified in 1 st Stage the Technical
Proposal part 2 and Financial Proposal will be returned unopened

d. In the 2nd stage, Technical Proposals will be opened and evaluated and Technical
scores will be given. The Technical bid will be evaluated by the committee of
DTCP in terms of the qualification criteria. The committee reserves the right to
disqualify any of the tender in case the Committee is not satisfied with the
documents furnished, including the past performances.
e. Any adverse / not satisfactory remarks on the performance from the clients of
previous supplies will entail disqualification of the tender and price bids will not
be opened.
f. In case there is a tie in the final score of two or more bidders, the bidder that has
secured higher marks in the Technical Evaluation process will be selected
g. In case sufficient number of bids is not received for any particular Package(s), then
the DTCP reserves the right to opt for re-tendering only for that specific
Package(s). Alternatively, the DTCP may at their discretion invite any one of the
technically qualified bidders in this Tender for negotiation and award of the
unallocated Package(s).
j. A bidder may be allocated more than one package if they submit separate proposals
with different teams.
a. The bidders who meet the pre-qualification criteria will be called for technical
presentation before the technical committee appointed by DTCP.

17 EVALUATION OF THE PRICE

18 NEGOTIATIONS
a. Prior to the expiration of period of validity of proposal, the DTCP shall notify the
successful firm who submitted the highest scoring proposal in writing through
registered letter, facsimile or email and invite them to negotiate the contract.
b. Negotiations normally take two to five days. The invited consultant will, as a pre-
requisite for attending negotiations, confirm availability of all nominated experts
/ key personnel and satisfy other pre negotiation requirements as the DTCP may
specify. The aim is to reach agreement on all points, and initial a
draft contract by the conclusion of negotiations.

c. Negotiations shall commence with a presentation on Technical Proposal on the
proposed methodology (work plan), staffing and any suggestions, which may have
been made to improve the ToR. These will be discussed. Agreement must then be
reached on the final ToR; the staffing that shall indicate staff months, logistics
and reporting. These documents then can be incorporated in the contract as
“description of services”. Special attention shall be paid to clearly defining the
required inputs and facilities required from the client to ensure satisfactory
implementation of the assignment. The client shall prepare minutes of
negotiations, which will be signed by the client and consultant.
d. It is the responsibility of the Consultant, before starting financial negotiations, to
contact the local tax authorities to determine the local tax amount to be paid by
the Consultant under the Contract. The financial negotiations will include a
clarification (if any) of the firm‟s tax liability in the Client‟s country, and themanner
in which it will be reflected in the Contract; and will reflect the agreed technical
modifications in the cost of the services. Unless there are exceptional reasons, the
financial negotiations will not involve any discussions on neither the remuneration
rates for staff nor other proposed unit rates.
e. Changes agreed upon shall then be reflected in the Financial Proposal, using
proposed unit rates (no negotiation of the unit rates, including the man month
rates).
f. The negotiations shall be concluded with a review of the draft Contract. The DTCP
and the firm will finalize the agreed contract.
g. If negotiations fail, the DTCP will invite the second ranked consultant, whose
proposal received the second highest score, to negotiate the contract
19 AWARD OF CONTRACT
b. Upon finalization of negotiated rate, DTCP will issue the Letter of Acceptance
(LoA) to the successful bidder.
c. However, The client reserves the right to extend the project period to an extent
necessary beyond the date of completion of the project period without any
changes to the cost of the project, for any reasons if considered necessary.
d. Any provision not mentioned in the contract agreement but mentioned in the
TTT act and Rules, notified by the Government from time to time will be
applicable to this contract agreement.
e. The locations provided in the tender document for survey work is only tentative
and DTCP reserves the right to change the location during the validity of the
contract.

20 SECURITY DEPOSIT
a. On receipt of the Letter of Acceptance from DTCP, the successful bidder should
remit a Security Deposit (SD) of 5% of contract value, in the form of a Demand
Draft or Banker‟s cheque drawn on any Indian Nationalized/Scheduled Commercial
Bank or irrevocable Bank Guarantee in favor of “Assistant accounts officer DTCP
Chennai”, payable at Chennai, within 10 (Ten) working days from the date of
receipt of letter of acceptance. The EMD shall be adjusted with the Security
Deposit.
b. Any amount pending with DTCP will not be adjusted under any circumstances,
against the Security Deposit if so requested.
c. EMD & Security Deposit amount remitted will not earn any interest.
d. If the Security Deposit amount is not paid within the time specified, the EMD
remitted by the bidder shall be forfeited, besides cancelling the communication
of acceptance of the Tender.
21 AGREEMENT
a. The successful bidder should execute an agreement as may be drawn up to suit
the conditions on a non-judicial stamp paper of value, as prescribed in law and
shall pay for all stamps and legal expenses incidental thereto. In the event of
failure to execute the agreement, within the time prescribed, the SD/EMD amount
remitted by the bidder will be forfeited besides cancellation of the Tender.
b. In the event of non- performance of the contractual provisions and if the selected
bidder, has not fulfilled the contractual obligation with DTCP in any manner during
the currency of the contract or also found on later date, DTCP reserves the right
to disqualify such bidder to participate in future tenders or blacklist the company
upto a maximum period of 3 years besides forfeiture of SD.
After signing the Letter of Acceptance shared by DTCP, the bidder shall send back one
copy of the Letter of Acceptance along with the Security Deposit as per the Clause
17(a) of the RFP. Upon successful remittance of the SD, Agreement shall be signed
with the successful bidder.

23 TIMELINE
a. The successful bidder shall adhere to the following timelines for each land
parcel:
*Note: Stage D2 & D3 is a parallel activity that has to start from the date of
execution of agreement
b. However, The client reserves the right to extend the project period to an extent
necessary beyond the date of completion of the project period without any
changes to the cost of the project, for any reasons if considered necessary
c. If the contract is not completed within the stipulated time or extended time at
any stage, DTCP will deemed fit to the occasion at the risk and cost of the
successful bidder. Such cancellation will entail forfeiture of Security Deposit or
penalty clause as mentioned in Clause 26 will be imposed. Delays beyond that
period will result in termination of the project,.
24 FORCE MAJEURE
a. The bidder shall not be liable for penalty or termination for default if and to the
extent that it’s delay in performance or other failure to perform its obligations
under the Contract is the result of an event of Force Majeure.
b. For purposes of this clause, “Force Majeure” means an event beyond the control
of the bidder and not involving the bidder/ fault or negligence, and not
foreseeable. Such events may include, but are not restricted to, acts of the DTCP
Chennai in its capacity as a buyer, wars or revolutions, terrorist attacks, fires,
floods, epidemics, quarantine restrictions and freight embargoes.

c. If a Force Majeure situation arises, the bidder shall promptly notify the DTCP
Chennai in writing of such condition and the cause thereof. Unless otherwise
directed by the DTCP Chennai in writing, the tenderer shall continue to perform
its obligations under the Contract as far as is reasonably practical and shall seek
all reasonable alternative means for performance not prevented by the Force
Majeure event.
25 PAYMENT TERMS
a. No advance is permissible.

c. The Bidder should obtain signoff after each milestone from the DTCP and raise
invoice against the same. The payments shall ordinarily be made within 15 days
from the date of receipt of invoice.
d. Upon successful completion of the entire contract as per scope of work, Security
Deposit SD will be released.
e. DTCP also reserves the right to recover any dues from the bidder, which is found
on later date, during audit/excess payment, after final settlement is made to
them. The bidder is liable to pay such dues to DTCP immediately on demand,
without raising any dispute/protest.

26 PENALTY
The successful bidder should adhere to project milestones as per clause 23 (a), failing
which a penalty @1% per week on the value of the delayed work will be levied up to a
maximum of 5%. Delays beyond that period will result in termination
of contract.
27 TERMINATION OF CONTRACT
DTCP reserves the right to terminate the contract at any time during the validity
period on account of non-fulfillment of contractual obligations and SLA.
28 GENERAL CONDITIONS
a. DTCP reserves the right to relax or waive or amend any of the tender conditions.
b. The bidders are advised to check https://tntenders.gov.in for up-to-date
information on the submissions and other process of the tender as DTCP may not
be able to identify and communicate with the prospective bidders throughout.
c. The right of final acceptance of the tender is entirely vested with DTCP and
reserves the right to accept or reject any or all the bidder in part or in totality or
to negotiate with any or all the bidders or to withdraw/ cancel/ modify this tender
without assigning any reason whatsoever.
d. After acceptance of the tender by DTCP, the bidder will have no right to withdraw
his tender.
e. The bidder shall not transfer the contract to any other service provider.
f. The bidder must have an established office in Chennai. The documentation
verifying the establishment of the office in Chennai must be submitted to the
client.
g. The consultant team must be available at any time of requirement at the DTCP
Head Office to facilitate discussions with the client, both at the head office and
in local body offices, as necessary.
h. If performance of the bidder is not as per the schedule, then DTCP reserves the
right to reallocate full/part order to other qualified bidders. Any additional cost
incurred by DTCP due to such reallocation should be borne by the bidder
i. DTCP will not have any liability towards the manpower appointed by the bidder
for implementation of the project.
j. All the expenses incurred during the stakeholders engagement at all levels in the
preparation of master plan shall be borne by the consultant only
k. Any notice regarding any problems, to the bidder shall deemed to be sufficiently
served, if given in writing at his usual or last known place of business.
29 ARBITRATION
a. In case of any dispute in the bid, including interpretation if any on the clauses of
the bid or the agreement to be executed, the matter, if not resolved through

amicable settlement, shall be referred to arbitration by an arbitral tribunal
constituted in accordance with Clause 26(b). Such arbitration shall be proceeded
as per the provisions of the Arbitration and Conciliation Act, 1996 or under any
statute in force at that point of time.
c. The venue of the Arbitration shall be at the Head office of Directorate of Town
and Country Planning, Chennai. The decision of the arbitral tribunal shall be final
and binding on both the parties to the Arbitration.
d. The arbitral tribunal may with the mutual consent of the parties, extend the
time for making the award. The award to be passed by the arbitral tribunal is
enforceable in the Court at Chennai city only.
Any dispute arising out of non-fulfillment of any of the terms and conditions of this
Agreement or any other dispute arising out of the arbitration award will be subject
to the jurisdiction of the Courts in the City of Chennai only.

B. It is a necessary condition under the Consultancy document that the member of
the consortium shall enter into a joint Bidding Agree with the Application.

ii. Consortium
a. The Parties do here by irrevocably constitute a consortium ("the Consortium") for the
purposesof jointly participating in the selection process for the Consultancy.
b. The Parties hereby undertake to participate in the Bidding Process only this Consortium
and not individually and / or through any other consortium Constituted for this
Consultancy, either directly or indirectly or through any of their Affiliates.
iii. Covenants
The Parties hereby undertaken that in the event the Consortium is declared the selected
Consultant and awarded the Consultancy, the Parties shall enter into contract for consultancy
services ("Contract") with the Authority and for performing all obligations as the Consultant in
terms of the Contract for the Consultancy.

vii. Representation of the Parties

been authorized by all necessary and appropriated corporate of governmental
action and a copy of the extract of the charter document and board resolution/
power of attorney in favour of the person executing this Agreement on behalf of
the party is annexed to this Agreement, and Will not, to the best of its
knowledge:
i. Require any consent or approval not already obtained;
ii. Violate any Application Law presently in effect and having applicability to it;
iii. Violate the memorandum and articles of association, bye-laws or other
applicableorganizational document thereof;
iv. Violate any clearance, permit, concession, grant, license or other
governmental authorization, approval, judgment, order or decree or any
mortgage agreement, indenture or any other instrument to which such party is
a Party or by which such Party or any of its properties or assets are bound or
that is otherwise applicable to such Party; or
v. Create or impose any lines, mortgages, pledges, claims, security interests,
charges or Encumbrances or obligation to create line, charge, pledge, security
interest, encumbrances or mortgage in or on the property of such Party, except
for encumbrances that would not, individually or in the aggregate, have a
material adverse effect on the financial condition or prospects or business of
such Party so as to prevent such Party from fulfilling its obligations under this
Agreement;
c. This Agreement is the legal and binding obligation of such Party, enforceable
in accordance with its term against it; and
d. There is no litigation pending or, to the best of such Party's knowledge,
threatened to which it or any of its affiliates is a Party that presently affects, or
which would have a material adverse effect on the financial condition or
prospects or business of such Party in the fulfilment of its obligation under this
agreement.
viii. Authorized Representation
The parties agree that, who is employed with consortium partner, or his/her nominee
shall be the authorized representative of the consortium, to do on behalf of the
Consortium, all such acts, deeds and things as are necessary or required in
connection with or incidental to submission of the Consortium's proposal for an the
Consultancy including but not limited to signing and submission of all application,
proposal and other document, participating in pre-bid and other conferences and
providing information responses to the authority, representing the consortium in the
matters before the authority, signing and execution of all contracts and undertakings
consequent to acceptance of the consortium's proposal and generally

dealing with the Authority in all matters in connection with or relating or arising
out of the Consultancy.
ix. Termination
This Agreement shall be effective from the date hereby and shall continue in full
force and effect until the Effective Date under the Contract, in case the Consultancy
is awarded to the Consortium. However, in case the Consortium is not selected for
award of the Consultancy, the Agreement wilt stand terminated upon intimation by
the Authority that it has not been selected and upon return of the Bid Security by
the Authority.
x. Miscellaneous
a. This Joint Bidding Agreement shall be governed by laws of India.
b. The Parties acknowledge and accept that this Agreement shall not be
amended by the Partieswithout the prior written consent of the Authority.

accordance with the requirements and submitting their bids online on the TAMILNADU
GOVERNMENT E PROCUREMENT Portal. More useful information for submitting online bids

A. REGISTRATION
Bidders are required to enroll on the e-Procurement module of the Tamil Nadu
Government E procurement Portal (URL: https://tntenders.gov.in)
2. As part of the enrolment process, the bidders will be required to choose a unique
username and assign a password for their accounts.
3. Bidders are advised to register their valid email address and mobile numbers as part
of the registration process. These would be used for any communication from the
TAMILNADU E PROCUREMENT Portal.
4. Upon enrolment, the bidders will be required to register their valid Digital Signature
Certificate(DSC) (Class III Certificates with signing key usage) issued by any Certifying
Authority recognized by CCA India (e.g. Sify /nCode / eMudhra etc.), with their
profile.

5. Only one valid DSC should be registered by a bidder. Please note that the bidders are
responsible to ensure that they do not lend their DSC‟s to others which may lead to
misuse.
6. Bidders can then log in to the site through the secured log-in by entering their user
ID / password and the password of the DSC / e-Token.
2. Once the bidders have selected the tenders they are interested in, they may download
the required documents / tender schedules. These tenders can be moved to the
respective „My Tenders‟ folder. This would enable the TAMILNADU GOVERNMENT E
PROCUREMENT Portal to intimate the bidders through SMS / e-mail in case there is
any corrigendum issued to the tender documents.
3. The bidder should make a note of the unique Tender ID assigned to each tender, in
case they want to obtain any clarification / help from the Helpdesk.
C. PREPARATION OF BIDS
1. Bidder should take into account any corrigendum published on the tender document
before submitting their bids.
2. Please go through the tender advertisement and the tender document carefully to
understand the documents required to be submitted as part of the bid. Please note
the number of covers in which the bid documents have to be submitted, the number

of documents - including the names and content of each of the document that need
to be submitted. Any deviations from these may lead to rejection of the bid.
3. Bidder, in advance, should get ready with the bid documents to be submitted as
indicated in the tender document / schedule and should be in PDF formats. Bid
documents may be scanned with 100 dpi with Black and White option which helps in
reducing size of the scanned document.
4. To avoid the time and effort required in uploading the same set of standard
documents which are required to be submitted as a part of every bid, a provision of
uploading such standard documents (e.g. PAN card copy, annual reports, auditor
certificates etc.) has been provided to the bidders. Bidders can use “My Space” or
“Other Important Documents‟‟ are available to them to upload such documents. These
documents may be directly submitted from the “My Space” area while submitting a
bid, and need not be uploaded again and again. This will lead to a reduction in the
time required for bid submission process.
The bidder shall submit online the requirements under qualification criteria and technical
documents required and Price Bid. All the documents are required to be signed digitally
by the bidder. After electronic online bid submission, the system generates a unique bid
reference number which is time stamped. This shall be treated as acknowledgment of bid
submission.
1. Bidder should log-in to the site well in advance for bid submission so that they can
upload the bid in time i.e. on or before the bid submission time. Bidder will be
responsible for any delay due to other issues.
2. The bidder has to digitally sign and upload the required bid documents one by one as
indicated in the tender document.
3. Bidder has to select the payment option as “offline/online” to pay the tender fee /
EMD as applicable and enter details of the instrument.

4. Bidder should prepare the EMD as per the instructions specified in the tender
document.
5. Bidders are requested to note that they should necessarily submit their financial bids
in the format provided and no other format is acceptable. If the price bid has been
given as a standard BoQ format with the tender document, then the same is to be
downloaded and to be filled by the bidder. Bidders are required to download the BoQ
file, open it and complete the white coloured (unprotected) cells with their
respective financial quotes and other details (such as name of the bidder etc). No
other cells should be changed. Once the details have been completed, the bidder
should save it and submit it online, without changing the filename. If the BoQ file is
found to be modified by the bidder, the bid will be rejected.
6. The server time (which is displayed on the bidders‟ dashboard) will be considered as
the standard time for referencing the deadlines for submission of the bids by the
bidders, opening of bids etc. The bidders should follow this time during bid
submission.
7. All the documents being submitted by the bidders would be encrypted using PKI
encryption techniques to ensure the secrecy of the data. The data entered cannot be
viewed by unauthorized persons until the time of bid opening. The confidentiality of
the bids is maintained using the secured Socket Layer 128 bit encryption technology.
Data storage encryption of sensitive fields is done. Any bid document that is uploaded
to the server is subjected to symmetric encryption using a system generated
symmetric key. Further this key is subjected to asymmetric encryption using
buyers/bid opener‟s public keys.
8. The uploaded bid documents become readable only after the tender opening by the
authorized bid openers.
9. Upon the successful and timely submission of bids (i.e. after Clicking “Freeze Bid
Submission” in the portal), the portal will give a successful bid submission message &
a bid summary will be displayed with the bid no. and the date & time of submission
of the bid with all other relevant details.

10. The bid summary has to be printed and kept as an acknowledgement of the submission
of the bid. This acknowledgement may be used as an entry pass for any bid opening
meetings.
11. In all cases, bidder should use their own ID and Password along with Digital Signature
certificate at the time of submission of their bid.
12. During the entire e-tender process, the bidders will remain completely anonymous to
one another and also to everybody else.
13. The e-tender floor shall remain open from the pre-announced date & time and for as
much duration as mentioned above.
14. All electronic bids submitted during the e-tender process shall be legally binding on
the bidder. Any bid will be considered as the valid bid offered by that bidder and
acceptance of the same by DTCP will form a binding contract between DTCP and the
Bidder for execution of supply.
15. It is mandatory that all the bids are submitted with digital signature certificate
otherwise the same will not be accepted by the system.
16. DTCP reserves the right to cancel or reject or accept or withdraw or extend the tender
in full or in part as the case may be without assigning any reason thereof.
17. The server time shall be treated as final and binding. Bids recorded in the server
before the bid closing time will only be treated as valid bid. Bidders are, therefore,
advised to submit their bids well before the closing time of e-tender. If any bid
reaches the server after the bid closing time as per server time, the same will not be
recorded and no complaint in this regard shall be entertained. The DTCP will not be
held responsible for any sort of delay or the difficulties faced during the submission
of bids online by the bidders due to local issues.
18. Bidders are advised to exercise caution in quoting their bids in e-tender to avoid any
mistake. Bids once submitted can‟t be recalled.
19. Any order resulting from this bidding process shall be governed by the terms and
conditions mentioned in the tender documents.

20. No deviation to the technical and commercial terms & conditions are allowed.

Introduction
Guidelines for Filling the Format
Appendix I
The format for collection of town level data consists of 25 tables which cover key
areas such as demography, physical & locational aspects, physical and social
infrastructure, environment, housing and slums, governance, etc. This data is to be
collected by the Nodal Agency at city/town level, in most cases the Urban Local
Bodies.
Census Town
As per the Census definition, Towns comprise the following:
(a) All statutory towns, i.e., all places with a municipality, corporation, cantonment board,
or a notified town area committee, etc.
(b) All other places which satisfy the following criteria:
• a minimum population of 5,000 ;
• at least 75% of the male working population engaged in non-agricultural
activities; and
• a density of population of at least 400 persons per sq. km.
The city/town which do not have an urban local body as per (a) above, but satisfy
conditions given in (b), are called by Census of India as Census Towns.
Urban Agglomerations
Urban Agglomerations represent a continuous urban spread constituting a town and its
adjoining urban outgrowths or two or more physically contiguous towns having a common
boundary together with continuous well-recognised urban outgrowths, if any, of such
towns. Very often, around a core city or statutory town, there are come up fairly large well
recognized railway colonies, university campuses, etc. Even though these places lie outside
the precincts of a statutory city or town or within the revenue limits of the village(s) which
(are) contiguous to the town, such areas may not be themselves qualify to be treated as
towns. But if they form a continuous spread with the town, they are outgrowths of the town
and deserve to be treated as urban. Such towns, together with their outgrowths, have been
treated as one urban unit called `Urban Agglomeration‘. Thus, an urban agglomeration may
constitute:
(a) A city or a town with continuous outgrowth, the outgrowth being outside the statutory
limits but falling within the boundaries of the adjoining village or villages; or
(b) Two or more adjoining towns with their outgrowths, if any, or
(c) A city and one or more adjoining towns with or without outgrowths all of which form a
continuous spread

1.5 Name of the State
State name
The area figures of statutorily notified towns are given by the civic bodies/municipal
committees based on available records.
Area figures are also given in the Census Town Directory/District Census Handbook is the
municipal/UA area. However, the Planning Area of the city/town may be much larger.
Further, for purposes of planning, urbanisable and controlled areas may have been defined
by the development authorities. These are vital, because master plan is to be prepared for
the urbanisable area.
State HQs., District HQs., Tahsil/Taluk/Mandal HQs., nearest city (having 1 lakh and above
population) and nearest Railway Station along with distances
These columns provide details on locational particulars of the town with reference to names
of the State Hqs., District Hqs., Tahsil/Taluk/Mandal Hqs., nearest city (having 1 lakh and
above population) and nearest Railway Station, indicating their distances in km., from the
town. In case the nearest city or the railway station is situated in a state other than the
state to which the town belongs, name of the nearest city or nearest railway station
alongwith the name of the state may be indicated.
Population of the City/town in time series from Census of India. This is available in Town
Directory published by Census of India. Growth rates may be given or calculated.

2.2 Primary Census Abstract 2011
This information may be derived from PCA and extract from PCA could also be provided for
the city/town and if the plan formulation is to be done for planning/urbanisable area,
then other administrative units covered. For example, the planning area for a particular
city may cover one or more revenue villages, census towns, outgrowths, etc.
Number of occupied residential houses: This Table gives the number of occupied residential
houses in respect of each town. A Census house is a building or a part of building having a
separate main entrance from the road or common courtyard or staircase etc., used or
recognized as a separate unit.
• Crude Birth Rate: The Crude Birth Rate (CBR) is defined as the number of live
births in a year per 1,000 of the midyear population.
• Infant Mortality Rate : Infant Mortality Rate (or IMR) is defined as the number
ofinfant deaths in a year per 1,000 live births during the year
• Life expectancy at birth = Total child births - death of Children at the
time ofbirth.
Total workers
Total workers = Main workers + Marginal workers

Main workers
Main workers were those who had worked for the major part of the year preceding the date
of enumeration i.e., those who were engaged in any economically productive activity for
183 days or six months or more during the year.
Marginal workers
Those who worked any time in the year preceding the date of enumeration but did not
workfor a major part of the year i.e., those who worked for less than 183 days or six months
were classified as Marginal workers.
Non-workers
Those who had not worked any time at all during the year preceding the date of
enumeration are non-workers. Non-workers include (i) those engaged in household duties
at home, (ii) students, (iii) dependents, (iv) retired persons (v) beggars, (vi) inmates of
institutions and
(vii) other non-workers.
Main workers classified into 9 major categories are given in Census of India B-series tables.
This is called the Functional Classification and helps in understanding the functional
classification of the city/town. This data may be provided for the Census year for which it
is available.
4.2 Traditional Industries: details may be provided for the types of traditional industries found
in the city/town. Some towns specialize in certain traditional industry, often at household
level, for which special provisions are to be made in Master Plan.
The names of the most important commodities decided in terms of estimated volume of
commodities imported are to be indicated.

4.5 Most important commodities exported
The names of the most important commodities decided in terms of estimated volume of
commodities exported are to be indicated.
The area under different landuses in 1991,2001, 2011 to be furnished. Details regarding
landuse classes, etc. is given elsewhere in the Design Standards document. The table may
be modified as per requirements.
Ward wise details of the quantity of water supplied (MLD), No. of Connections, Per Capita
Consumption (LPCD), Area Covered (sq. km.), Capacity of WTPs, percentage of treated
water recycling, etc. to be furnished.
TABLE 7: ELECTRICITY
The information on electric supply to the town is presented in the form of number of
connections under different consumption groups viz., domestic, industrial, commercial,
and others which includes electricity for agricultural purpose, proposed projects requiring
land in the city/town.

If there are composite schools like middle schools with primary classes, or secondary
schools with middle classes, these have been included in the number of primary and middle
schools respectively. For example, if in a town, there are two primary schools and one
middle school with primary classes, the number of primary schools in the town will be given
as three and that of middle schools as one even though there are only three educational
institutions. Same is the case with secondary or senior secondary schools.
Number of colleges
The number of different types of colleges offering various courses in the town is to be
indicated under following sub-heads:
(1) General
(2) Medical
(3) Engineering
(4) Law
The particulars of various type of medical institutions in various system of medicines like
Allopathic, Ayurvedic, Unani, Homeopaththic etc. and their numbers viz., Hospitals,
Dispensaries, Health Centres, Family Planning Centres, Nursing Homes and other medical
institutions and the capacity with reference to total beds, doctors, nurses, paramedical
staff available is to be given. The data is to be provided for both Govt./Private institutions.

TABLE 11: AVAILABILITY OF SANITARY FACILITIES
The sanitation facilities in a city/town could be based on septic tanks or sewerage system
or low cost sanitation. Studies have shown that proper sewerage systems cover less than
20% of Indian Cities. Therefore, the correct data has to be filled in here so that planning
could be undertaken accordingly.
Municipal solid waste includes commercial and residential waste generated by a community
Collection means collection and removal of solid waste from different collection points
Disposal means final disposal of solid waste;
Recycling means the process by which waste is transformed into new products in such
amanner that the original products lose their identity;
Land fill: Means disposal of solid waste by spreading it in layers over a lined surface or land,
compacting it to the smallest volume and covering it by impervious soil layer at the end
of the day or more frequently. A landfill is operated to prevent leachate for contaminating
ground water and maintaining ambient air quality;

Biodegradable substance means a substance that can be degraded by micro-organisms.
Hospital Waste: Waste generating from the hospitals is called hospital waste
The particulars of recreational facilities such as stadia, museum, cinema halls and
auditoria/drama/community halls and their number in the town are to be recorded. The
availability of cultural facilities in the form of the number of public libraries and reading
rooms, if any, available in the town is to be indicated. If fire fighting facility is not
availablein the town, the name of the nearest place where this facility is available is to be
indicatedand the distance of the same is given in column.
Banks
Number of banks, commercial as well as co-operative functioning in the town has to be
indicated. It gives the number of banks both the head as well as branch offices of banks in
each town, which actually transact banking business. The head or branch offices not actually
transacting any banking business are not to be taken into account.
Credit Societies
The information on Agricultural Credit Societies and Non-Agricultural Credit Societies are
to be furnished. The agricultural credit societies include service, multipurpose, agricultural
produce, marketing cooperative societies, etc. The non-agricultural credit societies include
consumer cooperative societies and also credit co-operative societies of certain categories
of persons like teachers, postal-workers, etc.
Mortgage/loans
Percentage of dwellings purchased during the past year that are covered by mortgage and
percentage of dwellings that are covered by non-mortgage.

Houseless Population: As per Census of India 2011, households which do not live in buildings
or Census houses but live in the open or roadside, pavements, in hume-pipes, under fly-
overs and staircases, or in the open in places of worship, mandaps, railway platforms, etc.,
are to be treated as Houseless households
Sulfur dioxide (SO2):SO2 is an irritant colourless gas, which affects the mucous
membranes when inhaled. Exposure at low level can cause increased upper
respiratory symptoms such as cough, sore throat and affects lung function.

Oxides of Nitrogen (NO): Of the seven oxides of nitrogen known to exist in the
ambient air, Nitrogen dioxide is the main oxides affecting human health. Oxides of
nitrogen are released in all the types of combustion as they are formed by the
oxidation of atmospheric nitrogen at high temperature. Exposure to excessive NO 2
affects the defense mechanism of human body.
21.2 Noise Pollution: Noise is an unwanted sound without agreeable musical quality. Noise
levels are measured in decibels. One decibel is the threshold of hearing.

canadversely affect organisms

are to be furnished.

Total product of the city as defined in national accounts procedures. It may either be taken
as the total income or value-added (wages plus business surplus plus taxes plus imports),
or the total final demand (consumption plus investment plus exports).

A. FORM OF CONTRACT
WHEREAS
(a) the Employer has requested the Consultants to provide certain consulting
services as defined in the General Conditions of Contract attached to this Contract
(hereinafter called the Services");
(b) the Consultants, having represented to the Employer that they have the
required professional skills, and personnel and technical resources, have agreed to
provide the Services on the terms and conditions set forth in this Contract;
1. The following documents attached hereto shall be deemed to form and integral
part of this Contract:
(A) Letter of award
(B) Minutes of negotiation
(C) The General Conditions of Contract (hereinafter called “GC”);
(D) The Special Conditions of Contract (hereinafter called “SC”);

C. GENERAL CONDITIONS OF CONTRACT
1. GENERAL PROVISIONS
1.1 Definitions
Unless the context otherwise requires, the following terms whenever used in this Contract
have the following meanings:
(a) “Applicable Law” means the laws and any other instruments having the force of
law in the Government’s country (or in such other country as may be specified in
the Special Conditions of Contract (SC)), as they may be issued and in force from
time to time;
(b) “Contract” means the Contract signed by the Parties, to which these General
Conditions of Contract (GC) are attached, together with all the documents listed in
Clause 1 of such signed Contract;
(c) “Contract Price” means the price to be paid for the performance of the Services, in
accordance with Clause 6;
(d) “Foreign currency” means any currency other than the currency of Government;
(e) “GC” means these General Conditions of Contract;
(f) “Government” means the Government Employer’s Country;
(g) “Local Currency” means the currency of the Government;
(h) “Member,” in case the Consultants consist of a joint venture of more than one
entity, means any of these entities; “Members” means all of these entities;
“Member in Charge” means the entity specified in the SC to act on their behalf in
exercising all the Consultants‟ rights and obligations towards the Employer under
this Contract;
(i) “Party” means the Employer or the Consultants, as the case may be, and Parties
means both of them;
(j) “Personnel” means persons hired by the Consultants or by any Sub-consultant as
employees and assigned to the performance of the Services or any part thereof;
(k) “SC” means the Special Conditions of Contract by which these General
Conditions of Contract may be amended or supplemented;
(l) “Services” means the work to be performed by the Consultants pursuant to this
Contract, as described in Appendix A; and
(m) “Sub-consultant” means any entity to which the Consultants subcontract any part
of the Services in accordance with the provisions of Clauses 3.5 and 4.
This Contract, its meaning and interpretation, and the relation between the Parties
shall be governed by the Applicable Law.

1.3 Language
This Contract has been executed in the language specified in the SC, which shall be the
binding and controlling language for all matters relating to the meaning or interpretation
of this Contract.
1.4 Notices
Any notice, request, or consent made pursuant to this Contract shall be in writing and
shall be deemed to have been made when delivered in person to an authorized
representative of the Party to whom the communication is addressed, or when sent by
registered mail, telex, telegram, or facsimile to such Party at the address specified in
the SC.
1.5 Location
The Services shall be performed at such locations as are specified in Appendix A and,
where the location of a particular task is not so specified, at such locations, whether in
the Government’s country or elsewhere, as the Employer may approve.
Any action required or permitted to be taken, and any document required or permitted
to be executed, under this Contract by the Employer or the Consultants may be taken
or executed by the officials specified in the SC.
Unless otherwise specified in the SC, the Consultants, Sub-consultants, and their
Personnel shall pay such taxes, duties, fees, and other impositions as may be levied
under the Applicable Law, the amount of which is deemed to have been included in the
Contract Price, including GST.
This Contract shall come into effect on the date the Contract is signed by both parties
or such other later date as may be stated in the SC.
The Consultants shall begin carrying out the Services thirty (30) days after the date
the Contract becomes effective, or at such other date as may be specified in the SC.
Unless terminated earlier pursuant to Clause 2.6, this Contract shall terminate at the
end of such time period after the Effective Date as is specified in the SC.

2.4 Modification
Modification of the terms and conditions of this Contract, including any modification
of the scope of the Services or of the Contract Price, may only be made by written
agreement between the Parties and shall not be effective until the consent of the Bank
or of the Association, as the case may be, has been obtained.
2.5.1 Definition
For the purposes of this Contract, “Force Majeure” means an event which is beyond the
reasonable control of a Party, and which makes a Party’s performance of its obligations
under the Contract impossible or so impractical as to be considered impossible under
the circumstances.
The failure of a Party to fulfil any of its obligations under the contract shall not be
considered to be a breach of, or default under, this Contract insofar as such inability
arises from an event of Force Majeure, provided that the Party affected by such an
event (a) has taken all reasonable precautions, due care and reasonable alternative
measures in order to carry out the terms and conditions of this Contract, and (b) has
informed the other Party as soon as possible about the occurrence of such an event.
Any period within which a Party shall, pursuant to this Contract, complete any action
or task, shall be extended for a period equal to the time during which such Party was
unable to perform such action as a result of Force Majeure.
2.5.4 Payments
During the period of their inability to perform the Services as a result of an event of
Force Majeure, the Consultants shall be entitled to continue to be paid under the terms
of this Contract, as well as to be reimbursed for additional costs reasonably and
necessarily incurred by them during such period for the purposes of the Services and in
reactivating the Service after the end of such period.
2.6 Termination
The Employer may terminate this Contract, by not less than thirty (30) days‟
written notice of termination to the Consultants, to be given after the occurrence of
any of the events specified in paragraphs (a) through (d) of this Clause 2.6.1 and sixty
(60) days‟ in the case of the event referred to in (e):

(a) if the Consultants do not remedy a failure in the performance of their obligations
under the Contract, within thirty (30) days of receipt after being notified or within any
further period as the Employer may have subsequently approved in writing;
(b) if the Consultants become insolvent or bankrupt;
(c) if, as the result of Force Majeure, the Consultants are unable to perform a material
portion of the Services for a period of not less than sixty (60) days; or
(d) if the consultant, in the judgment of the Employer has engaged in corrupt or
fraudulent practices in competing for or in executing the Contract.
For the purpose of this clause:
“corrupt practice” means the offering, giving, receiving, or soliciting of
anything of value to influence the action of a public official in the selection process or
in contract execution.
“fraudulent practice” means a misrepresentation of facts in order to influence a
selection process or the execution of a contract to the detriment of the Borrower, and
includes collusive practice among consultants (prior to or after submission of
proposals) designed to establish prices at artificial non-competitive levels and to
deprive the Borrower of the benefits of free and open competition.
(e) if the Employer, in its sole discretion and for any reason whatsoever, decides to
terminate this Contract.
The Consultants may terminate this Contract, by not less than thirty (30) days‟ written
notice to the Employer, such notice to be given after the occurrence of any of the
events specified in paragraphs (a) and (b) of this Clause 2.6.2:
(a) if the Employer fails to pay any monies due to the Consultants pursuant to this
Contract and not subject to dispute pursuant to Clause 7 hereof within forty-five (45)
days after receiving written notice from the Consultants that such payment is overdue;
or
(b) if, as the result of Force Majeure, the Consultants are unable to perform a material
portion of the Services for a period of not less than sixty (60) days.
Upon termination of this Contract pursuant to Clauses 2.6.1 or 2.6.2, the Employer
shall make the following payments to the Consultants:
3.1 General

The Consultants shall perform the Services and carry out their obligations hereunder
with all due diligence, efficiency, and economy, in accordance with generally
accepted professional techniques and practices, and shall observe sound management
practices, and employ appropriate advanced technology and safe methods. The
Consultants shall always act, in respect of any matter relating to this Contract or to the
Services, as faithful advisers to the Employer, and shall at all times support and
safeguard the Employer’s legitimate interests in any dealings with Sub-consultants or
third parties.
The Consultants agree that, during the term of this Contract and after its termination,
the Consultants and their affiliates, as well as any Sub-consultant and any of its
affiliates, shall be disqualified from providing goods, works, or services (other than
the Services and any continuation thereof) for any project resulting from or closely
related to the Services.
Neither the Consultants nor their Sub-consultants nor the Personnel shall engage,
either directly or indirectly, in any of the following activities.
(a) during the term of this Contract, any business or professional activities in the
Government’s country which would conflict with the activities assigned to them
under this Contract: or
(b) after the termination of this Contract, such other activities as may be specified in
the SC
3.3 Confidentiality
The Consultants, their Sub-consultants, and the Personnel of either of them shall not,
either during the term or within two (2) years after the expiration of this Contract,
disclose any proprietary or confidential information relating to the Project, the
Services, this Contract, or the Employer’s business or operations without the prior
written consent of the Employer.

3.4 Insurance to be Taken Out by the Consultants
The Consultants (a) shall take out and maintain, and shall cause any Sub-consultants
to take out and maintain, at their (or the Sub-consultants‟, as the case may be) own
cost but on terms and conditions approved by the Employer, insurance against the
risks, and for the coverage, as shall be specified in the SC; and (b) at the Employer's
request, shall provide evidence to the Employer showing that such insurance has been
taken out and maintained and that the current premiums have been paid.
(a) entering into a subcontract for the performance of any part of the Services,
(b) appointing such members of the Personnel not listed by name in Appendix C
(“Key Personnel and Sub-consultants”), and
The Consultants shall submit to the Employer the reports and documents specified in
Appendix B in the form, in the numbers, and within the periods set forth in the said
Appendix.
All plans, drawings, specifications, designs, reports, and other documents and software
submitted by the Consultants in accordance with Clause 3.6 shall become and remain
the property of the Employer, and the Consultants shall, not later than upon termination
or expiration of this Contract, deliver all such documents and software to the Employer,
together with a detailed inventory thereof. The Consultants may retain a copy of such
documents and software. Restrictions about the future use of these documents, if any,
shall be specified in the SC.
4. CONSULTANTS’ PERSONNEL
The titles, agreed job descriptions, minimum qualifications, and estimated periods of
engagement in the carrying out of the Services of the Consultants‟ Key Personnel are
described in Appendix C. The Key Personnel and Sub-consultants listed by title as
well as by name in Appendix C are hereby approved by the Employer.
(b) If the Employer finds that any of the Personnel have (i) committed serious
misconduct or has been charged with having committed a criminal action, or (ii) have
reasonable cause to be dissatisfied with the performance of any of the Personnel, then
the Consultants shall, at the Employer’s written request specifying the grounds
thereof, forthwith provide as a replacement a person with qualifications and
experience acceptable to the Employer.
(c) The Consultants shall have no claim for additional costs arising out of or
incidental to any removal and/or replacement of Personnel.
The Employer shall use its best efforts to ensure that the Government shall provide
the Consultants such assistance and exemptions as specified in the SC.
If, after the date of this Contract, there is any change in the Applicable Law with
respect to taxes and duties which increases or decreases the cost of the services
rendered by the Consultants, then the remuneration and reimbursable expenses
otherwise payable to the Consultants under this Contract shall be increased or
decreased accordingly by agreement between the Parties, and corresponding
adjustments shall be made to the amounts referred to in Clauses 6.2 (a) or (b), as the
case may be.
The Employer shall make available to the Consultants the Services and Facilities
listed under Appendix F.
The Consultant’s total remuneration shall not exceed the Contract Price and shall be a
fixed lump-sum including all staff costs, Sub-consultants‟ costs, printing,
communications, travel, accommodation, and the like, and all other costs incurred by
the Consultant in carrying out the Services described in Appendix A. Except as
provided in Clause 5.2, the Contract Price may only be increased above the amounts
stated in Clause 6.2 if the Parties have agreed to additional payments in accordance with
Clause 2.4.

6.2 Contract Price
For the purpose of determining the remuneration due for additional services as may be
agreed under Clause 2.4, a breakdown of the lump-sum price is provided in Appendix
E.
Payments will be made to the account of the Consultants and according to the payment
schedule stated in the SC. Unless otherwise stated in the SC, the first payment shall be
made against the provision by the Consultants of a bank guarantee for the same amount,
and shall be valid for the period stated in the SC. Any other payment shall be made after
the conditions listed in the SC. Any other payment shall be made after the conditions
listed in the SC for such payment have been met, and the Consultants have submitted
an invoice to the Employer specifying the amount due.
If the Employer has delayed payments beyond fifteen (15) days after the due date
stated in the SC, interest shall be paid to the Consultants for each day of delay at the
rate stated in the SC.
7. SETTLEMENT OF DISPUTES
The Parties shall use their best efforts to settle amicably all disputes arising
out of or in connection with this Contract or its interpretation.
Any dispute between the Parties as to matters arising pursuant to this Contract
that cannot be settled amicably within thirty (30) days after receipt by one Party of the
other Party’s request for such amicable settlement may be submitted by either Party
for settlement in accordance with the provisions specified in the SC.

D. SPECIAL CONDITIONS OF CONTRACT

7.6 The Consultants and the personnel shall pay the taxes including GST, duties,
fees, levies and other impositions levied under the existing, amended or enacted laws
during life of this contract and the client shall perform such duties in regard to
deduction of such tax as may be lawfully imposed.
7.7 The date on which this Contract shall come into effect is signing of the
Contract and receipt by Consultants of initial payment and by Employer of bank guarantee (see
Clause 6.4) etc.
7.8 The date for the commencement of Services is one month from the date of
signing of the contract.

(1) Third Party motor vehicle liability insurance as required under Motor Vehicles
Act, 1988, in respect of motor vehicles operated in India by the Consultants or their
Personnel or any Sub-consultants or their personnel, for the period of Consultancy;
(2) Third Party liability insurance, with a minimum coverage for Rs.500,000 for
the period of Consultancy;
The Consultants shall not use these documents for purposes unrelated to this
Contract without the prior written approval of the Employer.

Payment shall be made within 30 days of receipt of the invoice and the relevant
documents specified in Clause 6.4, and within 45 days in the case of the final
payment.
8 DISPUTE SETTLEMENT
8.1 Arbitration Any fact or condition, which may not have been mentioned in
terms and conditions and may arise after issuing work order, shall be decided as
per the State Government policy/rules. In case rules /policies do not provide
such situation, the issue will be referred for arbitration. Arbitration for any such
dispute shall be conducted in accordance with the provisions of Arbitration and
Conciliation Act 26 of 1996 or any statuary modification or re- enactment
thereof. The arbitration shall be by a panel of three Arbitrators, one to be
appointed by each party and the third party to be appointed by the two
Arbitrators appointed by the parties.
8.2 If an Arbitrator nominated as above is not in a position for any reason, to
complete to the end, the arbitration job, The Director of Town and Country
Planning shall nominate another officer as the arbitrator and such an officer

will either commence the arbitration proceedings de-nova or continue from the
stage at which the earlier nominee had left them.
8.3 If at any time during currency of the JOB, the SCOPE OF CONTRACT for
which this job has been awarded is reduced/ abandoned, the payment /value of
this work order shall be reduced on pro-rata basis by the Directorate of Town and
Country Planning and would be binding on the Contractor.
8.4 The Directorate of Town and Country Planning may discontinue the contract at
any point of time, by giving a notice of at least 30 days before the intended date
of discontinuation, and will not be liable to any additional charges or compensation
payable to the contractor or any other person.
9 Legal Jurisdiction
9.1 All legal proceedings related to this tender shall be in the appropriate court in
Chennai only.
9.2 This tender process will be governed by the Tamil Nadu Tender Transparency in
Tenders Act- 1998 and the Tamil Nadu Transparency in Tenders Rules 2000 as
amended from time to time.
