BILL OF PRELIMINARIES

DEFINITION OF TERMS

The following terms shall have the meanings respectively set opposite them whenever used in the Contract and these General Conditions (whether used in their
singular or plural form).

A. "CONTRACT" shall mean the written agreement entered into between the GENERAL CONTRACTOR and the
Subcontractor.

B. "GENERAL CONTRACTOR" shall mean the MAKATI DEVELOPMENT CORPORATION;

C. "SUBCONTRACTOR" shall mean the person or entity with whom the GENERAL CONTRACTOR entered into the Contract which
shall be principally responsible for the execution and completion of the works.

D. "PROJECT DIRECTOR/PROJECT (PD/PM) shall mean the primary authorized representative of the GENERAL CONTRACTOR.
MANAGER"

E. "PROJECT MANAGEMENT (PMT) shall mean the secondary authorized representative of the GENERAL CONTRACTOR to prosecution
TEAM" of the contract work, acting either directly or through properly authorized agents, such agents acting within
the scope of the particular duties to them. He is responsible to the GENERAL CONTRACTOR thru the
Project Director/Project Manager.

F. "PROJECT TECHNICAL GROUP" (PTG) shall mean the Management Group composed of the PD, PMT the Architects the Engineers (A&E)
and the GENERAL CONTRACTOR.

G. "PROJECT shall mean personally authorized representative of the PMT.

H. "CONTRACT DOCUMENTS" shall mean the Contract, Special Conditions of Contracts, if any; these General Conditions of the Contract;
those stated in the Contract as Contract Documents; and the drawings, plans and specifications for the
execution of work, including any and all documents which are referred to in the contract as Contract
Documents, or any modifications, revision or alterations thereof;

I. "WORK" shall mean the work to be performed and completed by the Subcontractor under the Contract and any
revisions, alterations, and any extra work ordered to be done by the GENERAL CONTRACTOR;

J. "CONTRACT PRICE" shall mean the total amount which the GENERAL CONTRACTOR is obligated to pay the Subcontractor
under the Contract for the execution and completion of the WORK including the supply of labor, materials,
and the employment of Subcontractor - Owned or provided tools vehicles and equipment.

K. "PROJECT SITE" shall mean the place or area where the WORK is or will be carried out.

L. "SITE VISIT" The Subcontractor shall be deemed to have visited the Site to acquaint themselves with the location access,
means of communication, contours, nature of soil, positions of existing underground services storage and
working space, and to obtain all information that may affect their tender. No claim will be consired for extra
payment or an extension of time arising from the Subcontractor falling to implement the requirements of this
clause. Permission to visit the site maybe obtained from the Project Director / Project Manager.

M. "WORKS COMPLETION" The work shall be completed on 2 months upon issuance of NTP or PO whichever comes first.

N. "CONTRACT WORKS" Enabling Works


In accordance with the Bill of Quantities and Preliminaries, Technical Specifications, Bid Plans, & MDC/ALI
General Conditions of Contract.

O. "SPECIFICATION" The Technical specifications which form part of the tender documents and any further specifications
furnished to the subcontractoras the Works proceed.

P. "DRAWINGS" The drawings as listed in Appendix"A" of the Bid Documents, together with any modifications of such
drawings any such drawings as may time be finished by or in writing by the Project Director/ Project
Manager to the subcontractorapproved in writing by the Project Director/ Project Manager to the
subcontractor.

Q. "APPROVED" Approved in writing by the Project Director/ Project Manager.

BILL OF PRELIMINARIES (Continuation)

A. The Contractor should include here the cost of complying with the Specification notes on drawings and Special Preamble notes in the Bill of
Quantities to the extent that such cost are not included else where in the Contract Bills.

B. The Preliminary items included hereunder apply to the whole of the works contained in this Bill of Quantities and the amounts and /or rates
inserted by the subcontractor shall be deemed to apply to the whole of the works carried out under this Contact.

C. Where a lumpsum cost has been inserted the subcontractor will be required to provide an itemized breakdown of the amount so included. The
subcontractor will also furnish itemized breakdowns for individual prices as requested by the Project Director/Project Manager.

D. Where an abnormally high amount has been inserted against an item in the Bill of Preliminaries for which substancial payment will be normally
be made at the outset of the Contract. Payment shall only be made at the outset for such portion as the subcontractor can substantiate and
payment of the remaining amount will be effected over the period of the Contract.

E. It should be noted that the payment provisions in the preceding paragraph do not apply to amounts inserted against items relating to issuances
Surety Bonds and the like.These amounts will always be paid for over the period of the Contract not withstanding payment by the subcontractor
of the entire premium at the beginning of the Contract.

F. Where no amount or insufficent amount has been inserted by the subcontractor in respect of an item in this Bill. The value or additional value
thereof will be deemed to have been included in the unit rates for measured works contained in the Bill of Quantities hereinafter following and no
separate or additional amounts whatsoever will be certified for payment.

G. The subcontractor shall allow against the items or the prices for everything contained in these Bills of Quantities which has a monetary value,
items which are not priced or have dashes or other like marks inserted in the cash columns will be deemed to be of no value or included
elsewhere.

H. In case of discripancies occuring between rates for identical or similar items in the various Bills of Quantities, the rates or pro-rata rates in the
respective Bills will be used for pricing variations in those Bills. In cases where no applicable rates are not found, the lowest rate from other bills
will be used for the same purpose.

I. Items in the Specification, notes on Drawings and Preambles Notes in the Bill of Quantities are deemed to be part of every decription of work in
the Contract Bills to which they refer.

J. The Bills of Quantities shall be read in conjunction with the Contract Agreement, MDC General Conditions of Contract, Decription of works, and
the Contract drawings.

K. Where the word "Allowance" occurs in the Bills, the cost of the item is at the risk of the subcontractor and no adjustment will be made at the
settlement of accounts except where such adjustment is expressly provided for in the Conditions of Contract.

METHOD OF MEASUREMENT

1.0 All works unless otherwise specified shall be measured in accordance with what is specified in the Bill of Quantities, Special Preambles
and Bill of Preliminaries.

2.0 Words importing the singular only also include the plural and vice versa where the context requires.

PRICING

1.0 Pricing shall be in Philippine Peso and Centavo unless otherwise specified.

2.0 MDC will not liable for any expensive incurred by the subcontractor in connection with any arrangement they may make concerning the
measurement on their behalf of variations or the adjustment and settlement of accounts.

3.0 The subcontractor shall be deemed to have visited the site and included in his rates for the cost of all incidentials of labor, materials,
supervision overhead charges, profit and all other things and matters necessary and requisite for the fullfillment of all the Conditions of
contract and the timely and satisfactory completion of the entire works whether in the Drawings or Bill of Quantities.

4.0 It is therefore presumed that the subcontractor has taken into consideration in their preparation of bill of quantites all the items as stated
in the plans and all other incidental works to complete such items in accordance with the specifications & the electrical standard, thus, all
items not stated in the Bill of Quanties below but is deemed necessary for the completion of this scope should be placed under
SUNDRIES ITEMS.

5.0 The subcontractor shall include the cost of complying the minimum DOLE requirements ( SSS, PH, Pag-ibig, 13th month and ToolBox
meeting). The contractor shall also include the minimum Pre-Employment Requirements of MDC (Drug test, Medical Test and etc.)

6.0 The subcontractor shall permit the requisite number of copies of his priced documents, including all prices and extensions to be made for
the purposes of the Contract.

DRAWING

1.0 The drawing used in the preparation of this Bill of Quantities are as listed in Appendix "A" of the Bid Documents.

ORDERING MATERIALS

1.0 The subcontractor shall not order materials or commence work based on descriptions, size or quantities stated in the Bills of Quantities.
The subcontractorshall order materials or commence work only on the basis of specifications, drawings and /or other information
provided for the purpose and as approved by the Project Director/Project Manager. MDC shall not be liable for any expense or delays
incurred arising out of non-compliance with this Clause.

REGULATIONS

1.0 The subcontractor shall be responsible for checking and ensuring that the design and construction is suitable and reasonbly fit for the
purpose which it is required where the design is undertaken, or required to be provided by the subcontractor and comply with all the
Codes, Rules, and Regulations and technical Requirements of the Authorities.

2.0 If the opinion of the subcontractor, the design and specifications are insufficient for them to comply with the Performance Requirements
and Codes, Rules, Regulations and Technical Requirements of the Authorities, then they shall allow in their tender for upgrading the
design and specifications to enable them to comply.

3.0 In the event of any discrepancy between the drawings and the specifications.This shall be referred to the Project Director/Project
Manager whose decision to which shall be followed.

4.0 The contract sum is deemed to have included to all works and facilities necessary but not stated in the Specifications to be done or
provided by others or not so stated prior to acceptance of tender.

5.0 The Works shall be executed in strict compliance with all relevant authorities having jurisdiction over the works. No work shall
commence with out approval of the concerned authorities.( collectively referred to as "the Authorities" in these documents) administering
the above laws, codes, decrees and regulations were applicable. The subcontractor shall pay any fees charges legally demandable
under any Act. Ordinance or Decree of the Government, or any rule, regulation or ordinance of any municipality or any of any company
furnishing utilities respect of the Works. Such fees or charges are deemed to have been included in the Contract Sum.

6.0 The subcontractor shall allow for obtaining all official permits, licences fees, and changes stipulated and required in the Local and
National Government and for the payment of such fees which maybe necessary for the due and faithful performance of the works and
which may arise incidental to the fulfillment of the requirements of the Contract.

7.0 The subcontractor's employees and workmen shall observe all rules and regulations of the government or the subcontractor, in regard to
safety, housekeeping and security of the site.

8.0 Subcontractor shall include in his bid cost all safety equipments but not limited to fire extinguisher at area necessary, firehose, drums
with water and other related requirements. Safety working platform and protection shall be considered. Protection of adjacent existing
building shall be provided at areas necessary.

9.0 Subcontractor shall maintain at all times the high level of site cleanliness, thus subcontractor shall include in his bid cost a separate
Cleaning Team of at least 1 person for every 200 square meter, including disposal of debris. subcontractorshall conduct a safety drill
such as fire, earthquake and others.

SCOPE OF WORK

1.0 The Works under the specifications, Drawings and Bill of Quantities comprises of all Works for this tender document. This Contract is
intended to call for the whole of the labor necessary to form the complete Contract Works and all associated works, including tests,
adjustments, commisioning and maintenance as prescribed. It shall include not only the major items of plant and components necessary
for the complete execution of the Works and for the proper operation of the installation, including the necessary labor, whether or not
these sundry components are mentioned in detail in the Contract Documents.

2.0 Complete Adds On in accordance with the plans, Bid Documents, Technical Specifications, Bill of Preliminaries and Quantities and
ALI/MDC General Conditions of Contract.

3.0 Regular maintenance of the project site, ensuring clean and tidy condition of adjoining area of subcontractors and repair all damage
caused by or consequential to the execution of Works.

4.0 Allow for any other items for which the subcontractor requires payments to comply in all respect with the provisions of the relevant
conditions of the contract, the particular specifications and drawings and which are not in the rates contained in this Bill of Quantities.

BILL OF PRELIMINARIES SUMMARY :

A. MOBILIZATION/ DEMOBILIZATION
B. SITE MANAGEMENT
The subcontractor shall assign on a full time basis a competent experienced Project Manager and Construction Engineer/s, who shall be in
charge of the works to make sure all works are done in accordance with the Project specification and approved Construction Methodology. The
subcontractor shall coordinate with the Construction Manager and/ or MDC's Trade/ Specialty subcontractors on their timing and work
subcontractors at least twelve (12) hours, upon completion of the subcontractors works, to complete its scope prior to its succeeding activity/ ies.

C. SITE OFFICE
MDC shall allocate space within the site for subcontractor's office and warehouse at no cost to subcontractor. Construction of subcontractor's
temporary facilities shall be undertaken by the subcontractor and based on plans approved by MDC.

D. SERVICES AND UTILITIES


D.1 TEMPORARY POWER AND LIGHTING

MDC shall provide general power and general lighting to the construction site free of charge. However, MDC shall provide tapping point only for
work specific power and lighting requirement. Work specific power and lighting consumption shall be metered and paid for by the subcontractor.
Tapping point, safety breakers and meter shall be for the cost of the subcontractor. The power rate shall be as billed by the utility company.

D.2 TEMPORARY WATER


MDC shall provide water for general use as cleaning, sanitation and worker's hygiene free of charge. However MDC shall provide tapping point
only for work specific requirement. Work specific water consumption shall be metered and paid for by the subcontractor. Tapping point and
meter shall be for the cost of the subcontractor. The water rate shall be as billed by the utility company. Construction of subcontractor's
temporary facilities shall be undertaken by the subcontractor and based on given plan by MDC.

The cost of power and water consumption shall be as follows:


Water rate (per cu.m.) Php90.00 -SubCon to provide its own submeter, gate valve & pipes and plumber
Power rate ( per kwh) Php10.50 -SubCon to provide its own submeter and panel board and electrician

D.3 SECURITY
MDC shall provide security guard for the general security of the construction site free of charge. However, the security and protection of the
Subcontractor's materials, ongoing works, completed works and personnel shall be for the cost of the Subcontractor.

E. ENVIRONMENTAL, HEALTH AND SAFETY


MDC shall provide for general safety requirement such as first aid facility, first aid kit, safety canopy, safety net, safety barricades, safety
signages and safety warning free of charge. Work specific safety requirements shall be for the Subcontractor's cost.
E.1 SAFETY OFFICER
The Subontractor shall manage the safety of its personnel and workers. Depending on the number of workers, a full-time safety officer may be
required in accordance with Bureau of Working Conditions D.O. # 13.
E.2 PERSONAL PROTECTIVE EQUIPMENT
The subcontractor shall provide and enforce the wearing of efficient safety helmets, vests and where necessary, face masks, eye goggles, hand
gloves, ear plug, safety belt, body harness, medical first-aid kit and other personal protective equipment for all personnel in compliance with
D.O.# 13 by DOLE.
E.3 SANITATION
MDC shall provide for general sanitation such as pest control, defogging, dust control nets free of charge.
D.3.1 TEMPORARY TOILET FACILITY
MDC shall provide and maintain toilet facility for general use free of charge.
D.3.2 DISPOSAL OF DEBRIS
The subcontractor shall dispose construction debris on the area designated by MDC within the construction site on the daily basis. MDC shall be
responsible to haul out the construction debris outside the construction site. The subcontractor shall, likewise maintain the adjoining roads in a
clean and tidy condition, free from accumulation of mud, soil and dirt from heavy equipment, truck tires and other debris brought about by the
Works. Trucks utilized in hauling spoils should be sufficiently covered with canvass or its equivalent.
D.3.3 CLEANLINESS OF THE CONSTRUCTION SITE
MDC will provide cleaners for general cleanliness of the construction site free of charge. The Subcontractor shall provide cleaners for work
specific sites at its own cost.
E.4 FIRE PROTECTION
MDC shall provide for fire protection for the general construction site free of charge. The Subcontractor shall provide work specific fire protection
at its own cost.

F. QUALITY CONTROL
The Subcontractor shall be responsible to comply with work specific Quality requirement of the Technical Specification.

G. TEMPORARY PLANT AND EQUIPMENT


The subcontractor must secure and pay for the required bonds and insurance in conformance to MDC's General Condition and Instruction to
Bidders which shall include:
G.1 CRANE
MDC will provide crane for lifting/ hoisting of materials and equipment including crane operators and riggers. The Subcontractor shall properly
coordinate with MDC for the schedule and availability of the crane for its use, this usage is free of charge. However, MDC will not be faulted if
crane is not available for use by the Subcontractor.
G.2 CONSTRUCTION ELEVATOR
MDC will provide construction elevator including operator for use of Subcontractor. The Subcontractor shall properly coordinate with MDC for
the schedule and availability of the construction elevator for its use, this usage is free of charge. However, MDC will not be faulted if construction
elevator is not available for use by the Subcontractor.
G.3 Platform, scaffolds, ladders
MDC will provide for general use platform, scaffolds and ladders free of charge. Work specific platform, scaffolds and ladders shall be provided
by the Subcontractor at own cost.

H. LINE AND GRADE


MDC will provide the gridline and datum for every floor for reference of the Subcontractor. The Subcontractor must ascertain that such line and
grade are correct and MDC may not be faulted for incorrect line and grade.

I. BONDS AND INSURANCES


The subcontractor must secure and pay for the required bonds and insurance in conformance to MDC's General Condition and Instruction to
Bidders which shall include:
Performance Bond - equivalent to 20% of the Contract Price valid until completion & acceptance by MDC,
Downpayment Surety Bond - equivalent to the amount of DP valid until completion & acceptance by MDC,
Guarantee Bond - equivalent to the amount of retention valid for 1 year upon acceptance of works,
Subcontractors All Risk Insurance - to be secured by MDC,
Above bonds and insurance requirement shall be drawn from BPI/MS Insurance Corp or any ALI accredited bonding company.

J. BUSINESS PERMIT AND TAX


The subcontractor shall include in his bid all fees necessary for them to undertake above scope of works, including business permit and
subcontractor's permits and taxes in accordance with existing national and local ordinances. Likewise, the Subcontractor shall properly remit all
workers' SSS, Philhealth and Pagibig contributions.

MDC shall be responsible to secure building permit. The Subcontractor shall secure certificate of completion, clearances, permit to operate at its
own cost. The preparation of as-built plans in copies required shall be for the Subcontractors cost. The Subcontractor shall also submit to MDC
copy of the as-built plan in 1 reproducible, and 1 soft copy.

BILL OF QUANTITIES

SPECIAL PREAMBLES

A. The Bill of Quantities and Preliminaries are to be read in conjunction and in accordance with the Technical Specifications, Bid Plans and
MDC/ALI General Conditions of Contract.

B. The Bill of Quantities stipulated below shall be measured generally in accordance with the Provisions mentioned in the special preambles of this
Bill.
C. The subcontractor shall include in his bid all cost of incidental works to include the following:
1.0 Coordinating with MDC Trade subcontractors and supplies

D. The unit rate "Total" for items in this Bill shall be split into two sub-unit rate as follows;
1.0 Unit rate for "Materials" shall include the cost of materials (including all wastage, all taxes overhead and profit in

2.0 Unit rate for "Others" shall include:

a. Labor and all incidental cost in connection therewith;

b. Design to the extent required by the specifications;

c. Safekeeping, taking delivery, unloading, storing, returning, packaging, handling, hoisting, lowering, cost of
conveying equipment and coordination with MDC's representative and or Supplier on timing of delivery of
materials;

d. Fittings and fixing materials and goods in position including all sundry materials required for fixing such as
adhessives, mortar for bedding and jointing and all similar items of a like nature, painting and finishing as
specified;

e. Establishment charges, coordination with all trades subcontractors overhead and profit;

f. All cutting, drilling and chipping

g. VAT and all other taxes in connection with the above,

E. MDC reserves the right to delete any items reflected herein stated in the bill of quantities if it is deemed necessary to do so come any
revisions of bid plans from construction plans or value engineering measures taken by MDC to reduce cost. The item deleted must be
deducted from the subcontractor's awarded price & shall be reconciled accordingly.

F. The contract shall provide their own meter for electric & water consumption.

G. All equipments, pipes & valves shall be provided w/ identification tags together w/ the arrow sign stating the direction of flow for pipes.

SPECIAL PREAMBLES

A. Enabling Works
The rate shall include labor, materials, tools, equipment, including costs of supervision and overtime works. and all incidental costs
necessary to complete the work in conformance and in accordance with the plans.
