INTRODUCTION

Osterman Research is pleased to provide this proposal and statement of work to OpenText for
preparing a new white paper on data protection, with a focus on security and ransomware.

SCOPE OF WORK

Prepare a new white paper for OpenText on data protection, with a focus on security and
ransomware.

Present a webinar in conjunction with OpenText when the new white paper is ready.

DELIVERABLES

Osterman Research will provide the following deliverables to OpenText:

• Online meeting to discuss the new white paper


Osterman Research will hold an online meeting with OpenText to identify issues to discuss
in the new white paper.
• White paper
Osterman Research will produce a white paper based on the findings of the research
(expected length is up to 20 pages, or shorter if OpenText prefers). As many iterations of the
white paper will be provided as necessary to satisfy the project requirements.

• Present at a webinar hosted by OpenText


Osterman Research will present the highlights of the issues discussed in the white paper at a
webinar hosted by OpenText. The webinar can be held on any mutually agreeable date
within six months of completing the white paper.

Osterman Research will remain available indefinitely to answer any subsequent questions
that may arise on the project and/or deliverables, including press inquiries.

TERMS AND CONDITIONS

The fee for the white paper and webinar is $15,000.

Upon acceptance of this proposal, an invoice for the white paper will be submitted to OpenText
(terms net 45 days – per standing agreement between OpenText and Osterman Research).

BILLING ENTITY
The billing entity will be Osterman Research Limited, a New Zealand legal entity. This is the New
Zealand office of Osterman Research.

SPECIAL TERMS
The parties agree to be bound by the terms of the Purchase Order issued by OpenText which
will govern and supersede any terms of this Statement of Work.

CONFIDENTIALITY
Osterman Research recognizes that, due to the nature of its services, our staff members may be
exposed to confidential and proprietary information regarding OpenText’s business. Osterman
Research agrees to keep all such information confidential, not to use such information except
for the purpose of performing the services under this agreement, and to ensure our staff
members do the same.

OWNERSHIP OF DELIVERABLES
OpenText shall be the owner of any deliverables of the services.

OTHER FEES
No other fees or expenses will be charged under this proposal without the advance, written
approval of OpenText, although no other fees are anticipated.

PROPOSAL DURATION AND SCHEDULE

This proposal is valid through August 23, 2023.

Once approval for the white paper is received, a schedule will be developed in consultation with
OpenText.
