LOCATION AGREEMENT/RELEASE

THIS AGREEMENT made this day oI by and between
___________________, ('Producer) and ______________ ('Grantor).

1. IDENTIFY OF FILMING LOCATION. Grantor hereby agrees to permit Producer to
use the property located at ________________ ('the Property) in connection with the motion
picture currently entitled (the 'Picture) Ior rehearsing,
photographing, Iilming and recording scenes and sounds Ior the Picture. Producer and its
licensees, sponsors, assigns and successors may exhibit, advertise, promote and otherwise exploit
the Picture or any portion thereoI, whether or not such uses contain audio and/or visual
reproduction oI the Property and whether or not the Property is identiIied or identiIiable, in any
and all media whatsoever now known or later devised in the universe in perpetuity.

2. RIGHT OF ACCESS. Producer shall have the right to bring personnel and any
equipment onto the Property and to remove same Iollowing completion oI its use oI the Property
hereunder. Producer shall have the right, but not the obligation, to photograph, Iilm and use in
the Picture the actual name, iI any, connected with the Property or to use any other name Ior the
Property. II Producer depicts the interior(s) oI any structures located on the Property, Grantor
agrees that Producer shall not be required to depict such interior(s) in any particular manner in
the Picture.

3. TIME OF ACCESS. The permission granted hereunder shall be Ior the period
commencing on or about . The period may be extended by
Producer iI there are changes in the production schedule or other unIoreseen delays such as due
to weather conditions. The permission herein granted shall also apply to Iuture retakes and/or
added scenes.

4. PAYMENT. For each day that Producer uses the location, it shall pay Grantor the sum oI
, in consideration Ior the Ioregoing.

5. ALTERATIONS TO LOCATION. Producer agrees that (with Grantor`s permission) iI
it becomes necessary to change, alter or rearrange any equipment on the Property belonging to
Grantor, Producer shall return and restore said equipment to its original place and condition, or
repair it, iI necessary. Producer agrees to indemniIy and hold harmless Grantor Irom any against
any and all liabilities, damages and claims oI third parties arising Irom Producer`s use hereunder
oI the property (unless such liabilities, damages or claims arise Irom breach oI Grantor`s
warranty as set Iorth in the immediately Iollowing sentence); and Irom any physical damage to
the Property proximately caused by Producer, or any oI its employees, representatives or agents.
Grantor warrants that is has the right and authority to enter into this Agreement and to grant the
rights granted by Grantor herein. Grantor agrees to indemniIy and hold harmless Producer Irom
and against any and all claims relating to breach oI its aIoresaid warranty.

. NO KICKBACKS FOR USE. Grantor aIIirms that neither it nor anyone acting Ior it
gave or agreed to give anything oI value to any member oI the production staII, anyone
association with the Picture, or any representative or Producer, or any television station or
network Ior mentioning or displaying the name oI Grantor as a shooting location on the Property;
except the use oI the Property, which was Iurnished Ior use solely on or in connection with the
Picture.

7. BILLING CREDIT. Grantor acknowledges that any identiIication oI the Property which
Producer may Iurnish shall be at Producer`s sole discretion and in no event shall said
identiIication be beyond that which is reasonably related to the content oI the Picture.

8. RELEASE. Grantor releases and discharges Producer, its employees, agents, licensees,
successors and assigns Irom any and all claims, demands or causes oI action that Grantor may
not have or may later have Ior libel, deIamation, invasion oI privacy or right oI publicity,
inIringement oI copyright or violation oI any other right arising out oI or relating to any
utilization oI the rights granted herein.

9. MISCELLANEOUS. This constitutes the entire agreement between the parties with no
modiIications unless in writing signed by both parties. A photocopy oI this Agreement shall be
as legally valid and binding as the original, construed under the laws oI the State oI Ohio rights
herein granted shall inure to the beneIit oI all successors, assigns, heirs, executors, etc. oI each
party hereto.

The undersigned represents that s/he is either rightIul and true owner oI the Property or
empowered as agent or otherwise to execute this Agreement Ior or on behalI oI owner.
