Dear Rajesh Goud Nadem,

Thank you for the keen interest you have shown in joining our organization. With reference to
the rounds of discussions you had with us, we are pleased to appoint you in the position of
Consultant , with us and you would be deputed to work at our Client Capgemini, Bangalore.

Your Date of Joining as per records is on 5th Aug 2020.

Your employment with us will be governed by terms and conditions as specified in Annexure-
1. Your gross salary as agreed would be INR 10, 21,200 perannum as cost to company basis
and the salary break up would be as per Annexure 2.

TERMS & CONDITIONS:

1. CODE OF CONDUCT:
You will be bound by the Code of Conduct and all other rules, regulations, policies and orders
issued by the Company and by the customer where you have been deputed from time to time in
relation to your conduct, discipline and service conditions etc. You shall keep details of your
salary and employment benefits strictly confidential within and outside the Company.

2. LEAVES:
You will be given leave facilities as applicable to your category of employment. You are eligible
for 12 C.L. (Causal Leaves).

3. RULES & REGULATIONS:


You will always abide by the rules and regulations in force and applicable to your category of
employees of our organization and you will always be alive to the sense of responsibility and
confidence which the company has reposed in you and you will serve and promote the
Company's interest to the best of your ability and skill. All the prevailing rules and regulations
at the customer location where you have been deputed would also be applicable to you in
addition to the standard rules and regulations and policies and procedures.

4. CONFIDENTIAL INFORMATION:
The position held by you is of strictly confidential nature. You shall not, during the continuance
of your employment, divulge or discuss to any person whatsoever or make any information or
knowledge obtained by you during your employment as to the business affairs or methods of
the Company and its customer where you have been deputed or any of its associates, affiliate,
holding or subsidiary companies or as to any trade secret process of the Company or any of its
associates, affiliate, holding or subsidiary companies and you shall use your best endeavor to
prevent any other person from doing so.

5. INTELLECTUAL PROPERTY:
If you conceive any new or advanced methods of improving process, formulas into the
Operation of the company such development will be fully communicated to the company and
will remain as the sole right / property of the company.
Not in limitation of the foregoing, you agree that you have no proprietary interest in any work
product developed or used by you and arising out of your employment by the company. You

shall, from time to time as may be requested by Company, do all things which may be
necessary to establish or document the company's ownership of any such work product,
including, but not limited to execution of appropriate copyright applications or assignments

6. ASSIGNMENTS / TRANSFERS:
Though you have been engaged for a specific position, the Company reserves the right to send
you on training / deputation / transfer / assignments to sister companies, associate companies,
clients locations or third parties. In such cases, you will be governed by the terms and
conditions of services as applicable at the new placement.

7. PAST RECORD:
If any declaration given or information furnished by you to the company proves to be false or if
you are found to have willfully suppressed any information, in such case you will be liable to
removal from service without any notice.

8. WORKING HOURS:
You will be called upon to attend your duties as and when required, in any time on holidays or
weekends, as may be scheduled in accordance with the needs of the organization. In view of
your position, it may be necessary for you to attend to your duties at odd hours.

9. TERMINATION NOTICE:

Either party can terminate the agreement by giving 15 days of written notice or basic salary in
lieu before confirmation and 30 days of written notice or basic salary in lieu after confirmation.
However in the event of your resignation, the company may release you earlier or request you
to serve more notice period to complete the required KT and other formalities as required and
you would be bound by the decision of the company in this regard.

Company reserves the right to terminate your services at any time without any notice or
payment in lieu of the notice period if at any point in time it was found out that you had given
false information to the company/customer and on any disciplinary /poor performance/dis
loyalty/in subordination etc. grounds. All the Decisions taken by the company in this regard
would be final and binding.

10. NON-COMPETITION ON SEPERATION:


In the event of your separation from Business Arts India Pvt. Ltd., for whatever reason, for a
period of three year from the date of separation (except with the written approval of Business
Arts India Pvt. Ltd.), You will not solicit business in competition with Business Arts India Pvt.

Ltd., nor pass information to a third party that may result in the same effect. You, on separation
from Business Arts India Pvt. Ltd, will not directly or indirectly entice any of Business Arts
India Pvt. Ltd., employees to join the other Company or the Company where you have taken
employment after leaving Business Arts India Pvt. Ltd.

11. In addition to the normal responsibilities / duties associated with the above position, you
can be assigned any other duties as may be deemed necessary by the company.
