1. Code of Conduct:
1.1 Unity Small Finance Bank Limited (USFBL) is committed to conducting business with integrity and drive a vision to become the
most respected Small Finance Bank in India. The Vendor’s commitment to and compliance with the high ethical standards of USFBL
as specified in its Code of Conduct (the Code) and applicable laws/ regulations are essential for a mutually beneficial business
relationship between the Vendor and USFBL.
1.2 The Vendors working on USFBL’s behalf are expected to be free from the influence of any substance that could impair their job
performance. This includes alcohol, illegal drugs, controlled substances and, in certain instances, prescription medication.
1.3 The Vendors working on behalf of USFBL must avoid all real or potential conflicts between its interests and of USFBL.
1.4 USFBL will not solicit any gifts or entertainment from current or potential Vendors or other business partners. USFBL will never
accept or offer gifts that are: (a) Cash or monetary equivalents, such as gift cards or vouchers (b) Objects that have significant
value, or may appear significant to others (c) Indicative of preferential treatment. In addition, USFBL will never accept or offer
entertainment that is: (a) Excessive in value (b) Not business-related (c) In an inappropriate setting.
1.5 The Vendor should be committed to fight against money laundering and terrorist financing, which continues to be the focus of
considerable attention by governments, international organizations and law enforcement agencies around the world.
1.6 The Vendor must comply with all applicable environmental laws and regulations, as well as any guidelines set forth by USFBL.

1.7.1 For this Agreement/Purchase Order, the term 'GST' shall include Central Goods and Service Tax Act, 2017 (CGST), State
Goods and Service Tax Act, 2017 (SGST), Integrated Goods and Service Tax Act, 2017 (IGST), Union Territory Goods
and Service Tax Act, 2017 (UTGST) and any other taxes levied under the GST related legislation in India, as may be
applicable.
1.7.2 Service provider/Vendor of Goods shall follow the Terms and Conditions related to invoice/Debit Not/Credit Note (contents)
as defined by GST Law and in the event of failure Customer reserves the right to be indemnified for the credit loss in case
Customer is unable to claim the input tax credit for any non-compliance/default in raising appropriate invoice by Vendor.
1.7.3 Where in terms of the Agreement, USFBL pays advance amount to Service Provider/Vendor of Goods for supply of goods/
services, it shall be the responsibility of the Service Provider/Vendor of Goods to issue GST compliant receipt voucher or
such other document as may be prescribed to Customer. Further Service Provider/Vendor of Goods would be required to
issue refund voucher as prescribed under GST Act in case no supply is made and no invoice is raised and also Service
Provider/Vendor of Goods shall be required to pay GST on the advance received from USFBL.
1.7.4 Service Provider/Vendor of Goods shall provide sufficient proof of payment of CGST/SGST/IGST/UTGST to Government of
India against an invoice raised to USFBL. It is the responsibility of the Service Provider/Vendor of Goods to ensure that
outward supply return (GSTR-1) is filed correctly and to declare correct information on the invoice and GST portal In case
of mismatch because of Service Provider’s /Vendor of Goods fault, prompt amendments must be made by the Service
Provider/Vendor of Goods else Service Provider/Vendor of Goods shall be required to indemnify USFBL for the loss of credit
due to Mis-match and in the event of failure to provide such proof, USFBL shall withhold the payment till above mentioned
proof is provided to USFBL.
1.7.5 Acceptance of changes made by USFBL on Goods and Services Tax Network (GSTN) on account of non-upload or incorrect
upload of details on GSTN. Such changes with regard to the mis-match are required to be accepted by Service
Provider/Vendor of Goods within the time limit prescribed under the GST law. It must be noted that in case Service
Provider/Vendor of Goods does not accept such changes within the time limit prescribed under GST law, the loss of input
tax credit and interest (if any) shall be recovered from Service Provider/Vendor of Goods.
1.7.6 Indemnity clause- It is hereby agreed between both the parties that in case any GST and/ or cess liability, interest, penalties
or any other tax/ duty/ amount/ charge/ liability / professional costs related to litigation becomes payable by USFBL or input
tax credit is denied to USFBL due to failure of the Service Provider/Vendor of Goods to comply with the relevant laws/
regulations applicable in India or overseas, Service Provider/Vendor of Goods undertakes to indemnify USFBL for an amount
equal to amount payable by USFBL.
