DISTRIBUTION AGREEMENT (POINT OF SALES PERSON)

This Agreement made on this 20/02/2024, by and between the United India Insurance Company Limited, a
Company incorporated under the Companies Act, 1956 having its registered office at Chennai (hereinafter
referred to as the 'Company', which expression shall, unless repugnant to the context or meaning thereof,
mean and include its successors and assigns)

Mr.Mandeep Singh a resident of 127 Gayatri Mandir 25 Santra Badi Durg(C.G) (hereinafter referred to as the
'Point of Sales Person(POSP)The Company and the Point of Sales Person (POSP) are individually referred to as
'Party' and collectively as 'Parties ‘WHEREAS The Company has been incorporated with the primary objective of
carrying on general insurance business in India, and has procured the necessary licenses in this regard from the
Insurance Company as per the Insurance Regulatory and Development Authority of India;

In accordance with clause ________ of the IRDAI circular dt 26 Oct 2015 no. IRDA/lNT/ GDL/
ORD/183/10/2015, circular dt 11 March 2016 no. IRDA/INT/GDL/ORD/047/03/2016, Circular: 13 July 2016
IRDA/INT/CIR/PSP/139/07/2016 and guidelines dt 16 Mar 2017, circular: IRDA/ lNT / GDL/ PSP/058/03/2017
and Circular No. IRDA/IntlPOS/GDLlPSP/084/04/2017 Dated 13th April, 2017 and Circular
No.IRDAVINTICIRIPSPI 130106/20 17 Dated 05- June, 2017, the Parties wish to enter into an Agreement and
record the mutually agreed revised terms and conditions as set out herein below. NOW THIS AGREEMENT
WITNESSETH AS UNDER:

SCOPE The POSP, as a Point of Sales Person of the Company, will procure/solicit general insurance business for
the policies listed below and the policies to be added subsequently by the Company in the list, hereinafter
referred to as the "Insurance Products". The POSP will strive to solicit and service the following Insurance
Products of the Company to its customers.

EFFECTIVE DATE

This Agreement between the Company and the POSP shall be effective from the date first mentioned herein
above, being the date of execution of this Agreement ("20/02/2024").
TERM OF THE AGREEMENT Subject to renewal of agreement Point of Sales Person from time to time by the
POSP, the term of this Agreement shall be for a period of Three years from the Effective Date ('Initial Term').

After the expiry of the Initial Term, the Parties may by mutual agreement extend the term of this Agreement
for further period of _________years each at a time (each an 'Extended Term'). A Party desirous of extending
this Agreement at the end of the Initial Term or any Extended Terms shall communicate its intent to do so by
way of an extension notice at least six months prior to the end of the relevant term.
In the event neither Party issues an extension Notice, or following receipt of the extension notice, the Parties
are unable to agree to extend the term of the Agreement prior to the end of the Initial Term, or any extended
term, this Agreement shall terminate at the end of the Initial Term, or extended term, as the case may be.

REMUNERATION: The sale of the Insurance Products by the POSP shall be on commission basis as per Payment
of commission or remuneration or reward to insurance agents and insurance intermediaries) Regulations,
2016. The rates of commission will be governed by Payment of commission or remuneration or reward to
insurance agents and insurance intermediaries Regulations, 2016 and IRDA Regulations as amended from time
to time and as per Company's policy and evidence by exchange of letters or as expressly agreed to by the
parties and such commission will be paid to the POSP on monthly basis. Payment of commission shall be
subject to deduction of applicable TDS at source.

OBLIGATIONS OF THE POSP


The obligations of the POSP shall be to:
• Not to engage him with any other insurer or insurance intermediary.
• Conduct the business of agency at all times during the terms of this Agreement in compliance with Regulations,
regulatory directives, guidelines and codes of conduct applicable to non-life insurance companies in India and sale of
Insurance Products in India and adequately supervise and monitor all activities of the POSP and its employees to ensure
such compliance.
• To ensure compliance with the code of conduct and other requirements as prescribed in the Regulations and those
specified by the Company from time to time.
• Discharge its duties and obligations under this Agreement in compliance with the provisions of the Prevention of
Money Laundering Act, 2002 (PMLA), Anti Money Laundering Guidelines ('AML') issued by the IRDAI deal with Customers
to whom Insurance Products have been sold in accordance with the POSP's obligations as stipulated in the applicable
statutes/regulations.
• Deposit all premiums including incremental premiums, renewal premiums and top up payments received by the POSP
in respect of the Insurance Products, with the company.
• Deposit all cheques/demand drafts received from bank customers for all premiums including incremental premiums,
renewal premiums and top up payments received by the POSP in respect of the Insurance Products with the Company.
• Inform the Company of any regulatory notifications, court orders and formal legal notifications which have been
served on it in respect of the Insurance Products (including the administration and claims thereunder) to the extent such
regulatory notifications, court orders and formal legal notifications might reasonably be expected to lead to liability for the
Company as soon as possible but no later than 10 Business Days of receipt of the same.
• A POSP shall have the duty to service its customers which includes assisting in payment of premium required under
section 64VB of the Insurance Act, 1938 providing necessary assistance and guidance in the event of a claim, providing all
other services and guidance on issues which arise during the course of an insurance contract.

OBLIGATIONS OF THE COMPANY


The obligations of the Company under this Agreement shall be to:
• Ensure that the named POSP in the agreement is not engaged with any other insurer or insurer intermediary.
• Provide product specific and sales training to the POSP for efficient sale of the Insurance Products.
• Coordinate and organize the training and examination for certification of POSP to carry out the sale of Insurance
Products.
• Service all the existing policies throughout the tenor of the Insurance Products including any renewals thereof
notwithstanding the expiry or termination of this Agreement;
• Send the renewal notice to the Policy holder of the Insurance Products bought by the Customer well in advance so
that the Customer gets adequate time to renew the Insurance Product.
• Process claims in respect of the Insurance Products, subject to the terms and conditions of such Insurance Products
and the Regulations;
• Conduct the business of the Company as contemplated hereby at all times during the Agreement, including any
Extended Terms of the Agreement, in strict compliance with law, Regulations, regulatory directives, Guidelines and codes
of conduct applicable to general insurance companies in India, including obtaining and maintaining all licenses, consents
and permits required by it in relation to the offer and sale of Insurance Products in India and adequately supervise and
monitor all activities of the Company and its employees to ensure such compliance;
• Ensure that the Insurance Products offered to Customers, the marketing materials associated with such Insurance
Products, and the training and training materials provided to the POSP in relation to the sale of such Insurance Products,
are compliant with all law, regulations, regulatory directives, guidelines and codes of conduct applicable to general
insurance companies in India;
• Promptly pay Commissions to the POSP in the manner agreed in the Agreement and/or as otherwise agreed between
the Company and the POSP;
• Deal with Customers to whom Insurance Products have been sold by the POSP, including in relation to claims
administration and claims handling;
• Inform the POSP of any regulatory notifications, court orders and formal legal notifications which have been served on
it in respect of the Insurance Products (including the administration and claims thereunder) to the extent such regulatory
notifications, court orders and formal legal notifications might reasonably be expected to lead to liability for the POSP as
soon as possible but no later than 10 Business Days of receipt of the same;
• Maintain a correct and complete record of all Insurance Products sourced by the POSP. The Company will issue the
policy and send the same directly to the insured by fastest mode In case of Mediclaim policy, the Company will endeavor
that the insured receives the policy within 7 days of issuance and the cash less cards within 15 days of issuance of the
policy.
TERM & TERMINATION
Any Party may terminate this agreement after giving one month's notice in writing to the other Party. However, the
termination shall not release the Parties from their respective liabilities/obligations and the terms of this agreement shall
be binding on the Parties as far as the already undertaken business and as permitted under applicable regulations.

GENERAL PROVISIONS
The Distribution Agreement shall be governed by the IRDA POSP Regulations, 2015 and subsequent amendments in 2016,
2017 and 2018 and shall stand amended accordingly. Any reference to POSP shall be in accordance with the Regulations
and any reference or clause which is not in compliance with the POSP Regulations, 2015, shall be considered redundant.
The POSP and Insurer (as applicable) shall at all times ensure compliance with its obligations as prescribed under the POSP
Regulations, 2015., 2016, 2017 and 2018.

OTHER TERMS & CONDITIONS: In addition to this agreement, the POSP has to follow the terms and conditions
mentioned in POSP appointment letter by United India Insurance Company Ltd.
IN WITNESS THEREOF, THE PARTIES HAVE CAUSED THIS DISTRIBUTION AGREEMENT TO BE ENTERED INTO EFFECTIVE
FROM THE DAY 20th of FEBRUARY MONTH AND 2024 YEAR FIRST HEREIN ABOVE WRITTEN.
