Sale of the replacement parts described or referenced herein is expressly conditioned upon the terms and conditions set forth
below. Any additional or different terms or conditions set forth by the Purchaser to Fresenius Medical Care shall not be
effective or binding, and terms set forth herein shall not be modified or amended, unless assented to in writing by an
authorized official of Fresenius Medical Care in Concord, California. Parts delivered as replacement parts may be new or
refurbished at the option of Fresenius Medical Care.
LIMITED WARRANTY: Fresenius Medical Care warrants to the Purchaser that replacement parts are free from defects in
material or workmanship for the periods specified below, provided the original equipment is used and maintained in
accordance with the manufacturer’s instructions:
• Replacement parts shall be warranted for ninety (90) days from the date of shipment when installed by
Fresenius Medical Care personnel or by personnel authorized by Fresenius Medical Care to install such parts.
• Consumable items such as lamps, fuses, filters, etc., shall not be warranted.
Fresenius Medical Care will repair or replace, at its option, and use new or reconditioned parts and/or subassemblies, any
parts subject to warranty which are proven defective in materials or workmanship. Such repair or replacement will be made
without cost to Purchaser, and Fresenius Medical Care reserves the right to determine the location at which the repair or
replacement will be accomplished.
The Warranty does not apply to any equipment which is misused, abused, neglected, tampered with, damaged by accident,
flood, water, fire or other hazard, subjected to abnormal or unusual electrical or fluid stress, improperly installed or operated,
or not maintained in accordance with the routine maintenance schedule set forth in the technician’s manual for the equipment.
THE FORGOING WARRANTY SHALL BE IN LIEU OF ANY OTHER WARRANTY, EXPRESSED OR IMPLIED
OR STATUTORY, RESPECTING THE EQUIPMENT OR ANY PARTS OR COMPONENTS THEREOF.
FRESENIUS MEDICAL CARE MAKES NO IMPLIED WARRANTY OF MERCHANTABILITY OR FITNESS
FOR A PARTICULAR PURPOSE. THE PURCHASER’S SOLE AND EXCLUSIVE REMEDY IN CONTRACT,
TORT OR UNDER ANY OTHER THEORY AGAINST FRESENIUS MEDICAL CARE SHALL BE THE
REPLACEMENT OR REPAIR OF THE EQUIPMENT AND PARTS AS DESCRIBED ABOVE. NO OTHER
REMEDY (INCLUDING, WITHOUT LIMITATION, CONSEQUENTIAL DAMAGES) SHALL BE AVAILABLE
TO THE PURCHASER.
Fresenius Medical Care shall have no further obligation or liability with respect to the equipment or parts or their sale,
operation and use. Fresenius Medical Care neither assumes, nor authorizes the assumption of, any obligation or liability in
connection with such equipment and parts.
CANCELLATION: The Purchaser may cancel an order upon written notice prior to shipment from the factory.
TERMS: Payment - Net 30 days. Pricing - FOB shipping point plus sales and any applicable taxes. Fresenius
Medical Care prices lists do not include sales, use, excise or similar taxes. Consequently, in addition to the prices specified
herein, the amount of any present or future sales, use, excise or other similar tax applicable to the sale or use of the equipment
thereunder shall be paid by the Purchaser, or in lieu thereof, the Purchaser shall provide Fresenius Medical Care with a tax
exemption certificate acceptable to the taxing authorities. The minimum order is $50.00. Past due accounts may be assessed
a service charge at a rate of 18% per annum (or maximum allowed by the applicable state law, whichever is less).
SHIPPING: Fresenius Medical Care will use its own judgment in determining the most effective method of shipping unless
otherwise specified by the Purchaser. Costs of such special handling or rush orders shall be added to the invoice or sent
freight COD.
Returned Goods Authorization (RGA) number must be obtained from the Customer Service Spare Parts Department. Goods
returned without an RGA cannot be accepted. It is the responsibility of the Purchaser to obtain the RGA and return the core
to Fresenius Medical Care.
CORES
All parts (cores) returned under the exchange program must be authorized in advance with a Returned Goods Authorization,
even if the part is removed by Fresenius Medical Care personnel. Cores must be clearly labeled with the RGA number and
symptom or problem on the Material Traveler Tag. Cores that are damaged or non-repairable will not be eligible for credit.
PRICING
The initial sale of all parts (including exchange parts) will be invoiced at the full list price, or as specified by applicable
Service Contract. The credit shall be the difference between the current exchange price and the actual invoice price.
PARTS
Only parts specifically listed in the exchange parts price list are included in the exchange program. Fresenius Medical Care
reserves the right to discontinue a part from the exchange program at its discretion. Parts supplied under the exchange
program shall be new or refurbished at the discretion of Fresenius Medical Care. Parts purchased from vendors other than
Fresenius Medical Care will not be accepted under Fresenius Medical Care Returned Goods Policies and use of such will
void all applicable warranties.

All parts should be returned FREIGHT PREPAID within the allotted time period to:
The following information is an overview of the Terms and Conditions regarding the return of parts. Please take a moment to
review this material to help us ensure that you receive proper credit for returned parts.
1. Parts returned under the Exchange Program for credit should be in repairable and/or reusable condition. Credit cannot
be issued for parts that are received damaged or otherwise non-repairable. In such circumstances, you will be notified
in writing of any item which is non-repairable.
2. Parts under the Exchange Program must be returned to Fresenius Medical Care under a Returned Goods Authorization
(RGA). Upon your request, an RGA will be processed by a Fresenius Medical Care Customer Service Representative
at the time of your order. The RGA number will be referenced on the order form enclosed with the replacement part.
If you do not request an RGA at the time of your order, an RGA can be requested within 90 days of the date of
purchase. Every part returned to Fresenius Medical Care must have a corresponding RGA.
3. Exchange parts, under an RGA, must be returned to Fresenius Medical Care within 90 days of the purchase date for
proper credit. Parts received in excess of 90 days will not be credited and the associated RGA will be cancelled.
Freight charges are the responsibility of the purchaser.
4. With every RGA order a Material Traveler Tag is included with the replacement part. This yellow tag is important
since it provides us with necessary information to process your credit. In situations in which the part(s) cannot be
repaired and credit cannot be issued, please indicate on the Material Traveler Tag whether you wish to have these parts
returned to you or discarded. Return freight charges are the responsibility of the purchaser.
5. Please take time to fill in the Material Traveler Tag and securely attach it to the part(s). If either the Material Traveler
Tag or RGA form is not enclosed with the replacement part(s), please contact the Parts Customer Service Department
at (800) 227-2572, option 3. A Customer Service Representative can fax you a copy of the RGA or we can provide the
RGA number to be recorded on the Material Traveler Tag.
6. To properly credit your account, parts must be returned with the RGA number and completed Material Traveler Tag. If
either of these items is not included we cannot process your credit. Parts returned to Fresenius Medical Care but not
recorded on the RGA will not be credited.
7. Replacement parts under warranty must be returned to Fresenius Medical Care within 30 days. Warranty
parts not returned to Fresenius Medical Care within 30 days will be invoiced at list price. Returned parts that
are not actually under warranty, based upon the manufacture date, will also be invoiced at list price.

1. The computer generated RGA in most cases will be included in the box with your replacement parts. There will be
one copy of the RGA.
2. Complete the MATERIAL TRAVELER TAG and securely attach to the part.
3. Only those parts listed on the RGA are eligible for return. Hand written additions will not be credited without prior
authorization from the Customer Service Department.
4. Items listed as “Warranty Replacement Items” must be returned within 30 days to avoid invoicing.
5. Items listed as “Credit Due Item” must be returned within 90 days from the date the parts were originally ordered.
After 90 days the RGA will be deleted from the system, and no credit will be issued.
7. Please pack returns to arrive safely. Damaged or unusable parts will not be credited.
8. Please use the bright ORANGE address label to return parts. If possible, use the same box in which your
replacement parts were shipped.
9. Indicate the total number of boxes in you shipment of the Returned Goods Label.
10. Clearly write the RGA number of the Return Goods Label.
12. Parts purchased from vendors other than Fresenius Medical Care will not be accepted under Fresenius Medical Care
Returned Goods Policies and the use of such parts will void all applicable warranties.
