DEED OF ASSIGNMENT

THIS DEED OF ASSIGNMENT is made this……….day of ………. 2024


BETWEEN

AISHA ISHAQ ADAM of No 2 Lagos Street, Garki Abuja. (hereinafter


referred to as “ ASSIGNOR” which expression shall where the context so
admits include, its directors, shareholders, assigns, successors in title, legal
representatives and all those claiming through it) of the ONE PART.

AND

MICHAEL JOHN OGBU of Plot No 7 Panama Street off IBB Way Maitama
Abuja (hereinafter referred to as THE ASSIGNEE” which expression shall
where the context so admits include its directors, shareholders, successors
in title, legal representatives, and all those claiming through it) of
the OTHER PART.

1. WHEREAS: THE ASSIGNOR became the bona fide owner of Plot No


603 Sabon Lugbe East Layout measuring 1500sqm with Right of
Occupancy No FCT/MZTP/LA/05/AD802, FCT, Abuja by virtue of an
offer of terms of grant dated 11/3/1998 executed by The Zonal
Manager, the representative of the Honourable Minister, transferring
the ownership of the properties to the ASSIGNOR.

2. The ASSIGNOR has enjoyed quiet and undisturbed possession of the


properties since acquiring ownership of the properties.

3. The ASSIGNEE is desirous of buying and the ASSIGNOR has agreed


to sell, transfer as it is to the ASSIGNEE the residue of its title to all
Plot No 603 Sabon Lugbe East Layout measuring 1500sqm with Right of
Occupancy No FCT/MZTP/LA/05/AD802, FCT, Abuja and more
particularly described and listed in the FIRST SCHEDULE for a disclosed
consideration and under the terms of this agreement.

1.0 NOW THIS DEED WITNESSESS AS FOLLOWS :


That in consideration and upon agreement of the sum of ₦40,000,000
(Forty Million Naira) being the purchase price of the property, and its
appurtenances and premises, the ASSIGNOR transfers to
the ASSIGNEE the unencumbered title to the 45 plots of land measuring
approximately 1500 square meters, Registered With Right of
Occupancy No FCT/MZTP/LA/05/AD802, lying being and situate in
Plot No 603 Sabon Lugbe East Layout measuring 1500sqm with Right of
Occupancy No FCT/MZTP/LA/05/AD802, FCT, Abuja and more particularly
described and listed in the FIRST SCHEDULE of this Deed of Assignment
for a disclosed consideration and under the terms of this agreement.

2.0 THE ASSIGNEE AND ASSIGNOR HEREBY COVENANT AS


FOLLOWS:

2.1 That the ASSIGNEE shall upon execution of this DEED OF


ASSIGNMENT by parties, make an immediate payment in full, the sum
total of ₦40,000,000 (Forty Million Naira) in favour of
the ASSIGNOR. That possession over the property, the Title
Documents, Right of Occupancy, Power of Attorney, DEED OF
ASSIGNMENT, and all other receipts shall be handed over to
the ASSIGNEE upon receipt of payment by the ASSIGNOR.

2.2 The ASSIGNOR hereby undertakes to execute any further legal and
lawful documents whenever necessary in respect of the property in
favour of the ASSIGNEE Provided that all and any expenditure
related to or incidental to the transfer of title to the ASSIGNEE shall be
borne entirely by the ASSIGNEE.

2.3 The ASSIGNOR guarantees that the property is free from all
customary and legal encumbrances whatsoever and hereby undertakes
to indemnify the ASSIGNEE against all costs, losses, liabilities or
otherwise which the ASSIGNEE may incur or sustain directly or
indirectly by reason of any claim being brought by any person against
the proprietary rights or interest of the ASSIGNOR, and to forego in
favour of the ASSIGNEE any claim or compensation which may accrue
to the ASSIGNOR from whatsoever source on account of the property.
2.4 The ASSIGNOR further warrants that no caution or existing mortgage
or any other form of encumbrance has been registered or shall be
registered against the ASSIGNEE’S right and interest in the property.
That the ASSIGNOR is not indebted to any bank in Nigeria using the
subject, property as collateral.
2.5 The ASSIGNOR further warrants that any essential document affecting
the property which should have been handed over by
the ASSIGNOR but which is withheld from or not submitted to
the ASSIGNEE shall be null and void and of no legal advantage to
the ASSIGNOR, but shall be legally effective in favour of
the ASSIGNEE where appropriate.

IN WITNESS WHEREOF the PARTIES hereunto set their hands and seals
the day and year first above written.
