Gandhi Street, Bhagyalakshmi Nagar, Maduravoyal, Tiruvallur, Chennai - 600
095, Tamil Nadu, hereinafter referred to as the'PURCHASER",

The term 'DEVELOPER" and "PURCHASER", wherever the context so means,


requires or permits, includes their legal heirs, representatives, executors,
administrators, nominees, successors-in-interest and assigns;

M/s. RADHA REGENT HOTELS PRIVATE LIMITED, (formerly known as M/s.


FAIRMONT HOTEL PRIVATE LIMITED), (PAN:AAACF1119Q ), a Private Limited
Company incorporated on 25.03.2010 Vide CIN: U55101TN1990PTC018962,
under Part IX of the Companies Act, 1956 (1 of 1956), represented by its
Authorized Signatory MT.K.B.GOVINDARAIALU, son of Mr. Balakrishnan, carrying
on business at No.171, lawharla Nehru Salai (Inner Ring Road), Arumbakkam,
Chennai - 600 106, with entered into an Memorandum of Understanding on
with M/s.Manju Promoters Private Limited. to carry out the activities
viz., develop, market and sell the Number of Plots in the layout named as
'RADHA GARDEN" comprised in S.Nos.15/2; t5/3; t5/4; t5/S; LS/6; IS/7;
15/8A and 16/58 of Santhavellore-A Village, Sriperumbudur Taluk.
Kancheepuram District.

WHEREAS, the aforesaid Vacant Lands have been converted in to layout of


Housing plots and thereafter the vendor has obtained approval vide DTCP by its
letter ROC. No. LG5I6I94/2O23/TCP dated 24.07.2023 and vide approvat No.
DTCP No. 7812023. The Tamil Nadu Real Estate Regutatory Authority (RERA)
approved through File No.TNRERA / 9560 / 2023 Vide TN/0lllayouV 4OZg/2023,
dated 31.10.2023.

wHEREAS, the DEVELOPER herein, after carefur consideration, agreed to develop,


market and sell the aforesaid Housing Layout named as .RADHA GARDEN.,
approved vide DTCP No.7B/2O23, situated at Santhavelur_A Villlage,
Sriperumbudur Taluk, Kancheepuram District.

WHEREAS, with an intention to Purchase Plot No.42, measuring an extent of
600 Sq.ft., situated in the layout 'RADHA GARDEN", approved vide DTCP
No.7a/2O23, comprised in S.No.15/4, as per patta sub division Survey
No.15/4A, situated at Santhavelur-A Villlage, Sriperumbudur Taluk.
Kancheepuram District , in the aforesaid Project. more fully described in
Schedule hereunder, the PURCHASER herein, approached the DEVELOPER
herein, with a request to develop the aforesaid Plot mentioned in Schedule
hereunder proposed to be purchased, and agreed to pay a sum of
Rs.1O,8O,OOO/- (Rupees Ten Lakhs and Eighty Thousand Only) to the
DEVELOPER towards Development Works as listed in the Annexure to this
Development Agreement.

NOW. THIS DEVELOPMENT AGREEMENT WITNESSETH AS FOLLOWS

1) Upon request from the PURCHASER, the DEVELOPER herein have agreed
to develop Plot No.42, measuring an extent of 6OO Sq.ft., situated in the
layout "RADHA GARDEN", approved vide DTCP No.78/2023, comprised in
S.No.15/4, as per patta sub division Survey No.15/4A (Patta No.578),
situated at Santhavelur-A Villlage, Sriperumbudur Taluk, Kancheepuram
District, more fully described in Schedule hereunder, for an estimated
Development Charges (inclusive of GST and other charges) of
Rs.1O,8O,OOO/- (Rupees Ten Lakhs and Eighty Thousand Only),
towards Development Works as listed in the Annexure to this
Development Agreement.
2) The PURCHASER has paid a sum of Rs.IO,OOO/- (Rupees Ten
Thousand Only) as Advance out of the total estimated Development
Charges (inclusive of GST and other charges) as stated above to the
DEVELOPER to develop the Schedule mentioned property.
3) The PURCHASER agrees to pay the balance Development Charges
amounting to Rs.1O,7O,OOO/- (Rupees Ten Lakhs and Seventy
Thousand Only) at the time of Registering the Schedule property, or
within 15 days from the date of this Agreement, whichever is earlier.

4) THE DEVELOPER has agreed to complete the Development Works of the


Schedule Property within 90 days from the date of signing this
Agreement.
s) During the pendency of this Development Agreement, if Taxes/Charges are
revised or additionally levied by the Government of the Day or by the
Statutory Authorities, the PURCHASER herein agrees to bear the same
including any other incidental expenses incurred thereon.
6) THE DEVELOPER herein, agrees to arrange for the Registration of the
Schedule Property, in favour of the PURCHASER or her Legal Nominees
upon receipt of the entire Plot Cost at Guideline Value and the
Development Charges (inclusive of GST and other charges).
7) The DEVELOPER herein, agrees to hand over the duly developed Vacant
Possession of the Schedule Property to the PURCHASER, after the
Registration of the Sale deed in respect of the Schedule Property.
8) All disputes arising out of or in respect of this Development Agreement
shall be referred to Arbitration in accordance with the provisions of the
Arbitration and Conciliation Act, 1996. Arbitration will be conducted by a
Sole Arbitrator to be appointed mutually by both the parties. The
proceedings will be conducted in English language and the venue shall be
in Chennai. The Courts in Chennai, Tamil Nadu and Laws of India will have
exclusive jurisdiction on any matter concerning this Agreement.

SCHEDULE

All that piece and parcel of vacant land bearing plot J{o,42, measuring an
extent of 6OO Sq.ft., comprised in S.No.15/4, as per patta sub djvision
Survey No,15/4A (Patta No.578), situated in the layout "RADHA GARDEN",
approved by Kancheepuram DTCP No.7812023, dated 24.07.2023, approved by
Tamil Nadu Real Estate Regutatory Authority File No.TNRERA/ 16983/2022,
Registration No.TN/o1/Layout /4029/2023, dated 31.10.2023, sttuated at
Santhavelur-A Village, Sriperumbudur Taluk, Kancheepuram District, and

Bounded on the:

NORTH BY Plot No.53,


SOUTH BY 9 M Wide Layout Road,
