CONTRACT OF PROBATIONARY EMPLOYMENT

This Contract of Probationary Employment (“Contract”) is entered into this __ day of _________ 2024 at _________________, by the following parties:

, a sole proprietorship duly organized and existing under Philippine laws, with principal office at

___________________________, represented herein by its CEO, , and hereinafter referred to as the “Company”;

- and –

_________________, Filipino, of legal age, with residence at ___________________________, and hereinafter referred to

as the “Employee”;

Individually referred to as a “Party” and collectively as “Parties”.

WITNESSETH: That --

WHEREAS, the Company seeks to market its products to the public, and the Employee has agreed to render his/her services to assist the sales and

marketing of the Company;

NOW THEREFORE, for and in consideration of the foregoing premises, the Parties agree as follows:
I. EMPLOYMENT

The Company agrees to probationary hire the Employee as Sales Representative for three (3) months from _________ to ___________, subject

to regularization if the Employee sufficiently meet and accomplish all the terms stated in this Contract.

II. SCOPE OF WORK

The Employee agrees to render the following services to the Company:


 Entice and bring in new customers/clients to the Company;
 Generate at least One Million Pesos (Php1,000,000.00) gross sales per month for the duration of this Contract.
 Reach out to prospective clients and promote the Company through effective means;
 Advise and aid prospective clients in selecting Company products based on the clients’ needs, product specifications, and interests;
 Promptly respond to clients' requests and queries;
 Prepare quotations according to bid specifications with accurate configurations;
 Coordinate order flow with the production team and secure best shipping methods to meet the clients’ due dates.
 Ensure post-sales customer satisfaction by promptly requesting feedbacks from clients, and answering queries and concerns, if any,

regarding the Company’s products.


 Participate in events that will promote the Company’s products and increase sales of the Company;
 Research new sales opportunities, identify key retail sources, and generate interest and close sales.
 Maintain and expand database of prospective clients.
 Keep abreast the management of any sales activities performed; and,
 Perform any tasks necessary to accomplish the foregoing duties, and as may be directed by the Company.

III. COMPENSATION

a. Basic Pay
 The Employee shall be paid a basic compensation of EIGHTEEN THOUSAND PESOS (PHP18,000.00) inclusive of necessary government

contributions and taxes.

b. Discretionary/Contingent Bonus
 If the Employee reaches monthly sales in the amount of One Million Pesos (Php1,000,000.00) for any particular month, he/she shall be

entitled to 5% commission of the actual sales he/she produced for such month.
 If the Employee reaches monthly sales in the amount of One Million Pesos (Php1,000,000.00) every month for 6 months, additional

incentives shall be granted on top of the 5% commission depending on the whole sales of the Company for the 6 month.
 If the Employee reaches monthly sales in the amount of Php500,000.00- to Php999,000.00 for six (6) straight months, he/she shall not be

entitled to the 5% commission, but shall be granted additional incentives depending on the whole sales of the Company for the 6 month.

c. Allowances and additional benefits


 The Employee shall be entitled to telephone and transportation reimbursements/allowance, subject to presentation of official receipts.

IV. GENERAL PROVISIONS


a. In implementing this Contract, the Employee shall protect the business reputation, the good name and goodwill of the Company.
b. The Employee hereby warrants that he/she has complied with all laws, rules and regulations necessary to perform his/her functions as stated in

this Contract, and that his/her obligations herein do not conflict with his/her existing obligations or any applicable laws, statues and/or existing

policies and regulations.

V. CONFIDENTIALITY

The Employee undertakes to keep in strict confidence all basic and related information, inputs, studies and all documents that may be exchanged,

utilized, furnished, or fall into his/her hands pursuant to this Contract, including all marketing strategies, plans as well as all appurtenances thereto, all

incidental correspondences, communication, and all documents directly or indirectly related thereto, including the provisions of this Contract. The

Employee shall also take all reasonable security precautions to protect such information as they may take to protect their own confidential information, to

avoid unauthorized use or disclosure thereof.

The Employee is likewise absolutely prohibited to copy or reproduce in any form, disclose, furnish, pass-on, divulge, give-out, cause and/or allow the

disclosure by any means whatsoever, of any of the above-mentioned data, to any other person or party without the prior written express consent of the

Company.

VI. INTELLECTUAL PROPERTY

The Company’s copyrights, trademarks, service marks, trade names, designs, management, administrative applications, procedures, system and all

other intellectual property rights of whatsoever nature done as a result or pursuant to this Contract shall remain as property of the Company.

VII. NON-COMPETE / NON-SOLICITATION OF EMPLOYEES AND CLIENTS

The Employee undertakes not to solicit or entice away from the Company, any of the latter’s clients and customers, whether prospective or existing, or

any person employed by the Company, until the date when such employee’s employment with the Company is terminated. Violation of this clause shall

entitle the Company to recover from the Employee liquidated damages in the amount of One Hundred Thousand Pesos (P 100,000.00) without prejudice

to the Company obtaining other reliefs based on law and equity.

VIII. AMENDMENTS

The Contract may be amended only by written consent of both parties.

IX. WAIVER

The waiver of the Company of any non-performance or breach by the Employee of any terms and conditions of this Contract shall not be deemed a

waiver of any previous or subsequent breach or non-performance of such terms and conditions

No provision of this Contract shall be deemed to have been waived or modified unless such waiver or modification shall be evidenced by a written

instrument which is signed by the Company and any such waiver or modification shall apply only to such terms or conditions expressly noted in said

written instrument.

X. SEVERABILITY CLAUSE

If any provisions of this Contract are declared invalid or unenforceable by a competent court, the other provisions shall not be affected and shall continue

in full force and effect.

XI. TERMINATION OF CONTRACT

Should the Employee commit a breach of any of the terms of this Contract or fail to accomplish any of the duties and responsibilities in Section II hereof,

theEmployee may immediately terminate this Contract by mere service of a written notice to the Employee.

The termination of this Contract for whatsoever cause shall not relieve the Employee from his/her obligation hereunder existing on the date of such

termination, or relieve the Employee of any of his/her obligations under this Contract from liability for damages for such breach or bar the Company from

its right to resort to any court of competent jurisdiction and/or any competent tribunal/body.

The Employee shall continue to be bound by the provisions on Confidentiality, Dispute Settlement, Intellectual Property Rights and Non-solicitation of

employees and clients.

XII. GOVERNING LAW / VENUE

This Contract shall be governed by and construed in accordance with the laws of the Republic of the Philippines. The sole and exclusive venue for all

court actions, lawsuits or judicial disputes shall be with the proper courts in the City of San Juan, to the exclusion of all other courts.
