1) Briefly restate your situation from Module 1 and your role.

The situation at hand is the forming of our corporation. My co-founder and Principal

filed us as a corporation without seeking my advice or opinion. Which isn’t the biggest

deal in the world but he doesn’t have as much of a financial and business background

as I do. On top of that filed for us in California, CA has some of the worse tax codes and

requires the most documentation to stay compliant with the state. We don’t want to be

filed in CA as we will be taxed at a much higher rate. I am now left with having to go

about fixing this. I need to move our corp to my preferred home state DE and seek legal

advice to see if a C-Corp is even right for us. In my current position at Vently, I am a

Co-Founder and serve as the CFO. My responsibilities include creating business

models, identifying target markets, pursuing funding opportunities, establishing the

corporate structure, and leading a team of developers to produce a Minimum Viable

Product (MVP).

2) Describe how the human resources of the organization influenced the situation.

The human resources of Vently were instrumental in the formation of the situation that

went on prior to the filing of this corporation. The hierarchical structure of the

organization meant that my Co-Founder was in a powerful position and as such could

make unilateral decisions without consulting other key stakeholders. The absence of

participative decision-making between members in the team symbolizes a deficiency in

communication and necessitates to adopt an approach that is more inclusive. Moreover,

as a result of the situation people revealed that it was critical to have various experts

and professionals taking part in major decision-making processes. This decision to file
as a C-Corp in California was made without the consideration of my financial and

business expertise, which I could’ve brought forth if amended. This emphasizes the

need to exploit human resources within the organizational structure in order to make

well-instilled decisions.

In addition, the circumstance also emphasized the importance of clear communication

channels in a team. With the other team members not being consulted and this crucial

decision coming before a late-night work session, it is also reasonable to conclude that

there was probably some kind of communication breakdown. With enhanced

communication within the human resources team of Vently, it will be possible to prevent

similar issues from happening again.

3) Recommend how you would use the human resources for an alternative course of

action regarding your case.

To address the human resource issue in this case, I would support a more collective

and participatory decision-making process at organization level. It is important to have a

formal framework, which will include the CFO (me) and other team members within the

decision-making process for major corporate structure decisions including filing

locations. This strategy would ensure that decisions were made jointly, based on the

disparate knowledge held in the human resources pool.


In addition, communication training and development of a culture that values open

dialogue should be emphasized. Employees should be encouraged to share their point

of views, particularly in areas where they are knowledgeable. Moreover, creating an

atmosphere that accepts ideas from all angles will help with better informed decision

making.

From a perspective on human resource management, it is also helpful to assess the

functions and roles of key team players in order to make sure that decisions resonate

with what each individual can do best. This may entail giving them specific

responsibilities based on their strengths and this will foster a more uniform and

collaborative environment.

4) Reflect on what you would do or not do differently given what you have learned

about this frame.

Reflecting on what I would do differently in this situation in correspondence to the

human resource frame is attempting to integrate a more inclusive and communication

based organization norm. In the future decision making process, I would actively involve

key stakeholders and advisors, specifically with key expertise in the certain areas of

conversion, in order to have a better idea of possible implications of our decisions.

Certain fluent communication channels where all team members can actively contribute

is crucial to keeping all members engaged and informed in the decision making

process. Using a platform such as Slack to manage and monitor the team's
communication. Along with giving them an easy to use platform to communicate

through.

Additionally I would like to implement different training programs or workshops aimed

towards communication skills. This would encourage a more transparent and open

working environment, reducing the probability of incorrect decisions that lack proper

consultation. Being able to circumvent possible liabilities in the future will only benefit

our organization's overall success and our team's well being and morale. Overall

placing a stronger emphasis on harnessing human resources efficiently through

communication, collaboration, and a strategic allocation of roles and responsibilities.
