EXECUTIVE SUMMARY
HYDROSURGE, located at Paramount Plaza in Cainta, Rizal along Ortigas
Avenue Extension, is a service-oriented business that is dedicated to providing
renewable electricity to its consumers in a way that benefits and develops the
community. The company was founded by Mr. Emmanuel L. Soriano and was
established on November 6, 2021. It operates as a limited partnership, which offers a
level of personal liability protection for certain partners involved.

Over the past two years, HYDROSURGE has been focused on developing and
bringing to market its alternative sustainable energy unit. The entire process, from
idea generation to product launch, has been carefully considered and planned. The
company has invested in training its partners, shareholders, and employees to
ensure they possess the necessary skills, professionalism, and knowledge in their
respective roles.

The main innovation introduced by HYDROSURGE is the Coastal Defense


Oscillating Body, which combines a submerged breakwater with an oscillating body.
This environmentally friendly solution serves as both a protective barrier for coastal
areas and a means of harnessing wave energy to generate sustainable electricity. The
target market for HYDROSURGE includes residents of Rizal, primarily within the
age range of 20 to 59 years old.

In terms of return-on-investment, HYDROSURGE anticipates achieving it in


approximately 5.8 years or 69 months. This projection takes into account the costs
involved in setting up the business, developing the product, and establishing a solid
consumer base.

“hydro” which is a Greek word for water. The
nine (9) lines that make up the logo’s outer
border stand in for the communities that
HYDROSURGE can supply electricity to. Since

Production and Operations Management Department


The Production and Operations Management Department is responsible for
manufacturing the actual product. It is a fully operational department that
transforms raw materials into finished goods, prioritizing efficiency, and
effectiveness. In addition to overseeing production, the department is also
responsible for planning and organizing various aspects. This includes studying
design, assessing demand, and determining the production process. Customer
satisfaction and product quality are key factors considered in this department.
Marketing and Sales Department
The Marketing and Sales Department is responsible for determining the
distribution and pricing strategies for the company's products. This includes
deciding where and how the products should be sold, as well as setting the
appropriate pricing. The department is also tasked with selecting intermediaries,
such as resellers, distributors, or retailers, to facilitate the product's reach to the
target market. Additionally, they actively seek effective methods and create
strategies to enhance the company's sales performance.

II. Production and Operation Aspect


2.1 Detailed Product Description
The company's product is a coastal defense system called Coastal Defense:
Oscillating Body, which harnesses wave energy to generate electricity. The
Oscillating Body is comprised of four main materials. The most important materials
are copper, which forms the interior wall of the coastal defense structure, and
magnetic material, which is responsible for creating kinetic energy that is then
converted into electric energy using other devices. The other two materials used are
plastic, which ensures the floating device is lightweight and able to float in the
ocean, and chain, which attaches the plastic hanging material to the magnetic
material, enabling the up and down motion. Consumers benefit from this product as
it generates renewable energy, providing electricity while reducing the risk of flood
surges along bay areas. The company is committed to providing non-polluting
energy and protecting coastal regions from significant surges.

In the flowchart above it all starts with generating and brainstorming the
product; to have a foundation or where to start, the brainstorming will consider self-
ideas, research, trends, and the assumption that it will be a great addition to the
market.

Next to gathering data and ideas, it will be put into a simple process which is
surveying and still researching, this is like sifting all the ideas and concepts that are
not necessary and getting all the things that think would be useful or necessary.
After the process of elimination and getting the best, now it is the start where the
company draws and conceptualizes what can be the actual product using all the
gathered ideas. In this part, it is where the company answered these questions.

After all that the created products that were proposed will go through another
decision or process to rank and eliminate to choose the final one. In the flowchart,
the red indicates a checkpoint to the product development.

DESIGNING & DEVELOPMENT - To proceed, the second stage of this


development is the Designing and Development phase, which involves
transforming the chosen product into something tangible. In this stage,
HYDROSURGE focuses on designing the structure of the product, including its ideal
measurements. The previous ideation and research phases serve as the basis for the
main mechanism and functionality of the product. Prior to proceeding, the company
gathers the necessary materials. The four main components of the product are
identified as follows:

PROTOTYPING - The next checkpoint in the process is prototyping. Since the


product requires a trial-and-error approach to make it work, building a prototype
becomes necessary. This step primarily involves creating small-scale structures,
assembling the gathered materials, modeling, and ensuring it functions on a smaller
scale.

Furthermore, testing the prototype is an integral part of this step. As shown in


the figure, the prototype will undergo a series of tests to answer questions and
ultimately improve the design, reducing errors. This testing phase also plays a
crucial role in determining the final output or the large-scale product.

MARKETING ANALYSIS - Next, we move into the market assessment phase


of the product after prototyping. Once the experts in the company have confirmed
that the prototype is functioning properly as expected, the focus shifts to the
marketing strategy for the proposed product. This involves the members of the
company developing a strategy for effectively marketing the product. The key
aspects within this scope include:

 Costing/Budgeting
 SWOT analysis
 Profitability assessment
 Determining the overall capital required to launch the product in the
market.
MANUFACTURING/APPLICATION OF THE PRODUCT - The next stage
involves manufacturing the Coastal Defense: Oscillating Body. This step entails
seeking means of production and attracting investors and shareholders for the
company and the product itself. Once the necessary preparations are completed, the
product is finalized and ready for production. The actual manufacturing takes place
in the intended market, considering the technology's environmental impact and the
nature of the service-oriented business. Furthermore, to reach the finish line, the
company undergoes a series of observations and tests, such as alpha and beta

testing, to ensure the product's performance meets the desired quality standards.
Feedback is also collected to gauge the response and determine if any improvements

LAUNCH - Upon successful testing and observation, the next step is

the necessary advertisements and promotional materials. Once the preparations are
complete, the technology and service offered by the company are officially launched
and introduced to the market.

2.3 Technology Consideration


With the advancement of technology worldwide, people have become
increasingly dependent on it, as it has become an integral part of their daily lives.
Modern technology has brought about significant changes in society and has had a
profound impact on various industries, including the business industry. It has
provided countless benefits, particularly in terms of communication and product
manufacturing. The use of various technologies has made communication and the
manufacturing process faster and more efficient. Many businesses have experienced
rapid growth by leveraging different internet platforms for advertising and tracking
consumer demand for their products. In light of these developments,
HYDROSURGE should be prepared to consider the following technical aspects:

Communication plays a vital role in connecting the company, staff, and

The company is located at Paramount Plaza, KM17 Ortigas Avenue Extension,


Brgy. Sto Domingo in the Municipality of Cainta, Province of Rizal. Being a newly
established company in 2021, the owner and board members made the decision to
rent a commercial space that is easily accessible to many people.

Materials
HYDROSURGE focused on only acquiring materials that is a necessity in
starting a business, listed in the table below are three (3) categories on where specific
materials are needed. For our product, the primary and secondary components are
listed such as: magnetic copper, magnet, plastic, rope etc. For our office place, we
will be needing basic office furniture and equipment. For promotion, both print and
non-print materials will be utilized.

HYDROSURGE's business operating workflow can be divided into two main


parts. The first part focuses on creating a foundation for power generation and
establishing the necessary steps to deliver the service to customers. The workforce
plays a crucial role in carrying out the operations and adding value to the business.
The workflow follows a sequence of tasks that are essential for providing the
intended service to consumers.
The second part of the workflow is centered around product development.
This stage ensures that the proposed product aligns with the product development
flowchart. It involves canvassing and procuring raw materials from suppliers to
construct the power plant/unit, transmissions, power lines, and connections. The
power plant is the central task in this stage as it is responsible for generating the
service offered by the company. Once the initial segment is completed, the workflow

APPENDIX A. BYLAWS

ARTICLE I — CORPORATE OFFICES

1.1 REGISTERED OFFICE.


The registered office of Hydro Surge shall be fixed in the corporation’s certificate of incorporation, as the
same may be amended and/or restated from time to time (as so amended and/or restated, the “Certificate”).

1.2 OTHER OFFICES.


The corporation’s Board of Directors (the “Board”) may at any time establish other offices at any place or
places where the corporation is qualified to do business.

ARTICLE II — MEETINGS OF STOCKHOLDERS

2.1 PLACE OF MEETINGS.


Meetings of stockholders shall be held at any place within or outside the Municipality of Cainta as
designated by the Board. The Board may, in its sole discretion, determine that a meeting of stockholders shall
not be held at any place, but may instead be held solely by means of remote communication. In the absence of
any such designation or determination, stockholders’ meetings shall be held at the corporation’s principal
executive office.

2.2 ANNUAL MEETING.


The annual meeting of stockholders shall be held each year on a date and at a time designated by the
Board. At the annual meeting, directors shall be elected, and any other proper business may be transacted.

2.3 ADJOURNED MEETING; NOTICE.


When a meeting is adjourned to another time or place, unless these bylaws otherwise require, notice need
not be given of the adjourned meeting if the time, place if any thereof, and the means of remote
communications if any by which stockholders and proxy holders may be deemed to be present in person and
vote at such adjourned meeting are announced at the meeting at which the adjournment is taken.

2.4 ADMINISTRATION OF THE MEETING.


Meetings of stockholders shall be presided over by the chairman of the Board or, in the absence thereof,

3.0 POWERS.
Subject to the provisions of the DGCL and any limitations in the Certificate, the business and affairs of

Subject to the rights of the holders of any series of Preferred Stock to elect directors under specified
circumstances, the authorized number of directors shall be determined from time to time by resolution of the
Board, provided the Board shall consist of at least five members. No reduction of the authorized number of
directors shall have the effect of removing any director before that director’s term of office expires.

3.2 ELECTION, QUALIFICATION AND TERM OF OFFICE OF DIRECTORS.


Except as provided in Section 3.4 and Section 3.13 of these bylaws, directors shall be elected at each
annual meeting of stockholders to hold office until the next annual meeting. Directors need not be stockholders
unless so required by the Certificate or these bylaws. The Certificate or these bylaws may prescribe other
qualifications for directors. Each director, including a director elected to fill a vacancy, shall hold office until
such director’s successor is elected and qualified or until such director’s earlier death, resignation or removal.

All elections of directors shall be by written ballot, unless otherwise provided in the Certificate. If
authorized by the Board, such requirement of a written ballot shall be satisfied by a ballot submitted by
electronic transmission, provided that any such electronic transmission must be either set forth or be submitted
with information from which it can be determined that the electronic transmission was authorized.

3.3 RESIGNATION AND VACANCIES.


Any director may resign at any time upon written notice or by electronic transmission to the chairman of
the Board, with a copy to the secretary of the corporation.

and unless the Board otherwise determines, newly created directorships resulting from any increase in the
authorized number of directors, or any vacancies on the Board resulting from the death, resignation, retirement,
disqualification, removal from office or other cause shall, unless otherwise required by law, be filled by the
affirmative vote of a majority of the remaining directors then in office, even though less than a quorum of the
Board, or by a sole remaining director. When one or more directors resigns and the resignation is effective at a

fill such vacancy or vacancies, the vote thereon to take effect when such resignation or resignations shall

Special meetings of the Board for any purpose or purposes may be called at any time by the chairman of
the Board, the chief executive officer, the secretary or any two directors. The person(s) authorized to call special
meetings of the Board may fix the place and time of the meeting.

Notice of the time and place of special meetings shall be:

(i) delivered personally by hand, by courier or by telephone;

(ii) sent by PH first-class mail, postage prepaid;

(iii) sent by facsimile; or

(iv) sent by electronic mail,

directed to each director at that director’s address, telephone number, facsimile number or electronic mail
address, as the case may be, as shown on the corporation’s records.

3.7 WAIVER OF NOTICE.


Whenever notice is required to be given under any provisions of the DGCL, the Certificate or these
bylaws, a written waiver thereof, signed by the person entitled to notice, or a waiver by electronic transmission
by the person entitled to notice, whether before or after the time stated therein, shall be deemed equivalent to
notice. Attendance of a person at a meeting shall constitute a waiver of notice of such meeting, except when the
person attends a meeting solely for the express purpose of objecting, at the beginning of the meeting, to the
transaction of any business because the meeting is not lawfully called or convened. Neither the business to be
transacted at, nor the purpose of, any regular or special meeting of the directors, or members of a committee of
directors, need be specified in any written waiver of notice or any waiver by electronic transmission unless so
required by the Certificate or these bylaws.

3.8 BOARD ACTION BY WRITTEN CONSENT WITHOUT A MEETING.


Unless otherwise restricted by the Certificate or these bylaws, any action required or permitted to be taken
at any meeting of the Board, or of any committee thereof, may be taken without a meeting if all members of the
Board or committee, as the case may be, consent thereto in writing or by electronic transmission and the writing
or writings or electronic transmission or transmissions are filed with the minutes of proceedings of the Board or
committee. Such filing shall be in paper form if the minutes are maintained in paper form and shall be in
electronic form if the minutes are maintained in electronic form.

3.9 ADJOURNED MEETING; NOTICE.


If a quorum is not present at any meeting of the Board, then a majority of the directors present thereat
may adjourn the meeting from time to time, without notice other than announcement at the meeting, until a
quorum is present.

3.10 REMOVAL OF DIRECTORS.


Subject to the rights of the holders of any series of Preferred Stock then outstanding, any director or the
entire Board may be removed from office at any time, with or without cause, by the affirmative vote of the

holders of at least a majority of the voting power of the issued and outstanding shares of capital stock of the
corporation then entitled to vote in the election of directors.

ARTICLE IV — OFFICERS

5.1 OFFICERS.
The officers of the corporation shall be a chief executive officer and a secretary. The corporation may also
have, at the discretion of the Board, a chairman of the Board, a vice chairman of the Board, one or more
presidents, a chief financial officer, a treasurer, one or more vice presidents, one or more assistant vice
presidents, one or more assistant treasurers, one or more assistant secretaries, and any such other officers as may
be appointed in accordance with the provisions of these bylaws.

Any number of offices may be held by the same person, provided, however, that, except as provided in
Section 5.6 below, the chairman of the Board shall not hold any other office of the corporation.

5.2 APPOINTMENT OF OFFICERS.


The Board shall appoint the officers of the corporation, except such officers as may be appointed in
accordance with the provisions of Sections 5.3 of these bylaws, subject to the rights, if any, of an officer under
any contract of employment. Each officer shall hold office until his or her successor is elected and qualified or
until his or her earlier resignation or removal. A failure to elect officers shall not dissolve or otherwise affect the
corporation.

5.3 SUBORDINATE OFFICERS.


The Board may appoint, or empower the chief executive officer of the corporation, to appoint, such other
officers and agents as the business of the corporation may require. Each of such officers and agents shall hold
office for such period, have such authority, and perform such duties as are provided in these bylaws or as the
Board may from time to time determine.

5.4 REMOVAL AND RESIGNATION OF OFFICERS.


Any officer may be removed, either with or without cause, by an affirmative vote of the majority of the
Board at any regular or special meeting of the Board or, except in the case of an officer appointed by the Board,
by any officer upon whom such power of removal has been conferred by the Board.

Any officer may resign at any time by giving written notice to the corporation. Any resignation shall take
effect at the date of the receipt of that notice or at any later time specified in that notice. Unless otherwise
specified in the notice of resignation, the acceptance of the resignation shall not be necessary to make it
effective. Any resignation is without prejudice to the rights, if any, of the corporation under any contract to
which the officer is a party.

5.5 VACANCIES IN OFFICES.


Any vacancy occurring in any office of the corporation shall be filled by the Board or as provided in
Section 5.2.

5.6 CHAIRMAN OF THE BOARD.


The chairman of the Board shall be a member of the Board and, if present, preside at meetings of the
Board and exercise and perform such other powers and duties as may from time to time be assigned to him or
her by the Board or as may be prescribed by these bylaws.

The chairman shall be an Outside Director (as defined in the Certificate) and shall not hold any other
office of the corporation unless the appointment of the chairman is approved by two-thirds of the members of
the Board then in office, provided, however, that if there is no chief executive officer or president of the
corporation as a result of the death, resignation or removal of such officer, then the chairman of the Board may
also serve in an interim capacity as the chief executive officer of the corporation until the Board shall appoint a
new chief executive officer and, while serving in such interim capacity, shall have the powers and duties
prescribed in Section 5.7 of these bylaws.

5.7 CHIEF EXECUTIVE OFFICER.


Subject to the control of the Board and any supervisory powers the Board may give to the chairman of the
Board, the chief executive officer shall have general supervision, direction, and control of the business and
affairs of the corporation and shall see that all orders and resolutions of the Board are carried into effect. The
chief executive officer shall, together with any president or presidents of the corporation, also perform all duties
incidental to this office that may be required by law and all such other duties as are properly required of this
office by the Board of Directors. The chief executive officer shall serve as chairman of and preside at all
meetings of the stockholders. In the absence of the chairman of the Board, the chief executive officer shall
preside at all meetings of the Board.

5.8 REPRESENTATION OF SHARES OF OTHER CORPORATIONS.


The chairman of the Board, the chief executive officer, any president, any vice president, the treasurer,
the secretary or assistant secretary of this corporation, or any other person authorized by the Board, the chief
executive officer, a president or a vice president, is authorized to vote, represent, and exercise on behalf of this
corporation all rights incident to any and all shares or other equity interests of any other corporation or entity
standing in the name of this

corporation. The authority granted herein may be exercised either by such person directly or by any other
person authorized to do so by proxy or power of attorney duly executed by such person having the authority.

5.9 AUTHORITY AND DUTIES OF OFFICERS.


In addition to the foregoing authority and duties, all officers of the corporation shall respectively have
such authority and perform such duties in the management of the business of the corporation as may be
designated from time to time by the Board.

ARTICLE V — GENERAL MATTERS

6.1 CHECKS; DRAFTS; EVIDENCES OF INDEBTEDNESS.


From time to time, the Board shall determine by resolution which person or persons may sign or endorse
all checks, drafts, other orders for payment of money, notes or other evidences of indebtedness that are issued in
the name of or payable to the corporation, and only the persons so authorized shall sign or endorse those
instruments.

6.2 EXECUTION OF CORPORATE CONTRACTS AND INSTRUMENTS.


Except as otherwise provided in these bylaws, the Board, or any officers of the corporation authorized
thereby, may authorize any officer or officers, or agent or agents, to enter into any contract or execute any
instrument in the name of and on behalf of the corporation; such authority may be general or confined to
specific instances.

6.3 STOCK CERTIFICATES; PARTLY PAID SHARES.


The shares of the corporation shall be represented by certificates, provided that the Board may provide by
resolution or resolutions that some or all of any or all classes or series of its stock shall be uncertificated shares.
Any such resolution shall not apply to shares represented by a certificate until such certificate is surrendered to
the corporation. The corporation may issue the whole or any part of its shares as partly paid and subject to call
for the remainder of the consideration to be paid therefor. Upon the face or back of each stock certificate issued
to represent any such partly paid shares, and upon the books and records of the corporation in the case of
uncertificated partly paid shares, the total amount of the consideration to be paid therefor and the amount paid
thereon shall be stated. Upon the declaration of any dividend on fully paid shares, the corporation shall declare a
dividend upon partly paid shares of the same class, but only upon the basis of the percentage of the
consideration actually paid thereon.

6.4 CONSTRUCTION; DEFINITIONS.


Unless the context requires otherwise, the general provisions, rules of construction, and definitions in the
DGCL shall govern the construction of these bylaws. Without limiting the generality of this provision, the
singular number includes the plural, the plural number includes the singular, and the term “person” includes
both a corporation and a natural person.

6.5 DIVIDENDS.
The Board, subject to any restrictions contained in either (i) the DGCL, or (ii) the Certificate, may declare
and pay dividends upon the shares of its capital stock. Dividends may be paid in cash, in property, or in shares
of the corporation’s capital stock.

The Board may set apart out of any of the funds of the corporation available for dividends a reserve or
reserves for any proper purpose and may abolish any such reserve.

6.6 SEAL.
The corporation may adopt a corporate seal, which shall be adopted and which may be altered by the
Board. The corporation may use the corporate seal by causing it or a facsimile thereof to be impressed or
affixed or in any other manner reproduced.

6.7 TRANSFER OF STOCK.


Transfers of stock shall be made only upon the transfer books of the corporation kept at an office of the
corporation or by transfer agents designated to transfer shares of the stock of the corporation.

ARTICLE VI — AMENDMENTS

The bylaws of the corporation may be adopted, amended or repealed by a majority of the voting power of
the stockholders entitled to vote; provided, however, that the corporation may, in its Certificate, also confer the
power to adopt, amend or repeal bylaws upon the Board. The fact that such power has been so conferred upon
the Board shall not divest the stockholders of the power, nor limit their power to adopt, amend or repeal bylaws.

Soriano, Emmanuel L. – He is a graduate of Bachelor of Science in Business
Management at University of the Philippines. After graduating college, he decided
to start a business in the field of food industry, but it didn’t work out well. After
getting the return on his investment, he then started another business in hopes of
becoming successful. His hotel business became successful, and he was able to help
his fellow entrepreneurs by franchises and through his other branches.
Sasutona, Roy Antoni T. – He is a graduate of Bachelor of Science in Applied
Economics – Financial Economics at De La Salle University. He gained experience
through helping in his family business; with enough knowledge and expertise, he is
now the business owner of his own restaurant.
Pascua, Precious Faith A. – A college degree holder from Mapua University –
Bachelor of Advertising and Public Relations. She gained experience from her
