i. Mumbai
umbai Metropolitan Region Development Authority, Mumbai (hereinafter referred to as
MMRDA) has issued the Request for Proposal (hereinafter referred to as RFP) for Request for
Proposal for Preparation

Corridoron such terms and conditions as set out in the RFP
document, including but not limited to the requirements set out in different parts of the RFP
document.

ii. The RFP hasas been prepared with an intention to invite prospective Applicants/Bidders/Consultants
and to assist them in making their decision regarding submission of proposal. It is hereby clarified
that the RFP is not an agreement and the purpose of the RFP is to pprovide
rovide the bidder(s) with
information to assist them in the formulation of their proposals. The RFP document does not
purport to contain all the information bidders may require. The RFP document may not be
appropriate for all persons, and it is not possibl
possiblee for MMRDA to consider the investment
objectives, financial situation and particular needs of each bidder.

iii. MMRDA has taken due care in preparation of information contained herein. However, this
information is not exhaustive. Interested parties are required to make their own inquiries and
respondents will be required to confirm in writing that they have done so, and they do not solely
rely on the information contained in the RFP in submitting their Proposal. The RFP includes
statements, which reflect various assumptions and assessments arrived at by MMRDA in relation to
the Project. Such assumptions, assessments and statements do not purport to contain all the
information that each Bidder may require.

iv. The RFP is not an agreement by and between MMRDA and the prospective bidders or any other
person. The information contained in the RFP is nonnon–binding
binding on MMRDA, any of its authorities or
agencies, or any of their respective officers, employees, agents, or advisors. MMRDA makes no
representation or warranty and shall incur no liability under any law as to the accuracy, reliability
or completeness of the information contained
contained in the RFP document. Each Bidder shall consider the
RFP document as per his understanding and capacity. The bidders shall undertake appropriate
examination, enquiry and scrutiny of all aspects mentioned in the RFP document before bidding.
Bidders aree encouraged to take professional help of experts on Urban Planning, Architecture,
Urban Design, Infrastructure, Environmental Planning, Financial, legal, technical, taxation, and any
other matters / sectors appearing in the document or specified work. Bid Bidders
ders shall also go through
the RFP document in detail and bring to notice of MMRDA any kind of error, misprint,
inaccuracies, or omission in the document before pre pre-bid
bid meeting. MMRDA reserves the right not
to proceed with the project, to alter the timetab

le reflected in this document, and to change the
process or procedure mentioned in the RFP in larger public interest. MMRDA also reserves the
right to decline to discuss the Project with any party submitting a proposal.

partners submitting this Proposal shall not be entitled for any type of reimbursement from
MMRDA. The Bidder shall bear all costs arising from, associated with or relating to the
preparation and submission
bmission of its Bid including but not limited to preparation, copying, postage,
delivery fees, expenses associated with any demonstrations or presentations which may be required
by MMRDA or any other costs incurred in connection with or relating to its Bid.

vi. The issue of the RFP does not imply that MMRDA is bound to select and pre pre-qualify Bids for any
Bid Stage or to appoint the selected Bidder as the case may be, for the project and MMRDA
reserves exclusive right to reject all or any of the Bids without as
assigning
signing any reasons whatsoever.

vii. MMRDA may, in its absolute discretion but without being under any obligation to do so, update,
amend or supplement the information, assessment or assumptions contained in the RFP.

viii. MMRDA, its employees and advisors make no representation or warranty and shall have no
liability (for any cost, damage, loss or expense which may arise from or is incurred or suffered on
account of anything contained in this RFP or otherwise, including but not limited to the accuracy,
adequacy, correctness,
orrectness, completeness or reliability of the RFP and any assessment, assumption,
statement or information contained therein or deemed to be part of this RFP or arising in any way
with eligibility of Bidder for participation in the Bidding Process) toward
towardss any Applicant or Bidder
or a third person, under any law, statute, rule, regulation or tort law, principles of restitution or
unjust enrichment or otherwise.

ix. MMRDA also accepts no liability of any nature whether resulting from negligence or otherwise
howsoever
wsoever caused arising from reliance of any Bidder upon the statement contained in this RFP.

x. Interested parties, after careful review of all the clauses of the ‘Request for Proposal’, are
encouraged to send their suggestions in writing to MMRDA on

xi. The submitted bid/drawings/concepts/IPR/patents/clarifications etc. shall be exclusive property of


MMRDA once submitted. The same shall be retained by MMRDA and shall be produced by
MMRDA for any deemed use for implementation of project in larger public interest. The Bidder
shall have no right or claim on the submitted drawings/ documents/
models/presentations/walkthrough etc. - soft and hard copies and nd bidder shall not seek any
compensation for any information submitted by bidder to be used by MMRDA. The submission by
Bidder empowers MMRDA to retain and use information at MMRDA’s discretion multiple times
in multiple forums in multiple formats.

Definitions

Terms Definitions
Accounting Year Means the financial year commencing from 1stApril of any calendar year
and ending on 31stMarch of the next calendar year
Additional Means the facilities which the Bidder / Agency may provide or procure for
Facilities the benefit of the users of the Pedestrian and which are in addition to the
Project Facilities, and not situated on the Site
Agency Successful Bidder selected through this RFP
Company Means a Company incorporated and existing under Companies Act,
Appointed Date Means the date on which the Agreement is signed and shall be deemed to be
the date of commencement of the Contract Period
Applicable Laws Means all laws, promulgated or brought into force and effect by GOI or
GOM including regulations and rules made there under, and judgments,
decrees, injunctions, writs and orders of any court of record, as record, as
may be in force and effect during the subsistence of this Agreement
Applicable Permits Means all clearances, permits, authorizations, consents and approvals
required to be obtained or maintained under Applicable Laws in connection
with the design, engineering, financing, procurement, construction,
operation and maintenance of the Landscaping advertisements facility
Project during the subsistence of this Contract
Authority Means Mumbai Metropolitan Region Development Authority
Change in law Means the occurrence of any of the following after the date of financial Bid:
the enactment of any new Indian law; the repeal, modification or re re-
enactment of any existing Indian law; the commencement of any Indian
Law which has not entered into effect until the date of financial Bid; a
change in the interpretation or application of any Indian law by a court of
record as compared to such interpretation or application prior to the date of
financial Bid
Completion Means the Certificate issued by the Officer in Charge (OIC) enduring the
Certificate satisfactory completion of the project
Construction Means a period of 180 days from the Appointed date or as specified in the
Period Work Order ““Request

stability certificates to MMRDA and obtaining necessary permissions, NOC
from all the competent authorities.
DLP Defect Liability Period
Contract Period Means the period beginning from the Appointed Date or as specified in the
work order.
Contractor Means the person or persons if any with whom the Bidder has entered into
all or any of the Project Agreements other than the Financing Documents.
Document or Means documentation printed or in written form, tapes, discs, drawings,
Documentation computer programmers, writings, reports, photographs, cassettes, or
expressed in any other written, audio or visual form
Drawings Means all the drawings, calculations and documents pertaining to the

Local Authority Means Municipal Corporation of Greater Mumbai (MCGM);
MMRDA Means the Mumbai Metropolitan Region Development Authority
MMRDA Means
eans such person or persons as may be authorized in writing by
Representative Metropolitan Commissioner, MMRDA or the OIC to act on its behalf under
this Agreement and shall include any person or Persons having authority to
exercise any rights or perform and fulfil any obligations of MMRDA under
this Agreement;
Affiliate(s) Means an individual or an entity that directly or indirectly controls, is
controlled by, or is under common control with the Consultant.
Applicable Law Means the laws and any other instruments having the force of law i n the
(in RFP) Client’s country, or in such other country as may be specified in the RFP,
as they may be issued and in force from time to time.
Client Means “Mumbai Metropolitan Region Development Authority” or
“Authority” that signs the Contract for the Services with the selected
Consultant.
Consultant Means a legally
legally-established
established professional consulting firm or an entity that
may provide or provides the Services to the Client under the Contract.
Contract Means a legally binding written agreement signed between the Client and
the Consultant and includes all the attached documents listed in its Clause
1 (the General Conditions of Contract (GCC), the Special Conditions of
Contract (SCC), and the Appendices).
RFP Means an integral part of the Instructions to Bidders (ITB
ITB) Section 2 that is
used to reflect specific country and assignment conditions to supplement,
but not to over-write,
over the provisions of the ITB.
Day Means calendar day;
Professionals Means, collectively, Key Professionals, Support Professionals, support
staff, or any other personnel of the Consultant, SubSub-consultant
consultant or Joint
Venture member(s).
Government Means the Government of Maharashtra;
Joint Venture Means an association with or without a legal l personality distinct from
(JV) that of its members, of more than one Consultant where one member has
the authority to conduct all business for and on behalf of any and all the
members of the JV, an d where the members of the JV are jointly and
severally liable to the Client for the performance of the Contract.
Key Means an individual professional whose skills, qualifications, knowledge
Professional(s) and experience are critical to the performance of the Services under the
Contract and whose CV is taken into account in the technical
technic evaluation of
the Consultant’
Consultant’s proposal.
Foreign Personnel Means such professionals and support staff who at the time of being so
provided had their domicile outside the INDIA; “Local Personnel” means
such professionals and support staff who a t the time of being so provided
had their domicile inside India;
ITB Means the Instructions to Bidders that provides the Bidders with all
information needed to prepare their Proposals.
Support Means an individual professional provided by the Consultant or its Sub- Sub

Professional(s) consultant and who is assigned to perform the Services or any part thereof
under the Contract and their CVs are not evaluated individually.
Proposal Means the Technical Proposal and the Financial Proposal of the
Consultant.
RFP Means the Request for Proposals to be prepared by the Client for the
selection of Consultants.
Services Means the work to be performed by the Consultant pursuant to the
Contract.
Sub-consultant Means an entity to whom the Consultant intends to subcontract any part of
the Services while remaining responsible to the Client during the
performance of the Contract.
TORs Means the Terms of Reference that explain the objectives, scope of work,
activities, and tasks to be performed, respective responsibilities of the
Client and the Consultant, and expected results and deliverables of the
assignment.
Technical Means a committee constituted by the Authority for the purpose of
Advisory technical guidance to the Consultants and monitoring of the study;
Committee (TAC)
Tender Means a committee constituted by the Authority for the purpose of
Recommendation Evaluation of bids/proposals from the bidders, and recommend the
Committee (TRC) competent authority regarding the selection of successful bidder.
INR Means Indian Rupee (s).
QCBS Means Quality
Quality- and Cost-Based Selection (QCBS)

Unless excluded by or repugnant to the context,

i. The expression “CTC” as used anywhere in the document shall mean Officer working as
Chief, Transport and Communications Division of MMRDA.
ii. The expression “OFFICER” or “OFFICER -IN-CHARGE” as used in the document shall
mean the OFFICER -IN-CHARGE
CHARGE of the work for the time being appointed by Metropolitan
Commissioner, MMRDA.
iii. The expression “Contract” as used in the document shall mean the deed to contract together
with its original accompaniment
ment and those latter incorporated in it by mutual consent.
iv. “Drawings” shall mean the drawings referred to in the specifications and any modifications
of such drawings approved in writing by OFFICER IN CHARGE (OIC) and such other
drawings as may from time to time be furnished or approved in writing by the Engineer.
v. “Officer’s Representative” shall mean an assistant / representative of the OFFICER -IN-
CHARGE.
vi. The “Site” shall mean the lands and/or other places, on under, in or through which the work is
to be executed under the contract including any other lands or places, which may be allotted
by MMRDA or used for the purpose of execution of work.
vii. The “Work” shall mean the works to be executed in accordance with the Contract or part(s)

1.1 About MMRDA

The Mumbai Metropolitan Region Development Authority (MMRDA) was established in

CHAPTER 3: TERMS OF REFERENCES (TORs)

3.1 Introduction
Efficient mobility of people is one of the key factors for the progress and prosperity of a
society and a nation. Effective public transport is the need of every major city. The available public
transport modes typically offer poor levels of services marked
marked by improperly maintained shabby
vehicles, ergonomic design of coaches for city transport, unresponsive staff, and lack of proper
systems oriented towards consumer satisfaction. It is therefore imperative that along with effective
and efficient mass public transport services suitable feeder services are provided in various cities in
order to increase the share of public transport. The traffic and transport situations in most cities
clearly
arly point towards an urgent necessity for an efficient, reliable and cost
cost-effective

solutions.
In order to strengthen the public transport share in the Mumbai city, Mumbai Metropolitan
Region Development Authority (MMRDA) has undertaken ggreen reen feeder initiative. This initiative of
the Authority has been strong step towards making Mumbai green, reduce pollution levels by
encouraging people to use public transport mode than personal mode of transport. In order to cater
to increase in passengerr demand combined with future requirement, the Authority intends to
implement aerial ropeway as feeder service and last mile connection to upcoming metro line-2A. line
To understand the technical and financial feasibility of this new initiative a Detailed Project Report
(DPR) is being submitted to MMRDA.

3.2 Background of the engagement


In order to improve traffic and transportation scenario in M
MMR,, MMRDA is implementing
more than 300 km of Metro Network in Mumbai Metropolitan Region. This metro network will
connect the unconnected areas in the region and important places and railway stations etc.To etc.
connect areas like Gorai, Essel World which are currently segregated by creeks; MMRDA has
undertaken initiative to implement last mile connectivity using Aerial Ropeway. opeway. Worldwide
ropeway solutions are being implemented for last mile connectivity from other urban transport
modes. The proposed ropeway connection will save lot of commuting time for the people travelling
along the corridor. Mahavir Nagar Metro Station has been been identified as a suitable location to
provide this last mile integration. People can take the ropeway to reach Mahavir Nagar Metro
station from Gorai and intermediate locations along the corridor and vice versa. MMRDA has
already implemented Mumbai Metro Line 2A and 7 was opened to public from 19th January
,2023.. Rest of the corridors of Mumbai Metro Master Plan will be implemented within next 3 to 4
years.
As desired MMRDA has conducted a feasibility study for the green transport solution of
Ropeway at Mumbai suburban areas taking into account the existing passenger services, a Traffic
survey was conducted at Mahavir Nagar, Gorai, Borivali area. Available data with upcoming metro
Line-2A was collected.. A field survey was conducted along with IIT Bombay at locations to collect
the first-hand
hand information from tourists. The team visited projects site and identified various
locations from where we can connect Mahavir Nagar Metro Station and Gorai Village aarea.
Various options were studied to connect Gorai area from Line Line-2.
2. Finally, after careful analysis of
traffic catchment, available right of way, required statutory approvals

i. MMRDA intends to select an individual firm or Joint Venture (“the Consultant”) in


accordance with the method of selection specified in the RFP.

ii. The Consultants are invited to submit a Technical Proposal and a Financial Proposal, as
specified in the RFP, for consulting services required for the assignment named in the RFP
Summary. The Proposal will be the basis for negotiations (for both technical and financials)
and ultimately for a signing Contract with the selected Consultant.

iii. Consultants should familiarise themselves with local conditions and consider them in
preparing their Proposals. To obtain first-hand
first hand information on the assignment and local
conditions, Consultants needs to attend a pre-proposal conference as specified in the RFP.
Attending the pre-proposal
proposal conference and visit to MMRDA is optional and it is at the
consultant’s expense. Consultants should contact the MMRDA’s representative named in the

them to make appropriate arrangements.

v. The Consultant shall bear all costs associated with the preparation and submission of its
Proposal, subsequent contract negotiations and the Employer shall not be responsible or liable
for those costs, regardless of the conduct or outcome of the selection process. The Employer is
not bound to accept any proposal, and reserves the right to annul the selection process at any
time prior to Contract award, without thereby incurring any liability to the Consultant.

3.3 Need for the Study


Metro stations are accessed by various modes of transport such as by private vehicles and
two wheelers, feeder buses, intermediate public transport (IPTs), non
non-motorised

walking which is the most common mode of access. As observed the Gorai area which is
located beyond creek is not connected by any mode and the travel time to reach the location is
approx. 1.5hrs and more. Hence to connect the said area with a last mile connectivity and to
reduce

Station- Pagoda- Gorai by Urban Ropeway.

 The Consultants shall collect details of all important physical features along the
alignment which will impact the project such as place of worship, rivers, water
catchment, sea and its stability, transmission towers/ its lines, flight path, any bird
sanctuary/ bird path along with direction & height as per guidelines of Forest/ MoEF
for such project, wind speed, etc. The survey would cover the entire route/ alignment
of the ropeway systems, the adequate allowance for possible shifting of the central
lines at some of the critical locations.
 Consultant

assessing thee probability of landslides and any other critical investigation/study which
may impact the project in a long run.
 The consultant shall carry out various alignment options studies considering all
critical investigation, assess statutory clearances required,
required, high level cost of the
various alignment options etc. and shall come out with the options studies detailing
out the merits and demerits of all the options with recommending the most feasible
option.
 Consultant will review information available with all utility’s agencies in the region,
consult maps/plans available with state agencies, consult with locals and municipal
bodies to ascertain the presence and location of utilities, including but not limited to
watermains, gas, telephone, electricity and fiberfiber-optic

 The consultant shall prepare cost estimates related with the Ropeway System
project along with the project construction schedule with particular reference to
critical areas of work.
 The consultant will estimate the costs associated with various equipment and
infrastructure components for the station and tower.
 A financial model should be prepared by consultants to estimate the fiscal
implications on the implementing agency (in terms of capital and operating cost)
and various ways to decrease the financial risks through various innovative
methods of funding like advertisement revenue, third party funding, viability gap

funding etc. The financial viability of the proposed system in terms of FIRR and
NPV should be ascertained.

xiii. Task 13: Obtaining Approval
Obtaining approvals regarding statutory/administrative clearances required for setting up
of Ropeway Systems from different agencies such as Forest and wildlife Department,
Centre/State

percent) of total contractual value, which the Consultant has failed to deliver within the
period fixed for delivery for each week or part thereof during which delivery is in arrears
subject to an overall ceiling of 10% of the total contract pric
price.

3.9 Data Ownership


 MMRDA will own all right, title and interest, including all intellectual property rights, in and
to any reports, document, computer and laptops as well as software (in source code and object
code form), or other deliverable (whether in hard hard-copy, electro-magnetic,

readable format) created or used under this assignment. The Consultant will provide
additional soft copies of all data in Microsoft Excel or Ac

4.2 Administration: Reporting and submission requirements


 The Consultant will work in close liaison with MMRDA. The Chief, Transport &
Communication Division of the Authority will be responsible for the overall coordination.
Chief, Transport & Communications Division will play a coordinating role in dissemination
of the Consultant’s outputs, facilitating discussions, and ensuring required reactions and
responses to the Consultant.
 Consultant may prepare Issue Papers/ Working Papers highlighting issues that could
become critical for the timely completion of the Project

CHAPTER 5:: INSTRUCTIONS TO BIDDERS (ITB)

5.1 General Instructions

E-Bids
Bids are invited by Mumbai Metropolitan Region Development Authority (MMRDA) for
“Request
Request for proposal for preparation of Detail Project Report for Mahavir Nagar Metro
Station (2A)- Pagoda – Gorai Urban Ropeway Corridor” subject to the conditions mentioned
below and further subject to the ‘Conditions of Contract’ annexed hereto. ‘Instructions
‘Instru to Bidders’,
‘Conditions of Contract’, ‘Form of Financial Offer’ etc. are enclosed. You are requested to fill the
bid and submit to MMRDA duly signed and certified on or before the closing date.

i. The Bidders shall deposit Tender Fees of Rs. 10,000/- (Indian Rupees Ten Thousand Only)
inclusive of all the taxes through Maha e-tendering

Tender Fee is non-refundable.
ii. The RFP Document shall not be transferable to any other bidder. The bidder who downloads the

iii. The bidders shall study all instructions, forms, drawings, terms, requirements and other
information in the RFP documents carefully. Submission of bid shall be deemed to have been
done after careful study and examinat

ion of the RFP document with full understanding of its
implications.
iv. The response to the RFP shall be full and complete in all respects. Failure to furnish all
information required in the RFP document or submission of a proposal not substantially
responsive to the RFP document in every respect shall be at the Bidder's risk and shall result in
rejection of its Proposal.
v. The bidder shall submit the bid at his own cost and MMRDA shall not be held responsible for
any cost incurred by the bidder. Submission of a bid does not entitle the bidder to claim any cost
and rights over MMRDA and MMRDA shall be at liberty to cancel any or all bids without giving
any notice
vi. All materials submitted by the bidder shall be the absolute property of MMRDA and no copyright

vii. The bidder shall send in their queries by email

viii. All thee amendments made in the RFP shall be published at MMRDA website and shall be part of
RFP.
ix. The bidders shall visit the aforementioned website on regular basis for checking latest updates of
the RFP document. The MMRDA also reserves the rights to amend the dates mentioned in the
RFP for successful bid process in larger public interest.
x. If MMRDA deems it appropriate to revise any part of the RFP or to issue additional data to
clarify an interpretation of provisions of the RFP, it may issue corrigendum to the RFP. Any such
corrigendum shall be deemed to be incorporated by this reference into the RFP.
xi. MMRDA shall terminate the RFP process at any time and without assigning any reason and
MMRDA shall not be held responsible for any cost incurred by the bidder in bid preparation.
MMRDA reserves the right to amend/edit/add delete any clause of the Bid Document. However,
this shall be informed to all and shall become part of the bid /RFP.

5.2 Earnest Money Deposit

jeopardise or unnecessarily delay the process of bid evaluation and finalisation. The
decision of MMRDA regarding forfeiture of the Bid Security shall be final and binding
upon bidders.
 If during the bid process, any information is found false/fraudulent/mala fide, then
MMRDA shall reject the bid and, if necessary, initiateappropriate action.
vii. The Proposal not submitted in accordance with the procedure and formats prescribed in this
document and adhering to the timeline shall be treated as nonnon-conforming
conforming Proposal.
 MMRDA intends to select an individual firm (“the Consultant”) with or without
consortium in accordance with the method of selection specified in the RFP.
 The Bidderss are invited to submit a Technical Proposal and a Financial Proposal, as
specified in the RFP, for consulting services required for the assignment named in the
RFP. The Proposal will be the basis for negotiations (for both technical and financials)
and ultimately
ltimately for a signing Contract with the Successful Bidder.
 Bidder shall familiarize themselves with local conditions and take them into account in
preparing their Proposals. To obtain first
first-hand
hand information on the assignment and local
conditions, Bidderss are encouraged to visit MMRDA before submitting a proposal and to
attend a pre-proposal
proposal conference if one is specified in the RFP

Proposal, subsequent contract negotiations and the Client shall not be responsible or liable

for those costs, regardless of the conduct or outcome of the selection process. The Client
is not bound to accept any proposal, and reserves the ri

5.3 Conflict of Interest
 MMRDA requires that Bidder Bidderss provide professional, objective, and impartial advice and at
all times holding
ding the MMRDA’s interest’s paramount, strictly avoiding conflicts with
other assignments or their own corporate interests and acting without any consideration for
future work.
 The Bidder has an obligation to disclose to the Client any situation of actual or potential
conflict that impacts its capacity to serve the best interest of its Client. Failure to disclose
such situations may lead to the disqualification of the Bidder or the termination of its
Contract.
 Without limitation on the generality of the foregoing, and unless stated otherwise in the
RFP, the Bidder shall not be hired under the circumstances set forth below:

a. Conflicting activities
Conflict between consulting activities and procurement of goods, works or non- non
consulting services: A firm that has been engaged by MMRDA to provide goods,
works or services other than consulting services for a project, and any of its
affiliates, shall be ddisqualified
isqualified from providing consulting services related to those
goods, works or services. Conversely, a firm hired to provide consulting services
for the preparation or implementation of a project, and any of its affiliates, shall be
disqualified from subsequently
subsequently providing goods or works or services other than
consulting services resulting from or directly related to the firm’s consulting
services for such preparation or implementation. For the purpose of this paragraph,
services other than consulting services
services are defined as those leading to a measurable
physical output, for example surveys, exploratory drilling, aerial photography, and
satellite imagery.

b. Conflicting assignments
Conflict among consulting assignments: A Consultant (including its Personnel) or
any of its affiliates shall not be hired for any assignment that, by its nature, may be
in conflict with another assignment of the Consultant to be executed for the same or
for another Employer. For example, a Consultant hired to prepare engineering
design
ign for an infrastructure project shall not be engaged to prepare an independent
environmental assessment for the same project, and a Consultant assisting an
Employer in the privatization of public assets shall not purchase, nor advice
purchasers of, such assets. Similarly, a consultant hired to prepare Terms of
Reference for an assignment should not be hired for the assignment in question. The
hired consultant for the present assignment shall not work with any other firm or
developer or agency on the same assignment nor would advise on such matters to
any other firm except MMRDA.
c. Conflicting relationships
i. Relationship with the client’s staff: A Bidder (including its Professionals) that
has a business or family relationship with a member of the MMRDA’s staf staff who
is directly or indirectly involved in any part of (i) the preparation of the Terms of
Reference of the assignment, (ii) the selection process for such assignment, or
(iii) supervision of the Contract, may not be awarded a Contract, unless the

conflictt stemming from this relationship has been resolved in a manner


acceptable to the MMRDA throughout the selection process and the execution of
the Contract.
ii. No agency or current
c employees of the MMRDA shall work as consultants under
their own ministries, dedepartments
partments or agencies. Recruiting former employees of
the MMRDA and Government to work for their former ministries, departments or
agencies is acceptable provided no conflict of interest exists. When the lead
bidder nominates any government employee as a pprofessional
rofessional in their technical
proposal, such professional must have written certification from their government
or employer confirming that they are on leave without pay from their official
position and allowed to work full

time outside of their previous official position.
Such certification shall be provided to the MMRDA by the lead bidder as part of
his technical proposal.

5.3.1 Unfair competitive Advantage


If a Bidder could derive a competitive advantage from having provided other
consulting services re
related
lated to the assignment in question, MMRDA shall make
available to all bidders s together with this RFP all information that would in that
respect give such Bidder any competitive advantage over competing Bidders.

5.3.2 Corrupt and Fraudulent Practices


The Bidderss and their agents (whether declared or not), personnel, service providers
and suppliers observe the highest standard of ethics during the selection and execution
of such contracts and must not indulge in any corrupt /fraudulent practice defined here
under:
(i) “corrupt practice” is the offering, giving, receiving or soliciting, directly or indirectly,
of anything of value to influence improperly the actions of another partyi
(ii) “fraudulent practice” is any act or omission, including misrepresentation,
misrepresentatio that
knowingly or recklessly misleads, or attempts to mislead, a party to obtain financial
or other benefit or to avoid an obligation.
(iii)“collusive
“collusive practices” is an arrangement between two or more parties designed to
achieve an improper purpose, including to influence improperly the actions of
another partyii;
(iv) “coercive practices” is impairing or harming, or threatening to impair or harm,
directly or indirectly, any party or the property of the party to influence improperly
the actions of a partyiii;
(v) “obstructive
ctive practice” is
(a) Deliberately destroying, falsifying, altering or concealing of evidence material to the
investigation or making false statements to investigators in order to materially
impede a MMRDA investigation into allegations of a corrupt, fraudulent,
fraudule coercive, or
collusive practice; and/or threatening, harassing, or intimidating any party to prevent
it from disclosing its knowledge of matters relevant to the investigation or from
pursuing the investigation, or
(b) MMRDA will reject a proposal for awa award
rd if it determines that the Bidder
recommended for award has, directly or through an agent, engaged in corrupt,
fraudulent, collusive, coercive, or obstructive practices in competing for the contract
in question;
(c) MMRDA will sanction a firm or an individindividual at any time.

 Bidders, s, their agents (whether declared or not), personnel, service providers and
suppliers shall not be under a declaration of ineligibility for aforesaid corrupt and
fraudulent practices. Furthermore, the Bidderss shall be aware of the provisions on
fraud and corruption stated in the specific clauses in the General Conditions of
Contract.
 Bidderss shall furnish information on commissions and gratuities, if any, paid or to
be paid to agents relating to this proposal and during execution of the assignment if
the Bidder is awarded the Contract, as requested in the Financial Proposal
submission forms.
5.4 Origin of Goods and Consulting Services
Goods supplied and Consulting Services provided under the Contract may originate
from any country except if:
(i) As a matter of law or official regulation, the Government of India prohibits
commercial relations with that country; or
(ii) By an act of compliance with a decision of the United Nations Security Council of
the Charter of the United Natio
Nations, the Government of India prohibits any imports of
goods from that country or any payments to persons or entities in that country.
5.5 Clarification and Amendment of RFP Documents
 The Bidder may request a clarification of any part of the RFP during the period indicated in
the RFP before the Proposals’ submission deadline. Any request for clarification must be
sent in writing, or by standard electronic means, to the Client’s address indicated in the
RFP. The Client will respond in writing, or by standard electronic means, and will send
written copies of the response (including an explanation of the query but without identifying
its source) to all Bidders.s. Should the Client deem it necessary to amend the RFP as a result
of a clarification, it shall do so following the procedure described below:
1. At any time before the proposal submission deadline, the Client may amend the RFP
by issuing an amendment in writing or by standard electronic means. The
amendment shall be sent to all Bidderss and will be binding on them. The Bidders
shall acknowledge receipt of all amendments in writing.
2. If the amendment is substantial, the Client may extend theproposal submission
deadline to give the Bidderss reasonable time to take an amendment into account in
their Proposals.
The Bidders may submit a modified Proposal or a modification to any part of it at any time
prior to the proposal submission deadline. No modifications to the Technical or Financial
Proposal
oposal shall be accepted after the deadline.

5.6 Language of Bids and assignments


The bid shall be submitted in English language onlyonly.. If any supporting documents submitted
are in any language other than English/Hindi/Marathi, translation of the same in English language
is to be duly attested by the bidder and submitted with the bid, and English translation shall be
validated at MMRDA’s discretion. All figures/ currencies shall be in Indian Rupees.

Bidders as part of this assignment must be in the English language.
It is desirable that the firm’s personnel have a working knowledge of the Employer’s national
language.

5.7 Patent Claim


In the event of any claim asserted by a third party of infringement of copyright, patent, trademark
or industrial design rights arising from the use of the Goods or any part thereof, the bidder shall
expeditiously extinguish such claim. If the bidder fails to comply and MMRDA is required to pay
compensation to a third party resulting from such infringement, the Bidder shall be responsible for
such compensation, including all expenses, court costs and lawyer fees. MMRDA shall give notice
to the successful bidder of any such claim and recover it from the bidder if required. During
submission, if any Bidder obtains any information/ document from Third Party it is at the Bidders
risk and cost.

5.8 Bid Submission Instructions


The entire proposal shall be submitted strictly as per the format specified in the Request for
Proposal. The Bids with deviation
ation from the format are liable for rejection. MMRDA reserves the
right to seek clarifications at any stage, from any Bidder, until the compliances are made by the
Bidder as desired by MMRDA in conformity with the RFP. The number of stations may vary by
one
ne or two as per the site conditions, the bidder shall consider the same while preparing and
submitting the proposal.

5.8.1 Submission of Bids


i. The bidder shall submit the bid online through Maha e-tendering
tendering Portal only.
ii. To view the Tender Notice, Detailed Time Schedule, RFP Document and its supporting

5.8.3 Evaluation Process


i. MMRDA shall constitute a Tender recommendation committee (TRC) to evaluate the
responses of the bidders as mentioned in delegation of powers.. The decision of the
Committee in the evaluation of responses to the RFP shall be recommended to the
competent Authority for approval.
ii. The TRC shall submit its decision to the competent authority whose decision shall be
final and binding upon the bidders.
iii. The Bidders who qualify on Eligibility Criteria and Technical Evaluation
Evaluat Envelope ‘A’
shall be considered for Financial evaluation- Envelope ‘B’.The Bidders with Technical
score of 75 marks or above in technical evaluation (Envelope A)) shall be considered to
be eligible for Financial Evaluation Envelope ‘B’.
iv. The technical evaluation

marks shall be given 20%

v. Amongst the bidders who are considered for financial evaluation, the bidder scoring the

MMRDA, if found successful after all compliances as per RFP.

thereof.

5.9Consortium

Bidderss shall be allowed to form a consortium and bid jointly for the tender, subject to the
following conditions:
a. The number of Consortium members cannot exceed two,, including the Lead Bidder.
b. Only the Lead Bidder shall submit the Proposal and sign the Contract with
MMRDA;however, the Consortium shall be severely and jointly responsible for delivery of
services as per the RFP.
In case of a Consortium Bid, the Lead Bidder shall need to submit the Joint Consortium
Agreement.

5.10Eligibility Criteria - instructions


The bidder/ Consortium shall fulfil all the following eligibility criteria on date of submission of bid
(Refer chapters 7,8&9 for standard templates)
i. Bidders, whose EMD and RFP Fees are found in order, shall be considered for further
evaluation.
ii. In case, iff bidder is the subsidiary of larger conglomerate, credentials of parent company can
be considered.
iii. Each Technical Proposal shall be assigned a Technical Score out of a maximum of 100
Marks.

5.11Marking system

5.11.1 Technical Marks: (X)


Each Proposal which is eligible in Envelope A shall be scrutinized further with Envelop B and
evaluated accordingly as per the following process and granted marks.
i. Technical Marks (X): The marks secured based on evaluation of the Technical Proposal
(Envelope B) as above shall be the Te
Technical Marks of the Bidder.
ii. Only those Bidders who have secured Technical Marks of 75 or above out of 100 shall be
declared as qualified for evaluation of their ‘Financial Bid

5.11.2 Financial Marks: (Y)

5.11.4 Discussions/ clarifications with the successful bidder

CHAPTER 6: BID PREPARATION, SUBMISSION EVALUATION & AWARD

6.1
.1 Bid Submission Guidelines
The bid submission shall be online through MMRDA Maha e-tendering
tendering Portal. All the documents
shall be submitted in PDF format and uploaded in relevant section on the portal. No manual
submission shall be accepted. Any document that bidder desires to up upload
load other than those
mandated in chapters7, 8 and 9 shall be clearly mentioned in the covering

6.2.2 Guidelines for Preparation of Technical Proposal [Envelope A-Part-II]


i. A printed covering letter, on the bidding organization’s letterhead with all required
information and authorized representative's initials shall be uploaded along with the
proposal. In case
ase the bidder edits the content of the proposal covering letter; it shall be
treated as a non-responsive

ii. MMRDA shall evaluate the bidder's proposal based upon its clarity and the directness of its
response to the requirements of the project as outlined in this RFP.
iii. The technical proposal shall contain a detailed description of understanding of the Project

documents prepared by the bidderss shall be part of the technical proposal.
iv. The bidder shall submit a Technical Proposal having separate chapters each on Project
Experiences, Conceptual Designs, Approach and Methodology (A&M), Details of Key
Personnel with supporting professional
professional team and work plan, time scheduled for completion
of project. All the documents shall be properly indexed with Table of Contents and Paged
with adequate references for apt evaluation.
v. The eligible biddermay
may be called to make 45 minutes’ audio-visualvisual pres
presentation on the
assigned date to the TRC as a part of the evaluation process. The presentation is part of
Envelope ‘A’’ Evaluation process. However,the the presentation is not required to be
uploaded at this stage and only eligible bidders may or may not be asked ask to make a
presentation later.

6.2.3 Guidelines for Preparation of Financial Proposal [Envelope B] B


i. The Financial proposal shall contain the bidder’s quotation of fees for the design and
services desired for the project as per the format mentioned inChapter – 9 of theRFP. The
details of the Scope of work is mentioned in the RFP
ii. The bidder shall quote lump sum offer which includes cost of survey and investigation,
professional fees, overheads, establishment and administrative cost, travel, hotel expenses,
expens
printing, stationary and an
any other out of pocket expenses etc. The prices shall be mentioned

without any qualifications whatsoever and shall exclude all taxes, duties, fees, levies and
other charges as may be applicable in relation to the activities pr

the project bid, the bidder is not expected to take into account any taxes. The actual payment
shall be made as per the existing indirect tax rates during the time of payment.
iii. No separate TA/DA shall be payable in addition to Consultancy fee.
iv. Any Statutory Charges / fees payable to an authority for obtaining any approval, clearance,
NOC required for the project shall be paid by MMRDA.
v. All payment of fees shall be paid in Indian Rupees after deducting all statutory deductions
from the fees payable.
vi. The consultancy contract shall be executed subject to adjudication at Mumbai.
vii. The proposal shall be complete, i.e., it shall list all costs associated with the Assignment.
Thebidder shall consider the entire scope of work and the tasks mentioned in the RFP for
preparation of the financial offer.

6.3 Preparation of Proposals – Specific Considerations


Only One Proposal
 The Proposal shall comprise the documents and forms as given in tthe
he RFP.
 If a bidder submits or participates in more than one proposal, such proposals or bidders shall
be disqualified.
 In preparing the Proposal, the bidder is expected to examine the RFP in detail. Material
deficiencies in providing the information requ
requested
ested in the RFP may result in rejection of the
Proposal.

Proposal Validity
 The RFP indicates how long bidders’ s’ Proposals must remain valid after the submission date.
During this period, bidder
bidderss shall maintain the availability of Professional staff nominated in
the Proposal. The MMRDA will make its best effort to complete negotiations within this
period.
 The RFP indicates the period during which the bidder’s

 During this period, the bidder shall maintain its original Proposal without any change,
including the availability of the Key Professionals, the proposed rates and the total price.
 If it is established that any Key Professio

confirmation, such Proposal shall be disqualified and rejected for further evaluation, and

Extension of Validity Period


 The Client will make its best effort to complete the negotiations within the proposal’s
validity period. However, should the need arise, the Client may request, in writing,

 If the Bidder agrees to extend the validity of its Proposal, it shall be done without any
change in the original Proposal and with the confirmation of the availability of the Key

 The Bidder has the right to refuse to extend the validity of its Proposal in which case such
Proposal will not be further evaluated.
 Sub-Contracting: The Successful Bidder shall not subcontract the whole of the Services.

6.3.1 Technical Proposal: Format and Content

training, if the RFP specifies training as a specifi

6.3.2 Financial Proposals
 The Financiall proposal should be a proposal exclusive of service tax/ GST which will be
separately reimbursed, and shall be prepared using the attached (financial proposal: standard
forms). The Financial proposal should be submitted clearly indicating the total cost of the

Authorized Representative. In the event of any difference between figures and words, the
amount indicated in words shall prevail. In the event of a difference between the arithmetic
total and the total shownown in the Financial Proposal, the lower of the two shall prevail.
 The Financial Proposal shall take into account all expenses associated with the assignment.
These shall normally cover remuneration for all the Key Professionals, Support
Professionals, Support port Staff, accommodation, air fare/ train fare, communication costs,
local transportation costs, equipment, printing of documents, surveys/ investigations, etc.
The total amount indicated in the Financial Proposal shall be without any condition attached

ii. The Bidder shall express the price for its Services in the Indian Rupees (INR) only,

6.3.3 Submission, Sealing, and Marking of Proposals

Confidentiality
 From the time the Proposals are opened to the time the Contract is awarded, the Bidder
shall not contact the Client on any matter related to its Technical and/or Financial
Proposal. Information relating to the evaluation of Proposals and award
recommendations shall not be disclosed to the bidderss who submitted the Proposals or
to any other party not officially concerned with the process, until the Contract award.
 Any attempt by bidder
bidders or anyone on behalf of the bidder to influence improperly the
Client in the evaluation of the Proposals or Contract award decisions may result in the
rejection of its
ts Proposal.
 Notwithstanding the above provisions, from the time of the Proposals’ opening to the
time of Contract award, if a bidder wishes to contact the Client on any matter related to
the selection process, it should do so only in writing.

Opening of Technical Proposals


 The TRC shall conduct the ope

 At the opening of the Technical Proposals the following shall be read out: (i) the name
and the country of the bidder or, (ii) any other information deemed appropriate or as
indicated in the RFP.

6.4 Proposal Evaluation


 The evaluators of the Technical Proposals shall have no access to the Financial
Proposals until the technical evaluation is concluded.
 The bidder is not permitted to alter or modify its Proposal in any way after the
proposal submission deadline. While evaluating the Proposals, the Client will conduct
the evaluation solely on the basis of the submitted Technical and Financial Proposals.

6.4.1 Evaluation

d) It is accompanied by a valid Power of Attorney pursuant to clauses in General
Instructions.
e) Providing EMD (bid security declaration form) as given in clauses of General G
Instructions.
f) It contains all the information (complete in all respect) as required in RFP.
g) It does not contain any condition/s.
 The TRC shall evaluate the Technical Proposals on the basis of their responsiveness to
the Terms of Reference, applying the evaluation criteria, sub--criteria, and point

A Proposal shall be rejected at this stage if it does not respond to important aspects of
the RFP, and particularly the Terms of Reference or if it fails to achieve the minimum
technical score indicated in the RFP.
 MMRDA shall not be required to provide any explanation or justification in respect of
technical evaluation of proposal. The decision of TRC will be final and wi will be
binding on all prospective consultants.

6.4.2 Public Opening and Evaluation of Financial Proposals


 After the technical evaluation is completed the MMRDA shall inform the bidders who
have submitted proposals the technical scores obtained by their Technical

and shall notify those bidderss whose Proposals did not meet the minimum qualifying
score or were considered non responsive to the RFP and TOR, that their Financial
Proposals will be returned unopened after completing the selection process. proce The
MMRDA shall simultaneously notify in writing bidderss that have secured the
minimum qualifying score, the date, time and location for opening the Financial
Proposals. Bidders’s’ attendance at the opening of Financial Proposals is optional.
 Financial Proposals

not priced in the

 In the case of QCBS, the total score is calculated by weighting the technical and
financial scores and adding them as per the formula and instructions in the RFP.
 The lowest evaluated Financial Proposalwill be given the maximum financial score of
100 points. The financial scores of the other Financial Proposals will be computed as
indicated in the RFP. Proposals will be ranked according to their combined technical
and financial scores using the weights given to technical and financial scores. The

firm achieving the highest combined technical and financial score will be invited for
negotiations.

6.5 Negotiations & Award


Negotiations will be held at the address indicated in the RFP with regard to the
weaknesses if any in the selected proposal. The invited successful bidder will, as a
pre-requisite
requisite for attendance at the negotiations, confirm availability of all Professional
staff. Failure in satisfying such requirements may result in MMRDA proceeding to
negotiate with the next-ranked
next Bidder.. Representatives conducting negotiations on
behalf of the Bidder must have written authority to negotiate and conclude a Contract.

6.5.1 Technical negotiations


Negotiations will include a discussion of the Technical Proposal, the proposed technical
approach and methodology, work plan, and organisation and staffing, & Knowledge
transfer and training and any suggestions made by the Bidder to improve the Terms of
Reference. The MMRDA and the Successful Bidder will finalise the Terms of
Reference, staffing schedule, work schedule, logistics, and reporting. These documents
will then be incorporated in the Contract as “Description of Services”.

ensure satisfactory implementation of the assignment. MMRDA shall prepare minutes of
negotiations which will be signed by the MMRDA and the Consultant

Having selected the Consultant on the basis of, among other things, an evaluation of
proposed Professional staff, the MMRDA expects to negotiate a Contract on the basis of
the Professional staff named in the Proposal. Before contract negotiations, the MMRDA
will require assurances that the Professional staff will be actually available. The
MMRDA will not consider substitutions during contract negotiations. If this is not the
case and if it is established that Professional staff were offered in the proposal without
confirming their availability, this result in the rejection of the bidder’s

6.5.2 Financial negotiations


The

the MMRDA and the successful bidder shall initiate the agreed Contract. If the
negotiations fail, the MMRDA will invite the bidder whose Proposal received the second
highest score to negotiate a Contract.

6.6 Guidelines: Award of Contract


 After completing negotiations, the MMRDA shall award the Contract to the selected
bidder and promptly notify all other bidderss who have submitted proposals.

 The selected bidder is expected to commence the assignment on the date and at the
location specified in the RFP or such other date as may be mutually agreed.
 If the successful bidder selected for the work fails to either sign the Agreement or
commence the assignment as specified above, the Authority may invite the bidder whose
proposal received the second highest score to negotiate a Contract.
 The contract shall be awarded after the tendering process is complete and after approval
of competent authority.
 MMRDA reserves the right to award the contract in full for both the phases or may
award a partial contract

amendments and any special conditions during negotiations between the MMRDA and the

i. Definitions and Interpretations

In this Agreement,

a. The Parties do here by irrevocably constitute a consortium (“the Consortium”) for the
purposes of jointly participating in the selection process for the Consultancy.
b. The Parties hereby undertake to participate in the Bidding Process only through this
Consortium and not individually and/ or through any other consortium constituted for
this Consultancy, either directly or indire
indirectly
ctly or through any of their Affiliates.
iii. Covenants

The Parties hereby undertaken that in the event the Consortium is declared the selected
Consultant and awarded the Consultancy, the Parties shall enter into a contract for
consultancy services (“Contract”
(“Contract”)) with the Authority and for performing all obligations as the
Consultant in terms of the Contract for the Consultancy.
iv. Role of the Parties

The Parties hereby undertake to perform the roles and responsibilities as described below:-

a. The First Party shall be the Members in Charges of the Consortium and shall have the
power of attorney from all Parties for conducting all business for and behalf of the
Consortium during the selection process for the Consultancy and until the Effective Date
under the Contract;
b. The Second Party shall be the associate partner.

v. Joint and Several Liability

The Parties do hereby undertake to be jointly and severally responsible for all and liabilities
relating to the Consultancy and in accordance with the terms of the RFP and the Contract, for the
performance of the Contract.

vi. Member in Charge or Lead Member

Without prejudice to the joint and several liabilities of all the Parties, each Party agrees that it
shall exercise all rights and remedies under the Contract through the Member in Charge/Lead
Member and the Authority shall be entitled to deal with such Member in Charge as the
representative of all Members. Each Party agrees and acknowledges that:
a. Any decision (including without limitation, any waiver or consent), action, omission,
o
communication or notice of the Member in Charge on any matters related to the Contract
shall be deemed to have been on its behalf and shall be binding on it. The Authority shall
be entitled to rely upon any such action, decision or communication ffrom
rom the Member in
Charge;
b. Consolidated invoices for the service in relation to the Consultancy performed by all the
Members shall be prepared and submitted by the Member in charges and the Authority
shall have right to release payment solely to the Member in charge and the Authority shall
not in any manner be responsible or liable for the inter seal location of payments, works
etc. among the parties
c. Any notice, communication, information or documents to be provided to the Consultant
shall be delivered to the he authorized representative of the Consultant (as designated

pursuant to the Contract) and any such notice, communication, information of documents

vii. Representation of the Parties

Each party represents

incorporation and has all requisite power and authority to enter into this agreement;

properties or assets are bound or that is otherwise applicable to such Party; or
v. Create or impose any lines, mortgages, pledges, claims, security interests, charges or
Encumbrances or obligation to create a line, charge, pledge, security interest,
encumbrances or mortgage in or on the property of such Party, except for encumbrances

that would not, individually or in the aggregate, have a material adverse effect on the
financial condition or prospects or business of such Party so as to prevent such Party from
fulfilling its obligations under this Agreement;

ix. Termination

This Agreement shall be effective from the date hereby and shall continue in full force and effect
until the Effective Date under the Contract, in case the Consultancy is awarded to the Consortium.
However, in case the Consortium is not selected for award of the Consultancy, the Agreement
will stand terminated upon intimation by the Authority that it has not been selected and upon
return of the Bid Security by the Authority.

x. Miscellaneous
a. This Joint Bidding Agreement sh shall be governed by laws of India.
b. The Parties acknowledge and accept that this Agreement shall not be amended by the
Parties without the prior written consent of the Authority.

General Conditions of Contract (GCC)


1 General Provision:

1.1 Definitions Unless the context otherwise requires, the following terms
whenever used in this Contract will have the following
meanings:
(a) “Applicable Law” means the laws and any other instruments
having the force of law in India, as they may be issued and in
force from time to time.
(b) “Employer” means the Mumbai Metropolitan Region Development
Authority (MMRDA)
(c) “Consultant” means any private or or public entity that will
provide the Services to the Employer under the Contract.
(d) “Contract” means the Contract signed by the Parties and all the
attached documents listed in its Clause 1 that is these General
Conditions (GC), the Special Conditions (SC), and the
Appendices.
(e) “Contract Price” means the price to be paid for the performance
of the Services, in accordance with Clause 5;
(f) “Effective Date” means the date on which this Contract comes
into force and effect pursuant to Clause GC 2.1.
(g) “Foreign Currency”
Currency” means any currency other than the currency
of the Employer’s country.
(h) “GC” means these General Conditions of Contract.
(i) “Government” means the Government of Maharashtra.
(j) “Local Currency” means the Indian Rupees.
(k) “Member” means any of the entities that make up the joint
venture/consortium, and “Members” means all these entities.
(l) “Party” means the Employer or the Consultant, as the case may
be, and “Parties” means both of them.
(m)“Personnel” means persons hired by the Consultant or by any Sub-
Sub
Consultants and assigned to the performance of the Services or
any part thereof.
(n) “SC” means Steering Committee
(o) “SC” means the Special Conditions of Contract by which the
GC may be amended or supplemented.
(p) “Services” means the work to be performed by the Consultant
pursuant to this Contract, as described in Appendix A hereto.
(q) “Sub
“Sub-Consultants”
Consultants” means any person or entity to whom/which the
Consultant subcontracts any part of the Services.
(r) “In writing” means communicated in written for form with proof
of receipt.
1.2 Relations Nothing contained herein shall be construed as establishing a

performing the services and shall be fully responsible for the


services performed by them or on their behalf hereunder.
1.3 Law This Contract, its meaning and interpretation, and the relation
Governing between the Parties shall be governed by the Applicable Law of
Contract India and Maharashtra State.
1.4 Language This Contract has been executed in the language specified in the
SC, which shall be the binding and controlling language for all
matters relating to the meaning or interpretation of this Contract.
1.5 Headings The headings shall not limit, alter or affect the meaning of this
contract.

1.5.1 Any notice, request or consent required or permitted to be given
or made pursuant to this Contract shall be in writing. Any such
notice, request or consent shall be deemed to have been given or
made when delivered in person to an Authorized representative
of the Party to whom the communication is addressed, or when
sent to such Party at the address specified in the SC.
1.5.2 Notice will be deemed to be effective as specified in the SC.
1.5.3 A Party may change its address for notice hereunder by giving
the other Party notice of such change pursuant to the provisions
listed in the SC with respect to clause GC 1.5.2.
1.7 Location The Services shall be performed at such locations as are
specified in Appendix A hereto and, where the location of a
particular task is not so specified, at such locations, whether in
India or elsewhere, as the Employer may approve.
1.8 Authority of In case the Consultant consists of a joint venture/ consortium of
Member in more than one entity, the Members hereby authorise the entity
Charge specified in the SC to act on their behalf in exercising all the
Consultant’s rights and obligations towards the Employer under
this Contract, including without limitation the receiving of
instructions and payments from the Employer.
1.9 Authorized Any action required or permitted to be taken, and any document
Representatives required or permitted to be executed under this Contract by the
Employer or the Consultant may be taken or executed by the
officials specified in the SC.
1.10 Taxes and Unless otherwise specified in SC, the Consultant, shall pay such
Duties taxes, duties, fees, and other impositions as may be levied under
the Applicable law (except GST), the amount of which is
deemed to have been included in the Contract Price.

1.11 Fraud and If the Employer determines that the Consultant and/or its
Corruption Personnel, sub-contractors,
sub sub-consultants,
consultants, services providers
and suppliers has engaged in corrupt, fraudulent, collusive,
coercive, or obstructive practices, in competing for or in
executing the Contract, then the Employer may, after giving 14
days’ notice to the Consultant, terminate the Consultant's
employment under the Contract, and the provisions of Clause 2
shall apply as if such expulsion had been made under Sub- Sub
Clause 2.9.1(c).
Should any personnel of the Consultant be determined to have
engaged in corrupt, fraudulent, collusive, coercive, or
obstructive practice during the execution of the Contract,

1.12 Definitions For the purposes of this Sub Sub-Clause,

(i)“corrupt practice” is the offering, giving, receiving or

influence improperly the actions of another party;
(ii) “fraudulent practice” is any act or omission, including a
misrepresentation, that knowingly or recklessly misleads, or
attempts to mislead, a party to obtain a financial or other
benefit or to avoid an obligation;
(iii)“collusive practice” is an arrangement between two or more
parties designed to achieve an improper purpose, including
to influence improperly the actions of another party;
(iv)“coercive prpractice”
actice” is impairing or harming, or threatening
to impair or harm, directly or indirectly, any party or the
property of the party to influence improperly the actions of a
party;
(v)“obstructive practice” is
(aa) deliberately destroying, falsifying, alteri
altering
ng or concealing
of evidence material to the investigation or making false
statements to investigators in order to materially impede an
investigation into allegations of a corrupt, fraudulent,
coercive or collusive practice; and/or threatening, harassing
orr intimidating any party to prevent it from disclosing its
knowledge of matters relevant to the investigation or from
pursuing the investigation.
1.13 Measures to be (vi) will sanction a Consultant, including declaring the
Taken Consultant ineligible, either indefinitely or for a stated period of
time, to be awarded a MMRDA’s contract if it at any time
determines that the Consultant has, directly or through an agent,
engaged in corrupt, fraudulent, collusive or coercive practices in
competing for, or in executing, a MMRDA contract;
1.14 Commissions The Employer will require the successful Consultants to

and Fees disclose any commissions or fees that may have been paid or are
to’ be paid to agents, representatives, or commission agents with

thee selection process or execution of the contract. The
information disclosed must include at least the name and
address of the agent, representative, or commission agent, the
amount and currency, and the purpose of the commission or fee.

2. Commencement, Completion, Modification and Termination

2.1 Effectiveness This Contract shall come into effect on the date the Contract is

2.5 Modifications Any modification or variation of the terms and conditions of this

Parties. However, each Party shall give due consideration to any
proposals for modification or variation made by the other Party.
2.7 Force Majeure Please refer the sub clauses below
2.7.1 Definition (a) For the purposes of this Contract, “Force Majeure” means an
event which is beyond the reasonable control of a Party and which
makes a Party’s performance of its obligations hereunder
impossible or so impractical as to be considered impossible in the
circumstances
rcumstances and includes, but is not limited to, war riots, civil
disorder, earthquake, fire explosion, storm, flood or other adverse
weather conditions, strikes, lockouts or other industrial action
(except where such strikes, lockouts or other industrial action are
within the power of the party invoking Force Majeure to prevent),
confiscation or any other action by the government agencies.

(b) Force Majeure shall not include (i) any event which is caused

by the negligence of intentional action of a party or o such party’s


sub consultant or agents or employees nor (ii) any event which a
diligent party could reasonably have been expected to both (A)
taken into account at the time of conclusion of this contract and (B)
avoid or overcome in the carrying out of its
its obligations hereunder

(c) Force Majeure shall not include insufficiency of funds or failure


to make any payment required hereunder.
2.7.2 The failure of a Party to fulfil any of its obligations under the
contract shall not be con
considered
sidered to be a breach of, or default under,

taken all reasonable precautions, due care and reasonable

2.7.5 During the period of their inability to perform the Services as a

incurred by them during such period for the purposes of the
Services and in reactivating the Service after the end of such
period.
2.7.5 Not later than thirty (30) days after the Consultants, as the result
of an event of Force Majeure, have become unable to perform a
Consultation material portion of services, the parties shall consult with each
other with a view to agreeing on appropriate measures to be taken
in the circumstances.

2.8 Suspension The Employer by written notice of suspension to the Consultants,


suspend all payments to the Consultants hereunder if the
Consultants fail to perform any of their obligations

and (ii) request the Consultant to remedy such failure within the
period not exceeding thirty (30) days after

2.9.1 The Employer may terminate this Contract in case of the


occurrence of any of the events specified in paragraphs (a) through

than one entity, if any of their members becomes) insolvent or
bankrupt or enter into any agreements with their creditors for
relief of debt or take advantage of any law for the benefit of
debtors or go into liquidation or receivership whether
compulsory or voluntary.
(c) If the Consultant, in the judgment of the Employer has engaged
in corrupt or fraudulent practices in competing for or in
executing the Contract.
(d) If the Consultants submit to the Employer a statement
statem which has
a material effect on the rights, obligations or interests of the
Employer and which the Consultants know to be false;
(e) If, as the result of Force Majeure, the Consultant are unable to
perform a material portion of the Services for a period of not less
than thirty (30) days.
(f) If the Employer, in its sole discretion and for any reason
whatsoever, decides to terminate this Contract.
(g) If the Consultant fails to comply with any final decision reached
as a result of arbitration proceedings pursuant to Clause GC 8
hereof.
2.9.2 The Consultants may terminate this Contract, by not less than thirty
(30) days’ written notice to the Employer, such notice to be given
By the Consultant after the occurrence of any of the events specified in paragraphs (a)
through
ough (d) of this Clause GC 2.9.2:

(a) If the Employer fails to pay any money due to the Consultant
pursuant to this Contract and not subject to dispute pursuant to
Clause GC 8 hereof within forty-five (45) days after receiving
written notice from the Consultant that such payment is

overdue.
(b) If the Employer is in material breach of its obligations pursuant
to this contract and has not remedied the same within forty five
(45) days (or such longer period as the Consultant

Employer of the Consultants notice specifying such breach;
(c) If, as the result of Force Majeure, the Consultant is unable to
perform a material portion of the Services for a period

less than sixty (50) days.
(d) If the Employer fails to comply with any final decision reached
as a result of arbitration pursuant to Clause GC 8 hereof.
2.9.3 Upon termination of this Contract pursuant to Clauses

Cessation of hereof, all rights and obligations of Parties hereunder shall cease,

orderly manner and shall make every reasonable effort to keep

provided, respectively, by Clauses GC 3.9.

2.9.5 Upon termination of this Contract pursuant to Clauses GC 2.9.1 or


GC 2.9.2
2.9.2,, the Employer shall make the following payments to the

through (d) and (g) of Clause GC 2.9.1,, reimbursement of any
reasonable cost incident to the prompt and orderly termination
of the Contract, including the cost of the return travel of the
Personnel and thei
their eligible dependents.
2.9.5 If either Party disputes whether as event specified in paragraphs (a)

3. Obligations of the consultant

3.1 General
3.1.1 The Consultant shall perform the Services and carry out their
obligations hereunder with all due diligence, efficiency and

3.2.1 The payment of the Consultant pursuant to Clause GC 5 shall
constitute the Consultant’s only payment in connection with this

Personnel make public the recommendations formulated in the
course of, or as a result of, the Services.

for each deliverable.

3.7 Documents -All
All plans, drawings, specifications, designs, reports, other

3.8 (c), be liable to the Authority for any direct loss or damage
accrued or likely to accrue due to deficiency in Services rendered
by it.

misconduct on the part of the Consultant or on the part of any
person
rson or firm acting on behalf of the Consultant in carrying out
the Services, the Consultant, with respect to damage caused to the
Authority’s property, shall not be liable to the Authority:

4. Consultant’s personnel

4.1 Description of The Consultant shall employ and provide such qualified and

out of the Services of the Consultant’s Key Personnel/Professionals

are described in Appendix C. The Key Key Personnel listed by title as


well as by name in Appendix C are hereby approved by the
Employer.
4.2 Removal Except as the Employer may otherwise agree, no changes shall be
made in the Key Personnel. If, for any reason beyond
beyond the reasonable
and/or control of the Consultant, such as retirement, death, medical
Replacement incapacity, among others, it becomes necessary to replace any of

person of equivalent or better qualificatio

If the Employer finds that any of the Personnel have (i) committed
serious misconduct or have been charged with having committed a

the performance of any of the Personnel, then the Consultant shall
at the Employer’s written request specifying the grounds thereof,
provide as a replacement a person with qualifications and
experience acceptable to the Employer.
The Consultant shall have no claim for additional costs arising out
of or incidental
ncidental to any removal and/or replacement of Personnel.

5. Obligations of the Employer

5.1 Assistance and -The


The Employer shall use its best efforts to ensure that the

Committee MMRC, CIDCO, NMMT, TMT, KDMT, MBMT etc., and other
external experts will be set up to guide the consultants. This
Committee will review, examine and monitor the work of the
consultants and also recommend the actions/decisions on the issues
that will arise during the course of the study. SC will meet every

5. Payments to the consultant

5.1 Lump-Sum The total payment due to the Consultant shall not exceed the

7. Good faith

8. Settlement of disputes

8.1 Amicable The Parties agree that the avoidance or early resolution of
Settlement disputes is crucial for a smooth execution of the Contract and the
success of the assignment. The Parties shall use their best efforts
to settle amicably all disputes arising out of or in connection with
this Contract or its interpr

8.2 Dispute Any dispute between the Parties as to matters arising pursuant to

Resolution this Contract that cannot be settled amicably within thirty (30)

settlement in accordance with the provisions specified in the SC.

9. Fore-closure

9.1 Duration The Employer may, by not less than thirty(30) days write notice
of fore closure (the expiry of notice period whereof being the date
of termination to the Consultant, without assigning any reason
whatsoever at any stage of the contract, terminate the contract.
9.2 Handover Upon termination of this contract, the Consultant shall take
necessary steps to bring the work to close in a prompt orderly
manner and shall handover all the documents/ reports prepared by
the Consultants up to and including the date of termination to the
Employer.
9.3 Payment in case of The Consultants shall be duly paid for the works carried out and
foreclosure the services rendered till the date of termination. The Consultants
shall also be reimbursed for reasonable demobilisation expenses,

case, continue to proceed with the work with all due diligence and the
Consultant and the authorized Representative of the Employer shall
give effect forthwith to every such decision unless and until the same
shall have been revised, as hereinafter provided.

If either the Employer or the Consultant disagrees with the decision of


the Authorized Representative of the Employer, the decision shall then
be referred by the Employer or by the Consultant, within 30 days of the
decision of the Authorized Representative of the Employ

1. Bidders should have valid class 2 or 3 Digital Signature Certificate (DSC) having both
Signing and Encryption Certificates obtained from any Certifying Authorities empanelled by
Controller of Certifying Authorities India. In case of requirement of DSC

6. The detailed e -Tender
Tender notice along with the subsequent corrigendum, addendum etc. shall
form part of the tender document.
7. The acceptance of tender will be intimated by email or otherwise by the authority competent
to accept the tender or by the higher Authority of MMRDA, to the contractor, which shall be
deemed to be an intimation of the tender given by the Authority Competent to accept the
tender.
8. Bid shall be submitted online on the maha e-tendering
tendering portal in ‘three electronic envelopes
system’ within prescribed schedule.
a. e-Envelope
Envelope ‘A’(Prequalification Criteria if any):
Bidder should upload scanned copies of Payment Receipt
Receiptss and give eligibility criteria details
as per prescribed format and Technical Proposal: Bidder shall upload Technical Documents

i) Bidder shall quote his offer on Lump Sum basis at the prescribed space in e-Envelope

The amount quoted by the Bidder shall be calculated by the system.

Payment Procedure for Tender Fee and EMD
Tender Document and Supporting can be downloaded for reference purpose from the maha e-
Tendering Portall of MMRDA during the period mentioned in the tender notice. Interested
Bidders have to make online payment of Tender Fee using online payment gateway during bid
preparation by NEFT/RTGS.. Tender Fee receipt can be system generated during bid preparation
by the Bidder.

Earnest Money Deposit (EMD)


MD): (EMD is1,00,000/- One Lakh Only) Bidder has to submit
the Notarized Bid Securing declaration form as prescribed format given is Annexure 12.4)

Payment procedure for NEFT/RTGS


EMD Payment as mentioned above has to be made through RTGS / NEFT mode using the
System Generated Challan. Bidders should ensure that the payment of the EMD is made at-least
at
5 working days prior to the last date of Bid Preparation and Submission of the Tender Schedule
to have seamless submission.

Bidders need to upload scanned copy of EMD paid receipt during bid preparation.
Bidders failing to complete the payment of EMD using the above-mentioned process of RTGS /
NEFT or Online payment gateway after downloading the system generated challan
challan will not be
able to submit their bids.

EMD Refund: (if applicable)

Bidders should mention the beneficiary details for EMD refund in the Earnest Money Deposit
Form for fields marked as details required for Refund. MMRDA or ee-Tendering Tendering Service
Provider
der will not be liable for delays caused in EMD refund due to incorrect beneficiary details.

The earnest money deposit of unsuccessful bidders will be refunded through RTGS, NEFT mode
only after finalization of the tender for which the above refund detai

ls are required. Bidders
should also upload scanned copy of cancelled cheque along with refund letter for refund of their
EMD payment. In case of successful bidder, amount of the earnest money deposit may be
transferred towards part of the security deposit to be paid after the award of the work, if he
intends to do so in writing.

Bidders failing to complete the payment of EMD using the above-mentioned process of RTGS /
NEFT after downloading the system generated challans will not be able to submit their bbids.

Note: Kindly note that transfer of funds to MMRDA’s account through NEFT / RTGS mode, from
the Bidders’ ICICI accounts is currently not possible. In case of funds transfer through NEFT /
RTGS, Bidders are requested to transfer from any other bank (ex
(excluding

• EMD Refund Account should remain active until tender is awarded.


• EMD Refund will happen only after Awarding or Cancellation of tenders.
