The following sets forth the agreement made on this ________ day of ____

2000 between ……. represented by its registered Singapore Office located


at ………. [hereinafter referred to as “the Sponsor”] of the one part and
………. [hereinafter referred to as “the Producer”] of the other part for
the sponsorship of the production of …….. [hereinafter referred to as “the
VCD”] by the Producer, inclusive of all Crew, Cast and Artistes
[hereinafter referred to as “the Team Members”], in producing the said
VCD at the various locations in …………. [hereinafter referred to as “the
Venue”] as specified in Appendix “A” attached herein.

1. PRESENTATION

1.1 The Sponsor hereby agrees to the sponsorship of the production of


the VCD by the Producer, on dates, times and places to be agreed
upon by both the Sponsor and the Producer [hereinafter referred to
as “the parties”] and for the consideration of the sponsorship as
set forth in paragraph 2, the Producer hereby agrees to produce
the VCD at the Venue subject to the terms and conditions
stipulated herein.

1.1.1 PRODUCTION SCHEDULE

1.2 The Sponsor hereby represents and warrants that Mr … of … is


authorised as the Sponsor’s Representative to execute this
contract, to receive and give notices, and to conduct such acts as
necessary in connection with the execution of this contract. The
Sponsor further undertakes to immediately inform the Producer in
the event that the authority given to the aforementioned is
revoked.

1.3 The Producer hereby represents and warrants that Mr ….. of ….is
authorised as the Producer’s Representative to execute this
contract, to receive and give notices, and to conduct such acts as
necessary in connection with the execution of this contract. The
Producer further undertakes to immediately inform the Sponsor in
the event that the authority given to the aforementioned is
revoked.

2. SPONSORSHIP

2.1 All payment set forth herein shall be made in Singapore Dollars
unless otherwise mentioned.

2.2 The Producer of the VCD shall be compensated as follows:-


2.2.1 A total sponsorship fee of Sixty Thousand Singapore Dollars
(SGD 60,000.00) to defray the VCD production cost, shall be
paid to the Producer in accordance with the following
schedule:
(i) An initial fifty per centum (50%) deposit in the sum of
Thirty Thousand Singapore Dollars (SGD 30,000.00)
shall be paid to the Producer upon confirmation of this
Agreement;
(ii) A progressive payment of thirty per centum (30%) in
the sum of Eighteen Thousand Singapore Dollars (SGD

18,000.00) shall be paid to the Producer upon
completion of the filming of the VCD at the Venue;
(iii) The final payment of twenty per centum (20%) in the
sum of Twelve Thousand Singapore Dollars (SGD
12,000.00) shall be paid to the Producer immediately
upon the viewing of the final edited copy of the VCD.

2.3 The sponsorship fee aforesaid will not include those costs involved
in conveying the Producer and its Team Members to the Venue,
which costs includes but is not limited to all international and
local modes of transport, accommodation, meals, security and
logistic requirements, for both the survey and actual filming trips.

2.4 The sponsorship fee shall include the Artistes’ Appearance Fees for
all related Road Shows as per attached in Appendix “B”. } to check.

3. CAST
3.1 The main cast for the VCD shall include:

4. SPONSOR’S RESPONSIBILITY
4.1 The Sponsor shall assist in the facilitation of the VCD production,
including, but not limited to, the obtaining of permits or passes for
the production of the VCD from the relevant authorities, payment
of fees, charges, providing international and local transportation,
accommodation, meals, security and logistic requirements as
requested for by the Producer.

4.2 The Sponsor hereby warrants and acknowledges that it will
facilitate the production of the VCD to the best of its abilities and
render to the Producer and/or its Team Members such assistance
that may reasonably be required during the survey and filming
period of the VCD.

4.3 The Sponsor shall be responsible for the application of work


permits for the Producer and its Team Members as well as any and
all permits required to import any technical equipment from
Singapore and shall endeavour to obtain such approval.

4.4 Should the Sponsor fail to obtain such permits or licences for the
Producer and its Team Members from the relevant government
authorities in relation to the VCD production which may result in
any form of cancellation or delay in the production of the VCD, this
shall not be construed as a breach of this Agreement and the
parties shall not be entitled to seek redress by way of legal
proceedings. In this event, the parties should discuss an
alternative arrangement in an amicable manner.

5. PRODUCER’S RESPONSIBILITY
5.1 The Producer shall be solely responsible for all expenses involved
in the production of the VCD and the Team Members’ appearances
in the various Road Shows. This includes but is not limited to the
script writing, casting, filming, post production, pressing of VCD,
design and printing of VCD cover.

6. SURVEY PERIOD

6.1 The Sponsor shall bear the expenses for seven (7) Team Members
from Singapore for an on-site survey trip for a period of two (2)
days.

6.2 The Sponsor shall provide for the seven (7) Team Members the
following:-
(i) Two (2) Business Class return air tickets from Singapore to
Kuala Lumpur
(ii) Five (5) Economy Class return air tickets from Singapore to
Kuala Lumpur
(iii) Airport transfers from airport to the Venue and vice versa
(iv) Two nights accommodation including one (1) junior suite for
Mr …… and Mr ……. each and five (5) Standard Rooms for
the rest of the Team Members
(v) Meals for all Team Members.
6.3 With regards to the meals to be provided to the seven (7) Team
Members, the Sponsor agrees to provide the seven (7) Team
Members with a fixed budget as set out below:-
6.3.1 The main cast as described in paragraph 3.1 shall be given a
fixed budget of Ringgit Malaysia One Hundred and Fifty
(RM150.00) per day for meals, provided such meals are to be
consumed only in the Food and Beverage outlets in The
Sunway Lagoon Resort Hotel
6.3.2 The other Team Members shall be given a fixed budget of
Ringgit Malaysia One Hundred (RM100.00) per day for
meals, provided such meals are consumed only in the Food
and Beverage outlets in ……….
6.3.3 The fixed budget as aforementioned is on a daily basis and if
the fixed budget for the day is not exhausted any part

remaining thereof to the daily fixed budget shall not be
carried forward or utilised for the next day.

7. FILMING PERIOD
7.1 The Sponsor shall bear the expenses of twelve (12) Team Members
from Singapore for the actual filming period which period is not to
exceed seven (7) days.

7.2 The Sponsor shall provide for the twelve (12) Team Members the
following:-
(i) Two (2) Business Class return air tickets from Singapore to
Kuala Lumpur
(ii) Ten (10) Economy Class return air tickets from Singapore to
Kuala Lumpur
(iii) Airport transfers from airport to the Venue and vice versa
(iv) Seven (7) nights accommodation including one (1) junior
suite each for Mr …….., Mr ……. and Ms ….. and five (5)
Standard Rooms for the rest of the Team Members
(v) Meals for all Team Members.
7.3 The stipulations contained in paragraph 6.3 shall apply here
equally.

8. CONCEPT AND SCRIPTING OF VCD AND FILMING


8.1 The Producer reserves the rights to the concept and scripting of the
VCD and the Sponsor may contribute ideas towards the
conceptualisation and production of the VCD but these
contributions remain subject to the final approval of the Producer.

8.2 The VCD and its related rights remain the property of the
Producer.

8.3 The parties hereby agree that a detailed script be provided to the
Sponsor for the Sponsor’s approval before filming of the VCD
begins.

8.4 The parties hereby agree that the script and its contents will not,
in any way, damage the reputation and/or goodwill of the Sponsor
and/or the Venue, and/or put the Sponsor and/or the Venue in
any negative, adverse and/or detrimental light or situation.

8.5 The Producer also undertakes and warrants that the Sponsor’s
Venues shall comprise at least of seventy per centum (75%) of the
contents of the final edited copy of the VCD, in that the
background, scenery and other visuals of the various Venues shall
be depicted along with all the properties and amenities of …….

8.6 The Parties hereby agree that the final edited copy of the VCD shall
have seventy two (72) minutes worth of film play.

9. PRESENTER STATUS
9.1 The Sponsor shall be given Presenter Status for the VCD.

10. CREDIT MENTION IN ALL PUBLICITY MATERIALS


10.1 The Sponsor will be credited as the Presenter in all publicity
materials, including but not limited to Posters, Brochures, Press
Advertisements, VCD Cover and Radio Advertisements, for a period
of 3 months from the release of the VCD.

10.2 The Producer shall cause a sample of all publicity materials to be
presented to the Sponsor for the Sponsor’s approval before such
materials are released to the public.

11. COMPLIMENTARY VCD


11.1 The Sponsor is entitled to 1,500 copies of the VCD for promotional
use.

11.2 The complimentary copies of the VCD are strictly NOT FOR SALE
to the public and cannot be released before the official public
release of the VCD.

12. CO-SPONSORS
12.1 The Producer will be given the liberty to seek other sponsors to
subsidise the production of the VCD, provided the Sponsor has
given prior written approval for such act.

12.2 However, the co-sponsors cannot be a product or location seen in


competition with the Sponsor or the Venue.

13. PROMOTION IN BANDAR SUNWAY


13.1 The Producer hereby agrees that 2 promotion shows will be
organised to promote the VCD with the appearance of Mr …..and
at least 2 other main cast members as stated in paragraph 3.1 in
Bandar Sunway. The schedule and venue for the appearance will
be collectively discussed and agreed upon between the Sponsor
and the Producer.

13.2 The Sponsor shall bear the expenses for hotel accommodation and
meals for not more than six (6) Team Members from Singapore for
the appearance in Bandar Sunway.

13.3 The stipulations regarding meals will be as that provided for in


paragraph 6.3 above shall apply here equally.

14. ROAD SHOWS


14.1 The Producer hereby agrees that at least 8 Road Shows be
organised to promote the VCD and the Venue with the appearance
of at Mr ….. and at least 2 other main cast members as stated in
paragraph 3.1.

14.2 The breakdown of the promotion venues in Singapore and Malaysia


are as follows:-
(i) 2 Road Shows in a shopping mall to be later specified in the
city of Johor Bahru in the State of Johor
(ii) 1 Road Show in a shopping mall to be later specified in the
city of Kuala Lumpur
(iii) 1 Road Show in a shopping mall to be later specified in the
state of Penang
(iv) 4 Road Shows in any shopping mall in Singapore

14.3 The promotion venues stated in paragraph 14.2 may be subject to


change provided ample notice in writing is given to the Sponsor by
the Producer.

14.4 The Producer undertakes to inform the Sponsor at least one (1)
month before the Road Shows are stipulated to begin, the details of
the particular shopping malls that are to be used for the Road

Shows, which shall be subject to the Sponsor’s approval, but shall
not be unreasonably withheld.

14.5 The Producer shall be solely responsible for all expenses in


delivering the Artistes to the Road Shows stated in paragraph 14.2,
including but not limited to the obtaining of permits or passes for
the Artistes' appearance from the relevant authorities, all
international and local transportation, accommodation, meals,
security, sound system, backdrop and any other logistic
requirement.

14.6 The Sponsor will be entitled to publicise the Venue of and at all
Road Shows as stated in paragraph 13.1. However, all expenses
related to the promoting of the Venue, including but not limited to
exhibition booths, space rental, electrical requirements, labour,
carpets, licensing and landscaping, will be at the sole cost and
expense of the Sponsor.

14.7 The duration of each Road Show must not be less than sixty (60)
minutes and the Sponsor shall be informed at least 7 days in
advance of the programme and contents of each Road Show.

14.8 All Road Shows and its related events and exhibition will be
executed and co-ordinated jointly by Legacy Communication (Gryn)
Pte Ltd and Sun Event Management Sdn Bhd.

15. ADDITIONAL ROAD SHOWS


15.1 Any additional Road Show requested by the Sponsor not stated in
Appendix “B” will lead to an Artistes’ appearance fee of Singapore
Dollars Five Thousand only (SGD 5,000.00) per show.

15.2 The Sponsor shall bear all costs in transporting the Producer and
the Artistes to the desired venue including but not limited to the
obtaining of permits or passes for the Artistes' appearances from
the relevant authorities, all international and local modes of
transport, accommodation, meals, security, sound system,
backdrop and any other logistic requirements.

16. CREATIVE WORKS AND ADVERTISING


16.1 The Producer hereby grants the Sponsor the right to use the
photographs of the artistes for the production of any publicity
materials, including but not limited to Posters, Banners,
Brochures and Press Advertisements, strictly for the purpose of
promoting the VCD and its related activities, for a period of 3
months from the release date of the VCD.

16.2 All the artwork and creative works for the Sponsor's advertising
and promotion campaign in conjunction with the VCD and its
related activities is subject to the Producer's approval prior to
production, which approval shall not be unreasonably withheld.

16.3 The Producer shall present the artwork for the VCD cover for the
Sponsor's information prior to production. However, should the
Sponsor request for any amendments to the presented artwork, it
would be at the sole discretion of the Producer to accept or decline
the Sponsor's recommendation/s.

16.4 Any advertising and promotional material produced with the


incorporation of the artistes is strictly limited to the purpose of

promoting the VCD and not for any other commercial purpose not
related to the VCD.

16.5 20 copies of all advertising and promotional material including but


not limited to posters, brochures and any other form of advertising
material must be given to the Producer immediately upon
completion of the VCD. Any material and photograph provided by
the Producer to the Sponsor shall be returned to the Producer
immediately upon completion of the VCD.

16.6 The artistes will co-operate and oblige as deemed necessary, to all
publicity appearances or interviews arranged by the Sponsor,
subject to the approval of the Producer.

17. APPROVAL OF PROMOTION MECHANICS


17.1 All promotion organised by the Sponsor in conjunction with the
promoting of the VCD is subject to the Producer's approval which
approval shall not be unreasonably withheld.

18. INDEMNIFICATION
18.1 The Producer hereby agrees to indemnify the Sponsor from and
against all liability, loss, damage, cost and expense (including but
not limited to reasonable legal fees and disbursements) incurred or
suffered by it arising out of or by reason of any breach of any of the
Producer's representations, warranties, guaranties or agreements
made herein and from any claim of a third party for breach of
contract by reason of any failure of the Producer to duly perform
any of its obligations hereunder, or from any claim of any party of
any kind, nature or description for personal injuries or property

damage, except with respect to any claim proven to be due solely to
the wilful act or negligence of the Sponsor, from which the Sponsor
similarly agrees to indemnify the Producer.

19. IMPOSSIBILITY OF PERFORMANCE: FORCE MAJUERE


19.1 In the event that the performance of any of the provisions in this
Agreement on the part of the Producer and on the part of the
Sponsor shall be prevented or interfered by an Act of God, fire or
national or local calamity or death or physical or other disability of
any of the Team Members forming part of or used in connection
with the VCD production and/or Road Shows or regulations of any
public authority or labour union, labour difficulties, strike, war,
epidemic, interruption or delay of transportation service, or in the
breach of contract on the party of any third party or the unlawful
act of any third party or any other cause beyond the reasonable
control of such party, this shall not be construed as a breach of
this Agreement and the parties shall not be entitled to seek redress
by way of legal proceedings. In this event, the Producer shall retain
all expenses incurred on the VCD production and/or the Road
Shows and refund the Sponsor the balance of the deposit, if any,
within seven (7) days from the date that the occurrence took place.

20. CANCELLATION AND TERMINATION


20.1 Should the Producer fail to deliver the VCD and/or the
promotional Road Shows due to the negligence of the Producer to
fulfil his obligations as herein described and contained, the
Producer shall refund the Sponsor all deposit paid, if any within
seven (7) days from the date that the occurrence took place.

20.2 Should the Sponsor cancel this engagement upon the execution of
this Agreement, the Sponsor shall compensate the Producer fifty
per centum (50%) of the total sponsorship amount as stated in
paragraph 2.2.1 and all verifiable expenses incurred in relation to
the Producer, within seven (7) days from the date from the date of
cancellation.

20.3 The Producer reserves the right to cancel a particular promotional


Road Show by giving written notice as soon as practicable to the
Sponsor if and only if:-
(i) The artistes involved in any particular Road Show are
incapacitated by illness or injury and proof of illness or
injury in the form of a certificate from a registered medical
practitioner in Singapore or Malaysia, has been provided to
the Sponsor;
(ii) Events that are beyond the Producer’s reasonable control
that render the production of the VCD and/or the related
promotional Road Shows being rendered impossible.

21. GOVERNING LAW


21.1 This Agreement may not be assigned, changed, modified, or altered
except by an instrument in writing, signed by both the Producer
and the Sponsor.

21.2 In the event of a suit arising from or by reason of a result of a


violation of any or all of the provisions contained in this Agreement
by any of the parties herein, redress shall be sought with the
proper courts of jurisdiction in Singapore.

22. RELATIONSHIP BETWEEN THE PARTIES

22.1 Nothing herein shall be deemed to constitute a partnership
between, or a joint venture by the parties. Neither party shall hold
itself out contrary to the terms of this Agreement. Neither party
shall become liable for any representation, act or omission of the
other party contrary to the provision thereof.

23. NOTICES
23.1 All notices to the Sponsor and the Producer shall be in writing
addressed to the respective addresses set forth above in paragraph
1.1.1.

24. CONSTRUCTION
24.1 This Agreement contains the entire understanding between all
parties and may not be amended or modified except in writing and
signed by both parties.

24.2 If any provision of this Agreement is invalid or unenforceable, it


will not affect the other provisions of this Agreement, which will
then be construed as though the said invalid or unenforceable
provision was not contained in or referred to in this Agreement.

24.3 Paragraph headings are for convenience only and shall not be used
to interpret any provision of this Agreement.

24.4 This instrument shall not be binding upon any of the parties until
mutually executed by the Producer and the Sponsor accordingly.
